Section SF 1449 - CONTINUATION SHEET

ADDENDUM TO FAR 52.212-1

1. CONTRACT TYPE: The Government anticipates award of a single contract as a result of this request for proposal (RFP). The resultant contract will contain both firm fixed-price (FFP) and time and materials (T&M) type contract line item numbers (CLIN). While the primary contract requirement classifies as FFP, there shall be a yearly

T&M CLIN for unscheduled repairs. All unscheduled repairs made under the applicable T&M CLINs shall be at the agreed upon fixed labor rate.

2. BASIS OF AWARD: Award will be based on the best overall value to the Government provided all factors are determined to be acceptable.

3. PROPOSAL SUBMISSION INSTRUCTIONS:

(a) Price. Offerors’ price proposals shall consist of a completed SF 1449, including acknowledged amendments.

Offerors must submit pricing for all CLINs as follows:

FFP CLINs 0001, 1001, 2001, 3001, and 4001: Offerors must provide a single FFP for the scheduled inspections and preventative maintenance in accordance with the Exhibit 1 – Performance Work Statement

(PWS). Offerors shall include both a monthly and yearly price (proposed price * 12 months = yearly price).

T&M CLINs 0002, 1002, 2002, 3002, and 4002: Offerors must provide a fixed, fully burdened hourly labor rate for the unscheduled repairs in the space provided under the applicable CLINs. A ceiling price shall be applied to T&M CLINs at the time of contract award. Offerors are to provide any available price lists/catalog pricing associated with the materials that may be used under the T&M CLINs for unscheduled repairs. Offerors shall not provide any other pricing for these CLINs, as it will not be considered.

(b) Technical. Offerors must submit a brief technical proposal that displays (1) their ability to perform the requirements identified in the PWS (at a minimum, this must include your firm’s ability to provide technicians who are trained and certified by the equipment MFR, or the plan for your technicians to obtain the training and certification required within 120 days of contract award); (2) the experience and qualifications of personnel who will be assigned to work directly under a resultant contract, including whether or not they meet the Contractor Qualification requirements in paragraph 5.5 of the PWS; and (3) their approach in meeting the requirements of the PWS, including responding to Government calls, requests for service, on site response time, etc..

(c) Past Performance. In order to evaluate an offeror’s ability/past performance, offerors are recommended to provide the Government with an example(s) (no more than 3) of past performance in which the same or similar service was performed. Same or similar contract shall be providing both scheduled preventative maintenance and unscheduled repairs under the same contract. Information shall include: 1) contract number; 2) contract type (FFP/T&M); 3) brief description of the requirement; 4) dollar value; 5) customer POC. The Government reserves the right to review and consider an offeror’s past performance from any source, including individuals or Government systems.

Note 1: Offerors are cautioned that any noncompliance with the terms and conditions of the RFP and these proposal submission instructions may result in their proposal being determined unacceptable, and therefore ineligible for award. Therefore, please ensure you are reading thoroughly and submitting all requested information with your initial proposal in order to prevent being determined non-responsive.

Note 2: Offerors attention is directed to Clause 52.212-2 Evaluation of Commercial Items for more information. Award evaluation and basis for award will be performed in accordance with FAR 52.212-2, Evaluation-Commercial Items.

4. The Government shall not be held liable for any costs incurred for a contractor’s time or materials expended in preparing a proposal for this solicitation.

5. WAGE DETERMINATION: The services to be performed fall under the authority of the service contract act.

The following Wage Determination is applicable, and provided as Exhibit 3 to the solicitation.

Wage Determination No: 2015-5797, Revision No. 27, Revised 12/23/2024

6. SITE VISIT (reference FAR Clause 52.237-1): One (1) site visit will be held on Wednesday, March 19, 2025, at

1:00PM. Attendees are encouraged to arrive 15 minutes early to ensure timely processing. Visitors are required to present a valid, Government issued photo I.D. to gain access to the base (vehicle registration and insurance may also be required). Information provided at each site visit, as well as answers to any general questions, shall not affect the terms and conditions of the RFP and/or specifications. Terms remain unchanged unless the RFP is amended in writing.

RSVP to Contracting Officer (mark.buonomo2.civ@army.mil) NLT Tuesday, March 18, 2025 at 3:00PM EST.

Instructions for site visit will be provided in response.

7. QUESTIONS AND ANSWERS: Offerors are advised to submit any questions regarding this solicitation no later than 20 March 2025 at 3:00PM EST, to the Contracting Officer (mark.buonomo2.civ@army.mil). Answers to questions will be posted in the same manner in which the solicitation is posted, via an amendment to the solicitation, and will be on a non-attribution basis.

8. Any amendments issued to this solicitation will be synopsized in the same manner as this solicitation. Offerors are required to acknowledge all amendments by signing and including one copy of the amendment with their proposal, or by completing the provided area in the SF1449..

9. DISCUSSIONS: The Government intends to award without discussions. Offerors are encouraged to provide their complete and best proposal upon initial submission. The Government may hold discussions with as many offerors as deemed necessary by the Contracting Officer (all, some, one, or none).

52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(i) Price

(ii) Technical

(iii) Past Performance

Technical and past performance, when combined, are more important than price.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(End of provision)

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL PRODUCTS AND

In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(B) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(ii) Examples.

(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability.

Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. §6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(D) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. §362 (the Bankruptcy Code).
