About this file
This is a Professional Services Agreement sample contract document from the Valley Sanitary District (VSD) that outlines the terms and conditions for consultant engagement. The document establishes the framework for independent contractors to provide professional services to VSD, with the consultant responsible for retaining independent associates and subconsultants as necessary to complete the work. The agreement does not specify a particular project scope, deliverables, or contract term in the excerpted sections, as these would be detailed in the project-specific statement of work incorporated by reference.
The agreement establishes comprehensive insurance requirements as a condition precedent to commencing work, including Commercial General Liability Insurance with specific coverage provisions such as bodily injury, property damage, personal injury, premises operations liability, and products/completed operations liability. The consultant must maintain District and its officers, employees, and agents as additional insureds using standard ISO endorsement forms, and deductibles may be permitted subject to District written approval, provided such deductibles do not apply to the District as an additional insured. The agreement confirms the consultant's status as an independent contractor rather than an employee, with the District retaining the right to direct and amend the work as necessary throughout the contract performance period.
