This is a multiple Indefinite Delivery Indefinite Quantity (IDIQ) contract (known herein as Indefinite Quantity Contract (IQC)) with fixed-daily rates, to provide non-personal services to complete the requirements identified in Section D. Task Orders shall be placed under this IDIQ contract using the following contract type: Firm-Fixed-Price (FFP) with Cost Reimbursable Line Items for Other Direct Cost which includes travel. No profit or fee shall be added to travel.

IDIQ MINIMUM: The contract minimum dollar amount is established at $5,000.00 per awardee.

IDIQ MAXIMUM: The contract maximum dollar amount is established at $75,000,000.00. This contract maximum is for all orders under the multiple award IDIQ including all option periods. The maximum aggregate dollar value of all task orders issued under this contract cannot exceed the contract ceiling.

Each Contractor is required to provide, if requested by USTDA, up to a maximum of $3,000,000.00 of services during each year of the IQC period. The maximum amount per Task Order is not to exceed $2,000,000.00. Estimates for reimbursable items should be made carefully with this limitation in mind.

B.2 APPLICATION OF MINIMUM GUARANTEE TO TASK ORDER AWARDS

The amount of funding available to Contractors at award of the IQC (the minimum guarantee) is not considered sufficient for the performance of required Task Orders to be issued under the contract. The pricing request for the Task Order will specify which other direct costs, such as marketing and advertising expenses, will be included within the fixed price portion, and which other direct costs, such as international air fare, shall be estimated by the Contractor when preparing its offer and will be reimbursed based upon actual costs. Contractor’s estimate of the other direct costs, such as meals associated with the Reverse Trade Mission, Conference, Workshop, Training, or Other Related Events, airfares for foreign delegates, and interpretation, if required, shall be included in the reimbursable portion of the Task Order Rate Chart. D.1 USTDA Reverse Trade Missions, Conferences, Workshops, Training, and Other

Related Events Statement of Work (SOW)

USTDA REVERSE TRADE MISSIONS, CONFERENCES, WORKSHOPS, TRAINING,

AND OTHER RELATED EVENTS

STATEMENT OF WORK

D.1.1 BACKGROUND

The U.S. Trade and Development Agency (“USTDA”) is a U.S. Government agency that provides grant assistance to developing and middle-income countries to help identify and prepare projects for implementation that will establish the infrastructure necessary for these emerging economies to expand and grow. The Agency serves as a bridge for developing and middle-income countries to access U.S. technology and expertise. At the same time, the Agency’s activities develop trade partnerships by enhancing the ability of U.S. firms to conduct business overseas. The focus of the Agency is unique in that it creates public-private partnerships in response to foreign project sponsor needs and priorities.

The projects supported by USTDA are designed to help countries establish a favorable trading environment and modern infrastructure that promotes sustainable economic development. To this end, the Agency funds a variety of program activities that include technical assistance, training, feasibility and other specialized studies, procurement assistance, reverse trade missions, conferences, workshops, and other related events.

D.1.2 SUMMARY OF REQUIREMENTS

USTDA is seeking Contractors who have the ability to organize reverse trade missions, conferences, workshops, trainings, or other related events, in any location in the United States or overseas. These activities require Contractors who are capable of: (a) organizing events within a short timeframe, (b) supporting High Level Delegation visits to some of the events, and (c) managing them in a thoroughly professional and smooth operational manner. The ability to market the events and to solicit participation by appropriate USTDA-eligible U.S. and foreign firms is also very important. Any of these activities can require appropriate supporting documentation, project resource guides, handouts, or audiovisual materials. See Part I, Section C.6 of the “USTDA IQC Events Manual” for additional information.

USTDA reserves the right to contract any activities covered by this contract outside of this IDIQ contract.

D.1.3 USTDA IQC EVENTS MANUAL

The “USTDA IQC Events Manual,” (see Section D.2.2) contain minimum requirements that pertain to specific IQC event. Part II, Sections A, D, E, F, G, and H and Part III, Sections A and

B are mandatory requirements for the Contractor for all conferences, workshops, or events as specified.

D.1.4 GENERAL DESCRIPTION OF TASK ORDER ACTIVITIES

The Contractor shall plan, coordinate, organize, and manage the events listed below. For more information on the requirements for the Contractor to carry out these events, please see the IQC Events Manual, which is attached.

(a) Reverse Trade Missions. One of the USTDA activities is the Reverse Trade Mission (“RTM”) program, through which USTDA bring foreign project sponsors, officials and others to the United States to observe the design, manufacture, demonstration, and operation of U.S.

products and services that can potentially help them achieve their developmental goals. The ultimate goal of the RTM is to deliver development assistance and enable the eventual procurement of goods and services from the United States.

For more information on RTMs please see the IQC Events Manual, which is attached.

(b) Conferences and Workshops. Among USTDA's program activities are sector and/or project-specific Conferences and Workshops. USTDA Conferences and workshops connect U.S.

firms with foreign project sponsors. These sector or region-specific events are designed to showcase U.S. goods, services, and technology to foreign buyers. U.S. firms also have the opportunity to meet one-on-one with foreign project sponsors. These events provide U.S.

companies with an understanding of U.S. government programs and the role they can play in supporting increased exports, from advocacy support to export financing options.

For more information on Conferences and Workshops, please see the IQC Events Manual, which is attached.

(c) Training. In support of U.S. businesses, USTDA provides training for foreign decision makers to support the sale of U.S. equipment and services overseas. Training can take place in either the United States or host country and it typically focuses on technology or regulatory requirements in order to give project sponsors a better understanding of U.S. capabilities and expertise related to a procurement opportunity.

For more information on Training, please see the IQC Events Manual, which is attached.

(d) Other Events. USTDA undertakes other events necessary to connect U.S. firms with overseas export opportunities, including potentially roundtable meetings for U.S. industry and foreign project sponsors, conducting advance work for high level visitors from USTDA countries, and providing support to high level events being organized by other U.S. Government entities. The Contractor is responsible for obtaining the facilities, making travel arrangements and hotel accommodations for USTDA personnel, preparing the schedule, assembling appropriate supporting documentation and presentation materials, and marketing the event, as set forth in the Task Order.

(e) Supporting Technical Assistance and Documentation. This may include research for project definition, identification of project sponsors and speakers, preparation of project resource guides, training materials, conference books and other material (such as overheads, electronic presentations and other audiovisual tools) for use during reverse trade missions, conferences, workshops, training, and outreach activities.

D.1.5 MINIMUM SKILL SET

The following is a list of the skill set, which represents the Government's minimum requirements for this contract. The Contractor must provide qualified personnel who can provide this skill set.

It is possible that one individual will have skills in more than one specialty. The Task Order will specify if any additional skills will be required, and the Contractor will be asked to specify which individual will provide each skill.

The skill categories are:

• Demonstrated knowledge of international trade, including industry/sector expertise and trade capacity building, with the capability to identify the foreign delegates, U.S.

businesses, site visits, and business briefings which will most effectively accomplish USTDA's intent with respect to a particular RTM, Conference, Workshop, Training, or such similar events;

• Expertise in organizing major RTMs, Conferences, Workshops, Trainings, or such similar events both within the United States and abroad;

• Expertise in identifying and securing appropriate speakers at events related to U.S.

company commercial opportunities in developing and middle income countries;

• International and domestic travel planning and implementation;

D.1.6 NON-PERSONAL SERVICES

This contract is a non-personal services contract. No personal services will be performed under this contract. The Contractor shall not perform any inherently governmental actions under this contract. The services rendered by the Contractor are rendered in the capacity of an independent Contractor. The Government retains no direct control over the services provided by the Contractor. No Contractor employee shall hold himself/herself out to be a Government employee, agent, or representative. All Contractor personnel attending meetings and working in other situations where their Contractor status is not obvious to third parties are required to identify themselves as such to avoid creating an impression in the minds of members of the public that they are Government officials, unless, in the judgment of USTDA, no harm can come from failing to identify themselves. Contractors must also ensure that all documents or reports produced are suitably marked as Contractor products or that Contractor participation is appropriately disclosed.

D.1.7 PERFORMANCE STANDARDS

The Contractor shall meet the requirements of this contract in a highly professional manner, and performance must conform to the highest professional standards of integrity and quality. Work shall be well documented and recommendations reasonable, constructive, practical, and based on an accurate reading of governing requirements and statutes. Work shall be conducted in a timely manner and be responsive to USTDA needs. The Contractor shall maintain a professional manner at all times in contact with USTDA staff and outside organizations, businesses, and government representatives. In the performance of work hereunder, the Contractor shall comply with the requirements of applicable laws, rules and regulations in effect or issued during the period of this contract. The Contractor shall immediately notify the COR of problems or situations that could negatively impact compliance with the provisions of the task order.

D.1.8 FAIR LABOR STANDARDS ACT

The personnel provided for performance of this effort are exempt employees in accordance Section 13(a)(1) of the Fair Labor Standards Act as defined by Regulations, 29 CFR Part 541.

Contractor must ensure that exempt employees meet all the requirements of the Department of Labor regulations.

D.1.9 PARTIAL SMALL BUSINESS SET-ASIDE

Task Orders are to be issued only by a Contracting Officer assigned to this office.

(b) USTDA will request offers for the particular IDIQ Activity by issuing competitive Task Orders to Contractors. All IDIQ Contractors shall receive notification of opportunities from USTDA and may compete for any activity, unless it is a small business set aside. USTDA will award task orders resulting from the competitive requests for quotes (RFQs) to the IDIQ Contractor whose proposal conforms to the RFQ requirements (to include all stated terms, conditions, representations, certifications, and all other information required by this solicitation) and is determined, based on the evaluation factors listed in RFQ, to represent the best value to the Government. USTDA will notify Contractors by email of the opportunity to compete for IDIQ activities.

(c) For all activities, the RFQ will include specific tasks and deliverables required under the Task Order, the place of performance (country/ies), timeframe for deploying and completing the Task Order, and other critical information needed to complete the Task Order.

(2) A Conflict of Interest Representation stating that there is nothing in the experience or outlook of the Contractor that could constitute a conflict of interest or could be perceived by a reasonable person as potentially giving rise to a conflict of interest, and that any circumstances which arise at any time during the life of this contract or Task Orders under it relating to conflicts or potential conflicts of interest shall immediately be brought to the attention of the Contracting Officer.

(3) A proposed price for the Task Order. Contractors shall submit a task order proposal/quote (see Section D.2.1, Task Order Price Chart) for a firm fixed price for direct labor, based upon the daily rate for the personnel to be used under that particular Task Order (see Section B.6 above), multiplied by the number of days each individual needs to perform the particular services, on a task-by-task basis per the Statement of Work. The Contractor shall also propose other direct costs and cost reimbursable items to be included, such as international airfare, per diem, ground transportation, and other expenses.

Note: For all USTDA events, corporate sponsorship may be sought to cover the expense of alcoholic beverages served at receptions, as U.S. government funds may not be applied to this expense. Contractor charges for credit card provider fees (allowing for registration using attendee credit cards) shall be borne by the Contractor unless specified otherwise in the budget of the Task Order (e.g. put as line item in the Reimbursable portion/section.)
