About this file

This is a Trade Secret/Confidential Proprietary Information Notice Form issued by the Commonwealth of Pennsylvania for use by vendors submitting materials in response to state procurement opportunities. The form serves as a declaration mechanism for third parties to identify information they believe should be exempt from public disclosure under Pennsylvania's Right-to-Know Law. Submitting parties must complete the form at the time materials are submitted and clearly mark any portions of their submission that contain trade secrets, confidential proprietary information, or data that could jeopardize safety or security if disclosed. The form requires detailed explanations for each exemption claim, including page numbers and descriptions of the protected material.

The form establishes that submitters bear the responsibility for ensuring all statements are legally defensible and accurate, and the Commonwealth provides no legal advice regarding exemption determinations. Notably, the form explicitly states that certain categories of information will not be considered trade secrets or confidential without substantial justification, including vendor cost responses, publicly available technical information, and details regarding product names, quantities, and prices purchased by the Commonwealth. Submitters acknowledge that unmarked materials or those submitted without proper documentation may be subject to public disclosure, and they agree to defend the Commonwealth against any legal challenges to exemption claims and to indemnify the Commonwealth for associated costs. The acknowledgment section requires a signature and confirms that the Commonwealth retains the right to reject exemption claims if the burden of proof is not met, and that only protected portions will remain nonpublic if partial exemptions are approved.
