About this file
This document is the Maryland Transit Administration's Official Document Signature Guidelines table, establishing authorization requirements for entities executing official documents and contracts. The guidelines specify which officers or representatives of various legal entity types are authorized to sign on behalf of the organization, along with the supporting documentation required when signatories fall outside the standard authorized roles.
For corporations, professional service corporations, and similar entities designated by abbreviations such as Co., Corp., Inc., Ltd., P.A., and P.C., the President, Vice President, or Chief Executive Officer may sign without providing proof of authority. If another individual signs on behalf of the corporation, the entity must submit Corporate By-Laws, Articles of Incorporation, or a Corporate Resolution demonstrating signing authority. Partnerships require no proof when any partner signs in their capacity as a partnership agent, but other signatories must provide a Statement of Partnership Authority. Limited Partnerships need only a General Partner's signature without proof, or a Certificate of Limited Partnership for other signatories. Limited Liability Companies, Religious Corporations and Churches, and Limited Liability Partnerships or Limited Liability Limited Partnerships (L.L.P. or L.L.L.P.) always require proof of authority, specifically an Operating Agreement for LLCs, Articles of Incorporation or By-Laws for religious entities, and a Certificate of Limited Liability Partnership with Partnership Agreement or Statement of Partnership Authority for LLPs and LLLPs.
