Section L - Instructions, Conditions, and Notices to Offerors

SECTION L

McConnell Air Force Base (AFB) Optimized Remediation Contract (ORC) Instructions, Conditions, and Notices to Offerors or Respondents

INFORMATION TO OFFERORS (ITO) AND

INSTRUCTIONS FOR PROPOSAL PREPARATION

PROGRAM STRUCTURE AND OBJECTIVES

This requirement is for environmental remediation activities in accordance with the Performance Work Statement (PWS) under this Optimized Remediation Contract (ORC) using a competitive Firm-Fixed Price pricing arrangement under FAR Part 15. This effort is being solicited under North American Industry Classification System (NAICS) code 562910, Environmental Remediation Services.

GENERAL INSTRUCTIONS

a) The Offeror's proposal (prime contractor’s or JV, not sub-contractor proposals) must include all data and information requested by this ITO and must be submitted in accordance with these instructions. The offer shall be compliant with the requirements as stated in the PWS and its Attachments and Enclosures. Non-conformance with the instructions provided in this ITO may result in an unfavorable proposal evaluation.

b) The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements but rather shall provide detailed rationale for the Offeror’s approach and address how the Offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities and experience and will base its evaluation exclusively on the information presented in the Offeror's proposal and CPARS reports.

c) Elaborate brochures or documentation, binding, detailed artwork, or other embellishments are unnecessary and are not desired.

d) The proposal acceptance period is specified in Section L of the solicitation. The Offeror shall make a clear statement in Section A of the contract documentation volume that the proposal is valid for 365 days.

e) In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals. Unless the Offeror requests otherwise, the Government will destroy extra copies of unsuccessful proposals.

General Information

Phased Evaluation Approach Proposals will be evaluated in ascending order from lowest priced to highest priced. Evaluation of proposals will continue until at least one (1) proposal is evaluated with both a Substantial Confidence rating for Past Performance, and a fair and reasonable Total Evaluated Price (TEP).

Once at least one (1) proposal that meets the above criteria has been evaluated, evaluation of proposals will continue until at least two (2) additional proposals with both a Neutral Confidence rating or higher for Past Performance and a fair and reasonable TEP have been evaluated.

Once three (3) proposals total with both a Neutral Confidence rating for Past Performance or higher and a fair and reasonable TEP to include at least one (1) proposal with both a Substantial Confidence Rating for Past Performance and a fair and reasonable TEP have been evaluated, no more proposals will be evaluated.

If no proposals are evaluated with a Substantial Confidence rating for Past Performance, or there are less than three (or no) proposals evaluated with a Neutral Confidence rating or higher for Past Performance, the evaluation process will be continued until a proposal representing the best value to the Government is determined.

Proposals rejected due to unbalanced pricing, incompleteness or any other disqualifying deficiency will not be counted toward the total of three proposals with a Neutral Confidence rating or higher for Past Performance required to end the evaluation process.

Point of Contact The Contracting Officer (CO) is the sole point of contact for this acquisition. Offerors should address questions, concerns, or requests for clarification in writing via email only. Questions received via telephone, fax, or letter will not be answered. All questions, concerns, or requests for clarification must be received by the point of contact (POC) listed below.

Contracting Officer:

Stephen Dimitriou Phone (831) 915 1441

Email: stephen.dimitriou@us.af.mil

Debriefings The CO will promptly notify Offerors of any decision to exclude them from the competitive range; whereupon, they may request and receive a debriefing in accordance with FAR 15.505.

Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing.

However, Offerors excluded from the competitive range are entitled to no more than one debriefing for each proposal. The CO will notify unsuccessful Offerors in the competitive range of the source selection decision in accordance with FAR 15.506. Upon such notification, unsuccessful Offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.

Debriefings may be conducted orally, in writing, or by any other method acceptable to the contracting officer.

Discrepancies If an Offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the Offeror shall immediately notify the CO in writing with supporting rationale as well as the remedies the Offeror is asking the CO to consider as related to the omission or error.

The Offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussion. This reservation includes matters of additional or substitute pages of the initial proposal.

Electronic Reference Documents Government Furnished Information (GFI) documents are available on the U.S. Air Force Civil Engineer Center (AFCEC) Administrative Record website at https://ar.afcec-cloud.af.mil/.

Additional GFI documents may be made available to all Offerors on compact disc (CD) or other storage media. All other referenced documents for this solicitation are available on the SAM.gov (formerly FedBizOpps) website at http://sam.gov. Potential Offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the website for this solicitation.

Organizational Conflict of Interest (OCI) Analysis and Mitigation Plan

a) If the Offeror (including Teaming Partners, subcontractors, subsidiaries, and legacy companies) performed any related work in the past/present at sites identified in as part of this requirement, the Offeror shall submit identifying information – scope, applicable sites, specific document titles and descriptions, and contract or task order number in Volume 1, Contract Documentation. The Offeror shall identify any potential OCI issues or appearance of any potential OCI the Offeror, (including all Teaming Partners, subcontractors, subsidiaries, and legacy companies) may have with respect to the scope of effort as outlined in the PWS. For example, Offerors should report on any Advisory & Assistant Services (A&AS) support for related projects such as work that supports the ORC program. OCIs may exist at least in the following three ways:

i. Unequal access to information- access to non-public information that gives a contractor an unfair competitive advantage.

ii. Biased ground rules- when a contractor has in some sense set the ground rules for another procurement action creating the potential that the contractor may have tilted the playing field in the new competition (usually toward its own strengths and away from its weaknesses).

iii. Impaired objectivity - when the contract requires exercise of judgment and the independence of its judgment may be affected (e.g., when the contractor may be required to evaluate its own work in a way that could be adverse to its economic interests).

b) If the Offeror (including Teaming Partners, subcontractors, subsidiaries, and legacy companies) performed past/present related work at the sites for this ORC, a mitigation plan shall be submitted in Volume I, Contract Documentation Volume to show how the Offeror will either satisfactorily mitigate or eliminate any potential OCI issues or appearance of any potential OCI. If the Offeror, including Teaming Partners, subcontractors, subsidiaries, and legacy companies, has not performed any work on the sites included as part of this requirement, then the Offeror must so state.

c) Any submitted OCI analysis and plan will not be evaluated unless the Offeror is considered the Apparent Successful Offeror under the evaluation Factors listed in this RFP. If the OCI analysis and plan needs to be evaluated, the Government will determine if an OCI exists and whether adequate mitigation is proposed. If adequate mitigation is not proposed, the Government may engage in exchanges with the Apparent Successful Offeror to determine if the problems with the mitigation plan may be resolved. If an OCI exists that cannot be adequately mitigated, the Government may seek waiver of the OCI issue or may award to another Offeror who does not have an OCI, or who has an OCI and has submitted a mitigation plan that is adequate or may be made so after exchanges between the Government and the Offeror.

Teaming Arrangements and/or Letters of Intent: Letters of Withdrawal

a) If applicable, Offerors shall provide a Teaming/Subcontracting List. This information is subject to a page limit of five (5) pages (per appropriate volume) as noted in Table 2.2 Proposal Organization.

b) If applicable, Offerors shall provide written contract teaming arrangement agreements, subcontracting letters of intent and other necessary agreements associated with joint ventures and mentor-protégés. All associated parties must sign the corresponding agreements. This information will not be counted towards Offerors page limitations (unlimited) as noted in Table 2.2 Proposal Organization.

Exceptions to Solicitation Requirements

a) Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications in addition to those identified as evaluation factors.

Failure to meet a requirement may result in an offer being ineligible for award. Offerors shall clearly identify any exceptions to Terms and Conditions of the model contract.

Exceptions are strongly discouraged. Failure to comply with the terms and conditions of the solicitation may result in the Offeror being removed from consideration for award.

b) Each exception shall be specifically related to each paragraph and/or specific part of the solicitation to which the exception is taken.

c) Provide rationale in support of the exception and fully explain its impact, if any, on the performance, schedule, cost, and specific requirements of the solicitation.

d) This information shall be provided in the format and content of Table 3.8. Failure to comply with the terms and conditions of the solicitation may result in the Offeror being removed from consideration for award.

2.3.8.

General Instructions Each Offeror shall only submit one (1) past performance volume with its proposal, containing past performance information (PPI). PPI submitted shall include at a minimum the company name, cage code, contract or task order number, location of performance, dollar amount, period of performance, project information, and Offeror’s role (i.e., prime, subcontractor). The Government will not consider performance on a project that concluded more than five (5) years prior to the date of the solicitation. For projects that are actively being performed, the Offeror must have been working on that project for at least 365 days (as of the date of solicitation). The Government will use data provided by each Offeror in this volume and data obtained from other sources to evaluate past performance.

Past Performance Summary Each Offeror is requested to submit a maximum of five (5) recent (within the last 5 years) stand-alone C-type contracts or Indefinite Delivery/Indefinite Quantity (IDIQ) task orders. Of these five contracts/task orders, a minimum of two (2) must have been performed by the Prime Offeror. Joint Venture Partners constitute Prime Offerors for purposes of this section. For a description of characteristics or aspects the Government will use to determine recency and relevancy, see Section M of the solicitation. The below information shall be included in the Past Performance Summary IAW Section 4.3:

a) Describe the role of the Prime and each team member that will perform on the McConnell AFB ORC and identify the percentage of the proposed effort each will perform.

b) Discuss how the projects submitted for evaluation demonstrate the Offeror’s ability to meet the current solicitation requirements as defined in the PWS.

c) Discuss how the projects submitted demonstrate the Offeror’s experience in the following Relevancy Areas:

Relevancy Area 1.1: Program Management and Quality Assurance Relevancy Area 1.2: Regulatory Interaction and Stakeholder Coordination Relevancy Area 1.3: Analysis and Data Management

For detailed information on relevancy rating methods, refer to Section M, Evaluation Factors for Award part 3.0.

This information is to assist the evaluators in determining the relevance of projects submitted for past performance evaluation by confirming the role of the team member compared to the scope of the projects submitted for evaluation.

Specific Content Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort and to what aspects of the proposed effort they relate. This may include a discussion of efforts accomplished by the Offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. Merely having problems does not automatically equate to a limited or no confidence rating, since the problems encountered may have been on a more complex program, or an Offeror may have subsequently demonstrated the ability to overcome the problems encountered. The Offeror is required to clearly demonstrate management actions employed in overcoming problems and the effects of those actions in terms of improvements achieved or problems rectified.

The Present and Past Performance Information shall clearly indicate the division or corporate organization that performed or is presently performing the contract. Contracts listed may include those with the Federal Government, state and local governments or their agencies, and commercial customers.

Organizational Structure Change History Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of the Offeror (including Prime Contractor and all teaming partners).

A pamphlet or other commercial document describing such reorganizations may suffice. As part of this explanation, show how these changes impact the relevance of any efforts submitted for past performance evaluation/performance confidence assessment. Since the Government intends to consider past performance information provided by other sources as well as that provided by the Offeror(s), the "roadmap" should be both specifically applicable to the identified efforts and general enough to apply to efforts on which the Government receives information from other sources.

Past Performance Information Sheets The Offeror shall provide copies of the project summaries in the Past Performance Information (PPI) Sheets (Attachment L-1) as a part of the submission for this Factor. Projects must demonstrate relevant experience in that projects submitted are of a similar nature to the efforts addressed under this solicitation in terms of size, scope, and technical and regulatory complexity.

The Government will not consider performance on a project that concluded more than five (5) years prior to the date of the solicitation. For projects that are actively being performed, the Offeror must have been working on that project for at least 365 days (as of the date of solicitation). For projects where the Offeror was involved in a joint venture or was a subcontractor, the Offeror must have been directly involved with at least 40% of the work performed in order for the project to be considered. Information provided in the Past Performance Information (PPI) Sheets will assist the Government in determining both the relevance and confidence ratings for past performance.

Past Performance Questionnaires (PPQs)

a) Each Offeror is requested to submit the information shown in the project summaries for each relevant project identified and in accordance with (IAW) Section 4.6. The responsibility to track and ensure the completion/submission of the PPQ rests solely with the Offeror. Offerors shall ensure that the information is submitted directly to the CO. The PPQ form is included as Attachment L-2 to this solicitation.

b) Each Offeror shall complete Section 1 of the Past Performance Questionnaire (PPQ).

PPQ(s) shall be e-mailed to all points of contacts (POCs)/references that the Offeror has listed in their PPI. The POCs/references will complete the questionnaires and forward them by e-mail, directly to the POC listed in this paragraph. Completed questionnaires can be provided as soon as possible but no later than the due date for receipt of proposals.

c) Even though the assessment of Past Performance is separate and distinct from

Determination of Responsibility required by FAR 9, past performance information contained herein may be used to support the Determination of Responsibility for the successful awardees.

d) Information provided on PPQs assist the Government in determining both the relevance and confidence ratings for past performance.

Consent Letters The Offeror shall provide original consent letters from each team member and/or joint venture partner using the format (or similar) provided at Attachment L-3. This section is to inform the Offeror of the information submittal requirements to evaluate the Completeness, Reasonableness, and Balance of Offeror’s proposed prices. Compliance with these requirements is mandatory and failure to comply may result in rejection of Offeror’s proposal.

a) The responsibility to substantiate the credibility of proposed prices rests with the Offeror at the time of proposal or during subsequent discussions (if any are held).

b) Compliance with these instructions is mandatory.

c) Failure to comply may render the proposal ineligible for award.

d) Data beyond that required by this instruction shall not be submitted unless it is considered essential to document or support the price.

e) All information relating to the proposed price must be included in the section of the proposal designated as the price volume.

f) In accordance with FAR 15.305 (a)(1), adequate price competition is anticipated which will establish price reasonableness. However, if after receipt of proposals, the PCO determines that there is inadequate price competition, and none of the exceptions in FAR 15.403-1 apply, the Offeror shall be required to submit cost or pricing data.

g) Unreasonably high Total Evaluated Price (TEP) may be grounds for eliminating a proposal from the competition. Unbalanced pricing may also be grounds for eliminating a proposal from competition if the unbalanced pricing is determined to present an unacceptable risk to the Government.

h) The Offeror shall propose a price on a FFP basis in accordance with the proposed Contract Line Item (CLIN)/SubCLIN structure. The total price proposed shall be inclusive of all options including a FAR 52.217-8 Option to Extend Services, 6-month extension of services. EXCHANGES

The Government intends to award without discussions and make an award based on initial proposals; however, discussions or negotiations may be held and result in a Final Proposal Revision (FPR). If it is determined to be in the best interest of the Government to hold discussions, the Government will make a Competitive Range determination, ENs may be issued to Offerors in the competitive range, responses will be requested from applicable Offerors, and discussions will be opened. The competitive range may be further reduced for purposes of efficiency pursuant to FAR 15.306(c)(2). Formal responses to ENs (if applicable), discussion items, and final proposal revisions will be considered in making the award decision.

Any revision or non-concurrences to contract terms and conditions submitted in the FPR may not be subject to further discussion or negotiation and may render the offer unacceptable to the Government. This provision is not intended to restrict the Team’s opportunity to revise figures (e.g., prices, rates, etc.); rather, it is intended to preclude any misunderstandings by the Government, which could result if new or revised terms and conditions are submitted in the FPR that have not been fully disclosed, discussed, and understood during discussions or negotiations.

Hence, such new or revised terms and conditions are not solicited and, if submitted in the FPR, may render the offer unacceptable to the Government.

Teams are cautioned to submit sufficient information in the format specified in Section L.

Teams may be asked to clarify certain aspects of their proposal. Communication conducted to resolve minor or clerical errors will not constitute discussions and the Contracting Officer reserves the right to award a contract without the opportunity for proposal revision.
