Solicitation/Contract Form Blanket Purchase Agreement (BPA) for Shuttle Transportation Services
This is a Multiple Award Blanket Purchase Agreement (BPA) to provide Shuttle Transportation Services.
Any reference to FAR is hereby a reference to RFO.
Product Service Code: V222
FA524026Q0031
Supplies or Services & Prices or Costs Additional Information/Notes
1. Description and Purpose: The purpose of this Blanket Purchase Agreement (BPA) is to assist the 36th Wing and other mission partners. The contractor will furnish non-personal service(s) for Shuttle Transportation Services for 36 Wing, Andersen Air Force Base, Yigo, Guam, to support personnel traveling to various locations on Guam.
This includes services on short notification to support deployments, exercises, contingency operations, and regular shuttle transportation. The scope of work is detailed in the Performance Work Statement (PWS) (Attachment 1). NAICS: 485999 (All Other Transit and Ground Passenger Transportation). The BPAs are established in accordance with Revolutionary FAR Overhaul (RFO) Part 12.201(3) as a method of filling anticipated repetitive needs for services by establishing "charge accounts" with qualified sources. A BPA is not a contract; it is a written instrument of understanding containing clauses applying to future Calls. The 36th Contracting Squadron (CONS) is responsible for administering the agreements and maintaining detailed logs of all information for each call placed. BPA Holders must agree to register in the System for Award Management (www.sam.gov) and maintain this registry throughout the tenure of this agreement.
2. Ordering Period and Administration: The period of performance shall occur during an ordering period of five (5) years, beginning on the date the agreements are established, with a total duration of no more than five (5) years and six (6) months. The ordering period concludes at the end of five years or when the cumulative value of all issued calls reaches the BPA ceiling, whichever comes first. The pre-priced periods are effective from 1 Sep 2026 through 31 Aug 2031. The BPA will be reviewed annually and may be cancelled or revised to conform to changes in regulations, policies, or mandatory statutory requirements. Any changes to the Agreement take effect only upon mutual agreement of the parties and will be completed using the SF 30, Amendment of Solicitation/Modification of contract.
3. Extent of Obligation: This BPA is not a contract and does not obligate funds. The Government is obligated only to the extent of authorized purchases (Calls) actually made under the BPA. Specifics not in the BPA must appear in the Call (e.g., authorized caller, type of vehicles, delivery specifications), which is the contract designating the specifics of the procurement and binding the Government. The Government does not guarantee any future Calls will be made nor is it required to use this agreement for the purchase of services identified herein. All Calls shall reference this BPA number and are subject to the terms, conditions, provisions, and clauses of this agreement.
4. Pricing: All CLINs utilized on each Call will be Firm-Fixed Price (FFP). Pricing during the ordering period shall be governed by the pre-priced annual rates detailed in Attachment 2 - Price List for Years 1 through 5. Prices to the government shall be as low or lower than those charged to the Offerors' most favored customers for comparable services under similar terms and conditions. Pricing will be established at the Call level, and reasonableness will be determined on a per-call basis.
5. Purchase Limitations & Contract Ceiling: The BPA will have an Overall Value Limit (Contract Ceiling) of $7,000,000.00. The Maximum Call Amount is $1,400,000.00, and the Minimum Call Amount is $2,500.00.
6. Individuals Authorized to Place Orders: All warranted Procuring Contracting Officers within the 36th Contracting Squadron (CONS) and the 356 Expeditionary Theater Support Group (ETSG) are authorized ordering officers. Access to the BPA will be provided to all authorized callers. Any purchase or request made by Government personnel acting without authority will constitute an unauthorized commitment, and the Contractor will risk non-payment from the Government.
7. Ordering Instructions: Services will be required on a Call basis, placed orally or in writing, with the Period of Performance dictated at the individual Call level.
Orders Under $350,000: The Government will allocate individual calls on an alphabetical rotation basis among the BPA holders. While alphabetical rotation is the baseline standard, order placement remains dependent on immediate fleet availability. If the sequential contractor does not possess the specific vehicle type required (e.g., specialized cargo vans or large buses) in their active inventory for the required period, the ordering officer may bypass that contractor in favor of the next sequential contractor who has the asset available. Contractors will have 24 hours to respond to a RFQ, if deadline is not met, a bypass due to non-availability will be issued. Bypassed contractors will retain their position at the top of the rotation list for the next standard vehicle requirement.
Orders Over $350,000: Each requirement for unpriced services will be competed among the Contractors with whom a BPA has been established. Contractors will receive specific requirements (address of delivery/pick-up, routes, period of performance, quantity/type of vehicles) and may submit competitive proposals, which can include discounts below the established BPA ceiling rates. The Government will evaluate offerors using the Total Evaluated Price (TEP) source selection process, and the lowest offer meeting technical specifications will be awarded the Call. Multiple BPA holders may be selected to fill requirements at the Government's discretion.
8. On-Ramp Procedures: The Government intends to award no more than five (5) BPAs from the initial solicitation. However, the Government reserves the right to onboard additional vendors to the BPA at any time during the ordering period if it is determined to be in the Government's best interest. Any additional vendor selected for onboarding must propose pricing that the Government determines to be fair and reasonable.
9. Off-Ramp Procedures: The Government reserves the unilateral right to offboard (remove) any vendor from this BPA. Criteria for offboarding include situations where the vendor's proposed pricing for Calls can no longer be determined fair and reasonable, or if the vendor exhibits a pattern of very poor performance, failure to meet technical requirements, or failure to perform under issued Calls.
10. Solicitation Questions & Assistance: All questions and assumptions regarding the solicitation must be submitted via e-mail no later than 01 September 2026 by 10:00
AM (ChST / Port Moresby Time). Any assumptions impacting proposed pricing must be identified during the scheduled Q&A session. Email submissions to:
gary.scullin.1@us.af.mil, thomas.houle.4@us.af.mil, and elena.gifford.1@us.af.mil.
11. Submittal/Approval of Price List Changes: While pricing during the ordering period is primarily governed by the pre-priced annual rates in Attachment 2, any contemplated changes or updates to the established price list must be furnished to the Contracting Officer a minimum of fifteen (15) days in advance for approval. After reviewing and determining that the revised prices are fair and reasonable, the Contracting Officer will date, sign, and mark the new list as "Approved." This approved list will supersede all prior lists effective on that date, and the Contracting Officer will distribute it to all authorized ordering officers within the 36th CONS and 356 ETSG. If the proposed price changes cannot be determined fair and reasonable, the Contracting Officer reserves the right to reject the changes, which may be grounds for offboarding the vendor from the BPA.
12. Invoices: Invoices shall be submitted at least monthly or upon expiration of this BPA, whichever occurs first, for all deliveries made during a billing period and for which payment has not been received. The Contractor will submit invoices via Wide Area Work Flow (WAWF), and payments shall be made through DFAS and WAWF. At a later date and time, the use of payment via a Government Purchase Card (GPC) may be added to the BPA as a form of payment.
13. Cancellation: A BPA may be cancelled unilaterally in its entirety at no cost to either party. The party desiring to cancel the Agreement shall serve the other party a written notice of such intent at least thirty (30) calendar days prior to the effective date of the cancellation. The cancellation shall have no effect on any calls not completed by the effective date of the cancellation. The Contractor shall complete such calls under the terms and conditions of this Agreement, its Attachments, and the terms and conditions of that pending call.

(2) Is considered small for the size standard under the North American Industry Classification System (NAICS) code the prime contractor assigned to the subcontract.
(c) Applicability. This clause applies only to-
(1) Contracts that have been set aside for any of the small business concerns identified in 19.000(a)(3);

Tax on Certain Foreign Procurements-Notice and Representation (Feb 2026) (Deviation 2026-O0038)
(a) Definitions. As used in this provision-
Foreign person means any person other than a United States person.
Specified Federal procurement payment means any payment made pursuant to a contract with a foreign contracting party that is for goods, manufactured or produced, or services provided in a foreign country that is not a party to an international procurement agreement with the United States. For purposes of the prior sentence, a foreign country does not include an outlying area of the United States.
United States person as defined in 26 U.S.C. 7701(a)(30) means
(1) A citizen or resident of the United States;
(2) A domestic partnership;
(3) A domestic corporation;
(4) Any estate (other than a foreign estate, within the meaning of 26 U.S.C. 701(a)(31)); and
(5) Any trust if-
(i) A court within the United States is able to exercise primary supervision over the administration of the trust; and
(ii) One or more United States persons have the authority to control all substantial decisions of the trust.
(b) Unless exempted, there is a 2 percent tax of the amount of a specified Federal procurement payment on any foreign person receiving such payment. See 26 U.S.C.
5000C and its implementing regulations at 26 CFR 1.5000C-1 through 1.5000C-7.
(c) Exemptions from withholding under this provision are described at 26 CFR 1.5000C-1(d)(5) through (7). The Offeror may claim an exemption from the withholding by using the Department of the Treasury Internal Revenue Service (IRS) Form W-14, Certificate of Foreign Contracting Party Receiving Federal Procurement Payments, available at www.irs.gov/w14. Any exemption claimed and self-certified on the IRS Form W-14 is subject to audit by the IRS. Any disputes regarding the imposition and collection of the 26 U.S.C. 5000C tax are adjudicated by the IRS as the 26 U.S.C. 5000C tax is a tax matter, not a contract issue. The IRS Form W-14 is provided to the acquiring agency rather than to the IRS.
(d) For purposes of withholding under 26 U.S.C. 5000C, the Offeror represents that
(1) It [ ] is [ ] is not a foreign person; and
(2) If the Offeror indicates "is" in paragraph (d)(1) of this provision, then the Offeror represents that-I am claiming on the IRS Form W-14 [ ] a full exemption, or [ ] partial or no exemption [Offeror must select one] from the excise tax.
(e) If the Offeror represents it is a foreign person in paragraph (d)(1) of this provision, then-
(1) The clause at FAR 52.229-12, Tax on Certain Foreign Procurements, will be included in any resulting contract; and
(2) The Offeror shall submit with its offer the IRS Form W-14. If the IRS Form W-14 is not submitted with the offer, exemptions will not be applied to any resulting contract and the Government will withhold a full 2 percent of each payment.
(f) If the Offeror selects "is" in paragraph (d)(1) and "partial or no exemption" in paragraph (d)(2) of this provision, the Offeror will be subject to withholding in accordance with the clause at FAR 52.229-12, Tax on Certain Foreign Procurements, in any resulting contract.
(g) A taxpayer may, for a fee, seek advice from the IRS as to the proper tax treatment of a transaction. This is called a private letter ruling. Also, the IRS may publish a revenue ruling, which is an official interpretation by the IRS of the Internal Revenue Code, related statutes, tax treaties, and regulations. A revenue ruling is the conclusion of the IRS on how the law is applied to a specific set of facts. For questions relating to the interpretation of the IRS regulations go to https://www.irs.gov/help/tax-law-questions.

To be recent, the contract citation must have been completed or ongoing within the past three (3) years from the date of issuance of this solicitation for a minimum of a one (1) year period. Past Performance for contracts exceeding the timeframe for this definition of recency will be excluded from evaluation.
Relevant contract citations include performance of Shuttle Transportation and Services for Government or commercial customers that are equal to or greater in scope, magnitude and complexity of the requirement described in the attached PWS.
