About this file
This document is a Statement of Work (SOW) between the Commonwealth of Massachusetts Executive Office of Health and Human Services (EOHHS) on behalf of the Department of Veterans' Services' Chelsea Soldiers' Home and the Holyoke Soldiers' Home (collectively, the "Soldiers' Homes") and a vendor to provide implementation, maintenance, support, and license services for an Electronic Medical Record (EMR) system for the Soldiers' Homes.
The SOW outlines the services the vendor shall provide, including implementation with defined milestones and deliverables, hosting, and maintenance and support. The initial term of the agreement is 5 years, with an option to extend for an additional 10 years. The SOW also addresses project management, personnel requirements, security and data management, intellectual property, payment terms, and other standard contract clauses. Pricing is structured as a combination of fixed-price deliverables and time-and-materials services, with a total not-to-exceed amount specified. The EMR system will replace the existing electronic records and largely paper-based medical records systems at the Soldiers' Homes.

5.1.3.5 Vendor shall implement additional internal controls as specified by EOHHS/Soldiers’ Homes.
Compliance with NIST SP800-53 Standards
a) As of the Effective Date and during the Term, the Vendor shall implement administrative, physical and technical safeguards to protect information it receives under this Agreement that are no less rigorous than accepted industry practices including the current National Institute of Standards and Technology (NIST) Special Publications (SP) standard: 800-53 – Security and Privacy Controls for Federal Information Systems and Organizations, moderate security control baseline (“Standards”).
i) In the event Vendor is unable to fully comply with the Standards on the Effective Date, Vendor must submit to the EOHHS IT Project Manager, or their designee, a gap analysis detailing with which parts of the Standards Vendor is unable to comply and a Plan of Actions and Milestones (“POAM”), providing an overview of the reasonable effort and time required to comply with the Standards. EOHHS/Soldiers’ Homes may review the gap analysis and proposed POAM with Vendor and the parties will agree to a timeline for implementation of the Standards and/or correction of any deficiencies that are in EOHHS/Soldiers’ Homes’ opinion material that is mutually acceptable to the parties (“Implementation Timeline”). EOHHS/Soldiers’ Homes may meet with Vendor from time to time and/or as deadlines to correct deficiencies approach and/or come due and review the POAM, Implementation Timeline, and any other documentation requested by EOHHS/Soldiers’ Homes with Vendor to determine Vendor’s compliance with such documents and assess what further actions need to be taken. In the event EOHHS/Soldiers’ Homes is assessed any fine, penalty, or monetary damages as a result of a finding or judgment based in whole or in part on Vendor’s non-compliance with the Standards, inability to meet any part of the Implementation Timeline, inability to abide by the POAM, or any misstatements or omissions in the POAM, (“Liabilities”) Vendor will indemnify EOHHS/Soldiers’ Homes for any such Liabilities and EOHHS/Soldiers’ Homes will be entitled to reimbursement from the Vendor for any such Liabilities. c) Vendor understands that it is solely responsible for meeting the security standards in this Section a. EOHHS/Soldiers’ Homes’ review of any gap analysis and/or POAM, or any such discussions related to the gap analysis and/or POAM, shall not constitute approval by EOHHS/Soldiers’ Homes of their contents and will not otherwise operate to indemnify, remove liability, or otherwise absolve Vendor of any responsibility for non-compliance with the Standards.
d) In the event Vendor is unable to fully comply with the Standards by the Effective Date, Vendor shall prioritize remediation of Standards controls based on agreed-upon risk ratings.
e) If Vendor does host any Commonwealth Data or other data on behalf of EOHHS/Soldiers’ Homes, in addition to the foregoing security requirements, as of the Effective Date, Vendor must either be capable of providing or have subcontracted with a hosting company to provide a server environment that meets the Uptime Institute’s standards for Tier 3 data center certification.
