(a) Definitions. As used in this clause-
Long-term contract means a contract of more than five years in duration, including options.
However, the term does not include contracts that exceed five years in duration because the period of performance has been extended for a cumulative period not to exceed six months under the clause at 52.217-8, Option to Extend Services, or other appropriate authority.
Small business concern-
(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph (c) of this clause.
(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.
(b) If the Contractor represented that it was a small business concern, a small disadvantaged business concern, or a joint venture that was any of the small business concerns identified in 19.000(a)(3) prior to award of this contract, the Contractor shall rerepresent its size and socioeconomic status according to paragraph (e) of this clause or, if applicable, paragraph (g) of this clause, upon occurrence of any of the following:
(1) Within 30 days after execution of a novation agreement or within 30 days after modification of the contract to include this clause, if the novation agreement was executed prior to inclusion of this clause in the contract.
(2) Within 30 days after a merger or acquisition that does not require a novation or within 30 days after modification of the contract to include this clause, if the merger or acquisition occurred prior to inclusion of this clause in the contract.
(3) For long-term contracts-
(i) Within 60 to 120 days prior to the end of the fifth year of the contract; and
(ii) Within 60 to 120 days prior to the date specified in the contract for exercising any option thereafter.
(c) The Contractor shall rerepresent its size status in accordance with the size standard in effect at the time of this rerepresentation that corresponds to the North American Industry Classification System (NAICS) code(s) assigned to this contract. The small business size standard corresponding to this NAICS code(s) can be found at https://www.sba.gov/document/support--table-size-standards.
(d) The small business size standard for a Contractor providing an end item that it does not manufacture, process, or produce itself, for a contract other than a construction or service contract, is 500 employees, or 150 employees for information technology value-added resellers under NAICS code 541519, if the acquisition-
(1) Was set aside for small business and has a value above the simplified acquisition threshold;
(2) Used the HUBZone price evaluation preference regardless of dollar value, unless the Contractor waived the price evaluation preference; or
(3) Was an 8(a), HUBZone, service-disabled veteran-owned, economically disadvantaged women-owned, or women-owned small business set-aside or sole-source award regardless of dollar value.
(e) Except as provided in paragraph (g) of this clause, the Contractor shall make the representation(s) required by paragraph (b) of this clause by validating or updating all its representations in the Representations and Certifications section of the System for Award Management (SAM) and its other data in SAM, as necessary, to ensure that they reflect the Contractor's current status. The Contractor shall notify the contracting officer in writing within the timeframes specified in paragraph (b) of this clause, that the data have been validated or updated, and provide the date of the validation or update.
(f) If the Contractor represented that it was other than a small business concern prior to award of this contract, the Contractor may, but is not required to, take the actions required by paragraphs (e) or (g) of this clause.
(g) If the Contractor does not have representations and certifications in SAM, or does not have a representation in SAM for the NAICS code applicable to this contract, the Contractor is required to complete the following rerepresentation and submit it to the contracting office, along with the contract number and the date on which the rerepresentation was completed:

Section 7 - Evaluation
RFO 52.212-2 Evaluation-Commercial Products and Commercial Services. (NOV 2021) (Deviation JAN 2026)
(a) Evaluation factors. The Government will award a contract resulting from this solicitation to the responsible Offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors will be used to evaluate offers:
The Government will issue an order on the basis of the best value of proposals meeting or exceeding the acceptability standards for non-cost factors in accordance with FAR 12.203(c)(2).
-Factor 1 – Demonstrated Prior Experience -Factor 2 - Price
Factor 1 – Demonstrated Prior Experience is more important than Factor 2 - Price.
Vendors shall:
A. Demonstrate relevant prior experience on other contracts or affirmatively state that it possesses no relevant prior experience. Demonstrated prior experience is experience that is ongoing or has been completed within the last five (5) years from the date of issuance of this solicitation, performing requirements that are of the same or similar size, scope, and complexity as those in the PWS to demonstrate its experience to perform this work.
B. To demonstrate its prior experience, the vendor shall identify no more than two (2) relevant contracts (in size, scope, and complexity) that are ongoing or have been completed within the past five (5) years from the date of issuance of this solicitation, and provide any other information the vendor considers relevant to the requirements of the TORFQ. The vendor shall provide a detailed explanation demonstrating the relevance of the contracts or efforts to the requirements of the solicitation. The vendor shall include the contract number, value, and period of performance for each identified contract, utilizing Attachment 3 - Demonstrated Prior Experience Form. Each Demonstrated Prior Experience reference is to be listed separately. Each Demonstrated Prior Experience shall be the vendor’s own experience as a prime or subcontractor. Demonstrated prior experience submitted from a subcontractor will not be evaluated.
C. Ensure correct phone numbers and e-mail addresses are provided for the client point of contacts.
The Contract Specialist must be able to verify each Demonstrated Prior Experience reference received.
D. If the reference submitted is a subcontracting effort then the prime vendor’s contract/order number must be submitted as well as the subcontract number.
E. (1) Definition of a Contract: For the purposes of this TORFQ, a contract is defined as one of the following: a purchase order, a contract, or a single task order or call order.
(2) Duplicate References: The contract used for one Demonstrated Prior Experience reference cannot be used as a duplicate reference. If the same contract is used for two Demonstrated Prior Experience references, the latter reference will be omitted from consideration.
(3) Guidance for Submitting Comprehensive References: To ensure a thorough and accurate evaluation of contract references, provide complete and specific information for each reference, including both the base contract number and the corresponding task or call order number for contracts involving task or call orders.
F. Vendors without relevant Demonstrated Prior Experience will receive a neutral rating for Demonstrated Prior Experience. A neutral rating will not be evaluated favorably or unfavorably, however, the submission with no relevant Demonstrated Prior Experience history while rated neutral may not represent the most advantageous submission to the Government and thus, may be an unsuccessful submission when compared to the submission of other vendors that have satisfactory or better Demonstrated Prior Experience.
G. References provided must have the vendor performing the work with at least an active period of performance, not for which work has not yet started.
H. The Government reserves the right to obtain information for use in the evaluation of Demonstrated Prior Experience from any and all sources, including Government databases and sources outside the Government. These contracts, if any, must meet the “recency” and “relevancy” requirements to be considered. While NOAA may elect to consider data obtained from other sources, Vendors are responsible to submit recent and relevant references that NOAA can readily contact and for presenting information establishing the relevance of their experience to NOAA’s requirements under this TORFQ.
I. Consent Letters (To be submitted in the Volume 1 - Non-Price Business Solution) - The vendor shall submit a written consent letter from each proposed subcontractor and teaming partner authorizing the release of Demonstrated Prior Experience information to the vendor and to allow NOAA to discuss the Demonstrated Prior Experience information with the quoting vendor. Consent letters will not be included in the Volume 1 - Non-Price Business Solution page limitations.
No cost or price information shall be included in this volume.
Factor 2 - Price
The offeror’s price shall represent its best price in response to the solicitation. The price will be evaluated to determine fair and reasonableness. The total evaluated price of each quote will be determined by totaling the proposed overall price of the Base Contract Line Item Numbers (CLINs) and all optional CLINs. The Government will determine the best value to the Government by assessing the benefits of an offeror's higher confidence rating versus quoted price; this will be accomplished by trade-off analysis, if necessary. The Government will not award at a significantly higher price to only achieve slightly higher quality performance. As the non-price factor (Factor 1 – Demonstrated Prior Experience) becomes equal, price becomes increasingly important. The proposed prices/costs will be evaluated but not scored. A price realism analysis will not be conducted.
Quotes that demonstrate the ability to provide an earlier delivery date will be considered more favorably.
(End of clause)
(b) Options (if applicable). The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. The evaluation of options does not obligate the Government to exercise the option(s).
(c) Notice of award. A written notice of award or acceptance of an offer furnished to the successful Offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
