BASIC BLANKET PURCHASE AGREEMENT
Between
CONTRACTOR
and
DEPARTMENT OF HOMELAND SECURITY FEDERAL EMERGENCY MANAGEMENT
AGENCY
AUTHORITY: This Blanket Purchase Agreement (BPA) is centrally managed by the Federal Emergency Management Agency (FEMA) and established in accordance with Federal Acquisition Regulation (FAR) 13.303 (BPAs), FAR Subpart 13.5 (Simplified Procedures for Certain Commercial Products and Commercial Services), and FAR 18.203 (Emergency Acquisition Flexibilities). This action supports Permanent Housing Replacement under Section 408(c)(4) of the Robert T. Stafford Disaster Relief and Emergency Assistance Act. In accordance with FAR 13.303-6, the Contracting Officer (CO), or a designated representative (e.g., COR), will review a sufficient sample of BPA files at least annually to ensure authorized procedures are being followed and updated as necessary. The CO shall (1) ensure each BPA is reviewed at least annually and updated if needed; and (2) maintain awareness of market conditions, sources of supply, and other factors that may warrant new arrangements or modifications. Contractors will be notified in writing if the CO considers changes to or cancellation of this agreement. See paragraph 19 for BPA cancellation terms.
TERMS AND CONDITIONS
1. Description of Agreement: When requested by the FEMA CO or authorized COR, the Contractor shall furnish commercially off-the-shelf (COTS) manufactured/mobile housing units (MHUs), tiny homes (on-chassis), and travel trailers, and deliver them to designated locations on the Apsáalooke Nation (Crow) Reservation and other specified sites in Montana. This BPA is for the purchase and delivery of units for Permanent Housing Replacement in accordance with Section 408(c)(4) of the Stafford Act; no leasing or property management services are included. Inclusive delivery and setup to prepared utility stubs may be specified at the BPA Call level (e.g., placement, leveling/blocking, tie-down/stabilization as applicable, steps/landing/handrails and skirting if specified, plug-in/connection to prepared stubs, functional checks/commissioning, and turnover documentation such as keys, manuals, serial/VIN, certification label photos, warranty registrations, and Manufacturer’s Certificate of Origin/title paperwork). No site construction (e.g., grading, pads/piers/foundations, trenching, utility installation/extension) is included under this BPA; site preparation and demolition (if needed) will be performed under a separate contract vehicle. Specific delivery locations will be identified in each BPA Call. This agreement is effective upon award; BPA Call dollar limitations are identified below. The Contractor shall not deliver quantities beyond those specified under each BPA Call. Units are subject to Government inspection prior to shipment and final acceptance after delivery/setup.
2. Extent of Obligation: FEMA is obligated only to the extent of authorized calls made under this BPA by a warranted FEMA CO. All terms and conditions of this BPA (including applicable clauses and SOW) apply to each BPA Call. A BPA Call is complete when performance equals its dollar limitation (if any) or when its stated period expires.
3. Blanket Purchase Agreement Contractor Selection: Contractor(s) will be selected based on technical compliance to required standards, demonstrated capacity to furnish COTS units, delivery commitments, fair and reasonable pricing, and local area participation. This BPA supports FEMA Individual Assistance Permanent Housing Replacement. To maintain this agreement, the Contractor shall keep an active SAM registration and comply with applicable federal, state, local, and Tribal laws and coordination requirements relevant to performance.
4. Pricing: Prices shall be firm-fixed-price per unit and fair and reasonable. Inclusive per-unit prices must cover all specified items in the BPA Call (e.g., taxes, delivery/haul and permits, placement/leveling/blocking, tie-down/stabilization as applicable, steps/landing/handrails and skirting if specified, plug-in/connection to prepared utility stubs as required, functional checks/commissioning, turnover documentation). Every quoted unit price shall not exceed any applicable ceilings stated in the solicitation/BPA. BPA Calls above applicable competition thresholds will be competed among BPA holders to the maximum practicable extent. Contractors should submit their best price with each quote.
5. Contractor’s Price List: If maintained, submit and update a published unit price list including, at a minimum: unit type and bedroom/sleeping capacity; make/model/year and certification standard (HUD Code/IRC/ANSI/NFPA/RVIA); all-inclusive per-unit price aligned to BPA requirements;
lot location(s) and available inventory counts.
6. Accounting and Appropriation Data: This BPA does not obligate funds. Accounting and appropriation data will be cited on each BPA Call issued by the FEMA CO.
7. Individual Purchase Limitation — BPA Call Order Limitations: In accordance with FAR 13.303- 5(b)(2), the limitation for individual purchases under Subpart 13.5 is $7.5 million ($15 million for acquisitions as described in FAR 13.500(c)). DHS HSAM 3013.303-5 permits individual purchases to exceed the simplified acquisition threshold up to the dollar limitation in FAR 13.500.
As this BPA supports a declared disaster, simplified acquisition procedures under FAR 13.500 may be used for acquisitions that do not exceed $15 million.
8. Individuals Authorized to Place Calls and Call Limitation: Only a warranted FEMA CO is authorized to place calls. No call shall exceed available funding or the thresholds stated above. A COR will be appointed at BPA award and updated as necessary to assist the CO.
9. Call Procedure: BPA Calls shall be placed only by a FEMA CO. After seeking competition among BPA holders (if required), an order is placed when the CO issues a call by email, SF 1449, or letter and assigns an official BPA Call Number. The Contractor shall reference the BPA Call Number on all delivery tickets and invoices. Payments will be made via EFT.
10. Terms of Delivery: The Contractor has one calendar day to confirm acceptance of any call. If the Contractor cannot comply with required delivery timeframes, it shall immediately notify the CO with the earliest anticipated delivery schedule for approval. The CO may close the call and issue it to another BPA holder if necessary.
11. Delivery: Each BPA Call will specify delivery terms and location(s). The Contractor shall coordinate the delivery schedule with the CO/COR. Pre-delivery inspections may be conducted at the vendor’s lot; final acceptance occurs after delivery/setup in accordance with the BPA Call.
12. Security and Safety Clearances: The Contractor shall comply with applicable security and safety requirements at delivery locations. Any costs associated with non-authorized or delayed entry are the Contractor’s responsibility.
13. Personnel Authorized to Receive Items: Each BPA Call will designate Government personnel authorized to inspect and receive. The authorized individual must sign, date, and print their name on the Contractor’s delivery receipt. This receipt does not constitute final acceptance.
14. Final Inspection and Acceptance: Final inspection and acceptance of delivered units shall be accomplished by the authorized Government representative (e.g., COR) after inclusive setup to prepared utility stubs (as specified in the call) and completion of turnover documentation.
15. Receiving Report: The COR or appointed inspector shall prepare an inspection and receiving report using the solicitation’s delivery and acceptance checklist.
16. Delivery Tickets: All deliveries under this BPA shall be accompanied by documentation containing, at a minimum: contractor name; BPA number; delivery/acceptance date(s); BPA Call number; itemized list of units and included services (as applicable); quantity, per-unit price, and extended price.
17. Invoices: Submit itemized invoices after acceptance for each BPA Call. The invoice shall identify the BPA Call Number and total value, and include line items and CLINs consistent with the call.
Improper invoices will be rejected for correction/resubmission. Invoices shall be submitted electronically to FEMA Finance Center (FFC) at FEMA-Finance-Vendor- Payments@fema.dhs.gov. Copy invoices to the Invoice Approver and COR (Primary and Alternate). Required invoice information: contractor name/address; invoice date/number; BPA number and BPA Call number; CLIN(s); delivery dates; description, quantity, unit of measure, unit price, extended price; payment terms; period of performance; remit-to name/address;
contractor invoice contact; EFT banking information.
18. Invoice Payment: Payment shall be made within thirty calendar days after receipt of a proper invoice per the Prompt Payment Act via EFT.
19. Cancellation of BPA: Either party may cancel this BPA with written notice at least thirty calendar days prior to the desired termination date. Cancellation or modification does not affect any prior BPA Call contracts. This BPA shall be reviewed annually and revised as necessary to conform to acquisition regulations.
20. Contracting Officer’s Approved Price List: Reference the solicitation/BPA SOW and the Contractor’s approved unit price list, as incorporated at award. All-inclusive firm-fixed per-unit pricing shall reflect the inclusive requirements specified in each BPA Call.
21. Special Provision—Ordering Period and Potential Extension (No Options): Ordering Period is from date of award through May 15, 2026. BPA Ceiling: $14,709,015.00. The Government will not place orders that would exceed this ceiling without a bilateral modification. No option periods are included or evaluated. Potential Extension: contingent upon formal program approval to extend the assistance period, the Government may extend the BPA ordering period by bilateral modification; any extension is effective only upon written agreement signed by both parties; all other terms remain unchanged unless expressly modified. Pricing: quoted prices apply to orders placed during the ordering period; if extended, pricing will be reaffirmed or adjusted only by mutual written agreement. No Commitment: this notice does not obligate the Government to extend the BPA or to place any minimum number of orders. The Government intends to begin competing BPA Calls immediately after BPA award among all BPA holders.

Evaluation Factors for Award
Selection Criteria Selection Criteria: Best Value – Comparative Analysis Award will be made to the responsive, responsible Contractors who provide the Best Value to the Government. Each offer will be evaluated according to the following criteria.

Factor 1: Technical Approach – Work Plan Offerors shall provide a detailed work plan that addresses plans and resources necessary to satisfy how the Offeror will meet or exceed requirements to provide the specified number of units in the prioritized counties as outlined in the SOW.
The response shall include answers to the following questions:
· How do you propose to fulfill and comply with the requirements in the SOW?

TECHNICAL APPROACH ADJECTIVAL RATING SCHEME
The adjectival rating scheme shown below will be used for evaluating the Technical Volume of each Contractor.
mailto:kamwren.nichols@fema.dhs.gov.
mailto:kamwren.nichols@fema.dhs.gov.
Rating Definition High Confidence The Government has high confidence that the Contractor understands the requirement, proposes a sound approach and will be successful in performing the contract with little or no Government intervention.
Some Confidence The Government has some confidence that the Contractor understands the requirement, proposes a sound approach, and will be successful in performing the contract with some Government intervention.
Low Confidence The Government has low confidence that the Contractor understands the requirement, proposes a sound approach, or will be successful in performing the contract even with Government intervention.
Factor 2: Past Performance - The Contractor’s offer shall be evaluated on its past performance record providing items like those outlined in the Statement of Work.
A written past performance submission is required. For the purpose of this evaluation, “Past Performance” is defined as the Offeror’s performance (how well they performed) on active (to the extent completed) and completed contracts, projects, jobs, and endeavors. This includes the past performance of the prime Offeror and any proposed subcontractor for this effort. Emphasis is placed on demonstrated experience with projects similar in magnitude and complexity for this requirement completed with up to three (3) past performance references for work within the past three (3) years. The following shall be included for each reference.
· Project title
· Description of the project
· Role (Prime/Subcontractor)
· Contract number and, if applicable, task order number
· Dollar value and type of contract

· Include relevant information concerning your compliance with FAR 52.219-8, Utilization of Small Business Concerns, on the contract you are submitting (if applicable)
The following table shows the ratings that will be used for Factor 2:
Rating Description
High Confidence The Government has high confidence that the Offeror will be successful in performing the contract with little or no Government intervention.
Some Confidence The Government has some confidence that the Offeror will be successful in performing the contract with some Government intervention.
Low Confidence The Government has low confidence that the Offeror will be successful in performing the contract even with Government intervention.
Neutral Confidence No recent/relevant performance record is available, or the Offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned. The offeror may not be evaluated favorably or unfavorably on the factor of past performance.
The Government will assess its level of confidence that the Contractor can successfully perform the requirements of the solicitation based on the projects submitted in response to this factor and other past performance information available to the Government. The Government will not restrict its consideration to the information provided in the proposal and may consider any other available information available in Contractor Performance Assessment Reporting System (CPARS), Federal Awardee Performance and Integrity Information System (FAPIIS) and/or first-hand knowledge.
Consideration may be given to: (1) Quality of services provided, (2) Cost control, (3) Schedule/timeliness, (4) Management, and (5) Business relations/Customer Service of the offeror’s past performance. The Offeror will not be evaluated either favorably or unfavorably if it lacks relevant past performance however if the Government finds adverse past performance, the Contractor will not be considered for award.
Factor 3: Cost/Price - The Contractor’s proposed pricing will be evaluated by ensuring the proposed rates are fair and reasonable. The Government will evaluate offers for award purposes by adding the total price for all items based on the estimated quantities provided in the pricing schedule.
• Highest Technically Rated with a Fair and Reasonable Price.
• No option periods are included or evaluated. Any extension of the BPA ordering period would occur only by bilateral modification upon formal program approval.
• Partial awards by unit type/CLIN may be made. Offers limited to a single unit type/model are acceptable and will be fully evaluated.
Bid Consideration Order (Master BPA Establishment Only)
• Tiered award consideration will be applied solely to establish the Master BPAs, in the following order:
1. Local disaster area small business concerns that reside or primarily do business in the presidentially declared disaster area (Crow Reservation/Big Horn County, MT, and any counties designated for this incident).
2. Other-than-local firms operating within a 200-mile radius of the declared disaster area boundary.
3. Firms that reside or primarily do business anywhere in the State of Montana.
4. Firms located within the United States (nationwide).
• Process: The Government will first evaluate Tier 1 and 2. If adequate competition or capacity is not available, evaluation may expand sequentially to Tier 3, then Tier 4, with rationale documented in the file. Multiple BPAs may be awarded across tiers based on mission needs.
Local Area Evaluation Preference Provision
IAW FAM 3X26.202 Evaluation Preference; The contracting officer shall insert the Local Area Evaluation Preference provision in solicitations for goods and services in response to a declared disaster:
(a) Evaluation Preference: Offers will be evaluated by adding a factor of 10 percent to the price of all offers, except for offers who reside or primarily do business in Montana and within 200 miles of the disaster or emergency area.
(1) The factor of 10 percent shall be applied on a line-item basis or to any group of items on which award may be made. Other evaluation factors described in the solicitation shall be applied before application of the factor.
(2) When the two highest rated offerors are a local business concern and a non-local business concern, and the evaluated offer of the local business concern is equal to the evaluated offer of the non-local business concern after considering the price evaluation preference, award will be made to the local business concern.
(b) Local Area Offerors: All offerors that reside or primarily do business in the disaster or emergency area shall submit certification in accordance with FAR provision 52.226-3 along with any additional supporting documentation as required in the solicitation.
(c) If an offeror fails to comply with section (b) of this provision or the contracting officer determines the offeror does not meet the criteria that it resides or primarily does business in the disaster or emergency area, then its offer will be evaluated by adding a factor of 10 percent to its price.
