About this file

This is a sample Proprietary Information Agreement template intended for use between a GSA consultant and an offeror in connection with a GSA solicitation.

The agreement establishes the terms under which a consultant retained by GSA to provide advisory and assistance services may access proprietary information from offerors. The consultant and its employees are authorized to access proprietary information only to the extent necessary to advise and assist the Government on the solicitation and resulting contract award. Under the agreement, the consultant commits to two obligations: (1) protecting the offeror's proprietary information from unauthorized use or disclosure for as long as it remains proprietary, and (2) refraining from using the information for any purpose other than that for which it was furnished. The agreement references FAR 9.505-4(b) and GSA Class Deviation RFO-2025-09 as the governing regulatory requirements. The document includes signature blocks for both the consultant and offeror and notes that GSA is not a party to the agreement. The agreement is provided as a template only, with the understanding that actual agreements may differ based on negotiations between the parties, provided they comply with applicable FAR requirements.
