About this file
This is a Master Services Agreement (MSA) template between NEORide, a Regional Council of Governments headquartered in Wadsworth, Ohio, and a selected contractor for the provision of technology consulting services for public transit. The agreement establishes the framework through which NEORide members can voluntarily purchase services from the awarded contractor at negotiated prices. The contractor was selected through a competitive Request for Proposal (RFP) process (RFP No. XXXX-XX). The initial term of the agreement is three years from the effective date, with NEORide holding the sole option to renew for up to two additional one-year successive terms, allowing for a maximum contract duration of five years. NEORide must provide written notice at least thirty days before expiration of the initial term or first successive term to exercise renewal options. Members of NEORide become customers by executing individual Participation Agreements with the contractor, allowing them to place direct orders for services at the prices established in the contractor's pricing proposal. The agreement specifies that there is no minimum number of guaranteed customers or minimum revenue obligation, and all costs are incurred by individual customers rather than NEORide itself.
The contractor agrees to offer services at prices outlined in its Pricing Proposal (Appendix C) and may update nominal fees annually on the lower of three percent or the USA Consumer Price Index, calculated using the average of the previous three months of CPI data for all Urban Consumers. Invoicing occurs directly between the contractor and individual customers, with payment due within thirty days of invoice receipt unless otherwise agreed in writing. The contractor must pay NEORide an administrative fee of 0.75% based on actual invoiced and paid sales to all customers, excluding shipping costs, required bond costs, and applicable taxes; this fee is invoiced upon completion of each new customer Participation Agreement. The contractor must maintain comprehensive insurance coverage including Workers' Compensation with employer's liability limits of $1,000,000, Commercial General Liability of $1,000,000 per occurrence and in the aggregate, Commercial Auto Liability of $1,000,000 combined single limit, and Third Party Crime Coverage of $1,000,000. The contractor is obligated to comply with all Federal Transit Administration requirements outlined in Appendix D and must abide by the terms of its RFP response (Appendix A) and NEORide's RFP requirements (Appendix B). The agreement is governed by Ohio law with disputes resolved in Medina County Court of Common Pleas or the United States District Court for the Northern District of Ohio.
