About this file

This is a Business Associate Agreement template executed by the County of Marathon, City of Wausau, North Central Health Care, and the City-County IT Commission, establishing terms for managing Protected Health Information (PHI) in compliance with HIPAA regulations. The agreement designates the signing Business Associate as responsible for handling electronic and protected health information created, received, or maintained on behalf of the Covered Entity. The Business Associate must implement appropriate administrative, physical, and technical safeguards to protect the confidentiality, integrity, and availability of PHI, restrict PHI use to the minimum necessary to accomplish intended purposes, and limit employee access to individuals with a need-to-know. The agreement becomes effective upon execution and terminates automatically upon completion of the engagement for which services are provided, though either party may terminate for cause with written notice if the other party fails to cure a breach within a specified timeframe.

The Business Associate must report any unauthorized disclosures of PHI within ten business days and breaches of unsecured PHI within ten business days, with detailed notifications to include identification of affected individuals and corrective actions. Upon termination, the Business Associate must either return all PHI to the Covered Entity or destroy it as agreed in writing, while continuing to safeguard any retained information necessary for proper management and legal responsibilities. The agreement requires the Business Associate to maintain accounting records of all PHI disclosures for six years, ensure any subcontractors agree to equivalent restrictions and safeguards, and indemnify the Covered Entity against claims arising from unauthorized PHI use or disclosure. The Business Associate acknowledges it is subject to civil and criminal enforcement for HIPAA violations, and the agreement survives termination with respect to privacy and security obligations, allowing either party to amend terms as needed to remain consistent with changes to HIPAA laws and regulations.

Business Associate shall indemnify and hold harmless the Covered Entity, and all of its directors, officers, members, employees and agents, against any and all claims, demands, losses, costs, expenses, obligations, liabilities, actions, suits, damages and deficiencies (including, without limitation, all costs and reasonable attorneys’ fees) that arise out of or are proximately caused by any use or disclosure of PHI by Business Associate, its employees, agents, Subcontractors, or independent contractors that is not permitted under this Agreement. Business Associate shall provide prompt written notice of, and information and assistance (at Business Associate’s expense), as reasonably requested, in the defense of such claim, suit or proceeding.

14. Interpretation. Any ambiguity in this Agreement shall be resolved in favor of a meaning that permits the parties to comply with the HIPAA Rules.

15. Counterparts. This Agreement may be executed in two or more counterparts, each of which shall be an original, but all of which taken together shall constitute one and the same agreement.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date.
