About this file

This document is a federal contract clause establishing records management obligations for the Veterans Health Administration (VHA).

The clause applies to all contractors whose employees create, work with, or handle Federal records in any medium. Federal records include all recorded information made or received by a federal agency under Federal law or in connection with public business, including VHA records and contract deliverables, but excluding personal materials. Contractors must comply with the Federal Records Act (44 U.S.C. chs. 21, 29, 31, 33), NARA regulations (36 CFR Chapter XII Subchapter B), the Privacy Act of 1974, and the Freedom of Information Act. All data created for Government use and delivered to or falling under Government legal control are Federal records subject to statutory management and disposition requirements.

Key contractor requirements include: maintaining all records created for Government use or during contract performance with sufficient technical documentation for electronic records and metadata; preventing unauthorized destruction, alienation, or mutilation of records, with willful violations subject to penalties under 18 U.S.C. 2701; immediately notifying the Contracting Officer of unauthorized disclosures; obtaining Contracting Officer approval before engaging subcontractors with access to contract-related information; refraining from creating records containing non-public VHA information outside contract scope; prohibiting retention, use, sale, or dissemination of deliverables containing Privacy Act or FOIA-protected information; ensuring VHA owns all rights to contract-produced data and deliverables; and requiring all contractor employees handling records to complete VHA-provided records management training, including initial and annual refresher training. The clause also establishes privacy and HIPAA compliance requirements, background investigation standards per VA Directive 0710, and restrictions on releasing VA records protected under Title 38 U.S.C. sections 5705 and 7332.
