PART I - SECTION B
SUPPLIES OR SERVICES & PRICE/COST
B.1 GENERAL
For the RWSL Field Lighting System (FLS) Replacement Component Procurement (RCP), the Contractor must provide, in accordance with issued Delivery Orders (DOs), all necessary labor, materials, equipment, services, and facilities to meet the requirements as described in Section C, Statement of Work, including, but not limited to, the delivery of RWSL FLS replacement components, software, and engineering support services.
B.2 CONTRACT TYPE
This is an Indefinite-Delivery, Indefinite-Quantity (IDIQ) contract. Work will be initiated using an Ordering Process. The Orders may be one or a combination of Firm-Fixed Price (FFP), Time & Material (T&M), Cost-Plus-Fixed-Fee (CPFF), and Cost Reimbursable (CR). The Contracting Officer (CO) will determine which type of Order is in the best interest of the Government.
B.3 CONTRACT TERM
The term of this contract consists of a five (5) year base period and five (5) one-year option periods for a total of ten (10) years, if all options are exercised. Orders may be issued at any time during the base and/or option period. Orders will specify performance periods and may include option periods.
The period of performance, including option periods, if exercised, is as follows:
B.1 TABLE B-1 – CONTRACT PERIOD OF PERFORMANCE (10 YEARS)
Period Start Date End Date
Base Period (Years 1 – 5) Contract Award 60 Months Option Period I (Year 6) Upon Completion of Base Period 12 Months Option Period II (Year 7) Upon Completion of Option Period I 12 Months Option Period III (Year 8) Upon Completion of Option Period II 12 Months Option Period IV (Year 9) Upon Completion of Option Period III 12 Months Option Period V (Year 10) Upon Completion of Option Period IV 12 Months
B.4 GUARANTEED MINIMUM VALUE OF CONTRACT
The Government guarantees that it will order at least $TBD of work (the “Minimum Guaranteed Value”) during the term of this contract. The Government has fully met the Minimum Guarantee once the aggregate dollar value of the DOs placed on this contract equals or exceeds the Minimum Guaranteed Value. The Government has no obligation to issue DOs to the Contractor beyond the minimum guaranteed value. The exercise of any optional ordering periods does not re-establish the contract minimum guaranteed amount.
B.5 MAXIMUM CONTRACT VALUE
B-2
Delivery Orders may order vastly differing quantities, under differing CLINs and Labor Categories (see AMS Clauses 3.2.4-16 Ordering and 3.2.4-20 Indefinite Quantity), but in no event will the aggregate value of all Delivery Orders issued against this contract exceed a contract ceiling of $TBD for all Periods. The ceiling does not constitute a commitment, implied or otherwise, that the FAA will expend the maximum contract value.
B.6 CLIN NUMBERING STRUCTURE

B.9 CONTRACT PRICING
B.9.1 Time-and-Materials Pricing
Delivery Orders that utilize T&M type CLINs will be subject to the pricing set forth in Attachment J-18, Labor Rate Tables*. The labor rates in this attachment reflect fully burdened hourly rates for each labor category and will apply to all direct labor hours ordered under a time and material basis, including the prime contractor and sub-contractor(s), unless discounts are proposed or negotiated at time of Delivery Order award. The fully burdened labor rates must include all direct labor, and indirect costs applicable to that direct labor (such as fringe benefits, overhead, G&A), and profit.
The indirect rates applicable to direct materials, subcontracts for supplies, and other direct costs established in Attachment J-18, Labor Rate Tables (Indirect Rate Table Tab), are ceiling rates and must be applied accordingly. The contractor may elect to propose lower indirect rates on a task-by-task basis.
Reimbursement under the contract is governed by AMS Contract Clause 3.3.1-5, Payments
B-5
Under Time-and-Materials and Labor-Hour Contracts (October 2021).
NO AMOUNTS WILL BE PAID FOR MATERIALS UNDER LABOR-HOUR ORDERS.
*To be incorporated after award.
Ceiling Rates for T&M Attachment J-18, Labor Rate Tables for Time and Materials specifies the maximum fixed hourly rate that the Contractor may charge under T&M and L-H work under this Contract. All work performed on a T&M or L-H basis will be subject to the maximum labor rates set forth in Attachment J-18. The labor rates in Attachment J-18 reflect fully burdened hourly rates for each labor category and will apply to all direct labor hours regardless of whether the labor hour is expended by the Contractor or by one of its subcontractors. The labor rates in Attachment J-18 include direct labor and all applicable indirect costs, such as fringe benefits, overhead, General & Administrative, and fee/profit. These fixed hourly rates are ceiling (maximum) rates the Contractor and their subcontractors may charge the FAA for each labor category in each given performance year. The Contractor may elect to propose lower hourly rates on a DO-by-DO basis.
The rates in Attachment J-18 are based on the Contractor’s established accounting practices for recording uncompensated overtime. These practices are reflected in the table.
a) No Change to Rates if Subcontractors are Added or Deleted The fixed hourly labor rates in Attachment J-18, Labor Rate Tables for Time and Materials/Labor Hours, represent the ceiling (maximum) hourly rates the Contractor may charge the FAA for each labor category in each given performance year. The fixed hourly labor rates in Attachment J-18 will not change after the contract award, even if the Contractor removes a subcontractor or adds a new subcontractor to its team.
b) Government versus Contractor Sites
The following describes Government and Contractor Site Rates:
1. Government Site Rates: Government site rate must be used when a Contractor employee is located at a government site full time.
2. Contractor Site Rates: Contractor site rate must be used when a Contractor is located at a Contractor site full-time.
c) Hours on T&M/L-H Delivery Orders
For T&M– or L-H–type DOs, the quantity of hours ordered from each labor category will be specified as deliverable hours billable at the ceiling rates specified in Attachment J-18, Labor Rate Tables for Time and Materials/Labor Hours, or at lower rates, if proposed by the Contractor, for the DO. The CO may authorize adjustments between labor category quantities of up to 10 percent within the established task labor ceiling price.
B-6
Profit is not allowed on materials under T&M type CLINs on all Delivery Orders.
B.9.1.2 Rate Refreshment
The labor rates under the Time-and-Materials CLINS are fixed ceiling rates for all contract periods. However, rate refreshment may be allowed at the discretion of the IDIQ Contracting Officer.
Additionally, the Contractor may submit a proposal reducing the fixed ceiling rates and/or indirect rates applicable to materials at any time during the life of this contract. If the rates are accepted, the Government will modify the contract by incorporating the new rates into Attachment J-X, Labor Rate Tables.
B.9.1.3 Additional Labor Categories
At any time and throughout the life of the contract, at the request of either the Contractor or the Government, the Contractor may propose additional labor categories, rates and descriptions not already included in the contract. The Government will review these proposals and determine if the revised rates are reasonable, realistic, and in the best interests of the Government. These additional labor categories, rates, and descriptions will be negotiated on a case-by-case basis at the IDIQ level and added to the IDIQ base contract.
B.9.2 Firm-Fixed-Price (FFP) Pricing
Partial or progress payments under FFP CLINs may be negotiated based on the completion of milestones/deliverables in accordance with applicable AMS clauses in contract or Delivery Orders.
B.9.3 Cost Reimbursement Pricing
All cost-reimbursement type DOs provide for payment of allowable incurred costs. These contracts establish an estimate of total cost for the required work and establish a ceiling that the Contractor may not exceed without the CO’s approval. Cost- reimbursement contracts are appropriate when uncertainties involved in contract performance do not permit costs to be estimated with sufficient accuracy to use any type of fixed-price contract.
All work performed on a Cost Reimbursement basis will be priced IAW the Contractor’s accounting policies and procedures. For Cost Reimbursement work, the Contractor will provide complete supporting schedules identifying all applicable direct and indirect rate estimates building up to the DO cost. Contractors should submit their most recent Defense Contract Management Agency– or other Government Agency–recommended provisional or forward pricing indirect billing rates, if available. Contractors without audited rates must propose indirect rates IAW AMS Contract Clause 3.3.2-1, FAA Cost Principles. The fee, if applicable, will be negotiated for each DO, based on the work required. There will be no fee allowed on other direct costs.
B-7
AMS Procurement Guidance T3.2.4 provides for payment to the Contractor of a negotiated fee that is fixed at the inception of the contract. The fee is a fixed dollar amount. The fixed fee may vary by a predetermined amount or percentage of the total fixed fee available based on the level-of-effort (LOE), but not cost incurred. The fixed fee does not vary with the actual cost of the contract but may be adjusted as a result of changes in the scope of work performed under the contract.
If the DO is incrementally funded, the CO will identify in all awards and modifications the portion of funding allocated to the fee.
Travel. If authorized in the Delivery Order, travel will be reimbursed at actual direct costs in accordance with the limitations set forth in AMS 3.3.2-2, Reimbursement for Travel and Subsistence (April 2010). No profit is allowed for travel. Subject to the ceiling rates in the table, indirect costs may be applied to travel in accordance with the Contractor’s established accounting practices consistent with AMS 3.3.2-1, FAA Cost Principles (October 2019).
Travel will be a separate Not-To-Exceed CLIN on orders.
