About this file

This document is Exhibit E - Bidder's Contract Issues List for a Washington State Lottery competitive solicitation (RFQQ236) for Merchandise Installation Services. The solicitation seeks up to four vendors to provide installation, removal, replacement, and assembly of Lottery merchandise at retail locations throughout Washington state, with the primary work involving Scratch ticket dispenser and display tray installation, removal, and potential countertop modifications. The document provides detailed instructions for bidders to formally document any contract issues, concerns, or exceptions they may have with the proposed contract terms.

The solicitation emphasizes that bidders must propose reasonable compromises when raising contract issues and provides a structured template for documenting these concerns. Bidders are cautioned against submitting redlined documents or standard third-party contract language, and are informed that substantial changes to material contract terms may result in a non-responsive bid. The Lottery will evaluate the number and nature of contract issues when determining the likelihood of successfully completing a contract with a potential vendor. Bidders are required to submit their Contract Issues List to the Procurement Coordinator via email, with the goal of facilitating transparent and constructive pre-contract discussions.

Instructions. Issues, concerns, exceptions, or objections to any of the terms or conditions contained in Exhibit D – Contract must be documented by bidders in the Contract Issues List provided below. The Contract Issues List frames discussions between Lottery and bidders regarding the terms and conditions contained in the Contract. In completing the Contract Issues List, bidders must describe, in business terms, a concern, exception, or objection and then propose a compromise that is reasonable in light of the commitment being sought by Lottery. The Contract Issues List must provide the reason or rationale supporting the issue.

· Redlined Documents Will Not Be Reviewed. Do not provide a redlined Contract, paragraph, or clauses. Redlined text may result in Lottery making potentially inaccurate assumptions about what bidders’ specific issues or concerns might be.

· Standard Bidder Contract Will Not Be Reviewed. Do not provide a copy of a bidder's or a third party’s standard contract or proposed language.

· No Substantial Changes. Bidders are cautioned that this is a competitive solicitation for a public contract and that Lottery cannot and will not accept a bid or enter into a Contract that substantially changes the material terms and conditions set forth in this Competitive Solicitation and Contract. Bids that are contingent upon Lottery] making substantial changes to material terms and conditions set forth in the Competitive Solicitation or Contract may be determined to be non-responsive. Lottery will consider the number and nature of the items on the bidders’ Contract Issues List in determining the likelihood of completing a Contract with such bidder.
