DPR does not guarantee that an Agreement shall be written from this Request For Qualifications (RFQ).

1.1.3 Under this RFQ an “On-call Agreement” shall be written which may involve many projects at Malakoff Diggins SHP with different funding sources. DPR and Contractor agree that no specific quantity of work is guaranteed to be provided to Contractor under the terms and conditions of this Agreement. However, as services for projects may be needed, DPR will provide to Contractor a project specific scoping description of the necessary work. Contractor shall submit a proposed scope of services, an estimated cost breakdown based upon each project specific scope, a project schedule.

Contractor’s estimate shall include all necessary hours to perform the project specific scope of services and shall include all estimated hours of labor and the corresponding hourly rate, along with any other estimated additional costs for services, including, however, not limited to, any subcontractors, research, travel time, mileage and per diem, etc.

March 2016 Page 5 of 16 contract agreement for the specific project until a Work Order has been fully executed.

DPR at its own discretion may choose not to prepare a Work Order and to not have the work performed even though Contractor’s cost was negotiated to a fair and reasonable price.

If Contractor is unable to furnish adequate services, fails to perform tasks such as deliverables, does not achieve project milestones or deadlines, DPR reserves the right to discontinue using Contractor’s services on that project and for any future projects. If Contractor fails to perform or does not have the resources to handle all the projects requiring services, DPR reserves the right to contract with the ranked firm(s) in order of rank, for these services. Contractor must achieve all deliverables and deadlines on time in order to facilitate DPR’s goal. Contractor shall communicate any anticipated problem with achieving project deliverables and/or deadlines.

3 Staffing capability across all disciplines to meet the expected outcomes in a timely manner.

4 Knowledge of applicable standards, regulations codes and technology associated with the services required.

5 Specialized experience of the firm in the services to be performed. 10

6 Accreditation certifications, registrations and licenses of key personnel.

7 Education and experience of key personnel to be assigned. 5

8 Reliability, continuity, and location of firm to the project site. 5

Total Possible Points 100

Contractor shall respond in writing indicating how its experience fulfills the requirements of these criteria.

Contractors shall include the Standard Form 330 for their subcontractors (sub-consultants) for evaluation as a team (for reference only). However, the evaluation of the proposing contractor will not include the individual evaluation of its subcontractor(s).

3.3 EVALUATION AND SELECTION PROCESS

3.3.1 The DPR selection committee will review, evaluate and score each SOQ based on the above selection criteria. These factors shall be weighed according to the nature of the proposed project, the complexity and special requirements of the specific services and the needs of DPR.

3.3.2 All SOQs received will be evaluated to determine the extent to which they comply with solicitation document requirements.

3.3.3 If an SOQ fails to meet a material solicitation document requirement, the SOQ may be rejected. A deviation is material to the extent that a response is not in substantial accord with solicitation document requirements. Immaterial deviations may cause an SOQ to be rejected.

March 2016 Page 14 of 16

3.3.4 During the evaluation process, DPR may require Contractor to answer questions with regard to the Contractor’s SOQ. Failure of Contractor to demonstrate that the claims made in its SOQ are in fact true may be sufficient cause for deeming an SOQ non-responsive.

3.3.5 At least three (3) Contractors with the highest scores shall be selected for the "Short

List". Each of the “Short List” Contractors shall be invited to an interview and asked to make an oral presentation on Contractor’s firm, its qualifications and experience.

Contractors not invited to interview shall be notified in writing.

3.3.6 At any time, DPR may contact a Contractor’s previous clients and/or project owners to verify the experience and performance of the prospective Contractor, its key personnel, and its subcontractors.

Contractors shall be notified in writing of the ranking results.

March 2016 Page 15 of 16

SECTION 4 – ADMINISTRATIVE PROCESS AND REQUIREMENTS

4.1 AGREEMENT FOR SERVICES

4.1.1 The number one ranked (selected) Contractor shall be notified in writing and provided written instructions for negotiations. Negotiations shall follow, at which time Contractor shall be asked to submit a detailed fee schedule for the project specific work.

4.1.2 DPR shall attempt to enter into negotiations with the selected Contractor for a satisfactory agreement and reasonable fee for the services needed.

4.1.3 If a satisfactory contractual agreement on services and compensation cannot be reached between DPR and the selected Contractor, DPR reserves the right to terminate negotiations with the selected Contractor and attempt to reach a satisfactory contractual agreement with the remaining qualified Contractors in order of their ranking.

4.1.4 The selected Contractor, with which DPR successfully negotiates, shall be required to execute a Standard Agreement, Form STD 213 (Attachment C to this RFQ), which shall include the terms and conditions of this RFQ.

DPR reserves the right to modify or update the Standard Agreement in the interest of

DPR, in whole or in part, at any time up to the negotiation of the agreement with the Contractor. By submitting for this RFQ, the prospective Contractor and its key subcontractors acknowledge that a) the project team shall provide the services required in the agreement, and b) has no objection to the Standard Agreement.
