About this file
This file contains multiple attachments (A-I) related to RFP 24-00006 from the Washington Department of Fish and Wildlife (WDFW) for a Hunting and Fishing Electronic Licensing System. The RFP seeks a vendor-hosted, web-based electronic licensing system that can manage WDFW's extensive 286-item product catalog and support approximately 580 license dealers. The system must include modules for customer account management, product catalog administration, dealer account management, and revenue management. The solution must comply with all state security standards and successfully pass a State of Washington Security Design Review prior to acceptance.
The compensation model consists of fixed monthly payments ranging from $100,000 to $300,000 per month, totaling $1,800,000 annually, which remains valid until June 2032. Additional work beyond the contractual scope will be billed according to an hourly rate schedule for different staff positions. The vendor must include a specified number of annual development hours at no additional charge to address legislative and business changes. Price adjustments after June 2032 will be subject to negotiation but cannot exceed the percentage increase in the US Consumer Price Index. The vendor must obtain and maintain Payment Card Industry Data Security Standards (PCI-DSS) certification and provide SOC 2 Type 2 reports measuring all five trust service standards.

1 CERTIFICATIONS AND ASSURANCES
The Vendor makes the following certifications and assurances as a required element of the proposal to which this is a part, understanding that the truthfulness of the facts affirmed here and the continuing compliance with these requirements are conditions precedent to the award or continuation of related contract/s.
We have read, understand, and agree to abide by all information contained in the solicitation, all Exhibits, and incorporated documents.
We authorize all references, employers (past and present), business and professional associates (past and present), and all governmental agencies and institutions (local, state, or federal) to release to WDFW any information, files, or records required for the evaluation of this proposal.
The attached Proposal is a firm offer for a period of 180 days following the Proposal Due Date specified in the solicitation, and it may be accepted by WDFW without further negotiation (except where obviously required by lack of certainty in key terms) at any time within this period. In the case of a protest, our Proposal will remain valid for 180 days or until the protest and any related court action is resolved, whichever is later.
In preparing this Proposal, we have not been assisted by any current or former employee of the state of Washington whose duties relate (or did relate) to this RFP, or prospective Contract, and who was assisting in other than his or her official, public capacity. Neither does such a person nor any member of his or her immediate family have any financial interest in the outcome of this Proposal. (Any exceptions to these assurances are described in full detail on a separate page and attached to this document.)
We understand that the state of Washington will not reimburse us for any costs incurred in the preparation of this Proposal. All Proposals become the property of the state, and we claim no proprietary right to the ideas, writings, items, or samples unless so stated in the Proposal. Submittal of the attached Proposal constitutes an acceptance of the evaluation criteria and an agreement to abide by the procedures and all other administrative requirements described in the solicitation.
We understand that any Contract awarded as a result of this Proposal will incorporate all solicitation requirements. Submittal of a Proposal and this Certifications and Assurances certify our willingness to comply with the Contract terms and conditions appearing in the solicitation, all Exhibits, and incorporated documents if selected as a Contractor. It is further understood that our standard Contract will not be allowed as a replacement for the terms and conditions appearing in the solicitation, all Appendices, and incorporated documents of this solicitation.
By submitting this Proposal, we hereby offer to furnish materials, supplies, services and/or equipment in compliance with all terms, conditions, and specifications contained in this solicitation. Unless otherwise required by law, the prices and/or cost data which have been submitted have not been knowingly disclosed by the vendor and will not knowingly be disclosed, directly or indirectly to any other vendor or to any competitor, prior to contract signing.
No attempt has been made or will be made by the Vendor to induce any other person or firm to submit or not to submit a proposal for the purpose of restricting competition.
The Vendor agrees that the information submitted at each step in the selection process is accurate to the best of their knowledge and submission of the proposal constitutes acceptance of all the RFP contents, including but not limited to, procedures, evaluation criteria, requirements, administrative instructions, procurement rules and procedures, and other terms and conditions. If there are any exceptions to these assurances that the vendor would like WDFW to consider, the vendor has described those exceptions in detail below. WDFW is not required to make the requested changes. If selected as the apparent successful bidder, and if after negotiation WDFW and the vendor cannot agree to Contract terms, the vendor agrees that WDFW can reject the proposal and select an alternate apparent successful bidder.
Please Note: Proposed exceptions/modifications to the Sample Contract terms& conditions do not need to be listed again here.

ATTACHMENT B
COMPENSATION MODEL (Amended)
1 REQUIRED MODEL – FIXED MONTHLY PAYMENT
The Washington Department of Fish and Wildlife (WDFW) is seeking a vendor to partner with us in providing an optimal solution for our internal and external customers. After a thorough review of past sales and trends in hunting and fishing participation, WDFW has decided to implement a monthly compensation model contingent upon the selected vendor meeting all Service Level Agreements (SLAs) each month. The monthly payments will commence after initial deployment of the system.
This arrangement safeguards the vendor from potential impacts of decisions made by the Washington State Legislature and WDFW Commission that may affect sales and participation. The monthly payments shown in the table below will be your only source of compensation and must cover all costs associated with all the services, including staff costs and any non-labor expenses necessary to accomplish the work. No additional charges for tax, overhead, travel, lodging, meals, or other expenses shall be allowed.
Tax Liability: The vendor shall comply with the Washington State law requiring registrations and shall be responsible for payment of all taxes due.
This non-negotiable compensation model will remain in effect for the initial six years of the contract, excluding any extensions.

The Monthly Payment Schedule remains valid until June 2032. Annual rate increases beyond that date will be subject to negotiation, but the percentage increase may not exceed the percentage increase in the US Consumer Price Index (CPI) for All Items, as calculated from a June 2032 base.
The Monthly Payment Schedule is firm and fixed for six years from the effective date of the contract. Beginning seventy-two (72) months after the effective date of the contract, and for every twenty-four-month anniversary thereafter, the Contractor may request a price adjustment. Requests for price adjustments must be made in writing and received at least sixty (60) calendar days prior to the adjustment date (the seventy-second month anniversary of the effective date of the contract). In the event the Contractor fails to timely request a price adjustment, WDFW, at its sole discretion, may allow an untimely adjustment; provided, however, that such adjustment will not be effective for any time prior to WDFW’s price adjustment.
Price adjustments will be made in accordance with the percentage change in the United States Department of Labor, Bureau of Labor Statistics (BLS) Producer Price Index (PPI), PCU5416--5416-- issued for Management and Technical Consulting Services of each contract term. The percentage difference between the PPI issued for PCU5416--5416--, Management and Technical Consulting Services 2020, and the PPI issued for each subsequent year will determine the maximum allowable adjustment of original contract prices.
No retroactive contract price adjustments will be allowed. The economic adjustment shall be calculated as follows:
New Price = Old Price x (Current Period Index/Base Period Index) Changes occur due to legislation and business opportunities that enhance our sales and enforcement. These changes often require system modification. Identify in the table below the number of hours annually that are included at no additional charge to address this need (development hours). Any additional hours would be billed according to the Hourly Rate Schedule section below.

2 HOURLY RATE SCHEDULE
WDFW requires the vendor to develop a highly flexible and manageable system that will provide WDFW with the ability to create, modify, and otherwise manage the items sold through the proposed system, without any intervention by the vendor. This high degree of flexibility should minimize the need to change the proposed system during the contract period. However, during this project, conditions may change, or WDFW or the vendor may uncover new requirements for the system that it was not possible to discover during the design and development phase of the initial system. A cooperative approach is required to effect such changes in a cost- neutral manner. Your response should include confirmation of this understanding.
It is understood that any system defects will be corrected by the vendor as part of a contract and will not be counted against any pool of hours or cost added changes.
The following basic changes are expected to be provided either by the requested administrative tools or programmer time included as part of the contract and will not be counted against any pool of hours or cost added. The detailed list of maintenance items to be covered at no additional cost will be determined after gaining a comprehensive understanding of the system.
a. Addition or deletion of Hunt Choices
b. Changes to start and stop dates
c. New licensing combinations
d. Small (10 – 15 question) surveys
e. Changes to the cost of licenses and other recreational license documents
f. Addition of new license categories, licenses, and recreational license documents
g. Creation of additional printed documents provided they follow an existing template
h. Changes to Internet sales web pages
i. Addition or deletion of purchase prerequisites using existing data fields In the event authorized users cannot manage one or multiple items above, the vendor must be able to make the change by 5:00 AM of the fifth business day following the request for change. Example: A request made at 12:00 noon on a Monday would have to be available by 5:00 AM on Friday of the same week.

Work needed outside the contractual statement of work will use the Hourly Rates Table. Projects will follow the process outlined in the Contract. Each of these performance-based amendments will be for actual hours worked with a not-to-exceed fixed price.
The hourly rate proposed remains valid until June 2032. Annual rate increases beyond that date will be subject to negotiation, but the percentage increase may not exceed the percentage increase in the US Consumer Price Index (CPI) for All Items, as calculated from a June 2032 base.
The hourly rates proposed are firm and fixed for two years from the effective date of the contract. Beginning twenty-four (24) months after the effective date of the contract, and for every twenty-four-month anniversary thereafter, the Contractor may request a price adjustment. Requests for price adjustments must be made in writing and received at least sixty (60) calendar days prior to the adjustment date (the twenty-four-month anniversary of the effective date of the contract).
New Price = Old Price x (Current Period Index/Base Period Index)

In the event the vendor is a privately held corporation or other business entity whose financial statements are audited; such audited statements shall be provided. If the privately held corporation or other business entity does not have audited financial statements, then unaudited statements or other financial documentation sufficient to provide the same information as is generally contained in an audited statement, and as required below, shall be provided.
WDFW also acknowledges that a vendor may be a wholly owned subsidiary of another corporation or exist in other business relationships where financial data is consolidated. Financial documentation is requested to assist WDFW in determining whether the vendor has the financial capability of performing the contract to be issued pursuant to this RFP. The vendor must provide financial documentation sufficient to demonstrate such capability including wherever possible, financial information specific to the vendor itself. All documentation provided may be reviewed by an independent CPA and should, therefore, be of the type and detail regularly relied upon by the certified public accounting industry in making a determination or statement of financial capability.
To determine the above ratios, the most recent available and applicable financial documentation for the vendor shall be provided.
