NCNR Construction - Single Award Task Order Contract -
STATEMENT OF WORK
BACKGROUND
The National Institute of Standards and Technology (NIST) Gaithersburg, Maryland campus is a Research and Development (R&D) facility with 52 buildings located on a 578-acre campus.
Other facilities are located within Montgomery County, Maryland.
The NIST Center for Neutron Research (NCNR) owns and operates a nuclear test reactor to provide neutron radiation for experiments. This is housed in Building 235. The original building was built in the 1960s with various expansions occurring to the building along with added support buildings dedicated to NCNR. Additions and expansions are 10 to 50 years old and generally steel superstructure with block and brick wall construction. Building 235 has specialized layout with below grade concrete basement and/or combination window/panelized storefront façade.
Utilities are distributed to NCNR by underground pipe and electrical distribution systems from central plant services owned and operated by NIST.
Facility interior and exterior rehabilitation and renovations are continuous as buildings and systems age, or scientific projects require new layouts to accommodate on-going research.
OBJECTIVES
An IDIQ construction contract with a 5 year duration to a single contractor. Construction will be considered “design-bid-build”. Architect/engineering services are not included in this contract.
SCOPE
Contractor shall provide construction services performed for NCNR. This may include building renovations, additions, reconfiguration and repairs within the NCNR complex on the Gaithersburg Campus. Building 235 of the NCNR complex has an operating nuclear test reactor.
Some work may occur within Building 235 while the reactor is in operation.
Construction tasks may include new installations, repairs, replacement, modifications, or renovations to NCNR facilities which may include
• Laboratory and scientific research spaces
• Industrial spaces containing and/or utilizing compressed gases, cryogenic fluids, or heating and cooling equipment.
• Administrative and common spaces.
• HVAC systems and equipment including direct digital controls and underground steam and chilled water piping.
• Process gas systems (nitrogen, compressed air, helium, etc.) including monitoring and safety controls.
• Electrical systems and equipment including switchgear, panel boards, and uninterruptible power systems
• Fire alarm systems
• Fire suppression systems
• Generators

TASKS
Task Orders are the individual contract actions to perform work within the structure of this contract. A specific Scope of Work (SOW) will be issued for each Task Order.
The SOW for each task order will include documentation specifying the general and specific requirements of the particular task. Where specific scope details cannot be provided, the Contractor and the Government will reach an agreement on scope, quantity, and performance period to fulfill the intent of the task order.
Tasks orders will have a period of performance identified in the SOW and/or RFP.

Background
The National Institute of Standards and Technology (NIST) Acquisition Management Division intends to procure construction services to bring fixed ladder roof access at Building 235, NIST Center for Neutron Research (NCNR) up to code requirements.
Supplemental information attached to this Statement of Work include the following:

Objectives
This contract is to improve the safety of roof access to Building 235 by installing new fixed ladders compliant with current codes and standards.
Scope
The Contractor shall provide labor, material, tools, equipment, project management and coordination to perform the work described in attached 100% Submission Drawings to the requirements of Task 2 - Building 235 Ladders Specifications.

1 Demolition: Remove existing fixed ladders at Building 235 as shown on 100% Submission Drawings.

2 Safety Plan
2.1 The Contractor shall submit to NIST within 7 working days from Award a project specific life and safety plan for review and approval. Notice To Procced will not be issued until the Contractor's Safety Plan is returned without comment or exception.
3 Narrative
3.1 The Contractor shall describe in a written narrative its plans for phasing the work to minimize disruptions to the area of work. The narrative will also detail how the contractor intends to prepare the site, disassemble, relocate, reassemble, and reactivate utility services.
3.1.1 Construction phasing shall be constrained by the need to maintain current operations in the building and areas adjacent to the area of work.
3.1.2 Contractor shall propose phasing to minimize disruptions to occupants.
3.1.3 While it is also required that any disturbance in or around the area of work be kept to a minimum, the Contractor shall highlight in the Schedule specific tasks that require execution outside of normal working hours, as necessary, to minimize the overall impact or disturbance on ongoing operations in areas affected.
3.2 The Contractor shall clarify its intended uses of portions of the site for materials staging, temporary trailer offices, employee parking, and other activities.
4 Submittals and Shop Drawings
4.1 Submittals of materials shall be provided for review prior to Contractor's purchase of materials for this project.
4.1.1 Refer to Specification Section 01 33 00 for Submittal Procedures.
4.1.2 Individual sections of the attached Task 2 - Building 235 Ladders Specification have specific submittal requirements for material and work described therein
4.2 Attached 100% Submission Drawings illustrate a diagrammatic concept of the project needs. The Contractor shall provide complete shop drawings showing proposed routing, sizes, means, and methods for NIST review prior to start of installation.

SECTION E
INSPECTION AND ACCEPTANCE
E.1 52.246-4 INSPECTION OF SERVICES--FIXED-PRICE (AUG 1996)
(a) "Definitions." "Services," as used in this clause, includes services performed, workmanship, and material furnished or utilized in the performance of services.
(b) The Contractor shall provide and maintain an inspection system acceptable to the Government covering the services under this contract. Complete records of all inspection work performed by the Contractor shall be maintained and made available to the Government during contract performance and for as long afterwards as the contract requires.
(c) The Government has the right to inspect and test all services called for by the contract, to the extent practicable at all times and places during the term of the contract. The Government shall perform inspections and tests in a manner that will not unduly delay the work.
(d) If the Government performs inspections or tests on the premises of the Contractor or a subcontractor, the Contractor shall furnish, and shall require subcontractors to furnish, at no increase in contract price, all reasonable facilities and assistance for the safe and convenient performance of these duties.
(e) If any of the services do not conform with contract requirements, the Government may require the Contractor to perform the services again in conformity with contract requirements, at no increase in contract amount. When the defects in services cannot be corrected by reperformance, the Government may--
(1) Require the Contractor to take necessary action to ensure that future performance conforms to contract requirements; and
(2) Reduce the contract price to reflect the reduced value of the services performed.
(f) If the Contractor fails to promptly perform the services again or to take the necessary action to ensure future performance in conformity with contract requirements, the Government may--
(1) By contract or otherwise, perform the services and charge to the Contractor any cost incurred by the Government that is directly related to the performance of such service; or
(2) Terminate the contract for default.

SECTION F
DELIVERIES OR PERFORMANCE
F.1 52.242-15 STOP-WORK ORDER (AUG 1989)
(a) The Contracting Officer may, at any time, by written order to the Contractor, require the Contractor to stop all, or any part, of the work called for by this contract for a period of 90 days after the order is delivered to the Contractor, and for any further period to which the parties may agree. The order shall be specifically identified as a stop-work order issued under this clause. Upon receipt of the order, the Contractor shall immediately comply with its terms and take all reasonable steps to minimize the incurrence of costs allocable to the work covered by the order during the period of work stoppage. Within a period of 90 days after a stop-work is delivered to the Contractor, or within any extension of that period to which the parties shall have agreed, the Contracting Officer shall either--
(1) Cancel the stop-work order; or
(2) Terminate the work covered by the order as provided in the Default, or the Termination for Convenience of the Government, clause of this contract.
(b) If a stop-work order issued under this clause is canceled or the period of the order or any extension thereof expires, the Contractor shall resume work. The Contracting Officer shall make an equitable adjustment in the delivery schedule or contract price, or both, and the contract shall be modified, in writing, accordingly, if--
(1) The stop-work order results in an increase in the time required for, or in the Contractor`s cost properly allocable to, the performance of any part of this contract; and
(2) The Contractor asserts its right to the adjustment within 30 days after the end of the period of work stoppage; provided, that, if the Contracting Officer decides the facts justify the action, the Contracting Officer may receive and act upon the claim submitted at any time before final payment under this contract.
(c) If a stop-work order is not canceled and the work covered by the order is terminated for the convenience of the Government, the Contracting Officer shall allow reasonable costs resulting from the stop-work order in arriving at the termination settlement.
(d) If a stop-work order is not canceled and the work covered by the order is terminated for default, the Contracting Officer shall allow, by equitable adjustment or otherwise, reasonable costs resulting from the stop-work order.
F.2 52.242-17 GOVERNMENT DELAY OF WORK (APR 1984)
(a) If the performance of all or any part of the work of this contract is delayed or interrupted
(1) by an act of the Contracting Officer in the administration of this contract that is not expressly or implied authorized by this contract, or
(2) by a failure of the Contracting Officer to act within the time specified in this contract, or within a reasonable time if not specified, an adjustment (excluding profit) shall be made for any increase in the cost of performance of this contract caused by the delay or interruption and the contract shall be modified in writing accordingly. Adjustment shall also be made in the delivery or performance dates and any other contractual term or condition affected by the delay or interruption.
However, no adjustment shall be made under this clause for any delay or interruption to the extent that performance would have been delayed or interrupted by any other cause, including the fault or negligence of the Contractor, or for which an adjustment is provided or excluded under any other term or condition of this contract.
(b) A claim under this clause shall not be allowed--
(1) For any costs incurred more than 20 days before the Contractor shall have notified the Contracting Officer in writing of the act or failure to act involved; and
(2) Unless the claim, in an amount stated, is asserted in writing as soon as practicable after the termination of the delay or interruption, but not later than the day of final payment under the contract.
F.3 1352.270-70 PERIOD OF PERFORMANCE (APR 2010)
(a) The base period of performance of this contract is from 07/01/2021 through 06/30/2022 . If an option is exercised, the period of performance shall be extended through the end of that option period.

The Contracting Officer is the only person authorized to make or approve any changes in any of the requirements of this contract, and, notwithstanding any provisions contained elsewhere in this contract, the said authority remains solely in the Contracting Officer. In the event the contractor makes any changes at the direction of any person other than the Contracting Officer, the change will be considered to have been made without authority and no adjustment will be made in the contract terms and conditions, including price.

(2) The COR is not authorized to make any commitments or otherwise obligate the Government or authorize any changes which affect the contract price, terms or conditions. Any contractor request for changes shall be referred to the Contracting Officer directly or through the COR. No such changes shall be made without the express written prior authorization of the Contracting Officer. The Contracting Officer may designate assistant or alternate COR(s) to act for the COR by naming such assistant/alternate(s) in writing and transmitting a copy of such designation to the contractor.
G.3 1352.216-76 PLACEMENT OF ORDERS (APR 2010)
(a) The contractor shall provide goods and/or services under this contract only as directed in orders issued by authorized individuals. In accordance with FAR 16.505, each order will include:

Unless otherwise stated in the contract terms and conditions, normal days of business operation are Monday through Friday, excluding Federal Holidays. However, throughout the contract period

If performance of the contract is onsite and/or requires Government interaction, unless you have been, or are notified that you are to work under an excepted status, you will automatically enter a temporary work stoppage. The work stoppage shall remain in effect until the lapse is resolved and notification is provided via the NIST website at https://www.nist.gov/ and/or the NIST operating status lines. Additionally, Contractors are encouraged to monitor public broadcasts or the Office of Personnel Management?s website at www.opm.gov for the Federal Government operating status.
NIST will provide notification to all contractors that are determined to have excepted status.
All excepted contractors are required to continue performance and communicate with the appointed Contracting Officer?s Representative (COR) for further guidance, or NIST Contracting Officer if a COR is not appointed.
Contractors with supply or service contracts that are fully funded at the time of contract award and do not require access to Government facilities, resources, or active administration by Government personnel in a manner that would cause the government to incur additional obligations during the lapse in appropriation may continue performance.

SECTION H
SPECIAL CONTRACT REQUIREMENTS
H.1 1352.208-70 RESTRICTIONS ON PRINTING AND DUPLICATING (APR 2010)
(a) The contractor is authorized to duplicate or copy production units provided the requirement does not exceed 5,000 production units of any one page or 25,000 production units in the aggregate of multiple pages. Such pages may not exceed a maximum image size of 10-3/4 by 14-1/4 inches. A "production unit" is one sheet, size 8-1/2 x 11 inches (215 x 280 mm), one side only, and one color ink. Production unit requirements are outlined in the Government Printing and Binding Regulations.
(b) This clause does not preclude writing, editing, preparation of manuscript copy, or preparation of related illustrative material as a part of this contract, or administrative duplicating/copying (for example, necessary forms and instructional materials used by the contractor to respond to the terms of the contract).
(c) Costs associated with printing, duplicating, or copying in excess of the limits in paragraph
(a) of this clause are unallowable without prior written approval of the Contracting Officer.
If the contractor has reason to believe that any activity required in fulfillment of the contract will necessitate any printing or substantial duplicating or copying, it shall immediately provide written notice to the Contracting Officer and request approval prior to proceeding with the activity. Requests will be processed by the Contracting Officer in accordance with FAR 8.802.
(d) The contractor shall include in each subcontract which may involve a requirement for any printing, duplicating, and copying in excess of the limits specified in paragraph (a) of this clause, a provision substantially the same as this clause, including this paragraph (d).
H.2 1352.209-72 RESTRICTIONS AGAINST DISCLOSURE (APR 2010)
(a) The contractor agrees, in the performance of this contract, to keep the information furnished by the Government or acquired/developed by the contractor in performance of the contract and designated by the Contracting Officer or Contracting Officer?s Representative, in the strictest confidence. The contractor also agrees not to publish or otherwise divulge such information, in whole or in part, in any manner or form, nor to authorize or permit others to do so, taking such reasonable measures as are necessary to restrict access to such information while in the contractor?
s possession, to those employees needing such information to perform the work described herein, i.e., on a "need to know" basis. The contractor agrees to immediately notify the Contracting Officer in writing in the event that the contractor determines or has reason to suspect a breach of this requirement has occurred.
(b) The contractor agrees that it will not disclose any information described in subsection (a) to any person unless prior written approval is obtained from the Contracting Officer. The contractor agrees to insert the substance of this clause in any consultant agreement or subcontract hereunder.
H.3 1352.209-73 COMPLIANCE WITH THE LAWS (APR 2010)
The contractor shall comply with all applicable laws, rules and regulations which deal with or relate to performance in accord with the terms of the contract.
H.4 1352.209-74 ORGANIZATIONAL CONFLICT OF INTEREST (APR 2010)
(a) Purpose. The purpose of this clause is to ensure that the contractor and its subcontractors:
(1) Are not biased because of their financial, contractual, organizational, or other interests which relate to the work under this contract, and
(2) Do not obtain any unfair competitive advantage over other parties by virtue of their performance of this contract.
(b) Scope. The restrictions described herein shall apply to performance or participation by the contractor, its parents, affiliates, divisions and subsidiaries, and successors in interest (hereinafter collectively referred to as "contractor") in the activities covered by this clause as a prime contractor, subcontractor, co-sponsor, joint venturer, consultant, or in any similar capacity. For the purpose of this clause, affiliation occurs when a business concern is controlled by or has the power to control another or when a third party has the power to control both.

(c) Warrant and Disclosure. The warrant and disclosure requirements of this paragraph apply with full force to both the contractor and all subcontractors. The contractor warrants that, to the best of the contractor?s knowledge and belief, there are no relevant facts or circumstances which would give rise to an organizational conflict of interest, as defined in FAR Subpart 9.5, and that the contractor has disclosed all relevant information regarding any actual or potential conflict. The contractor agrees it shall make an immediate and full disclosure, in writing, to the Contracting Officer of any potential or actual organizational conflict of interest or the existence of any facts that may cause a reasonably prudent person to question the contractor?s impartiality because of the appearance or existence of bias or an unfair competitive advantage. Such disclosure shall include a description of the actions the contractor has taken or proposes to take in order to avoid, neutralize, or mitigate any resulting conflict of interest.
(d) Remedies. The Contracting Officer may terminate this contract for convenience, in whole or in part, if the Contracting Officer deems such termination necessary to avoid, neutralize or mitigate an actual or apparent organizational conflict of interest. If the contractor fails to disclose facts pertaining to the existence of a potential or actual organizational conflict of interest or misrepresents relevant information to the Contracting Officer, the Government may terminate the contract for default, suspend or debar the contractor from Government contracting, or pursue such other remedies as may be permitted by law or this contract.
(e) Subcontracts. The contractor shall include a clause substantially similar to this clause, including paragraphs (f) and (g), in any subcontract or consultant agreement at any tier expected to exceed the simplified acquisition threshold. The terms "contract," "contractor," and "Contracting Officer" shall be appropriately modified to preserve the Government?s rights.
(f) Prime Contractor Responsibilities. The contractor shall obtain from its subcontractors or consultants the disclosure required in FAR Part 9.507-1, and shall determine in writing whether the interests disclosed present an actual, or significant potential for, an organizational conflict of interest. The contractor shall identify and avoid, neutralize, or mitigate any subcontractor organizational conflict prior to award of the contract to the satisfaction of the Contracting Officer. If the subcontractor?s organizational conflict cannot be avoided, neutralized, or mitigated, the contractor must obtain the written approval of the Contracting Officer prior to entering into the subcontract. If the contractor becomes aware of a subcontractor?s potential or actual organizational conflict of interest after contract award, the contractor agrees that the Contractor may be required to eliminate the subcontractor from its team, at the contractor?s own risk.
(g) Waiver. The parties recognize that this clause has potential effects which will survive the performance of this contract and that it is impossible to foresee each circumstance to which it might be applied in the future. Accordingly, the contractor may at any time seek a waiver from the Head of the Contracting Activity by submitting such waiver request to the Contracting Officer, including a full written description of the requested waiver and the reasons in support thereof.
H.5 1352.216-74 TASK ORDERS (APR 2010)
(a) In task order contracts, all work shall be initiated only by issuance of fully executed task orders issued by the Contracting Officer. The work to be performed under these orders must be within the scope of the contract. The Government is only liable for labor hours and costs expended under the terms and conditions of this contract to the extent that a fully executed task order has been issued and covers the required work and costs. Charges for any work not authorized shall be disallowed.
(b) For each task order under the contract, the Contracting Office shall send a request for proposal to the contractor(s). The request will contain a detailed description of the tasks to be achieved, a schedule for completion of the task order, and deliverables to be provided by the contractor.
(c) The contractor shall submit a proposal defining the technical approach to be taken to complete the task order, work schedule and proposed cost/price.
(d) After any necessary negotiations, the contractor shall submit a final proposal.
(e) Task orders will be considered fully executed upon signature of the Contracting Officer. The contractor shall begin work on the task order in accordance with the effective date of the order.
(f) The contractor shall notify the Contracting Officer of any instructions or guidance given that may impact the cost, schedule or deliverables of the task order. A formal modification to the task order must be issued by the Contracting Officer before any changes can be made.
(g) Task orders may be placed during the period of performance of the contract. Labor rates applicable to hours expended in performance of an order will be the contract rates that are in effect at the time the task order is issued.

(h) If multiple awards are made by the Government, the CO shall provide each awardee a fair opportunity to be considered for each task order over the micro-purchase threshold unless one of the exceptions at FAR 16.505(b) applies.
H.6 1352.231-71 DUPLICATION OF EFFORT (APR 2010)
The contractor hereby certifies that costs for work to be performed under this contract and any subcontract hereunder are not duplicative of any costs charged against any other Government contract, subcontract, or other Government source. The contractor agrees to advise the Contracting Officer, in writing, of any other Government contract or subcontract it has performed or is performing which involves work directly related to the purpose of this contract. The contractor also certifies and agrees that any and all work performed under this contract shall be directly and exclusively for the use and benefit of the Government, and not incidental to any other work, pursuit, research, or purpose of the contractor, whose responsibility it will be to account for it accordingly.
H.7 1352.237-71 SECURITY PROCESSING REQUIREMENTS - LOW RISK CONTRACTS (APR 2010)
(a) Investigative Requirements for Low Risk Contracts. All contractor (and subcontractor) personnel proposed to be employed under a Low Risk contract shall undergo security processing by the Department?s Office of Security before being eligible to work on the premises of any Department of Commerce owned, leased, or controlled facility in the United States or overseas, or to obtain access to a Department of Commerce IT system. All Department of Commerce security processing pertinent to this contract will be conducted at no cost to the contractor.
(b) Investigative requirements for Non-IT Service Contracts are:
(1) Contracts more than 180 days - National Agency Check and Inquiries (NACI)
(2) Contracts less than 180 days - Special Agency Check (SAC)
(c) Investigative requirements for IT Service Contracts are:
(1) Contracts more than 180 days - National Agency Check and Inquiries (NACI)
(2) Contracts less than 180 days - National Agency Check and Inquiries (NACI)
(d) In addition to the investigations noted above, non-U.S. citizens must have a background check that includes an Immigration and Customs Enforcement agency check.
(e) Additional Requirements for Foreign Nationals (Non-U.S. Citizens). Non-U.S. citizens (lawful permanent residents) to be employed under this contract within the United States must have:
