Amendment 0003

I – QUESTIONS AND ANSWERS

Question #1: There seems to be a difference between the Solicitation/Proposal and the SOW in what is required to be included on the invoice that the contractor submits. See attached Excel workbook for detail comparison. Which requirement are we supposed to follow?

The requirements from the SOW state:

The contractor shall provide the TO-COR an electronic itemized invoice covering each sale. The invoice shall show the date of the auction, a complete “REMIT TO” address, the master contract number, task order number, invoice number, vendor number and a listing of the vehicles sold, sorted by Fleet Management Center (FMC) number, as explained by the TO-COR and in license tag number sequence. The invoice shall include all CLIN services rendered for each vehicle sold on the sale, broken out by contract line item number (e.g., transportation MapQuest mileage, cleaning, plate removal, etc.) and all TO-COR approved repairs. GSA will define the electronic file requirements in a comma delimited ASCII format, in Microsoft Excel format, or other electronic format as directed by the COR. The contractor cannot receive payment for auction or CLIN services by deducting any amount from the sale proceeds. Concurrently, the contractor shall electronically submit the invoice to GSA's Finance Payment Office for payment. The method of electronic submission will be provided by the TO-COR. The current method is Vendor and Customer Self Service (VCSS).

Within two (2) business days after the sale, the contractor shall electronically submit the data used to complete the itemized invoice to the GSA server or designated web-based application to include:

● Static Charge Fields (for each individual vehicle) o Class-Tag, VIN, Year, Make, Model, Mileage, Auction Fee, Transport Fee, Reconditioning Fee, Wash/Vac Fee, Decal Removal Fee, Number of License Plates, Plate Disposition Fee, Static Internet Auction Fee, Concurrent Live Broadcast Fee, Inventory Management System Fee, Additional Security and Storage, Additional Advertising

● Repair Charge Fields (for each individual vehicle) o Class-Tag, VIN, Repair Class Key, Repair Description, Parts Cost, Parts Quantity, Labor Cost, Repair or Replace Flag

The clause 52.212-4 paragraph (g) in the solicitation states:

(g) Invoice.

(1) The Contractor shall submit an original invoice and three copies (or electronic invoice, if authorized) to the address designated in the contract to receive invoices. An invoice must include-

(i) Name and address of the Contractor;

(ii) Invoice date and number;

(iii) Contract number, contract line item number and, if applicable, the order number;

(iv) Description, quantity, unit of measure, unit price and extended price of the items delivered;

(v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on Government bill of lading;

(vi) Terms of any discount for prompt payment offered;

(vii) Name and address of official to whom payment is to be sent;

(viii) Name, title, and phone number of person to notify in event of defective invoice; and

(ix) Taxpayer Identification Number (TIN). The Contractor shall include its TIN on the

3 | P a g e invoice only if required elsewhere in this contract.

(x) Electronic funds transfer (EFT) banking information.

(A) The Contractor shall include EFT banking information on the invoice only if required elsewhere in this contract.

(B) If EFT banking information is not required to be on the invoice, in order for the invoice to be a proper invoice, the Contractor shall have submitted correct EFT banking information in accordance with the applicable solicitation provision, contract clause (e.g., 52.232-33, Payment by Electronic Funds Transfer-System for Award Management, or 52.232- 34, Payment by Electronic Funds Transfer-Other Than System for Award Management), or applicable agency procedures.

(C) EFT banking information is not required if the Government waived the requirement to pay by EFT.

(2) Invoices will be handled in accordance with the Prompt Payment Act (31 U.S.C. 3903) and Office of Management and Budget (OMB) prompt payment regulations at 5 CFR Part 1315.

These two requirements are complementary. The requirement in the SOW is what is required for the TO-COR to review/approve the invoice for payment. The requirement in the solicitation is what is required for GSA’s Finance Office to remit payment. Both are required in order for a valid invoice to be submitted, reviewed, and paid.

Question #2: SOW-Page 30; Invoicing Requirements: CLIN 0006 (1006-3006) - Sales Preparation. “Sales Preparation shall be invoiced separately by sale. The contractor shall provide the COR an electronic itemized invoice covering each sale. The invoice shall show the date of the auction, a complete “REMIT TO” address, the master contract number, task order number, invoice number, vendor number, and a listing of the vehicles offered with VIN, sorted by ordering office (Fleet Management Center, as explained by the TOCOR) and in license tag number sequence.”

A Marshalling site will not have this information readily available. Does this invoicing direction apply to Tier III Marshalling?

If the TIER III Marshaling Contractor is offering CLIN 0006 Sales Preparation services, they will have to comply with this requirement. The information necessary to complete the invoice may be supplied by either the TO-COR or the sponsoring auction facility.

Question #3: SOW-Page 30; Electronic use of GSAs FMS2GO Mobile App:

Does this replace the MC90?

Response: FMS2GO is the application that runs on the MC90. The MC90 is what ‘runs’ FMS2GO (software). It does not replace the MC90.

Question #4: Attachment D; CLIN 0011F; Item 50; Paintless Dent Repair (PDR) Labor Rate per vehicle. Should it read per hour as noted in Page 42 of the SOW verses per vehicle?

4 | P a g e

Pricing should be submitted on labor rate per hour and not per vehicle. Line 93 of the Spreadsheet (Attachment D) has been changed to per hour and is now Line 100 since GSA has added lines for the firm to identify the Offeror and the Place of Performance at the top the Spreadsheet. A revised/updated Attachment D – Schedule of Items New Solicitation has been provided. The revised/updated Attachment D replaces the original Attachment D. Offers must provide the correct Attachment D Spreadsheet in their response.

Question #5: Attachment A – Proposal Checklist: Under “Complete solicitation, including fill-ins”.

Does the SOW need to be included with our response?

No. The SOW is one of the attachments and it is considered a part of the solicitation, however, there are no fill-ins in the SOW that need to be completed.

Question #7: Attachment D; Schedule of Items (required Excel file):

a. Font provided in sample is 10 point – are we required to convert to 12 point?

No. The 12 point font is for the Technical Response Documents not the Excel Spreadsheet.

b. The format for the Schedule of Items did not provide for the Offerors name/locations. We propose a sample header:

Ø Offeror:

Ø Place of Performance: (Street, Address, City, State, Zip Code)

Ø Name & Address of Owner and Operator of Facility if other than Offeror or Representative

Attached, please see a revised-updated Attachment D which includes Offeror and Place of Performance. Per the SOW on page 13, The contractor must be the owner or legal lessee of the auction facility where work performed under auction services is to be conducted. As such, no firm can submit an offer for auction services unless they are the owner or legal lessee of the auction facility.

Amendment 0003 includes an update/correction to the SOW which also mandates that the contractor must the owner or legal lessee of the marshalling site where work performed under marshalling services is to be conducted. See Amendment 0003 after the Questions & Answers.

5 | P a g e

A revised/updated Attachment D – Schedule of Items New Solicitation has been provided. The revised/updated Attachment D replaces the original Attachment D. Offerors must provide the correct Attachment D Spreadsheet in their response.

A revised/updated Attachment F – Proposals Questions Workbook has been provided. The revised/updated Attachment F replaces the original Attachment F. Offerors must provide the correct Attachment F Spreadsheet in their response. The change to Attachment F is verifying the firm owns/leases the facility used for marshalling.

c. When offeror has multiple locations with different pricing can the pricing be in separately identified tabs for each location?

Submit a separate spreadsheet (updated Attachment D) for each location.

d. When offeror has multiple locations with common pricing can those locations be listed in the header of the same tab?

Submit a separate spreadsheet (updated Attachment D) for each location.

Question #8: Solicitation-Page 89; Proposal Preparation: Times New Roman/12 Font/1” Margins:

On Government websites Representations & Certifications are not formatted in Times New Roman/Font 12. Will you accept their format style?

Yes.

Question #9: Amendment 1 for the Auction & Marshalling Services Solicitation QMAA-JM- 150010-D. On item 11 it is stated the due date is extended. However, on item 14 the new due date is not listed. Please confirm if the due date is in fact extended.

The due date for the response was not extended. The box was checked incorrectly. Amendment 0002, however, did extend the solicitation closing until Monday, September 28, 2015 at 2:00 PM eastern time.

Question #10: Part of the requirements are to show proof of registration in the Central Contractor Registration (CCR) and the Online Representations & Certifications Application (ORCA). Since those two items are now part of SAM, will proof of registration in SAM be sufficient for all three registrations?

Yes, provided that all the items are completed in SAM.

Question #11: Regarding the subcontracting plan, from what I have read, I understand that if you are doing more than $650,000 in business and/or have 500+ employees you have to have a subcontracting plan, otherwise you do not. Am I interpreting this correctly?

6 | P a g e

Yes, however, for all large business firms, GSA will require a subcontracting plan. Since this is an Indefinite Delivery Indefinite Quantity contract and GSA does not know, ahead of time, the business volume of all firms, GSA will estimate the dollar value of all large firms at $650,000 or higher (dependent upon historical information it may be higher) which will require submission of a subcontracting plan. This is NOT a guarantee of any volume of business. It should be noted that there is current proposed revision to the FAR which may increase the dollar threshold above $650,000 – if that does occur, the estimated value will raised for large firms to the level requiring a subcontracting plan. Again, this is NOT a guarantee of any volume of business.

Question #12: Does every company have to submit a security bond? If so how does the amount of the bond requirement get determined?

Performance Bonds are required for firms who receive task orders for Tier I or Tier II services.

Per the solicitation on page 40 the dollar value(s) required are:

The Contractor shall furnish a performance bond (Standard Form 1418) for the protection of the Government in an amount equal to $500,000 if the firm has up to four (4) sites under contract for auction services or $1,000,000 if the firm has five (5) or more sites under contract for auction services.

Unless/until a firm receives a task order for Tier I or Tier II a performance bond is not required.

You do not need to provide a performance bond to submit a proposal. The TO-CO will require a copy of the bond prior to allowing the firm to proceed. A copy of the bond must be sent to the CO of the contract. Should the firm fail to provide a performance bond per the requirements of the solicitation after receipt of a task order, they may be found to be in violation of the terms of the contract and may be terminated for cause.

Question #13: What is an example of when rent would be owed to the government? Is this something that may never occur?

Any Government Furnished Equipment (e.g. the MC90) is only permitted to be used for fulfilling requirements of any GSA contract awarded under this solicitation and no government furnished equipment of any sort can be used outside of the contract. As such, rental does not apply. The clause referencing it is a mandatory clause for the solicitation that could not be altered.

Question #14: Can you provide an example of previous proposals submitted for this contract if there is something other than the bid price sheets required.

No. Previous proposals cannot be provided to any individual or entity.

Question #15: Based on the site survey checklist, we would like to use the location of our new facility that is currently being constructed. The project has a completion date of May 1, 2016. Will this cause an issue?

7 | P a g e

Perhaps? It depends upon whether or not the new site meets all of the site requirements of the contract. If it does not meet the requirements at the time that the site visit is conducted the offer may be rejected. You can, however, offer more than one site, and if a contract is awarded, you can add additional sites – however site visits will be required prior to adding on additional sites.

Question #16: After reviewing the commercial/individual plans, I’m still confused on how to determine if a commercial plan or an individual plan should be used?

a. Also, how am I to determine the Estimated Contract Value when there are an indefinite amount of vehicles to be run. Furthermore, without an dollar amount how do I determine the dollar amount planned to be subcontracted as stated on the commercial or individual form.

A commercial plan is for all of your firm’s commercial business (not just government) and this allows you to provide information for your entire business and not just the GSA business. The Individual Plan is only for this specific contract. If your firm, historically, has done business with GSA then the dollar figures historically should assist you in providing an accurate estimate.

If you have not, then GSA will estimate the value at $650,000 (if the dollar value to require a subcontracting plan is raised in the FAR, the estimate will be raised for large firms to require the submission of a subcontracting plan). This is NOT a guarantee for any volume of business.

Question #17: Is the solicitation restricted to small business

No.

Question #18: What is the maximum size of an attachment that the GSA email system will accept?

In accordance with Clause 52.212-1 it states, in part, “(f) Late submissions, modifications, revisions, and withdrawals of offers.

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and-

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government’s control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the

Government, will be considered at any time it is received and may be accepted.

8 | P a g e

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.”

Offerors shall submit their proposal documents in soft copy electronic version (.zip files containing electronic proposal documents) by the due date listed on the solicitation. The file size limitation for electronic submissions is 25MB (megabytes) per email. GSA’s email service cannot accept inbound messages exceeding 25MB.

Question #19: Consistent with our submission to solicitation QMAE‐F9‐100006‐N (reference the below emails), upon reviewing the data to be submitted to GSA's Solicitation QMAAJM150010D solicitation, our corporate office has a concern to provide "Financial data" as per pages 89 & 90 (attached) covering the past 3 years embedded into a single electronic submission. The firm is a privately held has confidential matter that they would not like anyone to have access to the full details. However, they are willing to provide it as required to support this solicitation, as long as it can be sent separately, directly from their corporate finance department. Please confirm whether we are authorized to submit the required Financial information as done previously and be responsive to your instructions when submitting all data for your evaluation.

This is acceptable.

Question #20: Regarding the requirement of proof of registration in ORCA and CCR, does a single proof from SAM showing the entity is active and has an expiration date in the future suffice? In other words, since both registrations occur in SAM, are separate proofs required for both ORCA and CCR?

Proof of SAM registration is acceptable, however all items required in the solicitation need to be complete in SAM (e.g. Reps & Certs).

Question #21: There seems to be a difference between the Solicitation/Proposal and the SOW in what is required to be included on the invoice that the contractor submits. See attached Excel workbook for detail comparison. Which requirement are we supposed to follow?

See question #1 of Amendment 0003. The requirements in the SOW are required for validation of the invoice, the requirements in the solicitation are required for payment of the invoice.

Question #22: As I fill out the price proposal I am only able to fill out the Base Period template it does not allow me to do the follow up years? Do we submit that at a later time?

No. Future years are based upon the Producer Price Index (PPI) see clause D.39 on pages 67-69.

The clause is entitled, “552.216-71 Economic Price Adjustment—Special Order Program Contracts Alternate I (Aug 2010)”

Question #23: Our financials has a pass word protect on it will that that be acceptable?

9 | P a g e

Yes. Provided you give us the password and we can view the information. The password must be provided with the response to the solicitation.

Question #24: VETS100 Report Can you confirm that a completed VETS100 report is required with our offer submission?

I’ve seen this regulation listed in other RFPs as a requirement for the successful awardee, rather than at the offer submission stage….

On page 90 it states:

• VETS 100

The U.S. Department of Labor (DOL), Veterans' Employment and Training Service (VETS) annually collects and compiles the Federal Contractor Veterans' Employment Report (VETS-100) from Federal contractors and subcontractors who receive Federal contracts of $100,000 or more. This VETS-100 Report is due annually, on September

30. Offerors shall complete an online submission of the VETS 100 report through the following website: http://www.dol.gov/vets/vets-100.html. Offeror shall submit proof of completion of a VETS 100 report [emphasis added].

GSA does not require a copy of the VETS 100 report. It requires proof that the VETS 100 report has been completed.

Question #25: In the information provided, it states that Federal contractors must submit a Federal Contractor Veterans’ Employment Report (VETS100). The website provided to submit the report is http://www.dol.gov/vets/vets100.html. When I attempt to go to that website, it comes up “page not found”. Do you know of a different website that we might go to in order to complete that report?

Until September 30, 2015 the program for VETS100 is still valid, however, the name of the program has changed and there is a new form VETS 4212. The URL for VETS 4212 is:

http://www.dol.gov/vets/vets4212.htm

This Amendment formally changes the requirement to providing either proof that VETS 100 report has been completed OR proof that VETS 4212 has been completed.

Question #26: Regarding the subcontracting plan, from what I have read, I understand that if you are doing more than $650,000 in business and/or have 500+ employees you have to have a subcontracting plan, otherwise you do not. Am I interpreting this correctly?

No. See question #11 of Amendment 0003. If your firm is a large business the estimated dollar value will be at least $650,000.00. Your firm will be required to submit a subcontracting plan.

The estimate is NOT a guarantee for any level of business. If the FAR is updated to increase the

10 | P a g e dollar threshold for a subcontracting plan and your firm is a large business, GSA will raise the estimated dollar value to at least the dollar value to require a subcontracting plan. Again, the estimate is NOT a guarantee for any level of business.

Question # 27: When we try to register in the SAM system we are being told our DUNS number is incorrect. Could you please assist us with this issue?

No. The SAM Helpdesk may be able to assist. The FAQs which also might of assistance can be found at:

https://www.sam.gov/portal/SAM/?portal:componentId=5c8a0e98-8627-4de4-8635-f9f6b58e3fed&interactionstate=JBPNS_rO0ABXc0ABBfanNmQnJpZGdlVmlld0lkAAAAAQA TL2pzZi9uYXZpZ2F0aW9uLmpzcAAHX19FT0ZfX**&portal:type=action#1

Question # 28: In regards to Attachment F: under Proposal Information, #12, 13, 14 and

16. When the word ONLY is used, does that me that if for instance under #12 Tier III Marshalling Services does that mean that we will also be including Electronic Inventory Management?

Per the Statement of Work on page 48, it states:

General The EIMS service provision is a mandatory requirement if the offeror is proposing services under Tier I - Auction Services and/or Tier II - Static Internet Sales. If the offeror is proposing EIMS services in conjunction with Tier I or Tier II, then it shall be mandatory to provide EIMS services under Tier III. Otherwise, it is an optional service if the offeror is only proposing services under Tier III-Marshalling Services [emphasis added].

Question #29: Regarding all internet sales that will be held during the term of this contract:

(a) Will they be exclusively held on the contractor’s site? Or is there a possibility that GSA will sell the exchanged vehicles on the GSA’s auction’s site?

Internet sales may be held at either the contractor’s site or on the GSA Auction site.

(b) Any vehicle purchased in Puerto Rico pays import taxes. All Federal Government vehicles that enter the island do not pay these taxes. This estimated tax needs to be declared at the time of sale. Is the GSA going to take in account that the buyers will have to pay import taxes when determining the bestselling price for each vehicle in Puerto Rico?

No.

Question #30: Our parent company has an inactive DUNS number that needs to be reactivated and we were unaware of. We are concerned that this process may create a time delay on the SAM registration and it may not be completed by the RFP deadline date. Will providing proof that we have requested reactivation of the DUNS number provide a temporary completion of the RFP until we can complete the SAM registration?

11 | P a g e

Yes, however if the firm’s SAM is not completed prior to GSA being ready to award, GSA may reject the offer for noncompliance with SAM.

Question #31: The VETS 100 online submission at http://www.dol.gov/vets/vets-100.html is not working. It is saying that the page is not found. Is there an alternative way to submit?

See the response to Question 25.

Question #32: According to SF 1449 instructions at the top of the page the “Offeror” is to complete blocks 23 and 24. Was this a mistake or do you actually want us to complete items 23 “Unit Price” and 24 “Amount” without knowing what CLINS are going to be requested and what units will be sent to us.

This question was addressed on Amendment 0001. Please see the response to Question 7 of Amendment 0001.

Question #31: Typically, throughout the industry, vehicle manufacturers pay the entity that accepts delivery of new vehicles, whether it be a dealership or other courtesy delivery point, some amount of money as a PDI (Pre-Delivery Inspection) fee. Under this marshaling solicitation, should the marshaling facility expect to receive the PDI fee paid by the manufacturer? Or is the fee retained by the GSA?

GSA does not receive a PDI fee from the manufacturer. GSA cannot state whether or not your firm has any agreement with any manufacturer regarding any PDI fee so cannot answer whether or not any manufacturer will pay you a PDI fee.

Question #32: Certain services in the SOW are required if you offer other services. We would like to offer services for all Type 1 vehicles, but would not like to offer services for Type 2 vehicles. Is this acceptable?

While there is nothing prohibiting the submission of an offer only for Type 1 vehicles; it may negatively impact your firm’s ability to receive task orders at the task order level – since GSA’s requirement for sale of vehicles typically includes both Type 1 and Type 2 vehicles. It is less likely that the firm will receive a task order.

Question #33: If Type 2 services are required, is it acceptable to offer every service except for drive away service for Type 2 vehicles?

No.

Question #34: If a company is labeled small business (under 500 employees and under $650,000) and will not use any form of subcontracted labor, do they need to complete Attachment C:

Subcontracting Plan Information?

12 | P a g e

Small businesses do not need to complete and submit Attachment C.

Question $35: As a small business, do we need to submit the Subcontracting Plan?

No.

Question #36: The solicitation references the term simplified acquisition threshold. I can’t find anywhere that indicates what that threshold is. Any information would be much appreciated Per the Federal Acquisition Regulations, the definition of Simplified Acquisition Threshold is:

“Simplified acquisition threshold” means $150,000, except for acquisitions of supplies or services that, as determined by the head of the agency, are to be used to support a contingency operation or to facilitate defense against or recovery from nuclear, biological, chemical, or radiological attack (41 U.S.C. 1903), the term means-

(1) $300,000 for any contract to be awarded and performed, or purchase to be made, inside the United States; and

(2) $1 million for any contract to be awarded and performed, or purchase to be made, outside the United States.

Question #37: Provide a sample of your proposed GSA auction support services invoice for review.....is it the block ticket.

No it is not the block ticket. GSA does not have/has not created a sample of the GSA Auction Support Services Invoice.

Question #38: Our submission for the GSA that is currently in effect was 42mb. Email systems usually restrict email attachments to a limit of 20-25mb. If the submission that we are working on is larger than 20-25mb can we submit it in multiple emails? If not, how do we resolve the issue?

In accordance with Clause 52.212-1 it states, in part, “(f) Late submissions, modifications, revisions, and withdrawals of offers.

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation.
