About this file

This is a contract clauses document for federal contract W50S8A26QA008, which incorporates a comprehensive set of Defense Federal Acquisition Regulation Supplement (DFARS) and Federal Acquisition Regulation (FAR) clauses applicable to commercial products and services procurements by the National Guard.

The document establishes a framework for a time-and-materials or labor-hour contract with specific payment terms including hourly rates for labor, reimbursement of direct materials at actual cost not to exceed established catalog prices, and fixed indirect cost rates. Key contractual provisions include: a ceiling price that the contractor cannot exceed without written authorization; inspection and acceptance procedures with a 60-day presumption of acceptance; Government right to reject nonconforming work up to six months after delivery; termination rights for both convenience and cause; and a requirement for final release of claims as a condition of final payment. The contract incorporates mandatory representations and certifications covering areas such as delinquent tax liability, felony convictions, covered defense telecommunications equipment restrictions, Xinjiang Uyghur Autonomous Region procurement prohibitions, business operations with the Maduro regime, and buy American compliance. Payment will be processed through the Wide Area Workflow (WAWF) system using cost vouchers for cost-type items and invoices for fixed-price line items. The solicitation includes an addendum establishing a National Guard Agency Protest Program as an alternative dispute resolution forum, with protests to be resolved within 35 calendar days. Evaluation criteria for award include technical merit, past performance, and price, with the specific weighting to be determined in the actual solicitation.

Addendum to 52.212-1 Instructions to Offerors-Commercial Products and Commercial Services

NG Agency Protest Program is intended to encourage interested parties to seek resolution of their concerns with the National Guard (NG) as an Alternative Dispute Resolution forum, rather than filing a protest with the Government Accountability Office (GAO) or other external forum. Contract award or performance is suspended during the protest to the same extent, and within the same time periods as if filed at the GAO. The NG protest decision goal is to resolve protests within 35 calendar days from filing. An agency protest may be filed with either the Contracting Officer or the NG Agency’s Protest Decision Authority, but not both, in accordance with NG protest procedures.

To be timely, the protests must be filed with the periods specified in FAR 33.103. To file a protest under the NG Agency Protest Program, the protest must request resolution under that program and be sent to the address below:
