About this file
This is a Professional Service Agreement Template issued by the City of Sanger, Texas, for non-architect/engineer professional services. The template establishes the standard contractual framework for service agreements between the City of Sanger and contractors providing professional services in response to Requests for Bid or Proposal. The agreement incorporates by reference the Scope of Work (Attachment A), Bid/Pricing Schedule (Attachment B), Insurance and Bond Requirements (Attachment C), and Warranty Requirements (Attachment D), along with the original RFB/RFP solicitation and the contractor's bid response. The contract term begins upon issuance of a Notice to Proceed from the Contract Administrator or Procurement Division and may be extended through mutual written agreement for specified option periods. Following the initial term and any option periods, the agreement may continue on a month-to-month basis for up to six months with either party able to terminate upon 30 days' written notice.
The agreement establishes compensation not to exceed an amount specified in Attachment B, with payment due within 30 days of invoice receipt and City acceptance of services. All pricing must comply with the attached Bid/Pricing Schedule, and unused amounts from initial or option periods may be allocated to subsequent periods at the City's discretion. Prior to performance, contractors must provide certificates of insurance evidencing required coverages naming the City as additional insured, evidence of professional licenses, and maintain workers' compensation coverage for their employees. The contract is subject to non-appropriation; continuation after each fiscal year ending September 30th depends on City Council budget approval. The City may terminate the agreement for breach with a reasonable cure period, for convenience with 30 days' notice, or for tax payment noncompliance with 24 hours' notice. Contractors must comply with all applicable Texas laws and federal requirements including Title VI Civil Rights Act compliance, Israel and energy company boycott prohibitions, and firearm entity non-discrimination requirements. The agreement is governed by Texas law with venue in Hays County, Texas.
