About this file

This is a Fermilab Procurement Exhibit document establishing compliance requirements for federal anti-discrimination laws in subcontracts. The document (PROC-EXH-469, Version 1.0, effective October 1, 2026) incorporates FAR 52.222-90 regarding addressing DEI discrimination by federal contractors with a deviation dated April 2026.

The document mandates that subcontractors comply with FAR 52.222-90 and flow its provisions down to all tiers of sub-subcontractors. Key requirements include: (1) subcontractors shall not engage in racially discriminatory diversity, equity, and inclusion (DEI) activities, defined as disparate treatment based on race or ethnicity in recruitment, employment, contracting, program participation, or resource allocation; (2) subcontractors must furnish all required information, reports, and access to books and records for compliance verification; (3) noncompliance may result in contract cancellation, termination, suspension, or declaration of ineligibility for further government contracts; (4) subcontractors must report any known or reasonably knowable violations by lower-tier subcontractors to the Contracting Officer and implement directed remedial actions; and (5) subcontractors must inform the Contracting Officer if a subcontractor lawsuit challenges the clause's validity. Additionally, subcontractors must provide signed representation and certification of compliance using the Subcontractor Supplemental Certification form and promptly report any non-compliance to FFDG. Compliance is designated as material to the Government's payment decisions under 31 U.S.C. 3729(b)(4).
