About this file

This is a Payment Bond form issued by the City of Napa, California for use in public works contracts. The bond serves as a guarantee mechanism to ensure that contractors and their subcontractors fulfill all payment obligations related to labor, materials, equipment, and statutory withholdings required under California law. The bond protects authorized claimants, including laborers, material suppliers, and equipment providers, by providing recourse against the surety if the contractor fails to make timely payments. The bond amount is to be determined based on the specific project contract value and must comply with California Civil Code sections 9550 et seq. The bond remains in effect throughout the contract performance period and is binding on successors, assigns, and heirs of both the contractor and surety.

The payment bond is governed by California law with venue established in Napa County Superior Court. The surety waives notification requirements for contract alterations or time extensions and waives certain Civil Code provisions that would otherwise require surety consent. The city reserves the right to waive the requirement for a new bond on supplemental contracts. The bond becomes null and void only upon complete and timely payment of all contract obligations in accordance with the contract terms and applicable California statutes. The surety is responsible for the city's attorneys' fees and costs in any enforcement action. The form requires completion of project identification information, bond amount, surety contact details, execution dates, and signatures from the contractor, surety, and city representative, along with notarized acknowledgments and power of attorney documentation from the surety.
