About this file
This is a Data Use Agreement (DUA) Addendum A for RFP #124528 issued by the State of Nebraska Department of Health and Human Services for a Medicaid Drug Rebate System contract. The DUA establishes the framework for the contractor's handling of confidential information, including Protected Health Information (PHI) and other sensitive data related to Medicaid drug rebates. The agreement applies to all contractors and their subcontractors and outlines authorized purposes for data access, use, disclosure, and transmission. Key responsibilities include establishing administrative, physical, and technical safeguards; designating Privacy and Information Security Officials; implementing breach notification procedures; and maintaining compliance with HIPAA, NIST standards, and applicable federal and state laws. The contractor must ensure all Authorized Users have a demonstrable need for data access and have executed written acknowledgements of their obligations under the DUA.
The contractor bears full financial responsibility for breach investigation, mitigation, and notification costs. Breach notification requirements vary by data type: breaches involving federal information obtained from federal systems of records must be reported to DHHS within one hour of discovery, while all other confidential information breaches must be reported within fifteen days. The contractor must provide weekly status updates during the incident response period and submit a comprehensive investigation report upon conclusion, including root cause analysis, affected individuals, mitigation steps, and preventive measures. Upon contract termination or expiration, the contractor must return or destroy all confidential information at DHHS's election and at the contractor's expense, with written certification that no copies remain. DHHS retains ownership of all data collected and reserves the right to inspect contractor facilities, systems, and records to monitor compliance. Material violations of the DUA may result in corrective action plans, cure periods, immediate termination, or referral to regulatory authorities, and DHHS may seek injunctive relief without demonstrating damages.

DHHS will respond to all such requests, unless Contractor is Required by Law to respond or DHHS has given prior written consent for Contractor to respond to and account for all such requests.
3.2. With respect to ALL Confidential Information, Contractor shall:
3.2.1. Exercise reasonable care to the same degree of care Contractor uses to protect its own confidential, proprietary, and trade secret information to prevent Confidential Information from being used in a manner that is not expressly an Authorized Purpose or Required by Law. DHHS may approve the method of secure transmission before any Confidential Information is transmitted by Contractor. A secure transmission of electronic Confidential Information in motion includes secure File Transfer Protocol (SFTP) or encryption at an appropriate level as required by rules, regulation, or law. Confidential Information at rest requires encryption unless there is adequate administrative, technical, and physical security or as required by rules, regulation, or law. All electronic data transfer and communications of Confidential Information shall be completed through a secure system. Contractor shall provide proof of system, media, or device security and/or encryption to DHHS no later than 48 hours after DHHS' written request.
