About this file
This document is a records management guidance document for the Fargo VA Health Care System (VAHCS) that outlines when federal records management language must be included in contracts and provides the required contractual clause language.
The guidance identifies 12 categories of contracts that trigger federal records management requirements, including architect design services, equipment that retains veteran data, construction/repair plans, preventative maintenance, temporary and contract employees, training services, transcription services, coding contracts, standalone medical equipment (MRI/CT), and shredding services. Contractors must determine whether their contract will create federal records by asking whether it includes reports, design services, data-retaining equipment, or other specified activities. The Records Officer reviews Statements of Work to determine if National Archives and Records Administration (NARA) language must be added, with final contracts reviewed to ensure records management requirements are clearly defined. Acquisition Utilization Specialists coordinate with the Information Systems Security Officer (Bob.Berg@va.gov), Privacy/FOIA Officer (Jamie.Zettel@va.gov), Records Officer (Patricia.Thoen@va.gov), and VHAFAR Records Management (VHAFARRecordsManagement@va.gov).
The required Records Management Obligations clause mandates that contractors comply with the Federal Records Act, NARA regulations, Privacy Act, and FOIA requirements for all federal records created, received, or maintained under the contract. Key contractor obligations include maintaining records in accordance with federal law, preventing unauthorized destruction or removal, immediately notifying the Contracting Officer of inadvertent disclosures, obtaining approval before engaging subcontractors with record access, using government IT equipment only for contract-authorized purposes, prohibiting retention or sale of deliverables containing Privacy Act-protected information, completing VHA-provided records management training, and incorporating these requirements into all subcontracts with written acknowledgment. The government retains unlimited ownership rights to all data and records produced under the contract.
