SECTION B - SUPPLIES OR SERVICES AND PRICES

The following have been modified:

CLIN INFORMATION

CLIN INFORMATION

Non-Performance-based Cost Plus Fixed Fee (CPFF) Term Form (Level of Effort) Orders will be issued with Cost

(no fee) CLINs for reimbursable travel. See level of effort clause below

Note:

(1) All labor ceiling, inclusive of cost and fee, for CPFF CLINs 0002 through 0006 (NSP CLINs) is included in the overall ceiling for CLIN 0001. While CLINs 0002 through 0006 are not separately priced (NSP) at the IDIQ level, they will be priced when utilized at the task order level.

(2) All travel ceiling for COST is included in CLIN 0007. While CLINs 0008 through 0012 are NSP at the IDIQ level, they will be priced when utilized at the task order level.

B-1 ESTIMATED AND NEGOTIATED LABOR RATES

Streamlined Ordering Procedures for Cost Plus Fixed Fee Term LOE orders.

Level of Effort (LOE) Orders will be issued under this contract using the following streamlined ordering procedures:

(1) For each proposed order, the contracting officer will provide the contractor with applicable tasking paragraphs referenced from the IDIQ Contract Statement of Work (SOW), Independent

Government Cost Estimate (IGCE), period of performance and place and manner of acceptance information (task order (TO) package). The IGCE is an estimate of labor hours by labor category utilizing the Ordering Labor rates Attachment, Attachment 4, to calculate the total estimated cost for the proposed TO.

(2) Ordering Rates are estimates derived from the Contractors proposed labor mix at the IDIQ level, and invoicing will be based upon actual costs incurred. The Contractor is expected to control costs with competitive subcontracting to ensure IDIQ ordering rates are maintained throughout performance of the contract. TOs crossing multiple years will be estimated by the Government using the ordering rates weighted for each year in proportion to the period of performance of the

TO. Ceiling for Other Direct Costs (ODC) will be priced in accordance with the Government estimate.

Fully Burdened Labor Rates shall include direct labor cost, fringe, overhead, G&A and subcontractor pass-through rate on total cost, but should not include Fully Burdened Other Direct

Costs (ODCs) such as Travel. This would be the total labor costs (the sum of both the prime and all subcontractors) costs for that labor category divided by the total number of labor hours for that category to arrive at the average Fully Burdened Labor Rate per Hour. The TO fixed fee is applied to the resulting total labor hours (prime and subcontract) and is calculated using the hourly rate defined in Section H Clause HTXT.232-9510 PAYMENT OF FIXED FEE

(NAVAIR), which was derived by dividing the proposed IDIQ fixed fee by the number of hours at the IDIQ level for CLIN 0001. Fixed fee shall not apply to Other Direct Costs

“Attachment 4 Ordering Rates”, has a tab for the anticipated labor category and LOE hour detail, and a tab for ordering rates to be used nationwide in the United States. These proposed rates apply regardless of security clearance level required.

(3) Within three (3) working days of receipt of the TO package, the contractor shall respond:

(i) If the contractor agrees that it can perform the requirement within the parameters of the

TO package, the DD1155 will be prepared and sent to the contractor for acceptance to sign and return to the contracting officer. If the requirement remains valid, a fully executed priced order will be issued to the contractor; or

(ii) If the contractor does not agree with the TO package, the contractor shall provide a proposal to the contracting officer addressing only the specific areas of difference in the

PWS, labor categories and/or hours in the IGCE. If the contractor requires more time to prepare the proposal, the contractor shall at least notify the contracting officer within three

(3) days of receipt of the TO package and may then have up to five (5) working days after receipt of the TO package to present the proposal. Once the differences are resolved between the contracting officer and the contractor, and the requirement remains valid, a fully executed priced order will be issued to the contractor.

(4) If the contractor fails to respond to the proposed order within five (5) working days of receipt of the TO, the contracting officer may unilaterally issue the TO or extend the deadlines above when in the best interest of the Government.

BTXT.211-9503 LEVEL OF EFFORT (COST REIMBURSEMENT) (NAVAIR) (DEC 2012)

(a) The level of effort estimated to be ordered during the term of this contract [834,285] man-hours of direct labor including authorized subcontract labor, if any. The contractor shall not, under any circumstances, exceed one hundred (100%) percent of the total level of effort specified in this basic contract. The estimated composition of the total man-hours of direct labor by classification is as follows:

The estimated LOE for this IDIQ is shown on tab one of Attachment B-1 Ordering Rates

Labor Category Man-hours Total Man-hours

To be determined at the task order level. The labor category level of effort ordered shall be executed during task order performance. Deviation from the ordered non-performance based labor mix would require negotiated modification.

(b) FAR Clause 52.232-20, "Limitation of Cost" applies to fully funded orders and FAR Clause 52.232-22, "Limitation of Funds" applies to incrementally funded orders. Nothing in this clause amends the rights or responsibilities of the parties hereto under either of those two clauses. In addition, the notifications required by this clause are separate and distinct from any specified in either FAR Clause 52.232-20 or FAR Clause 52.232-22.

(c) In the event that less than one hundred (100%) percent of the established level of effort of the contract/order is actually expended by the end of the performance period, the Government shall have the option of:

(1) Requiring the Contractor to continue performance, subject to the provisions of the FAR Clause 52.232-20 or

52.232-22, as applicable, until the effort expended equals 100% of the established Level of Effort; or

(2) Effecting a reduction in the fixed fee by the percentage by which the total expended man-hours is less than one hundred (100%) percent of the established Level of Effort.

(d) The contractor agrees that effort performed in fulfillment of level of effort obligations under this contract shall include only verifiable effort in direct support of the work specified. It shall not include efforts such as work performed in transit to or from an employee's usual workplace, work during lunchtime activities, or effort performed at other non-work locations.

(e) In performing the contract/order, the contractor may use any reasonable combination of hours for the labor categories in support of section C of this contract/order.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

SECTION L

L – ( 1 ) CONTENT OF PROPOSALS

PART A GENERAL INSTRUCTIONS

1.0 GENERAL

The Offeror must respond to all requirements of the solicitation and not alter or rearrange the solicitation. The Offeror is advised that the Government may incorporate any portions of the

Offeror’s proposal into the resulting contract.

In presenting material in the proposal, the Offeror is advised that quality of information is more important than quantity. Clarity, brevity, and logical organization shall be emphasized during proposal preparation. Statements that the prospective Offeror understands, can comply with, or will comply with, the specifications, and paraphrasing the requirements or parts thereof without supporting information are considered inadequate by the Government, and may result in assessing weaknesses and/or deficiencies.

The Offeror must include any data that illustrates the adequacy of the various assumptions, approaches, and solutions to problems. Failure to address a specific factor or subfactor clearly may be considered a deficiency. Unnecessarily elaborate brochures or other presentation materials beyond that sufficient to present a complete and effective proposal is neither necessary nor desired.

The Government advises the Offeror that taking exception to or deviating from any term or condition of the RFP may result in the assessment of a deficiency to the proposal.

Throughout these instructions, “Offeror” is defined as the prime contractor with its CAGE code identified in Block 15A on Standard Form (SF) 33, Solicitation, Offer, and Award. A

“Joint Venture” (JV) is a partnership or teaming arrangement that is formed for the purpose of responding to this solicitation when the prime contractor consists of more than one legal entity.

“JV Team Members” are the entities that make up a Joint Venture. The term “entity” is used to mean any or all of the following: prime contractor, JV, JV team members, any subcontractor, and corporate parent, division, subsidiary, or affiliate (e.g., any contractor with a different CAGE

Code/DUNS than the Offeror). The following entities are defined as “principal entities,” and only principal entities will be used in the past performance evaluations: (a) the prime contractor;

(b) JV Team Members; and (c) other entities that are proposed to perform at least 20.00% of the proposed total Cost for the contract; and (d) entities that are proposed to perform a critical function, whether technical or financial, in the performance of the resulting contract. Offerors are advised that in order to demonstrate work commitment, each principal entity must be identified in Volume 3 (Cost/Price) and associated with a commensurate dollar value.

2.0 ELECTRONIC PROPOSAL FORMAT

This section is intended to provide information to the Offerors on the electronic format and application software to be used for submitting proposals. Use of the software and procedures described in this section will reduce the amount of time and effort needed to receive and upload proposals and will ensure the proposals received are suitable for reading electronically during evaluation.

Proposals must be formatted using a Times New Roman 12 pt Normal font (no reduction permitted), single-spaced with 1-inch margins all around, and formatted for standard 8.5 x 11 inch paper. All pages shall be numbered with section and page numbers. Graphs and tables shall be presented in no smaller than a 10 pt font and should contain a grid, which allows values to be read directly from the graph. Graphs and Tables that fit on an 8.5” X 14” printed page will be counted as one page. Drawing may be of any size and will count as one page. Graphic resolution, including such data as tables or charts, should be consistent with the purpose of the data presented. When using Government supplied templates no modifications to font or scaling required.

All proposal documents must be compatible with Microsoft Office and/or the latest Adobe

Acrobat Reader Portable Document Format (PDF), where applicable. Within all Excel files, the

Offeror shall use formulas and functions to show mathematical operations and avoid using output type “value only” cells. If the proposal includes links, the proposal shall include all referenced files. Spreadsheets shall not be password protected or locked.

The Offeror is responsible for ensuring electronic proposals are virus free and shall run an anti-virus scan before submission. The Offeror shall certify, in its proposal cover letter, that all electronic proposal information delivered throughout the evaluation (e.g., original proposal submission, responses to evaluation notices, Final Proposal Revisions) are virus free. The

Offeror shall specify the software, version, and virus definition used to check the data.

In order to reduce file sizes, the Offeror shall not embed sound or video (e.g., MPEG) files within the proposal submission. The Offeror is encouraged to simplify the color palette used in creating figures; and minimize size of graphics files; and avoid scanned images.

Offerors may use hyperlinks within and among proposal volumes that do not include price information. However, there shall be no links from any other volume into the Price Volume or into any other portion of the proposal that contains price information.

3.0 PROPOSAL CONTENT AND VOLUMES

The Offeror must present proposal information in a manner that facilitates a one-to-one comparison between the information presented and this Proposal Instruction. Proposal information must be structured such that its Volume/paragraph number matches the Proposal

Instructions Volume/paragraph number provided in section “Part B Specific Instructions” to which it is responding, although the Offeror may add lower tier subparagraphs. The Offeror must provide reasons it will not provide information for a particular paragraph. The proposal information instructions are structured by paragraph numbers where first, second, third, and fourth parts correspond to the volume, section, and element, etc., in the Offeror’s proposal.

Each volume of the proposal shall be submitted separately, as specified in the table below.

Cost and Price information shall not be noted in any Volume except Volumes 3 and 5. The table below supersedes the copies requested in Block 9 of the Standard Form (SF) 33. PART B SPECIFIC INSTRUCTIONS

1.0 Volume 1 – TECHNICAL

Note: This volume shall not contain any reference to cost aspects of the offer.

In this volume, provide the information described below:

The Offeror shall provide all information and data required to conduct a thorough and complete technical evaluation. The Offeror shall address the following in the proposal:

Understanding of the Work

Workforce

1.1.Understanding of the Work

The Offeror shall provide written responses to the six sample scenarios provided below. Each sample scenario closely represents typical work efforts encountered by Contractor Support

Services Personnel in the execution of the duties outlined in the SOW. The integration of RCM, CBM+, and IMC/P should be represented where applicable. The page length limitations applicable to these scenarios are contained in the table at the beginning of Section L-1, Paragraph

3.0 of this RFP.

1.1.1 Sample Scenarios

Any assumptions, beyond those stated in the Request for Proposal, utilized in this effort shall be annotated, justified, and included in the submittal, as those assumptions will help the evaluation team assess the responses provided by the Offeror.

For sample scenarios 1, 2, and 3, the Offeror is required to use the example information provided below, the NAVAIR Hazard Risk Index (HRI) reference and format (see attachment L-1, Sample

Scenario HRI Matrix), and the Failure Mode Effects & Criticality (FMECA) format (see attachment L-2, Sample Scenario FMECA Format) to complete the sample scenarios. In addition, the Offeror is required to use NAVAIR RCM Analysis process for each of the three (3) scenarios. Offerors shall respond to the following tasks, as applicable.

Complete a FMECA using the attachment L-2, Sample Scenario FMECA Format.

Determine the appropriate following failure mitigation strategies and their conclusions:

o No PM, o Other Actions, Service or Lube, On-Condition, Hard Time, Failure Finding, and

Age Exploration.

Determine and discuss any Safety, Economic and Operational availability mitigation.

Evaluate Trade-off decisions with respect to cost.

Define possible Potential and Functional Failures.

Develop, at a minimum, one P-F interval and explain how the interval was determined.

Calculate task Interval(s) for at least one On-Condition task.

Demonstrate appropriate use of a Hard Time task, as a mitigation strategy.

Calculate a Hard Time task interval with all assumptions; include methodologies utilized, e.g. Weibull with plots and data or other.

Document any Unmitigated and Mitigated hazard risk values and assign them to a category (e.g. 1A, 3B etc.) on the Hazard Risk Index matrix using the provided attachment.

1.1.1.1 Sample Scenario 1

An unmanned carrier based refueling aircraft comprising of 21 fielded units is experiencing a significant increase in the failures of its only hydraulically deployed refueling reel and hose. Due to the inability to refuel aircraft returning from missions, the failures resulted in a change in operations of all non-vertical lift aircraft deployed on the carriers, reducing their time on mission.

An engineering investigation of four hydraulic shuttle valves that port hydraulic fluid to the fuel hose reel actuation device, found the valves failed in a closed state with a fatigue induced fractured piston. The net cost of a shuttle valve is $3,500, it takes four O-level maintenance hours to replace a valve at a labor rate of $150 per hour. Using the NAVAIR RCM process

(NAVAIR 00-25-403), complete the following tasks:

1. Perform and document a supportability failure mode, effects, and criticality analysis

(SFMECA) using the attached FMECA format and Hazard Risk Matrix. Discuss assumptions and rationale where appropriate to affirm decision points.

2. Complete an RCM analysis and determine appropriate maintenance strategies:

o Identify and discuss what task types were considered for the analysis; discuss why others were not.

o Discuss all technical methods and any assumptions that were applied to determine preventive maintenance intervals and or tasks, if any. Show calculations.

1.1.1.2 Sample Scenario 2:

A nose landing gear drag brace trunnion fitting made of a high strength steel carries significant catapult tow loads through a drag brace of a naval fighter jet to its airframe. On a fleet of 113 aircraft, nine fittings were found to have cracks in a non-critical radius ranging from 0.030 inches to 0.050 inches in depth. Failure of the fitting has not occurred in service but would likely result in the loss of the aircraft, and possibly its crew. Engineering has determined all the cracks were fatigue related and subsequently performed crack growth analysis on the fitting design. The most conservative crack growth analysis suggested that with a 0.050 inch crack, it will take another 320 catapults before the fitting would fail. Using the NAVAIR RCM process, complete the following tasks:

1. Perform and document a supportability failure mode, effects, and criticality analysis

(SFMECA) using the attached FMECA format and Hazard Risk Matrix. Discuss assumptions and rationale where appropriate to affirm decision points.

2. Complete an RCM analysis and determine appropriate maintenance strategies:

o Identify and discuss what task types were considered for the analysis; discuss why others were not.

o Discuss all technical methods and any assumptions that were applied to determine

1.1.1.3 Sample Scenario 3:

A nose landing gear fairing on a carrier-based aircraft is deployed when the aircraft’s gear is extended. The fairing’s attach fitting is forged from 7075-T6 aluminum and nearly all the fittings are experiencing corrosion on their attach lugs, ranging from surface corrosion to 0.050 inch deep pitting. There have been no functional failures to date, and there are no compensating provisions. Fatigue is driven by landing gear extension averaging one extension for every four flight hours. Through crack growth analysis, engineering has determined functional failure would occur after 970 gear extension cycles emanating from a 0.050 inch pit. A failure of this component would likely result in limited mission degrade secondary damage to a leading edge flap experienced from its departure. There are 34 fittings in service with a net material cost of

$6,700 each, secondary damage repair would cost $131,000, it takes 28 O-level maintenance hours to correct the problem at a labor rate of $165 per hour, and the aircraft flies an average of

45 flight hours per month.

Review NAVAIR Sustainment Group (NSG) Standard Work Package SWPF410-007

Maintenance Specification to Work Deck Review Process. Explain why a specification to work deck (S2D) review would be completed prior to a new specification for depot maintenance being released.

1.1.1.6 Sample Scenario 6:

The NAVAIR RCM program develops and sustains preventive maintenance concepts and requirements that optimize system availability and reduce maintenance costs without impact to safety. This applies to all NAVAIR aircraft, their support equipment, in industrial equipment across three levels of maintenance (Organizational, Intermediate, and Depot). Discuss how to best track and manage workload for no less than 15 task orders related to either or in combination of RCM, CBM+, and IMC/P support. Include discussion on balancing and communicating to the government planned and expended labor compared to labor categories that provide the government the best possible outcomes for the fleet. Include discussion that describes how potential issues at a task order and overall contract level would mitigated if appropriate resources become limited or constrained.

1.2 Workforce

The Offeror shall propose personnel that meet all labor category requirements as specified in the

SOW. Personnel must also have the required minimum level of security clearance as outlined within the solicitation.

The following definitions apply to this section.

- A “contingent hire” is an individual who has committed, under a signed letter of intent, to being employed by the Offeror if the Offeror is awarded the contract.

- A “prospective hire” is an individual that the Offeror has committed to hiring if the Offeror is awarded the contract whose identity may not be known until after contract award.

A "current employee" is an individual who is currently employed by the identified company.

1.2.1 Key Labor

If the “Key” employee is a contingent hire, the Offeror shall submit a corresponding letter of intent in Volume 3. The letter of intent is a separate written agreement signed by the potential employee(s) to work for the Offeror effective at the contract award. Key personnel employed by subcontractors and other team members shall provide letters of intent either separately or included with the prime contractor’s proposal submission.

No prospective hires may be proposed as Key personnel.

For proposed Key Personnel, pursuant to Paragraph 3.4.2 of the SOW, the Offeror shall provide resumes that demonstrate the required education and experience requirements specified for the applicable Key Personnel. The number of resumes per Key Personnel position are as follows;

and where two copies are noted, the resumes shall be from two different individuals:

Manager/Operations Manager, Senior (11-1021) - one (1) resume

Logistician, Senior (13-1081) - two (2) resumes

Engineer, Senior (17-2199) - two (2) resumes

(a) Resumes shall contain, at a minimum, the following information:

(i) Employee name

(ii) employment experience in chronological order with position title, corresponding beginning and ending dates (month and year), narrative description of duties and responsibilities

(iii) Current position, title, and employer and corresponding beginning date (month and year

(iv) Educational history

(v) Institution name, degree or certification earned, and year for all degrees or certifications earned

(vi) Current level of security clearance and status (final, interim, or pending)

(b) All proposed personnel shall meet the minimum labor category qualifications required by the

SOW.

2.0 VOLUME 2 - PAST PERFORMANCE

Sources of past performance evaluation information include information provided by the

Offeror in response to the solicitation, information obtained from questionnaires, and any other sources available to the Government, to include, but not limited to, the Past Performance

Information Retrieval System (PPIRS), Federal Awardee Performance and Integrity Information

Systems (FAPIIS), Electronic Subcontract Reporting System (eSRS), or other databases; the

Defense Contract Management Agency (DCMA); and interviews with Program Managers, Contracting Officers, and Fee Determining Officials.

The Offeror shall complete a Past Performance Information Form, Attachment L-3 for each past performance reference (contract or delivery/task order) performed within seven calendar years of the solicitation release date. The Offeror shall submit no more than five past performance information forms as the Prime Contractor, no more than two forms for each principal subcontractor, and/or no more than two forms for each JV team member. For contract references that contain delivery/task orders, additionally provide the work description(s) for each specific delivery/task order deemed relevant by the Offeror to this solicitation’s requirements.

For contract references where the Offeror performed as a subcontractor, the Offeror shall clearly identify the applicable portion of the contract requirements that they performed. The Offeror shall submit written consent from its principal subcontractor(s) as applicable and JV team member(s) that will allow the Government to coordinate any past performance issues directly with the Offeror. If the Offeror does not submit the written consent, the Government will address any past performance issues directly with the principal subcontractor as applicable or JV

Team member and the Offeror will forfeit the opportunity to participate in any related discussions. Consequently, for any principal subcontractor and JV team member that does not provide the written consent, the Offeror shall provide the name, address, phone number, and email address with whom the Government may address any past performance issues.

The Offeror shall provide a narrative on each attachment L-3 Past Performance Information

Form in the “Contract Effort Description” area that clearly describes how each contract reference has relevant work effort that matches the relevancy definitions specified in Section M of the solicitation. If applicable, note whether the contract met or exceeded Small Business (SB), Veteran-Owned Small Business (VOSB), Service-Disabled Veteran-Owned Small Business

(SDVOSB), HUBZone Small Business (HUBZone), Small Disadvantaged Business (SDB), and

Women-Owned Small Business (WOSB) small business utilization and subcontracting goals.

The Offeror may provide this information in a format substantially the same as the Individual

Subcontracting Report (ISR), if applicable. Additionally, the Offeror shall provide one electronic copy of the SOW for each contract reference as Annex A to this Past Performance

Volume.

The primary source of past performance information will be PPIRS. If a Contractor

Performance Assessment Report (CPAR) exists for multiple years for the same contract/order, all periods of performance within the recency period specified above, for that contract/order, will be used for evaluation. In the event a CPAR does not exist for a past performance reference, the

Offeror shall submit a Past Performance Assessment Questionnaire (PPAQ), attachment L-4, to the Government Program Manager or Technical Point of Contact for the contract. The Offeror shall include instructions for the Government Recipient to send completed questionnaires within two weeks of its receipt via e-mail to the Contract Specialist listed in Section A of this solicitation, thereby allowing the customer approximately two weeks to complete their response.

All PPAQs should be received by the Government concurrently with the Offeror’s proposal submission. If PPAQs are not received, the Governmnet will seek inputs via interviewing the

POC associated with the past performance award noted in the submitted Past Performance

Information Form L-3 Attachment(s), as well as other past performance records identified via

Government database queries.

3.0 VOLUME 3 – COST/PRICE

3.1 Ground Rules and Assumptions

If subcontractors are proposed, subcontractors shall provide the same cost/price proposal data required for the prime contractor, unless otherwise noted below.

As this is a competitive acquisition with adequate price competition anticipated, certified cost or pricing data in accordance with FAR 15.403-1 is not required. However, in the event that adequate price competition does not exist after receipt of proposals, the Government reserves the right to request additional cost or pricing data as necessary from both the Offeror and subcontractors. Further, the Offeror may be required to provide a Certificate of Current Cost or

Pricing Data prior to award, pursuant to FAR 15.406-2 and/or if there is only one offeror in accordance with DFARS 215.371-3.

The Offeror shall provide sufficient data to support its proposed cost/price and explain all ground rules and assumptions that affect the price/cost estimates, which will ulitmately effect the pricing of orders during execution.

Within all Excel cost/price files, the Offeror shall use MS Office Excel format with formulas and functions to show mathematical operations and avoid using output type “value only” cells. If the proposal includes links, the proposal shall include all referenced files.

Spreadsheets shall not be password protected or locked.

The Government is not soliciting any investments. However, for the Government to assess a proposed cost/price that appears low due to a corporate decision to absorb costs, e.g., lower than usual burdens or rates, the Offeror shall fully identify and explain any such investments.

For this procurement, it has been determined there is a meaningful number of

“professional” employees required so the evaluation of Professional Employee Compensation

Plans per FAR 52.222-46 is required.

3.2 Government Provided Estimates

3.2.1 Other Direct Costs (ODC): The Government's unburdened estimate for Cost-only Travel is

$1,167,004.02. This estimate will be used to price the Travel CLIN on the award document.

Travel Estimated Cost

Year One $222,018.85

Year Two $227,569.32

Year Three $233,258.56

Year Four $239,090.02

Year Five $245,067.27

3.2.2 Labor Hours: The Government level of effort estimate is included in Attachment L-5, Cost

Summary file. A work-year is defined as 1,920 hours exclusive of Federal holidays and paid leave, for purposes of developing the Government estimate. The estimated hours in Attachment

L-5 shall be used for pricing and setting ceiling at the IDIQ level for the CPFF Level of Effort

CLINs.

3.3 Volume 3 Contents: The Offeror shall provide the following information as part of the

Volume 3 submission:

3.3.1 An electronic copy of the Solicitation Section B using MS Office Excel format with the proposed Cost and Fixed Fee for each applicable Contract Line Item (CLIN) and a proposed total

Contract Price, which includes Travel CLIN costs.

3.3.2 A narrative that addresses cost/price proposal assumptions and discuss the basis for the cost elements listed below:

a. Labor rates. If necessary, provide a narrative to describe derivation of direct labor rates, ordering rates, etc.

b. Escalation on labor. Offerors, including subcontractors, shall address escalation for all labor categories, and shall provide rationale for the specific escalation rate used. Offerors that do not propose escalation, or an explanation as to why escalation is not included, may be considered unrealistically low and may have their proposals adjusted by the

Government to include escalation in the out years.

c. Indirect costs (e.g., Overheads, Fringe Benefits, General & Administrative

(G&A), etc.) Pools to which indirect rates are applied and historical/provisional billing rates for indirect rates.

d. Information needed to explain the Offeror’s estimating practices.

e. ODCs by specific cost element (e.g. Travel). If the Offeror proposes indirect burdens on the Government-provided ODC Cost-only Travel

CLIN estimates, the Offeror shall provide a percentage breakdown of the

Offeror’s indirect burdens added to the Government estimates for any and all Cost Reimbursable ODC CLINs in Section B. If the Offeror chooses not to burden travel costs, see Paragraph 4.11 below for supporting H-text language to be included upon contract award.

f. When the Offeror elects to propose Cost of Money (COM) as an allowable cost, the Offeror must submit a DD Form 1861 COM form and show the calculations of the proposed amount.

g. Identify the proposed fee rate, cost element application, and provide supporting fair and reasonable rationale. Fee shall not be applied to ODC

CLINs. The ultimated awarded IDIQ fixed fee value will become set at an hourly rate for streamlined task order execution. The total fixed fee will be divided by the toal number of hours to derive the hourly rate to estimate the orders and for payment during performance execution.

3.3.3 The Offeror shall submit its fully completed cost/price proposal using the Cost Summary

Spreadsheet (Attachment L-5) to disclose fully the buildup of cost/price of each CLIN and the total proposed contract price.

a. The Offeror shall use the Summary tab to breakout total proposed costs for each year of the ordering period. The Offeror shall propose to the labor categories/hours listed in Attachment L-5. The Offeror shall not utilize any fully burdened hourly rates when pricing the labor of its employees.

b. The Offeror shall propose ODCs in accordance with the estimate provided above, plus applicable burdens. If it is the contractor’s accounting practice to apply (and invoice for) burdens to ODCs, then the contractor shall propose the ODC amount plus the addition of the applicable burdens. Fee shall not be proposed for ODCs.

3.3.4 The Offeror shall complete Attachment L-6 (Fully Burdened Labor); detailing the fully burdened labor rates for all prime contractor and subcontractor personnel. Fully burdened labor rates are defined as direct labor rates plus all applicable burdens, to include indirect rates, fee, and subcontractor pass-through costs where applicable. For subcontractor labor, the fully burdened labor rates shall be inclusive of any pass-through charges (e.g., subcontractor handling, fixed fee on subcontractor labor, etc.) applied by the prime contractor. Offerors that propose a fully burdened annual labor rate per employee exceeding $420,000 shall provide rationale to justify the reasonableness for the applicable employee.

3.3.5 Ordering Rates: Pursuant to the B-1 Text “Streamlined Ordering Procedures for Cost Plus

Fixed Fee Term LOE Orders” in Section B of the solicitation, the Offeror shall propose average order estimating rates utilizing Attachment 4 Ordering Rates, for each labor category and each year during the ordering period, which will be incorporated into the contract and used to estimate task order pricing. Numbers only shall be entered, in U.S. dollar format ($###.##) rounded to the nearest cent. Fully burdened average labor rates for each labor category shall include direct labor cost, fringe, overhead, G&A and subcontractor pass-through rate on total cost, but should not include fee or Burdened Other Direct Costs (ODCs) such as Travel. This would be the total labor costs (the weighted sum of both the prime and all subcontractor costs) for that labor category divided by the total number of labor hours for that category based on the Government’s estimated projection of labor required during the ordering period to arrive at the average

Burdened Labor Rate per Hour.

If the Offeror disagrees with the Government’s intended rate parameters, the Offeror shall propose alternative ordering rate parameters, such as adjustments to align with specific locations based on order performance or single nationwaide rates, and perhaps prime vs subcontract rates instead of a blended average. The intent is for the proposed ordering rates to be effeiciently executable for streamlined ordering, yet allow for accurate projection of budgeted and obligated funds.

3.3.6 Direct/Indirect Rate Supporting Documentation: In order to support fair and reasonable prices, the Offeror shall submit the following:

a. Copies of Offeror-proposed Forward Pricing Rates (FPRPs), Defense

Contract Management Administration (DCMA) Forward Pricing

Recommended Rates (FPRRs), DCMA Forward Pricing Rate Agreements

(FPRAs), Collective Bargaining Agreements (CBAs), and Department of

Labor (DoL) Area Wage Determinations (AWDs) as applicable for all proposed performance locations. The Offeror shall identify whether each direct/indirect labor rate proposed is based on FPRPs,…
