33 Attachment 1 -
DRAFT SOW
19 12.0 Experience & Labor Category Definitions
All within Section 12.0 SOW Section 12.0 identifies approximately 20 Labor Categories (LCats). The number of Full Time Equivalent staff (FTEs) collectively applied across these LCats and anticipated Task Orders is not provided. Providing the Government's inevitable requirement for past performance size similarity/relevance at an early stage in of the evolving solicitation would help contractors more quickly determine its "size similarity" past performance qualification. Will the government please provide the anticipated total number of FTE's against these labor categories for a contractor's Past Performance to be considered as similar in size?
A list of previous contracts issued against these requirements was provided in the Industry Day Brief. Please refer back to the announcement on beta.sam.gov
34 Attachment 1 -
DRAFT SOW
19 12.0 Experience & Labor Category Definitions
Senior Program Manager The requirements for the Senior Program Manager (PM) seem overly restrictive for what one would consider of the Senior Program Manager at the MAC IDIQ level without any substitutions allowed, thus restricting competition. While it is agreed upon that the MAC Level PM should have extensive experience leading and performing PM related functions, such as aviation acquisition in a DoD environment, having that experience specific to SE Acquisition, and more specifically Navy SE for the last 5 years, along with an M.A./MS without any substitutions will greatly inhibit industry from finding qualified candidates. Will the government consider adding substitution for experience at the MAC Level, as well as making the qualification of 15 years
The Government will not allow substitutions at the MAC IDIQ level.
Substitutions are allowed at the task order level.
35 Attachment 1 -
DRAFT SOW
19 12.0 Experience & Labor Category Definitions
PM Descriptions and SME Descriptions Experience requirements are very restrictive wrt having significant "DoD Aircraft SE" specific experience. However, tasking is very common to general Navy/DoD Aircraft and Weapon Systems support within NAVAIR (especially Parts 1, 3, 4 and 5...but also much of part 2). Requiring "SE" specific experience will greatly limit the talent pool of individuals that can not only accomplish the required tasking, but may actually bring additional insight/experience as to how to improve processes within the SE community. Recommend Labor Category requirements be expanded to allow experience with all DoD Aircraft and Weapon Systems not just SE specific experience to allow increased competition and a broader talent pool.
The Government will not allow substitutions at the MAC IDIQ level.
Substitutions are allowed at the task order level.
36 Attachment 1 -
DRAFT SOW
19 9.0 Place of Performance
9.0 SOW Section 9.0 states that: "The place of performance will be at government and/or off-site contractor locations and OEMs as determined by the Government and defined in resulting task orders."
In cases where there contractor performance locations are used, is there a required distance from Lakhurst that contractor off-site work locations are required to be within.
The required distance will be defined at the TO level.
37 Attachment 1 -

DRAFT SOW
21 12.0 Experience & Labor Category Definitions
Experience & Labor Category Definitions In the description of duties for the Senior Engineer it states "Leads the technical aspects of projects related to aircraft weapon systems, SE, ATE and/or TPS." In the Experience section it states "This position requires a minimum of ten (10) years of experience in technical aspects of projects related to aircraft weapon systems SE, ATE and/or TPS." The comma is after "aircraft weapon systems" in the duty section and after "SE" in the experience section. Please clarify for consistency.
Both should be the same with the comma after aircraft weapons systems as in the description of duties. Corrected.
40 Attachment 1 -
DRAFT SOW
21 12.0 Experience & Labor Category Definitions

SUBCONTRACTING (MAR 2020) (DEVIATION 2020-O0008),
paragraph (e) states: (e) Limitations on subcontracting. By submission of an offer and execution of a contract, the Contractor agrees that in performance of a contract assigned a NAICS code for—(1) Services (except construction), it will not pay more than 50 percent of the amount paid by the Government for contract performance to subcontractors that are not similarly situated entities.
Any work that a similarly situated entity further subcontracts will count toward the prime contractor’s 50 percent subcontract amount that cannot be exceeded. When a contract includes both services and supplies, the 50 percent limitation shall apply only to the service portion of the contract. Other direct costs are excluded to the extent they are not the principal purpose of the contract and cannot be obtained from small business concerns; NOTE: This clause does not apply to unrestricted TOs.
61 Attachment 2 - Workforce Qualifications_Rev.
Table column 4 is labeled "Employee Status." Will government please clarify the meaning of "Employee Status" in the fourth column heading.
Under the Heading "Employee Status "insert the personnel as "current," "contingent," or "prospective" hire. Current means currently employed by the company identified under the header "Employing company." "Contingent hire" means not currently an employee of the company listed under the header "Employing Company," but there are tentative plans/agreement to hire the individual if the prime contractor/Offeror wins the acquisition.
"Prospective hire" is defined as a position that has been identified, but an actual person has not been identified to meet the requirements.
62 Attachment 2 - Workforce Qualifications_Rev.
On this workbook, the Example sheet and the Workforce Qualifications sheet are not in the same format. The Workforce Qualifications sheet has additional columns and also provides much less room for the Brief Description of Experience Relevant to Labor Category column, leaving very little space in which to provide such a description. Will the Government clear up this inconsistency in the final solicitation release?
Completed

NAVAIR Clausebook updated to revise C-TXT-SCR SERVICE CONTRACT REPORTING (JAN 2021) to reflect that contractor reporting is now completed within https://www.sam.gov.
69 DRAFT RFP 9 E - Inspection and Acceptance
Inspection and Acceptance Will the Government provide the Quality Surveillance System they will require?`
A Quality Assurance Surveillance Plan will be included in the contract as an attachment.
70 DRAFT RFP 11 F - Deliveries or Performance
Deliveries or Performance: CLIN 1001 -1003 in the table states Option 1 Ordering Period includes Year 6 through Year 7, yet CLIN 2001-2003 in the table states Option 2 Ordering Period includes Year 7 through Year 8. It seems that Option 1 if two years is correct, but that Option 2 is incorrectly identified as Year 7 when it would be Year 8 through Year 9
Would the Government please clarify the number of option years for the MAC. Page 11 says there are 5 base years and Option 1 is Year 6 and 7 with Option 2 Year 7-8. On Page 41 of the RFP, however, it says the total duration of the MAC will not exceed 7 year.
There are two (2) Option Periods, and each Option Period is for a period of one (1) year. The Ordering Period with all Options will be through 7 years after contract award. The Total Period of Performance will be eight (8) years after contract award.
71 DRAFT RFP 11 F - Deliveries or Performance
1 Ordering Periods show repetition of Year 7; it is listed at both the end of CLIN 100X series and the start of CLIN 200X series
Ordering Periods will be updated to reflect Option 1 as Year 6 and Option 2 as Year 7 after contract award.
72 DRAFT RFP 21 H - Special Contract Requirements
TASK ORDER PROCEDURES - Paragraph (d) TO Period of Performance
Task Order Procedures Paragraph (d) states: "The Period of Performance for any TO may not exceed seven (7) years from the date that the SED C2S2 basic contracts were issued." Since the ordering period is for seven (7) years, shouldn't this paragraph state:
"The Period of Performance for any TO may not exceed seven (7) years from the last date of the SED C2S2 ordering period." The Total PoP may not exceed eight (8) years after contract award, and may not exceed one (1) year after last ordering period.

H.2 AWARD OF DELIVERY ORDERS ON A SMALL
BUSINESS SET-ASIDE BASIS Paragraph (d)
NAICS Code 541330 w/ Military Exception -- Is this IDIQ RFP a Small Business Set Aside (SBSA)? If not, is there an established set number of Small Business awardees? If so, what is the number of SB awardees projected?
The IDIQ will be Full and Open. Each TO is dependent on the Market Research conducted and the scope requirement for that TO will determine if it will be a SBSA. There is not a pre-determined number restricting the amount of SB awardees.
75 DRAFT RFP 22 H - Special Contract Requirements
H.2 AWARD OF DELIVERY ORDERS ON A SMALL
BUSINESS SET-ASIDE BASIS Paragraph (d)
SED C2S2 IDIQ MAC prime contractors must have average annual receipts of $41.5M or less to be considered a small business for future opportunities. Over what period is the average annual receipts to be calculated? Previous three years?
In accordance with paragraph (c) of 13 CFR121.104: (c) Period of measurement. (1) Except for the Business Loan and Disaster Loan Programs, annual receipts of a concern that has been in business for 5 or more completed fiscal years means the total receipts of the concern over its most recently completed 5 fiscal years divided by 5. For certifications submitted on or before January 6, 2022, rather than using the definitions in this paragraph (c), a concern submitting a certification may elect to calculate annual receipts and the receipts of affiliates using either the total receipts of the concern or affiliate over its most recently completed 5 fiscal years divided by 5, or the total receipts of the concern or affiliate over its most recently completed 3 fiscal years divided by 3.

77 DRAFT RFP 23 H - Special Contract Requirements
H.4 ROLLING ADMISSIONS The Draft RFP Section H.4 states: “The objective of an on-ramp is to maintain competitive sources for task orders and/or to obtain access to additional capabilities, technologies and equipment related services.” It would appear the Government would add contractors on the IDIQ to cover capabilities, technologies and equipment not previously evaluated under the original IDIQ and Past Performance submissions of prevailing IDIQ awarded contractors. Would original IDIQ contractors still be eligible to compete for TOs that include these new capabilities, technologies, and equipment not previously evaluated under the IDIQ contract? Would the Government first go to the original IDIQ contract holders to ask for their ability (sources sought) to meet any new capabilities, technologies, and equipment requirements before using an On-Ramping admission? How does the Government propose to prevent unfair acquisition practices, e.g.
prevent the addition of contractors for purposes of sole sourcing task orders non-competitively? Would the on-ramping procedure be prohibited after completion of CLIN 0001, 0002, and 0003; if not, why not? Will the same Source Selection Board be assembled to evaluate new on-ramping contractors against the original IDIQ requirements to preclude pre- and/or post-award protests from original IDIQ contractor holders?
The intent of On-ramping is to enhance competitive environment and not for additional capabilities. The Government reserves the unilateral right to reopen the competition at any time during the Period of Performance of the MAC IDIQ. Awardees shall meet criteria established in the initial (basic) solicitation, with the same evaluation and award criteria. Any additions will be co-terminus with the existing term of the contract and there will be no impact to the maximum ordering ceiling or ordering periods.

84 DRAFT RFP 22-23 H - Special Contract
Requirements H.3 PRIME SUBCONTRACTOR SUBCONTRACTING Paragraph (a)
The solicitation states that it is unacceptable for SED C2S2 prime contractors to enter into subcontract relationships in lieu of competing for TOs, unless circumstances in Clause H.3(b) are met. By imposing these teaming restrictions, Small Business Primes would compete against Large Business Primes on Unrestricted TOs, rather than being afforded the opportunity to enter into teaming arrangements with Large companies to satisfy Small Business Subcontracting goals. This provision negatively impacts Small Business Primes by preventing their participation on efforts where they may not have the capability to prime, but would offer benefits as a subcontractor. Further, under Small Business Set-Aside TOs, Small Business Primes would be unable to complement their resources with other Small Business Primes to offer the Government a total Best Value solution for accomplishing tasking. In addition, existing prime/subcontractor relationships between SBs that are currently supporting ongoing SED tasking may be impacted by this Clause during recompetes for the same efforts.
It is the Government's desire to maintain efficient and meaningful competition. Therefore, the requirement to request waivers to enter into a subcontracting arrangement for individual TOs will be deleted in the final RFP.
85 DRAFT RFP 22-23 H - Special Contract Requirements
H.3 PRIME SUBCONTRACTOR SUBCONTRACTING Paragraph (a)
Although the Government will consider waivers, the process could be extremely burdensome resulting in procurement delays, as well as missed opportunities for Small Business Primes. Would the Government consider removing Clause H.3, thereby allowing SED C2S2 Primes to form teams that best match their company’s resources and strengths while reducing performance risk by sharing responsibility?
It is the Government's desire to maintain efficient and meaningful competition. Therefore, the requirement to request waivers to enter into a subcontracting arrangement for individual TOs will be deleted in the final RFP.
86 DRAFT RFP 22-23 H - Special Contract Requirements
H.3 PRIME SUBCONTRACTOR SUBCONTRACTING Paragraph (a)
Clause H3 impedes on competition by essentially not allowing prime contractors to source, vet, and propose teaming partners that compliment a large prime's capabilities. Would the government remove this requirement as a large businesses' small business subcontracting plan should be a key indicator of inclusivity rather than exclusivity.
It is the Government's desire to maintain efficient and meaningful competition. Therefore, the requirement to request waivers to enter into a subcontracting arrangement for individual TOs will be deleted in the final RFP.
87 DRAFT RFP 22-23 H - Special Contract Requirements
H.3 PRIME SUBCONTRACTOR SUBCONTRACTING Paragraph (a)
Can a waiver be submitted prior to task order solicitation release? It is the Government's desire to maintain efficient and meaningful competition. Therefore, the requirement to request waivers to enter into a subcontracting arrangement for individual TOs will be deleted in the final RFP.
88 DRAFT RFP 22-23 H - Special Contract Requirements
H.3 PRIME SUBCONTRACTOR SUBCONTRACTING Please confirm that a prime may submit a CTA arrangement at RFP submission and that waivers will not be required for those proposed at the MAC IDIQ submission. Those proposed in the CTA would be issued subcontracts.
