Section H - Special Contract Requirements

Additional specific terms and conditions regarding Special Task Order Contract Requirements will be incorporated into individual TOs.

TASK ORDER PROCEDURES

(a) Authorized Contracting Officers.

(1) The following activity or individual(s) is/are designated as Contracting Office(s) / Officer(s): All Procuring Contracting Officers (N68335).

(2) The above activity or individual(s) is/are responsible for issuing and administering any orders placed hereunder. Contracting Officers may negotiate revisions/modifications to orders, but only within the scope of this SED C2S2 IDIQ MAC contract.

Any deviation from the terms of the basic contract must be submitted to the Procuring Contracting Officer for contractual action.

(b) TO terms and conditions.

(1) All TOs issued hereunder are subject to the terms and conditions of this SED C2S2 IDIQ MAC contract. To be eligible for a SED C2S2 TO award, the Offeror must be a SED C2S2 MAC awardee in which the TO is being solicited.

(2) Individual TOs may incorporate additional applicable clauses not incorporated in the basic SED C2S2 IDIQ MAC and will modify clauses that require fill in language into the TO. Such applicable clauses will pertain only to the individual TO and will be identified in the request for proposal for that individual TO.

(3) The basic IDIQ shall control in the event of conflict with any TO in its entirety, including attachments.

(4) The SED C2S2 IDIQ MAC allows for TOs to be issued using the following contract types: Cost Plus Fixed Fee (CPFF) and Cost Reimbursement (CR) no fee, or any combination of these contract types.

(5) All Contractors must submit a proposal for at least one (1) TO requirement within the first two (2) years after contract award, and the Government reserves the unilateral right to Off-Ramp if Contractor does not comply with this requirement.

(c) Ordering Procedures. All TOs shall follow these procedures.

(1) Upon identification of a requirement, the Government will develop the appropriate requirements documents in the form of a Statement of Work (SOW), Statement of Objectives (SOO), or Performance Work Statement (PWS). Drawings, specifications and any additional technical data will be provided for individual TOs as applicable.

(2) Pursuant to FAR 16.505(b)(1), the Contracting Officer must provide each awardee a fair opportunity to be considered for each order in excess of $3,500, except as provided for in FAR 16.505(b)(2). An Exception to Fair Opportunity (EFO) listed at FAR 16.505(b)(2), may be utilized at the TO Contracting Officer’s discretion.

(3) If the requirement is identified by the Government as requiring an allowable Exception to Fair Opportunity (see H.1(c)(2) above paragraph), the procedures at FAR 16.505(b)(2)(ii) shall be followed and documented in the contract file. At the Contracting Officer’s discretion, market research procedures listed at section H.1(c)(4) of this paragraph may be followed if an Exception to Fair Opportunity has been identified.

(4) If the Government does not identify an Exception to Fair Opportunity, a Request for Information (RFI) may be posted to solicit SED C2S2 small business prime contract holders in the specific functional area for interest and capability statements.

(5) The Government will analyze the responses from the SED C2S2 small business prime contract holders for each specific requirement. If the Government determines that the conditions in FAR 19.502-2 exist, the requirement will be set aside as a small business set aside fair opportunity order. The Government may elect to further restrict an order to one of the appropriate socio-economic categories. If it is determined that the conditions in FAR 19.502-2 do not exist, the requirement will be open to an unrestricted fair opportunity order amongst all SED C2S2 IDIQ MAC prime contract awardees.

(6) After the small business set aside fair opportunity order or unrestricted fair opportunity order decision has been made, TO Contracting Officers shall proceed with the ordering process identified at FAR 16.505. Contracting Officers may use streamlined procedures, including oral presentations. Proposals may be requested in either written or oral format. The competition requirements in FAR Part 6 and the policies in FAR subpart 15.3 do not apply to the ordering process. All decisions regarding the procurement method and selection criteria shall be made by the TO Contracting Officer. Information regarding the type of order, award basis and selection criteria shall be provided to the awardees with each request for proposal. Bid and proposal costs shall be unallowable as a direct cost for proposals voluntarily prepared and submitted.

(7) If the TO is competed on an unrestricted fair opportunity basis, Small Business Participation will be submitted and evaluated in accordance with (IAW) DFARS 215.304(c)(i).

(8) In addition to any other data that may be called for in the basic IDIQ, the following information shall be specified in each TO, as applicable:

· Type of order

· Date of order

(d) TO Period of Performance.

The Period of Performance for any TO may not exceed seven (7) years from the date that the SED C2S2 basic contracts were issued.

H.2 AWARD OF DELIVERY ORDERS ON A SMALL BUSINESS SET-ASIDE BASIS

(a) It is the policy of the Government to provide maximum practicable opportunities in its acquisitions to small businesses. Notwithstanding the requirements of FAR 16.505(b)(1), pursuant to FAR 19.502-4(c), SED C2S2 TO Contracting Officers may, at their discretion, set-aside orders for requirements under the SED C2S2 IDIQ for small business concerns.

(b) Each individual requirement will be assessed to determine whether it is appropriate to be set-aside for small business. Pursuant to FAR 19.502-2(b), the assignment will be based on the TO Contracting Officer’s determination whether a reasonable expectation exists that offers from two or more responsible small business concerns would be received and those offers would be competitive in terms of market prices, quality, and delivery. Assignment of requirements as a small business set-aside fair opportunity order or an unrestricted fair opportunity order shall be determined after market research is conducted by the TO Contracting Officer. Failure of small businesses to respond to market research inquiries may result in those requirements not being set aside for small business concerns.

(c) Awardees of individual TOs awarded on a small business set-aside basis are required to comply with the Section I clause 52.219-14 Limitations on Subcontracting (DEVIATION 2019-O0003), or, in the instance of a set aside for a lower socio-economic category, the applicable notice of set aside clause (52.219-3 (Dev), 52.219-27 (Dev), 52.219-29 (Dev)). The concern and similarly situated entity or entities must satisfy the requirement to perform at least 50% of the cost of manufacturing the supplies, not including the cost of materials on TOs as they are awarded to the concern.

(d) The applicable NAICS code and size standard are 541330_a_Exception (Military and Aerospace Equipment and Military Weapons) and $41.5M, respectively, as the majority of the requirements anticipated to arise that are covered by this SED C2S2 IDIQ MAC will fall under NAICS code 541330. Therefore, the NAICS code of 541330 (Exception) and the size standard will be $41.5M. As such, SED C2S2 IDIQ MAC prime contractors must have average annual receipts of $41.5M or less to be considered a small business for future opportunities. Prime contractors must have representations and certifications in SAM that include the NAICS code that applies to this SED C2S2 IDIQ MAC in order to be considered for award and future fair opportunity competition requirements.

(e) IAW the certification submitted for FAR 52.204-8 in the contractor’s proposal, the applicable size standard on TOs to be set aside for small business where the small business prime proposes to supply items that it did not itself manufacture, but is providing a product of another small business, is $41.5M.

H.3 PRIME CONTRACTOR SUBCONTRACTING

(a) It is the Government’s desire to maintain efficient and meaningful competition among the SED C2S2 prime contractors. Practices that reduce competition, such as prime contractors entering into subcontract relationships in lieu of competing for TOs are not acceptable. The Government will consider waiving this restriction when it is clearly in the Government’s best interest. A request for a waiver with supporting details shall be presented to both the TO and SED C2S2 Contracting Officers before a proposal is submitted IAW paragraph (c) below. The TO Contracting Officer is the approval authority for waivers.

(b) SED C2S2 prime contractors do not require a waiver when entering into contractual relationships with other SED C2S2 prime contractors under the following circumstances:

(1) If the TO is a small business set-aside fair opportunity, the prime may subcontract with SED C2S2 prime contractors that are not small businesses;

(2) If the TO is a small business set-aside fair opportunity within one of the socio-economic categories, the prime may subcontract with other SED C2S2 prime contractors that do not fall within the same set aside socio-economic category;

(3) Commercial items or support may be purchased from another SED C2S2 IDIQ MAC prime contractor; or

(4) If the TO is issued pursuant to FAR 16.505(b)(2) exceptions to the fair opportunity process, excluding the exception at FAR 16.505(b)(2)(i)(B) which is not permitted for use, the prime may subcontract with other SED C2S2 IDIQ MAC prime contractors.

(c) SED C2S2 IDIQ MAC prime contractors who propose teaming arrangements with other SED C2S2 prime contractors for any scenario not covered in paragraph (b) of this clause for a TO fair opportunity will be evaluated to determine whether such teaming arrangements inhibit competition. In order for the Government to evaluate whether such teaming arrangements inhibit competition, SED C2S2 prime contractors are required to (1) submit a request for waiver as early as possible in the acquisition cycle but no later than 5 calendar days after issuance of the TO solicitation, (2) provide a copy of all teaming arrangements, and (3) explain why the teaming arrangements TO not inhibit competition. The documentation must include, but is not limited to: structure of the teaming arrangement, responsibilities, and liabilities; financial responsibility; managerial responsibility and accountability; and applicable legal documents. The burden of proving that any teaming arrangement proposed does not restrict competition shall rest with the SED C2S2 prime contractors. The TO Contracting Officer will respond to waiver requests as soon as practicable. Should the Government determine that any such proposed teaming arrangements inhibit competition, (1) that determination may render the offeror’s proposal ineligible for award, and (2) the TO Contracting Office shall forward the matter to the appropriate authorities as prescribed by FAR Part 3.3, if necessary.

(d) Other teaming arrangements made for individual TOs between SED C2S2 IDIQ MAC prime contractors and non SED C2S2 IDIQ MAC holders are acceptable, but shall be made in accordance with this section and the clauses incorporated in the IDIQ MAC and individual TOs.

(e) Unless already covered by an approved comprehensive subcontracting plan, a Small Business Individual Subcontracting Plan (ISP) will be submitted for the basic contract (Large Business Prime contractors only) and incorporated in Section J when the cumulative total of TOs exceed the threshold identified in FAR 19.7 and DFARS 219.7. The Small Business ISP shall include all elements specified in FAR 19.704 and shall identify goals for small business utilization based as a percentage of total subcontracted dollars as currently set by TOD for Fiscal Year 20 as follows: SB-23%, SDB-5%, SDVOSB-3%, HUBZone-3%, and WOSB-5%. The separate goals for each socio-economic category shall be submitted for each unrestricted fair opportunity that requires such submission. If these goals cannot be met, justification must be provided with revised goals.

(f) The SB subcontracting goals negotiated under each TO awarded to a large business will be incorporated into Section H of the TO. Each time subcontracting goals are established on a new TO, the goals in the ISP for the basic contract of that large business prime will be updated by modification to the basic contract to reflect the cumulative total subcontracting goals of all TOs issued to that prime.

H.4 ROLLING ADMISSIONS

The objective of an on-ramp is to maintain competitive sources for task orders and/or to obtain access to additional capabilities, technologies and equipment related services. The objective of an off-ramp is to reduce administrative burden and costs for the Government and contractors and to maintain streamlined and efficient processes on the contract. The Government reserves the right to review all contracts under the SED C2S2 IDIQ MAC vehicle to determine if the need exists to add additional contractors and/or to determine if it is appropriate to remove existing contractors.

The Contracting Officer may conduct market research to assess additional capabilities, technologies and equipment related services available in the open market. The Contracting Officer may also assess contractor performance and the amount of competition available. The Government may elect to evaluate the benefit of conducting an on-ramp on the SED C2S2 IDIQ MAC vehicle on an annual basis if it is in the best interest to the Government. The Government may conduct an on-ramp in any year of the SED C2S2 IDIQ MAC period of performance in order to maintain adequate competition or to obtain access to additional capabilities, technologies and equipment related services.

During an on-ramp, offerors who are not already an SED C2S2 IDIQ MAC contract holder may be eligible to obtain an IDIQ contract under the SED C2S2 IDIQ MAC vehicle. Current SED C2S2 IDIQ MAC contract holders shall not submit a proposal for a new SED C2S2 IDIQ MAC during the on-ramp and shall continue with their existing IDIQ contract.

The Government may conduct an on-ramp to the SED C2S2 IDIQ MAC vehicle in accordance with the following:

· Notice of an on-ramp solicitation and the on-ramp procedures will be publicized on the Beta.SAM.gov website;

· The basis for an IDIQ award under the solicitation will be the same or similar to the original solicitation;

· The terms and conditions of any IDIQ contracts resulting from the solicitation will be the same or similar to the original existing IDIQ contracts under the SED C2S2 multiple award IDIQ vehicle;

· The ordering period of any new IDIQ contracts resulting from the solicitation will be coterminous with the ordering period of the existing IDIQ contracts under the SED C2S2 multiple award IDIQ vehicle;

· If awarded an IDIQ contract resulting from the solicitation, any new contractors will be eligible to submit a proposal in response to a task/delivery order RFP with the same rights and obligations as any other contractor on the SED C2S2 multiple award IDIQ vehicle; and

· The award of any new IDIQ contracts will not increase the existing overall ceiling amount of the SED C2S2 multiple award IDIQ vehicle.

The Government reserves the unilateral right to Off-Ramp non-performing Contractors.

Off-ramping methods may result from one of the following conditions:

· Permitting the Contractor’s Contract term to expire instead of exercising an Option

· Debarment, Suspension, or Ineligibility as defined in FAR Subpart 9.4.

· Termination as defined in FAR Part 49

· Contractors who fail to meet the standards of performance, deliverables, or compliances

· Taking any other action other than those that are permitted under the SED C2S2 MAC IDIQ terms and conditions

H.5 MULTIPLE AWARD CONTRACT OMBUDSPERSON

The following individual is responsible for reviewing complaints from contractors and ensuring that all contractors are afforded a fair opportunity to be considered for all TOs consistent with the procedures in H.1:

The Deputy Assistant Secretary of the Navy - Acquisition and Procurement is responsible for reviewing complaints from contractors and ensuring that all contractors are afforded a fair opportunity to be considered for all TOs.

H.6 SECURITY REQUIREMENTS

If required, a DD Form 254 will be issued at the TO level for specific security requirements. All awardees shall be required to obtain appropriate facilities and personnel security clearances in accordance with any DD Form 254 in support of a TO requirement.

H.7 REQUIREMENTS FOR ACCOUNTING SYSTEM

(a) To be eligible for the award of any cost reimbursement type TO, any SED C2S2 prime contractor must have an accounting system that is adequate to determine the costs allocable to the TO. In this case, the SED C2S2 prime contractor shall include in its proposal;

(1) Evidence that its accounting system has been determined adequate and acceptable from a federal government entity for administration of a cost reimbursable type TO;

(2) State that some other determination regarding its accounting system has been made by a federal government entity; or

(3) State that its accounting system has not been reviewed by a federal government entity for adequacy and acceptability.

(b) If the conditions of (a)(3) above apply, the TO Contracting Officer will request a pre-award survey. It is requested that SED C2S2 IDIQ MAC prime contractors cooperate with the federal government entity to provide required information in a timely manner so as not to delay TO award.

(c) The TO Contracting Officer may request that SED C2S2 IDIQ MAC prime contractors demonstrate compliance with part (a) above prior to or after award of a cost reimbursement TO, or fixed-price TO which provide for progress payments made on the basis of costs incurred by the contractor or on a percentage or stage of completion.
