52.215-20 REQUIREMENTS FOR CERTIFIED COST OR PRICING DATA AND DATA OTHER
THAN CERTIFIED COST OR PRICING DATA (OCT 2010) - ALTERNATE IV (OCT 2010)
(a) Submission of certified cost or pricing data is not required.
(b) Provide information described below:
The offeror shall submit data other than certified cost or pricing data and supporting information prepared in accordance with the Prime Pricing Model, Attachment 5A and Subcontractor Pricing Model, Attachment 5B, and directions therein (detailed instructions are provided in the Pricing Models). The Pricing Models contain all of the labor categories and hours that are to be used for proposal purposes. Offerors are to complete the Pricing Models, Attachment 5A and Attachment 5B, with the information outlined below, and this information will be used as a mechanism to evaluate cost realism and price reasonableness of the submitted offer.
Any information submitted must support the cost proposed. Include sufficient detail or cross references to clearly establish the relationship of the information provided to the cost proposed. Support any information provided by explanations or supporting rationale, as needed to permit the Contracting Officer and authorized representatives to evaluate the documentation.
PART I--COST LABOR INFORMATION:
(1) Current, actual unloaded rates are to be submitted for any "proposed individual." A “proposed individual” is defined as a current employee specifically proposed to perform an estimated number of hours for a labor category.
Offerors shall modify the Prime Pricing Model Attachment 5A and Subcontractor Pricing Model Attachment 5B, as necessary (i.e. add rows and identify proposed individuals by name) to account for each proposed individual. In accordance with the offeror's disclosed estimating system practices, average unloaded direct labor rates may be submitted for all remaining labor categories/hours, i.e., those labor categories/hours not accounted for under the proposed individuals’ data. Do not submit composite rates encompassing more than one labor category. This cost information shall include, as a minimum, the cost data elements contained in the Attachment 5A Prime Pricing
Model and Attachment 5B Subcontractor Pricing Model. Offerors should include additional elements such as overtime rates/hours, premium time rates/hours, etc. as applicable.
This contract is subject to the Service Contract Labor Standards statute and the latest wage determination (WD) for
Charleston, SC (RFP Attachment 9) and Washington DC (RFP Attachment 10). The Department of Labor issued
WDs no longer provide a minimum rate for most of the Computer IT categories (Computer Programmers II, III, and
IV, and Systems Analysts I, II and III); however, the last WD listing the minimum rate for the computer labor categories established the minimum rate for most of the IT computer related categories at $27.63 per hour. 29 CFR
541.400 states that in order for computer systems analysts, programmers, and other similarly skilled workers to be eligible for exemption as professionals, the employee must be compensated at a rate of not less than $27.63 an hour or $455 a week if considered to be salaried employees. The Prime Pricing model lists the IT computer categories as categories subject to the Service Contract Labor Standards and has established the overtime rate to be 1.5 times the straight time rate. If an offeror considers the IT computer related categories to be professional that intention should be stated in the narrative contained in the Cost/Price Proposal, and the offeror should revise the Pricing Model(s) to reflect any necessary changes to the overtime rate.
All labor categories shall be escalated, as applicable, for rates crossing the offeror’s calendar year, during the period of performance identified in the Pricing Models, Attachments 5A and 5B. Offeror’s shall use an annual escalation rate of 2% for the Service Contract Labor Standards categories, which are subject to the applicable wage determinations for cost realism purposes. For the professional labor categories identified in the Attachment 5A
Prime Pricing Model and Attachment 5B Subcontractor Pricing Model, offerors shall use actuals, if known, or rates based on historical data, standard practice, or those accepted by Defense Contract Management Agency (DCMA) or
Defense Contract Audit Agency (DCAA) for proposal purposes. The narrative to the Cost/Price Proposal must include supporting rationale for the escalation rate proposed.
(2) As discussed in the FAR 52.237-10 “Identification of Uncompensated Overtime” provision, hourly rates submitted shall be derived by dividing the proposed individual’s actual annual salary by 2080 hours, which is based on a 40-hour work week. Any uncompensated overtime proposed shall be clearly identified by labor category within your cost proposal. If uncompensated overtime is proposed, the adjusted hourly rate shall be applied to all proposed hours. Uncompensated overtime will be evaluated in accordance with the FAR 52.237-10 “Identification of Uncompensated Overtime” provision in Section L of this solicitation.
(3) All labor categories to be used in the performance of the proposed contract shall be included in the Attachments
5A and 5B, Prime and Subcontractor Pricing Models, respectively. All labor hours for performance required by the solicitation and proposed, shall be accounted for in the Attachment 5A Prime Pricing Model and 5B Subcontractor
Pricing Model.
PART II--REQUIREMENT FOR DATA OTHER THAN CERTIFIED COST OR PRICING DATA:
In accordance with FAR 15.403-3(b), the following information as prescribed below is required for the purposes of assisting the Contracting Officer in determining the cost realism of competing offers. The term “Data Other Than
Certified Cost or Pricing Data” is defined in FAR 2.101.
Offerors shall provide copies of correspondence from DCAA or DCMA regarding approval of rates and/or systems, such as Forward Pricing Rate Agreements (FPRAs), Forward Pricing Rate Recommendations (FPRRs), Provisional
Billing Rates (PBRs), agreed-upon final annual indirect rates, and Accounting System Approval (if applicable). If available, provide any updated forward pricing rate information submitted to DCAA/DCMA for review. The correspondence and all attachments (FPRAs, FPRRs, etc.) shall be provided in the Cost/Price Proposal submission
(i.e. CostData file).
(1) DIRECT LABOR - The labor categories intended for use for evaluation of proposals (also reference Section C
C-TXT-11, Personnel Qualifications), are provided in the Prime Pricing Model, Attachment 5A. Identify the labor rates and total cost for each labor category proposed for the period of performance identified in Pricing Model, Attachment 5A. The labor specified under this category shall only be for the prime contractor’s direct labor and shall not include any subcontracted labor (see “Subcontracted Labor” below). For the Service Contract Labor
Standards categories in Section C, offerors are required to comply with the appropriate Service Contract Labor
Standards occupation code cross-reference as set forth in the Section C labor categories. Since this solicitation requires work to be performed at both the Contractor and Government sites, the proposal must include your company policy concerning any stipulations as to when Government site/contractor site rates are effective.
Offerors are to include a statement of any additional labor categories, additional estimated hours and related qualifications for labor cost that will be a direct cost based on the offeror’s accounting procedures (e.g., management and administrative labor costs). Offerors should include rationale explaining the basis for the number of labor hours per additional labor category.
Supporting data for all “proposed individuals” (prime and subcontractors) shall be current actual direct labor rates evidenced by payroll records, paystubs, or Letters of Intent (LOIs) for all individuals identified in the offerors resume submission as well as any other proposed individuals. Forward pricing proposals/recommendations/agreements or salary survey data may be submitted for the remaining labor categories.
When labor rates are based on current actual direct labor rates, LOIs, or forward pricing information (i.e. the basis of estimate is not salary survey data), the proposal must include the following:
- a statement of the offeror’s normally used nomenclature for each labor category included herein, together with a copy of the offeror’s own position description (to include education and experience requirements) and a written explanation of how the proposed category meets the experience/education requirements for each labor category. This information shall be provided in the Position Descriptions/Labor Mapping submission.
o If the offeror's education and experience requirements of its labor categories do not exactly align with the requirements outlined in the solicitation, offerors should describe how the proposed labor rates were calculated; to include an explanation of how the offeror ensured that only rates reflective of qualified personnel were utilized in formulating the proposed rates.
o EXAMPLE: A company’s labor qualifications may list a range of 8 to 10 years of experience for a particular category. If the Government’s minimum requirement for that category is designated as
10 years of experience, the Government needs assurances that the proposed direct labor rates are not calculated based on personnel who only possess 8 or 9 years of experience.
- as an alternative to submitting position descriptions, offerors may provide resumes to support current actual direct labor rates. The resumes shall be submitted in the CostData file.
- If providing LOIs, the offeror and/or its subcontractor(s) shall include the direct hourly labor rate for the proposed employee, identify the position, submit the LOI on offeror’s or subcontractor's letterhead with both the prospective employee's and the employer signatures, and state that the LOI is for Solicitation No.
. LOIs shall be submitted in the CostData file.
If providing a salary survey, offerors shall at a minimum, include the following information and data for each applicable labor category in the CostData file:
- screen shots that display the source of data used to develop the salary ranges, the job title and description
(including education and experience) being surveyed,
- the geographic location the survey data is valid for, and a range of salary amounts.
- offerors should utilize the 50th percentile at a minimum, and include the specific rationale utilized by the offeror in selecting the applicable percentile(s).
(2) INDIRECTS – Identify the indirect rates proposed and identify the appropriate allocation base for each indirect rate. For all proposed indirect rates not based on (1) forward pricing information submitted to, recommended by, or agreed upon with DCMA, or (2) forward pricing and/or provisional billing information submitted to, reviewed, and/or audited by DCAA, historical indirect data, to include actual incurred rates (i.e. agreed-upon final annual indirect cost rates), shall be provided for the three years prior to the offeror’s current fiscal year. If a proposed indirect rate is more than 3% below the three-year historical actual incurred average, offerors (including subcontractors) shall include a detailed explanation regarding the basis of estimate and how the proposed rates were developed in the narrative to the Cost/Price Proposal. Offerors (including subcontractors) shall also include the data utilized in estimating the proposed rates. This data shall include the offeror's fringe benefit, overhead (on and off-site as applicable), General and Administrative (G&A), Materials and Subcontracts (M&S) handling, and any other indirect rates as applicable to the offeror's accounting system. The information provided shall be consistent with the offeror’s disclosed accounting practices.
(3) SUBCONTRACTED LABOR – Identify, if applicable, any proposed subcontracting labor intended for use under this contract. Identify the labor categories for which subcontracting is being proposed and include the subcontractor’s direct labor rates, number of hours proposed for each labor category, fringe benefits, overhead, G&A, fee etc, that has been submitted by the subcontractor to the prime contractor for consideration under this contract. For the Service Contract Labor Standards categories in Section C, offerors are required to comply with the appropriate Service Contract Labor Standards occupation code cross-reference as set forth in the
Section C labor categories.
Any subcontractor that is proposed without assigned labor hours, regardless if labor rates are provided, is considered an “unpriced” subcontractor and will not be included as part of the evaluation nor will they be an approved subcontractor in any resulting award.
(4) OTHER:
A. DIRECT COST - Identify any other direct cost elements being proposed which are not included above but are applicable to your cost proposal (e.g., Royalties, Special Tooling, Material, Travel, Computer Usage, etc.).
Refer to Provision L-TXT-09 Other Direct Costs paragraph (e). Include the specific rationale used to estimate the costs and include the basis for the proposed amount with supporting data (e.g. lease agreement, quotes, market pricing, etc). The decision as to whether costs are handled as direct or indirect costs rests with the offeror, but shall be consistent with the offeror’s approved cost accounting practices as disclosed in the Offeror’s Disclosure
Statement, or consistent with the offeror’s established accounting practices if the Offeror is not required to submit a
Disclosure Statement.
B. INDIRECT COST - Identify any other indirect cost element (e.g., Facilities Capital Cost of Money) being proposed which has not been included above and identify the appropriate allocation base for each indirect rate.
Describe the basis for estimating each indirect costs element, and advise if the rates proposed are in accordance with any Forward Pricing Rate Agreements/Recommendations/Proposals and state the applicable period.
(5) PROFIT/FEE - Identify the proposed profit rate, proposed fee rate, total amount proposed for fixed fee, and the cost elements on which the fee rate is applied.
52.216-1 TYPE OF CONTRACT (APR 1984)
The Government contemplates the award of a performance-based, single award, Indefinite Delivery, Indefinite
Quantity (IDIQ) type contract which allows for the issuance of Cost-Plus-Fixed-Fee (CPFF) type orders, with provisions for Firm-Fixed-Price (FFP) orders under full and open competition resulting from this solicitation.
52.222-46 EVALUATION OF COMPENSATION FOR PROFESSIONAL EMPLOYEES (FEB 1993)
(a) Recompetition of service contracts may in some cases result in lowering the compensation (salaries and fringe benefits) paid or furnished professional employees. This lowering can be detrimental in obtaining the quality of professional services needed for adequate contract performance. It is therefore in the Government’s best interest that professional employees, as defined in 29 CFR 541, be properly and fairly compensated. As part of their proposals, offerors will submit a total compensation plan setting forth salaries and fringe benefits proposed for the professional employees who will work under the contract. The Government will evaluate the plan to assure that it reflects a sound management approach and understanding of the contract requirements. This evaluation will include an assessment of the offeror’s ability to provide uninterrupted high-quality work. The professional compensation proposed will be considered in terms of its impact upon recruiting and retention, its realism, and its consistency with a total plan for compensation. Supporting information will include data, such as recognized national and regional compensation surveys and studies of professional, public and private organizations, used in establishing the total compensation structure.
(b) The compensation levels proposed should reflect a clear understanding of work to be performed and should indicate the capability of the proposed compensation structure to obtain and keep suitably qualified personnel to meet mission objectives. The salary rates or ranges must take into account differences in skills, the complexity of various disciplines, and professional job difficulty. Additionally, proposals envisioning compensation levels lower than those of predecessor contractors for the same work will be evaluated on the basis of maintaining program continuity, uninterrupted high-quality work, and availability of required competent professional service employees.
Offerors are cautioned that lowered compensation for essentially the same professional work may indicate lack of sound management judgment and lack of understanding of the requirement.
(c) The Government is concerned with the quality and stability of the work force to be employed on this contract.
Professional compensation that is unrealistically low or not in reasonable relationship to the various job categories, since it may impair the contractor’s ability to attract and retain competent professional service employees, may be viewed as evidence of failure to comprehend the complexity of the contract requirements.
(d) Failure to comply with these provisions may constitute sufficient cause to justify rejection of a proposal.
52.233-2 SERVICE OF PROTEST (SEP 2006)
(a) Protests, as defined in section 33.101 of the Federal Acquisition Regulation, that are filed directly with an agency, and copies of any protests that are filed with the Government Accountability Office (GAO), shall be served on the Contracting Officer (addressed as follows) by obtaining written and dated acknowledgment of receipt from
Space and Naval Warfare Systems Center Atlantic, Code 22410, P. O. Box 190022, North Charleston, SC 29419-
9022.
(b) The copy of any protest shall be received in the office designated above within one day of filing a protest with the GAO.

This solicitation incorporates one or more solicitation provisions by reference, with the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available. The offeror is cautioned that the listed provisions may include blocks that must be completed by the offeror and submitted with its quotation or offer. L-TXT-303 ALTERNATIVES TO MILITARY AND FEDERAL SPECIFICATIONS AND STANDARDS
(a) The Department of Defense is –
(1) committed to minimizing the use of military and federal specifications and standards; and
(2) seeking to use non-government specifications and standards to the maximum extent practicable to satisfy its requirements.
(b) The offeror –
(1) is encouraged to identify and propose alternatives to specifications and standards cited in this solicitation:

In preparing the proposal, emphasis should be placed on brief, complete, and factual data in the areas set forth in the solicitation. Organization, clarity, accuracy of information, relevance, and completeness are of prime importance. Statements such as “will comply,” or “noted and understood” without supporting narrative to define compliance are not acceptable. Cursory responses or responses which merely reiterate or reformulate solicitation language will not be considered as satisfying the requirements of the solicitation or as demonstrating the ability to perform.
NON-COST FACTORS
Proposal shall consist of the information specified for each evaluation factor listed below.
FACTOR A: GATE CRITERIA
Subfactor A1: Top Secret (TS) Facility Clearance Level (FCL) & Secret Level of Safeguarding
Prime offerors shall possess a current, active TS FCL and be authorized at Secret Level of Safeguarding at the time the solicitation closes and at time of contract award for the facility proposed to be utilized in performance of the basic contract Performance Work Statement (PWS) requirements. Prime offerors shall provide a copy of their current and dated Industrial Security Facilities Database (ISFD) summary printout for the specific facilities to be utilized.
Subfactor A2: Manufacturer Approved Dealer Certification Status
Offerors shall complete and submit the Certification Status Form Attachment 2 (see Attachment 2 for detailed instructions) to identify its status as a Value Added Resellers (VAR), certified integrators, or other manufacturer approved dealer certification, for each of the ten (10) COTS Original Equipment Manufacturers (OEMs) listed in
Attachment 2. Offeror’s shall also provide written, verifiable proof of their current, active (i.e. not expired) certification status for all ten (10) systems included with their Attachment 2 submission. In addition, the offeror shall provide a point of contact from the OEM manufacturer certifier to include name, title, phone number, and email address which the Government will utilize to verify and validate the offerors submitted certification status.
FACTOR B: TECHNICAL CAPABILITY
Offerors (prime and significant subcontractors) shall submit the information requested below pertaining to relevant
Technical Capability, based on the offeror’s corporate experience, using the Reference Information Sheets provided as Attachments 1B and 1C. In order to evaluate the proposed team’s Technical Capability to perform the Factor A requirements, offerors (prime and significant subcontractor) shall submit a maximum of five (5) current and relevant contract references using the Attachment 1B and 1C Reference Information Sheets. Current is defined as a contract performed within the last five years from the date of issuance of the solicitation. Relevant is defined as no more than five (5) contract references in total, with a cumulative INVOICED value equal to or exceeding
$25 million submitted by the team for efforts similar to the solicitation requirements. A significant subcontractor is defined as a subcontractor or any separate subsidiary, or separate legal entity affiliated with the prime contractor that is proposed to perform at least 20 percent (without rounding) of the total proposed labor hours.
No more than a total of five of the most current and relevant contracts may be submitted for the team (prime and significant subcontractor). At least one contract reference must be submitted by the prime contractor and at least one of the prime’s contract references shall have an invoiced value of at least $8 million.
(1) All contract references from the Prime and all contract references for each significant subcontractor shall be for contracts which require access to TS/SCI security classification level space/data for performance of the contract reference requirements. Offerors shall submit the TS/SCI Access Contract
Reference Verification Form (Attachment 1A) for each contract reference proposed and provide a copy of the signed Department of Defense Security Classification Specification (DD254) for each submitted contract reference (official DD254 must be marked Top Secret in block 1A of Facility
Clearance required). NOTE: If the DD254 is classified, the offeror shall provide the following unclassified information for verification purposes: SCI Access Contract number, security phone number of the claimed SCI access contract, and Company CAGE Code. The TS/SCI contract references cited in
Attachment 1A shall be identical to the contract references proposed in paragraph (2) above. Only contract references which required access to the TS/SCI security classification level space/data for performance of the contract reference shall be submitted.
(2) The offeror shall complete Contract reference data (i.e., Attachments 1B and 1C). The contract reference data is limited to the Prime contractor and significant subcontractors.
The Government will not accept “classified” contract references. All data submitted shall be at an unclassified level.
For each contract or order cited on Attachment 1B, line 6 requires the contract type and total price, and line 7 requires the final amount invoiced or amount invoiced to date. The combined invoiced total for all contract references shall meet or exceed $25 million, or the offeror’s technical capability will not be evaluated and the offeror will not be eligible for award.
In the case of orders under Indefinite Delivery contracts such as General Services Administration (GSA), Government Wide Acquisition Contract (GWAC), DoD-wide (Seaport-E, NETCENTS, ITES-2S, ENCORE, etc.)
and/or Blanket Purchase Agreements (BPAs), an individual order which meets the definition of “current and relevant” may be submitted as one of the contract references. Additionally, within the contract reference submission limitations as stated above, offerors may submit multiple orders under a single Indefinite Delivery contract in order to meet the relevancy threshold.
