SECTION L
1.0 GENERAL INFORMATION
1.1 The Offeror must respond to all requirements of the solicitation and may not alter or rearrange the solicitation.
The Government may incorporate any portion of the Offeror’s proposal into the resulting contract.
1.2 The Offeror is required to submit a proposal that is sufficiently detailed and complete to fully demonstrate an understanding of, and compliance with, all requirements of the solicitation. Proposals shall contain only material directly related to this acquisition. The Offeror’s proposal shall be based on the requirements contained in this solicitation (including those documents, exhibits, and other attachments to the solicitation identified in Section J).
Offerors shall submit a proposal encompassing all line items listed in Section B of this solicitation. FAILURE TO
FOLLOW THE INSTRUCTIONS OR CONFORM TO ALL REQUIREMENTS OUTLINED IN THIS
SOLICITATION MAY RESULT IN REJECTION OF THE OFFEROR’S PROPOSAL.
1.3 Proposals must contain a complete description of all pertinent aspects of the effort proposed by the Offeror.
Offerors shall not assume that previously submitted data or prior experience presumed to be known to the Government (e.g., previous projects performed for the Government) will be considered as part of the proposal.
1.4 General statements such as, “the Offeror understands,” “the Offeror can or will comply with the requirements,” “standard procedures will be used,” “well-known techniques will be used,” or statements which merely paraphrase the solicitation in whole or in part do not constitute compliance with the requirements for proposal content.
Discussions of each topic in the proposal shall exhibit continuity and logical progression.
1.5 All proposals must be UNCLASSIFIED.
1.6 Offeror Questions. Refer to Section L, provision L-215-H007 – Alternate I for instructions. Offerors shall submit questions to the following POCs.

2.0 INSTRUCTIONS FOR SUBMISSION OF OFFERS
2.1 PROPOSAL SUBMISSION
2.1.1 Proposals shall be received via the PIEE Solicitation module by the solicitation closing date and time specified in Block 9 of the SF33 on this solicitation. All required proposal information shall be submitted as files uploaded directly to the PIEE Solicitation module. It is not permissible to upload a link to an internet-based data center (e.g.
Google cloud or Dropbox). Failure to submit a complete proposal prior to the solicitation closing date and time will render the proposal late and unacceptable. In the rare event that the PIEE Solicitation module is down or inaccessible, the Offeror shall notify the Government prior to the solicitation closing date and time so the Offeror can submit a proposal electronically outside of the PIEE Solicitation module via email to the POCs identified in Section L.1.6.
2.1.2 Offerors are responsible for submitting proposals, any proposal modifications, and any proposal revisions by the time specified in the solicitation. The solicitation will close at the exact date and time specified in the solicitation and any proposal, proposal modification, or proposal revision not submitted by the exact time specified for receipt of offers is “late” and will not be considered. Proposals may be withdrawn by written notice to the POCs listed in Section L.1.6 provided such notice is received prior to award.

(h) Identify all enclosures being transmitted as part of the Offeror’s proposal.
(i) If the Offeror believes no organizational conflict(s) of interest exists, an affirmative statement that no such conflict exists shall be included in the cover letter.
3.1.2. Solicitation Fill-ins. The Offeror shall complete all solicitation fill-ins using the latest amended solicitation version and provide a copy within Volume I.
3.1.3. Section B Pricing. The Offeror shall fill Section B pricing for each priced CLIN/SLIN and provide a copy within Volume I. The Section B pricing will take precedence should there be any discrepancies with any other pricing information submitted. As such, the resulting award will be made to the successful Offeror using their proposed Section B pricing.
3.1.4. Small Business Participation. The North American Industry Classification (NAICS) code applicable to this solicitation is 334111. Therefore, companies proposing as a subcontractor under this solicitation as a small business concern must have had an average number of employees less than 1,250 employees for the preceding completed 24 calendar months. Companies proposed as a small business concern shall meet this size standard as of the date of the proposal submission under this solicitation.
The Offeror shall demonstrate how it will provide at least 28.0% of the proposed total estimated amount of the contract to small business concerns. Offeror shall provide sufficient information to demonstrate that the tasks assigned to the selected small business subcontractors are meaningful in the overall success of the program. The approach shall address use of Small Business Concerns, Small Disadvantaged Business Concerns, Women-Owned Small Business Concerns, Hub Zone Small Business Concerns, Veteran-Owned Small Business Concerns, and Service-Disabled Veteran-Owned Small Business Concerns.
3.1.5. OCI Mitigation Plan. The Offeror shall follow the two-step process described below for identifying known or potential OCI issues to the Government for this solicitation.
Step 1: If it is believed that conflicts of interest are real, possible, or perceived, the contractor shall submit a letter within fourteen (14) days of the release of the solicitation identifying those OCI issues and the strategy that the Offeror intends to use for mitigation. This letter will be for notification purposes only, for the Government to conduct any research, and no determination will be made by the Government at that time. If no OCI issues are present or anticipated, no action is required of the Offeror within this window.
Step 2: Offerors shall submit a statement in affirmation or negation whether they have an OCI conflict regarding this solicitation. If OCI issues are present or anticipated, Offerors shall provide details and submit an OCI mitigation plan and its corporate policy for resolving as part of their proposal submission. If it is believed that no conflicts of interest exist, then the Offeror shall clearly state this, in addition to providing their corporate policy for resolving OCIs.
Organizational charts and/or corporate policy are authorized to be submitted in addition to the OCI Mitigation Plan and do not count toward any page limitation.
Award will only be made to an Offeror, including all subcontractors, that has no organizational conflict of interest as defined in FAR 9.5 or that the Government determines has provided a satisfactory mitigation plan in accordance with L-209-H009 herein. Failure by an Offeror to disclose a potential OCI or to submit an OCI mitigation plan with its proposal may render itself no longer being eligible for award.
3.1.6. Pre-Award Survey (SF1408). The Offeror and cost reimbursement subcontractors shall assert whether it has a DCAA approved accounting system and provide the date it was approved. If the Offeror or any cost reimbursement subcontractors do not have an approved accounting system, then an SF1408 Pre-Award Survey shall be completed.
The Offeror is solely responsible for verifying that subcontractors proposed on a cost reimbursement basis have either an approved accounting system or have submitted the SF1408 as part of the subcontractor’s proposal. An SF1408 does not need to be submitted for companies that already have a DCAA approved accounting system. A copy of the SF1408 is at https://www.gsa.gov/reference/forms/preaward-survey-of-prospective-contractor-accounting-system.
3.1.7 Teaming/Subcontracting Agreements. For Offerors proposing under a formal or informal teaming arrangement, provide a copy of the fully executed agreement to include signatures of all parties. Formatting requirements within Section L, 2.2.1 do not apply to the agreements provided in Volume I.
3.2 FACTOR 2 – TECHNICAL AND MANAGEMENT APPROACH (VOLUME II)
Do not include cost or price information in this volume. The Offeror shall address each of the following Factors to demonstrate understanding of the requirements in Section C and ability to successfully perform the tasks in the SOW.
3.2.1. Element 1 – Technical Capabilities and Approach
The submission of an offer constitutes unconditional acceptance to perform all of the tasks described in the SOW;
therefore, the Offeror’s proposal need not address every single aspect of the SOW. The Offeror shall describe its specific understanding, capability, experience, and technical approach with regards to the following requirements.

(c) Its experience with conducting trade studies, conducting engineering analysis for ECPs, testing and generating test data to qualify computer electronics components, and redlining TDP drawings.
3.2.1.4. Sample Scenario Problem Definitions
Use the following definitions for the following two sample scenario problems:
- Form means the shape, size, dimensions, mass, weight, and other physical parameters that uniquely characterize an item.
- Fit means the ability of an item to physically interface or interconnect with or become an integral part of another item.
- Function means the action or actions that an item is designed to perform.
- Interchangeable item or interchangeability means a product which possesses such functional and physical attributes as to be equivalent in performance to another product of similar or identical purposes; and is capable of being exchanged for the other product without selection for fit or performance, and without alteration of the products themselves or of adjoining products, except for adjustment.
- Technology refreshment means a type of technology-related, periodic, planned change of items within a system’s design to ensure continued access to the items necessary for system’s support.
3.2.1.4.1. Sample Scenario Problem One – Replacement Computer Memory Module Part

Discuss any bench testing, integration testing, software compatibility testing, regression testing, and any other testing it considers necessary to verify the new computer memory module part is an interchangeable item with the old one.
(c) The Offeror shall describe how it would perform the testing identified in 3.2.1.4.1(b).
3.2.1.4.2. Sample Scenario Problem Two – Storage Array Technology Refreshment
The Government is planning a storage array technology refreshment for the existing storage array being used. Assume the existing storage array that needs to be upgraded is a NetApp AFF A200 storage array. *Note: This storage array is an example part provided for proposal purposes only and does not represent an actual AN/UYQ-107 configuration.
(a) The Offeror shall describe its general approach for conducting a trade study that identifies potential storage array upgrades available on the market. The approach shall include:
i. What general categories of specifications and characteristics the Offeror would consider in its study.
ii. Why the general categories identified in 3.2.1.4.2.(a)(i) are important to consider for the trade study.
iii. The Offeror’s process for collecting data and information on the general categories identified in 3.2.1.4.2.(a)(i).
iv. The Offeror’s methodology for analyzing the collected data to determine how suitable the potential replacement parts are.
(b) The Offeror shall describe how it would manage the trade study effort to ensure the final deliverable addresses the Government’s requirement.
3.2.2. Element 2 – Management Approach
3.2.2.1. The Offeror shall provide an organizational chart and narrative that describes its management structure. This information shall define the roles and responsibilities, the reporting lines of authority, and the decision-making authority of each of the organizational areas described. The organizational chart and narrative shall address, at a minimum, the following organizational areas: program management, engineering, hardware production, quality control and contracts. Describe the subcontractor team being proposed under this task order, the specific requirements anticipated to be subcontracted, the rationale for why these subcontractors were selected to perform this work, and the overall approach to subcontractor management. Provide a detailed description of all teaming/subcontracting arrangements (e.g., traditional prime-sub relationship, and/or other formal or informal team arrangement) to include identification of the lead contractor and the roles/responsibilities of all participants. Identify any foreseen risks associated with the proposed teaming/subcontract arrangement(s) and address how those risks will be mitigated to ensure successful contract performance. The Offeror shall further describe its approach for managing these team members/Subcontractors and maintaining organizational control over their contractual efforts. The discussion shall include the processes that will be employed to maintain privity of contract restrictions while, at the same time, efficiently conveying Government technical requirements to team members/subcontractors, implementing changes in technical direction, monitoring/measuring their performance, and ensuring that all task objectives are achieved.
3.2.2.2. The Offeror shall describe its existing supplier base for COTS electronics parts and components in computer processing assemblies, storage array systems, and network switch assemblies, as well as its approach for managing and developing this supplier base to incorporate current market developments for these types of COTS electronics parts and components.
3.2.2.3. The Offeror shall describe its process for coordinating, managing, and executing AIT work on US Navy ships.
This shall include at a minimum the following.
(a) Coordinating and shipping installation material (e.g. ORDALT kits and parts) to the shipyard where the installation will be performed.
(b) Planning and executing the AIT’s travel to the installation location so the AIT can start the installation work on-time during the Government specified availability window.
(c) Managing AIT personnel performance during the installation to ensure the installation work is completed during the Government specified availability window.
(d) The Offeror shall describe the personnel it has that are qualified to perform hardware installation on the AN/UYQ-107 CPS equipment family or equipment with comparable memory, storage, networking, and processing capabilities.
3.2.2.4. The Offeror shall describe its approach for monitoring and controlling costs during contract performance. The approach shall also explain how the Offeror’s program management personnel receive and use cost information to manage cost during contract performance.
3.2.2.5. The Offeror shall describe its approach for monitoring contract performance and maintaining oversight of the tasking assigned by the Government. The approach shall address at a minimum how the Offeror will keep track of its progress on tasking performed under SOW 3.2.2 (Engineering Services and Obsolescence Management), SOW 3.2.8 (ORDALT Kits), and SOW 3.2.10.5/3.2.10.6/3.2.10.8 (Installations).
3.2.3. Element 3 – Personnel Requirements
3.2.3.1. Key Personnel. The Offeror shall identify a candidate for the key position designated in this solicitation. All key personnel positions shall identify a current employee or contingent hire to fulfill the role. Each resume shall demonstrate the key personnel’s qualifications to complete the tasking for which person has been proposed to perform.
The Offeror shall submit a current “letter of intent” (with salary information redacted) with a resume supplied for contingent key personnel hires. The letter of intent does not count against page limitations and must be signed by the contingent hire employee and the Offeror.
Personnel in key positions cannot be replaced without prior Government approval in accordance with clause C-237- H002, SUBSTITUTION OF KEY PERSONNEL (NAVSEA) (OCT 2018). The qualifications listed in each individual proposed key personnel resume, not the specific individual, are the materially relevant aspects of the proposed key personnel partially forming the basis of award. Therefore, even if a proposed key personnel becomes unavailable to the Offeror between proposal submission and award, the Government will evaluate and make its award decision based on the qualifications listed on the proposed resume(s). When the Government awards a contract under those circumstances, the Government will require the awardee to use the qualifications listed on the relevant proposed key personnel resume as the basis for replacing the individual under C-237-H002 SUBSTITUTION OF KEY PERSONNEL (NAVSEA) (OCT 2018) during contract performance. The Offeror shall make no substitution of key personnel without prior notification to and concurrence of the Contracting Officer.
Offerors shall submit a resume for the proposed key personnel and the resume shall be submitted with the following information:
Name Position Security clearance level Citizenship Chronology of education, training, and degrees/certifications held Chronology of work experience with emphasis on SOW related experience Summary indicating how personnel qualifications are met (e.g., years of relevant experience)

The Offeror shall complete all information requested within the provided template and shall include all proposed personnel, including those of its subcontractors, necessary to perform all aspects of the SOW. The Offeror shall propose staffing in accordance with the labor hours identified in Section B.
The Offeror shall preface the names of contingent hires with “Contingent –”; for example, “Contingent – Jane Doe.”
The Offeror shall preface the names of key personnel with “Key –“; for example, “Key – Jane Doe.” The Offeror shall use “TBD” for non-key positions that do not have identified personnel.
The Offeror shall provide a mapping of any company-specific labor categories it, or its subcontractors, proposes in the staffing plan to the corresponding Government standard eCRAFT labor categories. Unless specified already by the Government, Offeror shall propose standard eCRAFT labor categories based on the descriptions listed at:
http://www.navsea.navy.mil/Home/Warfare-Centers/NUWC-Newport/Partnerships/Commercial-Contracts/Labor- Categories/.
The Offeror shall propose a staffing plan in the technical volume that fully aligns with the staffing included in the cost proposal. Discrepancies between the proposed staffing identified in the technical and cost proposal may result in an identification of risk, a lowering of the adjectival rating in the technical proposal, and/or an upward adjustment to the proposed cost.
3.2.4. Element 4 – GFP Management
The Offeror shall demonstrate that they have an acceptable Government Property Management system, plan, and practices in place to ensure the safeguarding and management of Government Property that is either depicted within the Section J GFP requirement at the time of solicitation issuance (or as amended), or that may materialize during the performance of the awarded contract.
The Offeror shall describe its property management system, plan and any customary commercial practices, voluntary consensus standards, or industry-leading practices and standards to be used by the Offeror in accounting for, and managing Government Property in accordance with Paragraph (f) of Federal Acquisition Regulation (FAR) Clause No. 52.245-1, as detailed within Section J Attachment JS-1 template entitled, “Government Property Management System/Plan/ Practices Offeror Response Template”. Alternatively, instead of submitting a completed, “Government Property Management System/Plan/ Practices Offeror Response Template”, the Offeror may provide a confirmation letter of an approved Property Management System from the Defense Contract Management Agency (DCMA) that had been issued within three years from the solicitation issuance date.
3.3 FACTOR 3 – PAST PERFORMANCE (VOLUME III)
The Offeror shall provide all past performance information in accordance with Attachment JS-2 – Past Performance Reference. The Offeror shall provide three past performance references, if available, which shall reflect recent experience performed within the last five years of the solicitation release date and that demonstrates experience relevant to the solicitation’s SOW. In addition to these three past performance references, The Offeror shall submit one additional past performance reference for each subcontractor proposed to perform more than 20% of the total labor hours, if available. The Offeror shall describe how the past performance references are relevant including details about how it is similar in scope and complexity to this solicitation’s SOW.
3.4 FACTOR 4 – COST/PRICE (VOLUME IV)
Cost Proposal Spreadsheet. The Offeror and their subcontractors shall each separately submit a cost proposal spreadsheet using the format set forth in Attachment JS-3 Cost Summary Spreadsheet. The cost proposal spreadsheet shall provide a detailed breakout of every single cost element proposed across each base and option year as applicable.
The cost proposal spreadsheet shall include calculations in the cells showing all formulas used to calculate the values.
Do not enter hard data where formulas were used to calculate the entered value.
The Offeror’s cost proposal spreadsheet shall be overarching, encompassing all proposed costs inclusive of sanitized subcontractor costs, and it shall fully align with and support the proposed Section B pricing.
No Technical and Management Approach, or Past Performance information shall be submitted as part of the Cost/Price Proposal.
In this procurement, the Government will perform a cost realism analysis of the Offeror’s proposed costs for the cost-reimbursement type CLINs. The burden of cost credibility rests with the Offeror to demonstrate the realism of its proposed costs; as such, the Offeror must submit substantiating cost data for every cost element it proposes (e.g., direct labor, fringe rate, overhead rate, G&A rate, subcontract costs, etc.). Providing insufficient information to substantiate the realism of an Offeror’s proposed costs may result in a cost adjustment or in the offer no longer being considered for award. The Government will not conduct a cost realism analysis for the FFP CLINs.
The Offeror’s proposal should represent its best efforts to respond to the solicitation. Any inconsistency between promised performance – i.e., the technical and management proposal and the proposed cost/price must be explained in the proposal. For example, if the intended use of new and innovative techniques is the basis for what appears to be an abnormally low estimate, the nature of these techniques and the impact on cost or price shall be explained; or, if a corporate policy decision has been made to absorb a portion of the estimated cost/price, that must be stated in the proposal. Any inconsistency, if unexplained, may raise a fundamental question of the Offeror’s understanding of the nature and scope of the work required and may adversely impact the evaluation of the Offeror’s proposal. The burden of proof as to cost/price credibility rests with the Offeror. Unrealistically low costs may indicate an inability to understand requirements and a high risk approach to contract performance.
Detailed proposal requirements include:
3.4.1 CLIN 1000, 1001, 1002, and 1003 – Materials (FFP)
3.4.1.1. CLIN 1000 – The Government specified unburdened FFP materials are shown in the table below. Offerors shall apply all applicable burdens, and profit (if profit is proposed). Assume for proposal purposes that the unburdened FFP material cost is distributed evenly over each of the five years of the IDIQ ordering period as shown below. The Section B CLIN 1000 price shall equal the total of the Offeror’s proposed fully burdened FFP materials for Year 1 through Year 5.
CLIN 1000 - Government Specified Unburdened FFP Materials Cost Element Year 1 Year 2 Year 3 Year 4 Year 5 Total
Unburdened FFP Materials
$9,000,000 $9,000,000 $9,000,000 $9,000,000 $9,000,000 $45,000,000
The Offeror shall complete the schedule for the total estimated FFP material in Attachment JS-3. The Offeror shall also complete the following FFP material burden factor table below. The material burden factors shall include any proposed indirect rates as well as FCCOM and profit, if proposed. The factors will be incorporated into the resulting IDIQ contract and be used in accordance with Note A and Note B in Section B when orders are placed under CLIN 1000 of the IDIQ contract. The Offeror shall fill the TBDs in the table below with the material burden factor that will be applied to FFP materials ordered under CLIN 1000.
CLIN 1000 - FFP Material Burden Factor Period Factor Year 1 TBD
Year 2 TBD Year 3 TBD Year 4 TBD Year 5 TBD
For example, if the Offeror is proposing indirect costs totaling 10.0% of direct material costs and a profit rate of 5.0% applied to all direct and indirect costs, then the total burden factor will equal: 1.100 x 1.050 = 1.155.
3.4.1.2. CLIN 1001, 1002, and 1003 – The Offeror shall propose unit prices for the following three parts: 64GB RAM part (Manufacturer: amp inc. PN: AMP99M67), 2TB M.2 SSD part (Manufacturer: Transcend Information Inc. PN:

3.4.3.1. Subcontractors. The Offeror shall describe the contract type proposed for each subcontractor and rationale for why the chosen contract type is most appropriate. In particular, the Offeror shall demonstrate the suitability of any Time-and-Materials or fixed price contract types (e.g. FFP, FFP LOE, etc.) and describe how the Government will be billed throughout the performance of this requirement. The Offeror shall demonstrate that their subcontractors have the necessary business systems to perform the contract types being proposed. The Offeror shall conduct appropriate cost or price analysis to establish the reasonableness of the proposed subcontract prices and include the results of these analyses within its cost proposal narrative, in accordance with FAR 15.404-3(b).
All subcontractors shall submit cost proposal narratives in order to fully substantiate the reasonableness and realism of their proposed costs. Subcontractors that are proposed on a cost reimbursement basis shall provide the same level of information as required from the Offeror to substantiate their own costs within their cost proposal narratives.
Subcontractors that are proposed on a Time-and-Materials or fixed price basis (e.g. FFP, FFP LOE, etc.) are not required to provide the same level details as required under cost reimbursable proposals, but shall still provide an itemized breakout of pricing that is customary with the contract type proposed. Subcontractor cost proposals shall be received by the time and date specified for receipt of proposals specified in this solicitation.
3.4.3.2. Labor Mix and Hours. Use the Government estimated annual labor mix and hours for proposal purposes and prepare the Attachment JS-3 Cost Summary Spreadsheet. The Offeror shall propose the labor hours exactly as specified in the Government specified labor mix and hours table below, and shall demonstrate overall adherence to this labor mix and hours. The labor hours shall include both the Offeror and subcontractor labor hours, if applicable.

3.4.3.3. Direct labor rates. The Offeror shall describe the basis of estimate for each direct labor rate proposed and provide substantiating information that fully corroborates each direct labor rate proposed.
i. Current Employees: For each current employee named in the cost proposal spreadsheet, the Offeror and cost reimbursement subcontractors shall provide a screenshot that captures pertinent information from the employer's payroll system, incurred within the last three months preceding the submission of the proposal. The payroll screenshot shall include the date the payment was made. Payroll screenshots shall not contain any personally identifiable information, such as, social security numbers, date and place of birth, phone number, email address and any other information that is linked or linkable to an individual. Cost proposal narratives shall fully explain all pertinent data on a screenshot. The Government must be able to derive the individual’s direct rate (both inclusive and exclusive of the impact of uncompensated overtime, if proposed) from the payroll screenshot. Alternatively, the Offeror and cost reimbursement subcontractors may provide payroll verification instead of payroll screenshots. Payroll verification shall consist of a form containing the named personnel, proposed labor category, direct labor rate, certification status (per labor category as required), description of current position, and a signed certification by an authorized representative of the company that the information contained in the form is correct and current within the last three months preceding proposal submission date. Any supporting direct labor rate information shall clearly map to individual direct labor rates included within the cost proposal spreadsheet.
ii. Contingent Hires: For each contingent hire in the cost proposal spreadsheet, the Offeror and cost reimbursement subcontractors shall clearly indicate named contingent hires and shall provide a signed letter of intent that explicitly lists the agreed upon annual salary for the named individual and the amount of uncompensated work required. The cost proposal narrative shall fully explain all pertinent data about the letter of intent. The Government must be able to derive the individual’s direct rate (both inclusive and exclusive of the impact of uncompensated overtime, if proposed) from the letter of intent information.
iii. Unnamed/TBD Labor Rates: If neither payroll data nor a signed letter of intent is available, the Offeror shall list the individual as “TBD.” The Offeror shall consider the minimum direct labor rates for the Bureau of Labor Statistics (BLS) equivalent categories identified in the table below. These minimum BLS rates reflect the Government’s best approximation of the wage for each labor category considering the level of complexity and experience necessary for the associated eCRAFT labor categories identified. Proposed direct labor rates that do not equal or exceed these minimum BLS rates will be upwardly adjusted to the minimum BLS rates.
