INSTRUCTIONS TO OFFERORS
PART A – GENERAL INSTRUCTIONS
1.0 GENERAL
1.1 The Offeror must respond to all requirements of the solicitation and may not alter or rearrange the solicitation.
The Offeror is advised that the Government may incorporate any portion of the Offeror’s proposal into the resulting contract.
1.2 The Offeror is required to submit a proposal that is sufficiently detailed and complete to fully demonstrate an understanding of, and compliance with, all of the requirements of the solicitation. Offerors shall submit a proposal encompassing all of the line items listed in Section B of this solicitation. FAILURE TO FOLLOW THE
INSTRUCTIONS OR CONFORM TO ALL REQUIREMENTS OUTLINED IN THIS SOLICITATION
MAY RESULT IN REJECTION OF THE OFFEROR’S PROPOSAL.
1.3 Proposals submitted in response to the solicitation must contain a complete description of all pertinent aspects of the effort proposed by the Offeror. Offerors shall not assume that previously submitted data or prior experience presumed to be known to the Government (e.g., previous projects performed for the Government) will be considered as part of the proposal.
1.4 General statements such as, “the Offeror understands,” “the Offeror can or will comply with the requirements,” “standard procedures will be used,” “well-known techniques will be used,” or statements which merely paraphrase the solicitation in whole or in part do not constitute compliance with the requirements for proposal content.
Discussions of each topic in the proposal shall exhibit continuity and logical progression.
1.5 Exceptions or deviations from any term or condition of the solicitation may result in the assessment of a deficiency to the proposal.
1.6 All proposals must be UNCLASSIFIED.
1.7 The TDP will be provided via electronic format upon written request from the Offeror to myriam.padua-preissl@navy.mil and michael.d.thompson4@navy.mil. These drawings are restricted and can only be made available to DoD contractors under the Joint Certification Program.
1.8 Offerors may submit questions regarding the solicitation via email to the Contract Specialist at myriam.padua-preissl@navy.mil and the Contracting Officer at michael.d.thompson@navy.mil. Similar scope and complexity means having performed most of the types of efforts identified in the SOW for this solicitation, especially in regard to having performed efforts for the Q-70 Program. The identified contracts can be with Federal, commercial or other customers. 4.2 Organization and contents of the Price/Cost Proposal. Volume 4 shall include:
a. Schedule of Total Estimated Price. Complete the Schedule of Total Estimated Price (Attachment J-S-2) and Section B of the submitted SF 33.
i. Use the Government estimated annual amounts delineated below for labor category hours, material costs, and travel costs in developing the proposal. The Government estimated annual hours and costs are provided for proposal and planning purposes.
ii. The contract includes a five-year ordering period. In order to allow for procurement lead time and a fair and equal evaluation of all proposals submitted under this competitive procurement, all proposals shall be based on a contract start date of 13 December 2019. This date is only an estimate of the anticipated contract start date and will be used for the purpose of proposal evaluation only. A definitive start date will be incorporated into the contract award document.
b. Basis of Estimate Narrative for Rates and Factors Proposed for the Contract. Describe the basis of estimate for each of the following cost elements proposed for the contemplated contract. The requirements are:
i. CLIN 0001:
a) Direct Labor Costs:
Hourly rates – Describe the basis of estimate for all proposed direct labor rates (unburdened).
Submit any information reasonably required to explain the estimating process, including the judgmental factors applied and the mathematical or other methods used in the hourly rate estimate. Offeror may propose individual wages or category average rates for labor categories.
Despite the estimating method employed, Offeror’s supporting narrative and justification shall provide the current actual hourly wage rate for each person proposed. Identify the date as of which the actual wage rate is current. If proposed direct labor rates vary from actual wages of personnel, explain the basis for those rates. If the Offeror proposes category average rates, the Offeror must provide the detail of employees and wage rates within each labor category and the average rate computational methodology. Any proposed “new hires” should be identified and provide justification for the wage rate (e.g., letter of intent to hire, company compensation policy). The proposed direct labor rates should trace to the supporting justification.
Annual labor hours by labor category – Use the Government estimated annual labor hours delineated below to develop the proposal and prepare the Schedule of Total Estimated Price (Attachment J-S-2).

Annual Labor Escalation – The Offeror must support any proposed labor escalation factor with convincing and complete rationale, factual data, and other pertinent supporting data for out-year escalation projections. Supporting documentation may include management approved or human resources approved policy or memo relative to employee raise information, actual direct labor rates for at least three years, economic projection from an economic service provider, or relevant internet data. Provide a breakout of the components that comprise escalation factor, such as a cost of living, merit and promotion, and employee turnover. If a breakout is not provided, the Government will assume the proposed annual labor increase is solely a salary cost of living adjustment and evaluate as such.
b) Indirect Expense Rates: Describe the basis of estimate for all proposed indirect expense rates.
Submit any information reasonably required to explain the estimating process, including actual indirect expense rates for the last three years, the judgmental factors applied and the mathematical or other methods used in the estimate.
Provide an overview of the company’s indirect cost rate structure used for estimating purposes.
We suggest that the offeror’s proposal include a summary schedule similar to the one below, which identifies the name of each cost burden center and related allocation base. Describe each indirect cost pool and the major cost components that make up the indirect cost pool. Describe the allocation bases used in the computation of indirect cost rates and the cost elements that comprise each allocation base.
Name of Burden Center Allocation Base (i.e. the cost base to which the rate is applied)
If a forward pricing rate agreement (FPRA) has been negotiated and is the basis for the proposed indirect expense rates, provide a complete copy of the FPRA. If, in the offeror’s opinion, the FPRA is too voluminous to include in its proposal, then so state and identify the company’s cognizant Defense Contract Management Agency (DCMA) and Defense Contract Audit Agency (DCAA) office with current contact information for each. Provide copies of recent DCAA correspondence that approves proposed indirect rates, if any.
c) Subcontractor/Consultant Costs: Describe the planned subcontract type and pricing arrangement for each proposed subcontractor. Subcontractor proposals shall include subcontract cost data in the SAME LEVEL OF DETAIL as provided by the Prime Offeror. All subcontracting costs shall be fully supported.
FAR 15.404-3(b) requires the prime contractor to conduct appropriate cost or price analysis to establish the reasonableness of proposed subcontract prices. This data shall be included in Prime Offeror’s proposal as applicable. Analysis based solely on a comparison to GSA rates will not be considered adequate because such rates are frequently discounted.

CASB-CMF form, FCCOM Factors and Computation. Submit any information reasonably required to explain the average net book values and judgmental factors applied and the mathematical or other methods used in the estimate.
If an FPRA has been negotiated and is the basis for proposed FCCOM factors, provide a complete copy of the FPRA. If, in the offeror’s opinion, the FPRA is too voluminous to include in its Price/Cost volume, then so state and identify the company’s cognizant DCMA and DCAA office and provide current contract information for each. Provide copies of recent DCAA correspondence that approves proposed indirect rates, if any.
e) Fixed Fee: Propose a fixed fee amount in the Schedule of Total Estimated Price (Attachment J-S-

(FAR 16.301-3 states that a cost-reimbursement type contract may be used only when the contractor’s accounting system is adequate for determining costs applicable to the contract. If no information is available in the DoD activity files to make this determination an SF-1408 can be requested from DCAA. Before DCAA begins such an audit, the Offeror must complete this checklist to ensure they understand the requirements of the SF-1408 and to ensure they are prepared for DCAA to perform an audit.)
