SECTION I - CONTRACT CLAUSES

52.219-28 POST-AWARD SMALL BUSINESS PROGRAM REREPRESENTATION (JULY 2013)

(a) Definitions. As used in this clause--

Long-term contract means a contract of more than five years in duration, including options. However, the term does not include contracts that exceed five years in duration because the period of performance has been extended for a cumulative period not to exceed six months under the clause at 52.217-8, Option to Extend Services, or other appropriate authority.

Small business concern means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph (c) of this clause. Such a concern is ``not dominant in its field of operation'' when it does not exercise a controlling or major influence on a national basis in a kind of business activity in which a number of business concerns are primarily engaged. In determining whether dominance exists, consideration shall be given to all appropriate factors, including volume of business, number of employees, financial resources, competitive status or position, ownership or control of materials, processes, patents, license agreements, facilities, sales territory, and nature of business activity.

(b) If the Contractor represented that it was a small business concern prior to award of this contract, the Contractor shall rerepresent its size status according to paragraph (e) of this clause or, if applicable, paragraph (g) of this clause, upon the occurrence of any of the following:

(1) Within 30 days after execution of a novation agreement or within 30 days after modification of the contract to include this clause, if the novation agreement was executed prior to inclusion of this clause in the contract.

(2) Within 30 days after a merger or acquisition that does not require a novation or within 30 days after modification of the contract to include this clause, if the merger or acquisition occurred prior to inclusion of this clause in the contract.

(3) For long-term contracts--

(i) Within 60 to 120 days prior to the end of the fifth year of the contract; and

(ii) Within 60 to 120 days prior to the date specified in the contract for exercising any option thereafter.

(c) The Contractor shall rerepresent its size status in accordance with the size standard in effect at the time of this rerepresentation that corresponds to the North American Industry Classification System (NAICS) code assigned to this contract. The small business size standard corresponding to this NAICS code can be found at http://www.sba.gov/content/table-small-business-size-standards.

(d) The small business size standard for a Contractor providing a product which it does not manufacture itself, for a contract other than a construction or service contract, is 500 employees.

(e) Except as provided in paragraph (g) of this clause, the Contractor shall make the representation required by paragraph (b) of this clause by validating or updating all its representations in the Representations and Certifications section of the System for Award Management (SAM) and its other data in SAM, as necessary, to ensure that they reflect the Contractor's current status. The Contractor shall notify the contracting office in writing within the timeframes specified in paragraph (b) of this clause that the data have been validated or updated, and provide the date of the validation or update.

(f) If the Contractor represented that it was other than a small business concern prior to award of this contract, the Contractor may, but is not required to, take the actions required by paragraphs (e) or (g) of this clause.

(g) If the Contractor does not have representations and certifications in SAM, or does not have a representation in SAM for the NAICS code applicable to this contract, the Contractor is required to complete the following rerepresentation and submit it to the contracting office, along with the contract number and the date on which the rerepresentation was completed:

The Contractor represents that it ( ) is, ( ) is not a small business concern under NAICS Code 541690 assigned to contract number ____________________.

(Contractor to sign and date and insert authorized signer's name and title).

AMENDMENT 0002: PPI RESPONSES

Amendment 0002: Pre-award Inquiries

Question No.

REFERENCE QUESTION GOVERNMENT RESPONSE

Page Section Para.

7 N/A N/A N/A Request the government provide historical information regarding the level of effort (number of site visits and duration of each) expended throughout the life of the current contract, or the last 5 years, whichever is longer?

Historically, the average number of site visits per month is four, each typically lasting about a week, but varies according to size of the base and number of tenants.

8 N/A N/A N/A Request the government provide historical information on required frequency / revisit rate that each installation / facility has been and is required to be visited by MA teams.

The Mission Assurance Program is continually evolving to keep up with the requirements of the DoN warfighters and is always looking at ways to streamline reports and site visits where possible.

9 N/A N/A N/A FY18 and FY17 OPNAV MA messages list approximately 53 Naval installations for MAAs to be completed in their respective fiscal year. Request the government clarify whether or not additional MAA for these installations are required as part of this effort. If not, please indicate how may additional MAAs are anticipated worldwide under the scope of work.

The MAA is a continuous process.

Any specific MAAs required will be defined within the individual task order.

10 7-11 C 2.5 Several specific personnel requirements include certification requirements relevant to the positions. Would the government consider private industry certifications as equivalent to DoD certifications? For example, the Certified Protection Professional (CPP) certification covers 7 domains so it is an applicable counterpart to multiple relevant DoD certifications.

Yes, the Government will consider accepting non-DoD certifications where equivalency to the relevant DoD certification is explained in the proposal.

11 7 C 2.5 States “If, during the performance of this contract, the Contractor must utilize personnel other than those identified in the technical proposal,..." There is no requirement in Sections C, L, or M to identify proposed personnel. Request the government clarify which personnel must be identified in the proposal.

Offerors must provide a Staffing Plan in accordance with Factor 2, b.

Management Approach, 2. Staffing Plan “including availability of the required competent personnel identified in Section C, 2.5 Specific Personnel Requirements.”

12 7 C 2.5 States “…the KO shall have the right to request documentation sufficient to verify compliance with the qualification requirements at any time during the course of the contract.” Request the government clarify what it means by

Sufficient documentation will be defined by the KO's request at the the time thereof.

“sufficient documentation” and how will it be provided? For example, is a resume sufficient to demonstrate education qualifications or will the KO want a transcript? What about security clearances?

13 87 M M2(b)(1) States “… Offerors demonstrating that they have at least 7 employees with Top Secret Clearance—or Interim Top Secret personnel security clearance with in-progress clearance investigation— currently available may be viewed more favorably than those who do not.” Request the government clarify what constitutes successful “demonstration” of this requirement? If the offer has more than 7 technically qualified personnel with TS, will they be evaluated evaluation more favorably than offerors who do not?

Please reference Sections L for submittal requirements and Section M for the basis of evaluation of various factors.

14 87 M M2(b)(1) States: "Relevant experience performed by the Offeror as a prime contractor may be considered more favorably than experience performed by the Offeror as a subcontractor, or by a proposed subcontractor." Request the Government remove this statement due to the fact that most small businesses teaming with the Prime potentially do not have prime contracts; however they meet the other PP requirements, limits competition, and provides the incumbent with the advantage.

No.

15 83 L L6(b)(5) States: "Offerors shall not incorporate by reference into their proposal PPQs or CPARS previously submitted for other RFPs. However, this does not preclude the Government from utilizing previously submitted PPQ information in the past performance evaluation." Request the Government remove the second sentence regarding previously submitted PPQ information.... as this does not provide for a even evaluation and limits competition as some companies might not have previously submitted PPQs.

Factor 5 will not be revised as requested. Please reference Section M, Factor 5, Basis of Evaluation: “In the case of offerors without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the Offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305(a)(2)(iv)), and will receive a Neutral Confidence Rating.”

16 5 1.2 3 The Last Sentence states "Refer to UFC 4-010-06, Cybersecurity of Facility- Related Control Systems". This document has been cancelled is there a replacement?

Refer to the Whole Building Design Guide at www.wbdg.org.

17 5 1.2 6 “The Contractor shall possess and maintain a TOP SECRET facility clearance from the Defense Security Service (DSS). All permanent storage of

Per the Solicitation: “All permanent storage of classified information will be on cleared government facilities.”

classified information will be on cleared government facilities.” Please clarify that it is the government's intention to not allow support contractors from storing any mission-relevant classified information in their cleared facilities.

18 5 1.2 6 “The Contractor shall possess and maintain a TOP SECRET facility clearance from the Defense Security Service (DSS). All permanent storage of classified information will be on cleared government facilities.” Based on this statement it would appear that all contractor facilities would have to be in close proximity to government facilities capable of storing classified information.

Will this preclude contractors from working from their remote facilities or will the government provide space at their facilities for contractor personnel?

Contractors will only be provided a location to work on classified documentation on an as-needed basis.

19 73 L all There is no mention of the desire for a transition plan in Section L requirements for the Technical Approach / Management Approach. Request the government clarify its intentions on the transition period for this contract.

Per clause 52.216-1 Type of Contract (Apr. 1984), “The Government contemplates award of a Firm-Fixed- Price Indefinite Delivery Indefinite Quantity contract resulting from this solicitation.” Additionally, Section C states: “All work shall be performed in accordance with individual task order performance work statements (PWS).”

20 N/A N/A N/A Please describe the relationship, if any, between NAVFAC MA activities and Dahlgren’s NSWCDD MA activities.

They appear duplicative.

NAVFAC does not know the SOW of the Dahlgren's MA activities.

21 N/A N/A N/A Attachments J-3 through J-8 are PDF files. Will the government provide PDF Forms, or Microsoft Word versions of these documents, or would the government allow Offerors to convert these file to editable format?

Offerors may edit the files as necessary to provide the submittal requirements listed in the solicitation.

22 NA NA NA Will there be a shortlist and interview process performed for this Solicitation?

No, please see Section M.1, paragraph 2.

23 78 (b) Volume 2: Non-price Factors

1 May graphics, exhibits, and tables use 8 pt font or larger for captions, legends, or footnotes?

Please see Section L.6 (b): “font no smaller than 10 point.”

24 81 (3) Factor 3

- Safety

Please confirm that the required Safety Rates can be provided on a separate page from the allotted two pages for the Technical Approach for Safety.

Yes. Please references Section L.6 (b) regarding page limitations.

25 5 C.1.2 Page 5 Section C.1.2 defines Utility systems as: ‘In alignment with Title 10 USC, Section 2688, the term “utility system” means generation and supply of electric power; treatment or supply of

Yes, these systems may be included in the scope of individual task orders.

water; collection or treatment of wastewater; generation or supply of steam, hot water, and chilled water;

supply of natural gas; and transmission of telecommunications. This also includes equipment, fixtures, structures, and other improvements utilized in connection with a system; real property, easements, and rights of way associated with utility systems.’

It is well known that shipyards, air stations, and MCBs have utility systems that are essential to the execution of mission but may not be a part of the USC definition. Are these systems included in this effort?

26 11 2.7 Travel Will contractor personnel be allowed or required to stay in OCONUS or CONUS government quarters. If yes, which locations?

Travel and lodging expenses and availability will be addressed on a task order by task order basis.

27 12 3.3.1 Quality Control

What are the specific requirements to be included within a QCP? When are QCPs required for task orders? the Solicitation states "as necessary." Two and a half pages of the solicitation describe the government's Quality Assurance Surveillance Plan, yet little is provided on what is required of the contractor.

Task Order QCPs shall be developed in accordance with and as required by the individual task order's PWS to ensure the Contractor maintains an effective quality control program to ensure services are performed in accordance with the IDIQ contract and the individual task order.

28 79 Factor (1)

Please define the DoN accreditation process?

Please reference Section M.2 (b), Factor 1 - Corporate Experience, “assessment of the Offeror's recent and relevant experience will be used as a means of evaluating the capability of the Offeror”—“relevant contract is defined as ... containing one or more of the following...Performance of Facility- Related Control System assessments to include working knowledge of the DoN accreditation process.”

29 81 Factor (2). b.1.

Manage ment Capabilit ies and Plan

The Management Capabilities and Plan states: “The Offeror shall provide a Management Plan that describes the Offeror’s ability to provide personnel for on-site assessments and its ability to provide support at multiple sites simultaneously”. What are the expectations for the simultaneous delivery of site visits and/or task orders?

How many sites require this number of Top Secret and Secret cleared staff on-site simultaneously? Given the size of this contract, this has a big impact on staffing and pricing.

Per Section L.6 (b), Factor 2 (b) (1):

“The Offeror shall provide a Management Plan that describes the Offeror's ability to provide personnel for on-site assessments and its ability to provide support at multiple sites simultaneously.”

30 81 Factor (2). b.3.

QC

Program

QC Program – What are the UFC or UFGS or NAVFAC standard Quality Control standards that are required for this contract?

Please refer to the solicitation, the solicitation clauses, and any and all appropriate laws and regulations.

31 86 M.2.

(b)(1)

Basis of Evaluatio n

M.2. (b)(1) states that the basis for evaluation will be the “Offeror demonstrates experience in performing work of similar size scope and complexity to this requirement…..a relative contract …having a value of $1,000,000 or more….” This means that a contractor who has successfully delivered a contract with a total value of $1M will be evaluated on par with a contractor who has experience in delivering global contracts with a total value of $95M or more per this criterion.

The skills and abilities to manage and execute a $1M contract are completely different than those required to execute a $95M contract. Selection of contractor whole past experience is limited to $1M contract oversight and execution places the government at significant risk. Does the government consider previous successful execution of a $1M contract to be the standard of acceptance for the ability to execute this $95M contract? Is this the intent of this paragraph?

Please reference Sections L and M for the definition of a relevant contract.

32 2 Section A

Notice We are requesting that NAVFAC consider a 2 week extension to the proposal due date if key personnel requirements, corporate experience requirements, or other Solicitation requirements change substantially from the initial posting.

Please see revised Section A.

33 9 and

2.5 3 and 4 on page 9 and 4 and 5 on

Several subsections state “possesses and demonstrates unique technical knowledge” but this unique knowledge is not discussed. Will the government define this unique technical knowledge?

Please reference Section C.

34 1 and

J-5 All Attachment J-5 is 2 pages long and does not provide the space required to adequately describe our relevant experience. Can offerors recreate Attachment J-5 in our proposal response, allowing the space needed or are we required to use the PDF J-5 form? If the latter, are offerors allowed to add follow-on pages to the form, as needed?

Offerors may edit the files as necessary to provide the submittal requirements listed in the solicitation.

35 75 and

36 75 and

Vol 1 Tab F and Vol 2 Tab B and

The requirements of Volume 1, Tab F Teaming Arrangements and Volume 2, Tab B Teaming Arrangements are exact duplicates, including Letters of Commitment being required for both volumes. Is the government’s intent to have these redundancies between Volumes 1 and 2?

Yes.

L.6.(a).1 Tab G. Solicitation states "Firm fixed-price task orders will be negotiated for the services required under this contract using the fully burdened labor rates and percent mark-ups for travel and other direct costs proposed under Attachment J-3 Schedule of Services, for the base year and each option year (if exercised).

Section F of the solicitation makes reference to work being performed "within the Continental United States, the Far East, Europe, Africa, and South Western Asia. How does the Government intend Offeror's to propose fully burdened labor ceiling rates, which will be valid throughout the entire IDIQ contract, without specifically knowing OCONUS locations? Additionally, how are Offeror's to take into account potential shift premium pay from evening or weekend requirements as mentioned in Section C.2.6? Will TO specific requirements identified at the individual TO level allow for TO specific categories to be proposed instead of the standard CONUS based ceiling rates established at the IDIQ contract level?

Section C states: “All work shall be performed in accordance with individual task order performance work statements (PWS).” Furthermore, reference Section L.6(a) Tab G, Note states “Actual quantities ordered over the duration of the contract are expected to vary and are not limited to those estimated in Attachment J-3 Schedule of Services and shall not exceed the total contract not-to-exceed amount of $95,000,000.00 (base period and all option years).” Additionally, the contractor indirect rate is established at time of award of the Basic IDIQ contract and will not be negotiated on task order by task order basis.

C, M, J-

Various As written, the current PWS in Section C, Evaluation Criteria in Section M, and the Schedule of Services (J-3) do not collectively allow Offerors to demonstrate the true value of their technical and management approaches.

By fixing labor hours by labor category, there is no way for the government to determine the relative value of each technical approach. Would the government consider removing the Schedule of Services (J-3) and evaluating price and value based on individual Offeror responses to a sample Mission Assurance Assessment task that allows Offerors to highlight not only their technical and management approaches in action, but also their staffing plan and the resultant cost? Such an approach fosters true competition and facilitates government assessment of best value approach, as indicated in the RFP.

Please reference Section L.6(a) Tab G, Note states “the quantities listed in Attachment J-3 Schedule of Services are estimates only and will not be ordered with the award of the basic contract. Actual quantities ordered over the duration of the contract are expected to vary and are not limited to those estimated in Attachment J-3 Schedule of Services and shall not exceed the total contract not-to-exceed amount of $95,000,000.00 (base period and all option years).” Additionally, Section C states: “All work shall be performed in accordance with individual task order performance work statements (PWS).”
