INDIRECT RATES

Notwithstanding the Allowable Cost and Payment clause and any other clause in this contract pertaining to accounting and cost reimbursement, the contractor shall be reimbursed at the lesser of the ceiling rates set forth in this contract or the allowable rates incurred. Any costs incurred in excess of amounts calculable based on the ceiling rates in effect on the date of this contract are mutually agreed to be unallowable and shall be accounted for in accordance with FAR 31.201-6.

For the first three Contractor fiscal years, the indirect cost rates contained in the Contractor's accepted contract proposal shall be incorporated into the contract schedule as limitations on indirect cost rates for each Contractor fiscal year of contract performance. The bases to which the indirect cost rates apply shall be those contained in the Contractor's accepted contract proposal and hereby, incorporated into the contract schedule, in accordance with the Contractor's accounting system upon which its proposal was based.

(a) After the first three Contractor fiscal years, the Contracting Officer and Contractor shall negotiate the limitations on indirect cost rates for subsequent Contractor fiscal years (unless the parties agree to a different period) and execute a written indirect cost rate limitation agreement setting forth the results. The agreement shall specify (1) the agreed-upon indirect cost rates, (2) the bases to which the rates apply, (3) the fiscal year (unless the parties agree to a different period) for which the rate applies, and (4) the specific items treated as direct costs or any change in the items previously agreed to be direct costs. The agreement is incorporated into this contract upon execution.

(b) Pending establishment of indirect cost rates for any subsequent Contractor fiscal year (or other period agreed to by the parties), the Contractor shall be reimbursed either at the rates fixed for the previous fiscal year or at billing rates acceptable to the Contracting Officer, subject to appropriate adjustment when the final indirect cost rates for that period are established.

(c) The Government will not be obligated to pay any additional amount should any final indirect cost rates for any Contractor fiscal year (or for any different period agreed to by the parties) after the first three fiscal years) of contract performance exceed the indirect rates incorporated into the contract schedule. In the event any of the Contractor's final indirect cost rates are less than the indirect cost rates incorporated into the contract schedule, the incorporated rates shall be reduced to conform with the lower rates.

(d) The limitations on indirect cost rate shall not change any monetary ceiling, contract obligation, or specific cost allowance or disallowance provided for in this contract. If facilities capital cost of money is proposed as an allowable cost, the rates proposed shall be subject to the limitations imposed by this requirement.

(e) The limitations on the indirect cost rate shall apply to all work performed under the contract, and to all change orders and supplemental agreements, including changes due to growth, supplemental, emergent and new work.

(f) Notwithstanding any of the terms of this requirement, should the Contractor initiate a change to its accounting systems which would alter the composition of any overhead base or pool effected by this requirement, the Contracting Officer and Contractor shall negotiate to determine the rate ceilings to be applied to the new overhead pools, provided that no agreement shall be made which would increase the costs paid by the United States under this contract.

(g) The limitation on indirect cost rates specified in the Contractor's cost proposal shall be the rates used to compute the costs in the Contractor's cost proposal upon which the award is based.

Organizational Conflict of Interest Mitigation Plan (if applicable)

Due to the nature and scope of the work encompassed by this solicitation, the Government requires that there be no conflict which would preclude the prime contractor from performing any portion of the Performance Work Statement, regardless of whether it intends to subcontract that portion. Due to the nature of the work outlined in Section C, the Government anticipates that organizational conflicts of interest (OCIs), including impaired objectivity OCIs, will arise for Offerors that perform under other contracts within the cognizance of NNSY as prime contractor or subcontractor for touch labor that will be covered by this solicitation.

If any Offeror may have an OCI the Offeror must notify the Government and must submit an OCI mitigation plan with its proposal. Failure by an Offeror that has identified a potential OCI or an eliminated OCI to submit an OCI mitigation plan with its proposal shall be considered grounds for disqualification from award. The Government will not accept mitigation measures for impaired objectivity OCIs. For any OCI, the Government will not accept mitigation or elimination measures:

(1) That creates an additional burden on the Government to implement;

(2) That involve directed subcontractors or creating separate lines of reporting or any modification to the Government/prime contractor relationship; or

(3) That is deemed in the sole discretion of the contracting officer to provide insufficient organizational independence between the prime contractor or a subcontractor under this contract and a prime contractor or subcontractor for touch labor that will be covered by this solicitation.

This is not an exhaustive list of measures that will be considered inadequate to protect the Government. It is an illustrative list provided in an effort to ensure that all Offerors understand the Government’s expectations and intent to avoid OCIs. The Government reserves the right to determine whether or not any mitigation plan provided by an Offeror is sufficient to protect the Government. The Government also does not intend to accept any mitigation measures that involve additional oversight or commitment of resources by the Government, such as agency review of contractor deliverables, internal review of task assignments for OCI before issuance, or formalized monthly reviews of work performed and projected. All Offerors are directed to review and comply fully with the OCI clauses included in Section L of this solicitation.

**NOTE: If an OCI is applicable, include it in Volume I, Non-Price Proposal with Factor II, Management Approach under a separate tab.

OFFER

The completion and submission to the Government of an offer shall indicate the Offeror’s unconditional agreement to the terms and conditions in this solicitation. In evaluating an Offeror’s capability, the Government shall consider how well the Offeror complied with the instructions in the solicitation.

Describe the procedures in place for monitoring and controlling costs and demonstrate that they are successful. If teaming or subcontracting is contemplated, Offerors must provide a full description of:

· The proposed subcontractors or team members;

· The portions of the PWS that will be subcontracted or the planned division of tasks within the team;

· Discuss agreements/arrangement with its teammates and/or subcontractors and why such agreements will benefit the Government and aid the contractor in achieving the requirements and objectives of this effort and benefit the Government throughout the life of the contract;

A majority of interactions during the performance of this contract are within NNSY and other NAVSEA offices. Apart from NNSY, contact may be with a variety of contractor and other Government agencies and Navy field activities. The offeror shall address the following areas:

· the adequacy of the Offeror’s corporate management and corporate resources including internal and external communication lines and the Offeror’s method of maintaining close liaison with the COR;

· the identification of the program manager and the program manager’s authority and ability to independently commit company resources to perform under the contract;

· how personnel will be transitions from tasks throughout the contract period;

· the Offeror’s start-up plan to full perform within two (2) weeks after contract award and anything else the Offeror considers important in performing the PWS.

The approach shall include the offeror's ability to provide and maintain qualified personnel in the positions designated as "key personnel" in section C. The offeror shall provide resumes for all key personnel as a page exempt Appendix to Volume I of the proposal. If the offeror proposes specific personnel for key positions who are not current employees of the offeror, the offeror shall present letters of commitment which shall indicate that the individual acknowledges intent to accept a reasonable offer of employment should an award to the offeror be made.

Factor III- Past Performance

The offeror shall demonstrate relevant past performance or affirmatively state that it possesses no relevant past performance. Relevant past performance is performance under contracts or efforts within the past five (5) years that is the same as, or similar to, the scope, magnitude, and complexity of the work described by this solicitation.

To demonstrate its past performance, the offeror shall provide up to three (3) of its most relevant contracts or efforts within the past five (5) years, and provide any other information the offeror considers relevant to the requirements of the solicitation using the format as provided within Attachment 5 (Past Performance Information Form). Offerors should provide a detailed explanation demonstrating the relevance of the contracts or efforts to the requirements of the solicitation.

Offerors may provide contracts describing their own experience as a subcontractor. Offerors shall describe the major or critical aspects of the work performed, as well as the dollar value of work performed, under the submitted contract. The offeror must also submit at least one (1) recent and relevant contract effort for each proposed subcontractor that performs more than 10% of the total contract effort in total man hours. The contracts identified should demonstrate in-depth knowledge and successful performance of contracts, or similar size, scope and technical complexity to this solicitation and the dollar value of work performed, under the contract.

Subcontractor performance (either the offeror's own subcontractor experience or proposed subcontractors experience) of major or critical aspects of this requirement will be considered as highly as prime contractor past performance information for the offeror. Failure of offerors to describe the required information will result in the contract reference not being evaluated.

The references will be evaluated in the aggregate in order to allow offerors who may not have the entire scope, magnitude, and complexity of the requirement under one individual contract to still be considered acceptable if past performance with the full scope, magnitude, and complexity of the requirement can be demonstrated within the allotted number of references as described above.

*NOTE: Offerors are advised that the Government may consider past performance information obtained from sources other than those identified by the Offeror, including Federal, State and local Government agencies, better business bureaus, published media and electronic databases including, but not limited to, Past Performance Information Retrieval System (PPIRS) and Contractor Performance Assessment Reporting System (CPARS). The Government may research Offeror performance on any Federal, State, local and commercial procurement that is known to the Government, but not included on a submitted reference.

Customer Assessments

Offerors shall submit the Past Performance Report Form provided as Attachment 4 with this solicitation to each of their customer POCs identified in Attachment 5 (Past Performance Information Form). In order to expedite the assessment process, the Offeror may complete the “Contract Information” portion of the Past Performance Questionnaire for the convenience of the customer POC. The Offeror shall not, however, complete any other section of the Customer Assessments. The questionnaire shall be provided to the customer POC with instruction to complete and submit it directly to the Contracting Officer on or before the proposal due date. Electronic submission by the customer is required and should be sent to jimettra.lundy@navy.mil or alisa.mahaffey@navy.mil.

The Government reserves the right to limit or expand the number of references it decides to contact and to contact other references than those provided by the Offeror.

Note: The Government reserves the right to use contract performance data provided in the Offeror’s proposal and contract performance data obtained from other sources, such as the Contractor Performance Assessment Reporting System (CPARS) database and from the point of contact identified by the Offeror in its proposal.

Volume II Price Proposal

Factor IV-Small Business Participation Plan

Offerors (large and small businesses) shall provide a Small Business Participation Plan. Small Business Participation Plans shall address the following:

· The extent to which small business concerns are specifically identified;

· The extent of commitment to use small business concerns (for example, enforceable commitments will be weighted more heavily than non-enforceable ones);

· The complexity and variety of the work small firms are to perform;

· Past performance of the offerors in complying with requirements of the clauses at FAR 52.219-8, Utilization of Small Business Concerns, and 52.219-9, Small Business Subcontracting Plan;

· The extent of participation of small business concerns in terms of the value of the total acquisition.

Large business offerors shall also submit a Subcontracting Plan in addition to the Small Business Participation Plan in accordance with FAR 19.704, Subcontracting Plan Requirements. Offerors are permitted to submit a master subcontracting plan so long as it is created in accordance with FAR 19.701 and FAR 19.704(b). Small Business Subcontracting Plans are not required from small business offerors.

Subcontracting Plan goals shall be expressed in terms of whole dollars and percentages based on total planned subcontracting dollars. Of the total planned subcontracting dollars, the Small Business Subcontracting Plan shall include goals for Small Businesses, Small Disadvantaged Businesses, Woman-Owned Small Businesses, HubZone Small Businesses, Veteran Owned Small Businesses and Service-Disabled Veteran-Owned Small Business. The Government will consider prior achievement of small business subcontracting plan goals as well as the proposed dollar values and percentages related to this solicitation.

The contracting officer will negotiate an acceptable small business subcontracting plan with all apparent successful large business offerors in accordance with FAR 19.702(a)(1).

Factor V- Total Evaluated Cost (TEC)/Price

Section B Pricing (Prime Offerors)

(a) Offerors shall submit proposed pricing for Section B using the CLINs listed in Section B of the solicitation. Proposed costs and Fees must be provided for each applicable Contract Line Item Number (CLIN) identified in the solicitation. The Offeror shall comply with instructions contained herein for submittal of the Cost/Price Proposal. Contract award will be made at the proposed costs and fees of the successful Offeror using that Offeror’s proposed Section B pricing.

(b) Offerors are advised that the Government requirement for this effort is approximately 487,652 Total Man Hours in Base Year; 487,651 Total Man Hours in Option Year 1; 357,438 Total Man Hours in Option Year 2; 323,959 Total Man Hours in Option Year 3; and 293,937 Total Man Hours in Option Year 4. Offerors are not allowed to change the level of effort or labor categories, and must propose rates according to the break-out provided in table 1.2 within Section B and C.

(c) Offeror’s proposal should represent its best efforts to respond to the solicitation. Any inconsistency between promised performance and the technical capability in the proposal, identified personnel resources and cost/price must be explained in the proposal. For example, if the intended use of new and innovative techniques is the basis for an abnormally low estimate, the nature of these techniques and their impact on cost or prices shall be explained; or, if a corporate policy decision has been made to absorb a portion of the estimated cost/price, that must be stated in the proposal. Any inconsistency, if unexplained, may raise a fundamental question of the Offeror’s understanding of the nature and scope of the work required and may adversely impact the evaluation of the Offeror’s proposal. The burden of proof as to cost/price credibility rests with the Offeror. Unrealistically low prices may indicate an inability to understand requirements and a high-risk approach to contract performance. Accordingly, the Government may consider the findings of such an analysis in evaluating an Offeror’s ability to perform and the risk of its approach.

4.6.2 Supporting Cost/Price Data (Prime Offerors)

(a) Offerors shall provide Supporting Cost/price data using the format provided as Attachment 3 (Production Support Direct Rate Spreadsheet) with this solicitation that details the breakdown of costs by year, with complete formulas, of proposed costs/prices by contract year. The cost/price data shall include all major cost elements (Direct Labor by category/rate/hours, Fringe rate and amounts, Overhead rate and amounts, G&A rate and amounts, Cost of Money factor/rate and amount, escalation, Subcontracts, etc.) and fees. Supporting cost/price spreadsheets shall detail the breakdown of all costs by task and year, with complete formulas.

(b) Offerors shall provide the Basis of Estimate (BOE) supporting the costs/prices provided in the Cost/Price Summary including a description of the assumptions and computations used to develop the proposed cost/prices.

(c) Direct Rate Supporting Documentation: Offerors shall provide Cost/Price spreadsheets using the format provided in the Cost/Price Summary Tab, in the Production Support Direct Rate Spreadsheet (Attachment 3), that details the breakdown of costs by year, with complete formulas, or proposed costs/prices by contract year. If the Offeror deems it necessary to include multiple tabs/worksheets within the workbook to explain the cost further, the Offeror shall include a summary tab/worksheet with a summary column (totaling all 5 years) and a summary column for all costs for each year.

(d) Indirect Rate Supporting Rate Documentation: Offerors shall provide the supporting information and identify the basis of proposed rates for indirect costs (e.g., Forward Pricing Rate Agreement (FPRA) and date of agreement, bidding rates and the date of submission; or actual rates used and the effective date, billing rates, and the date of approval etc.). If Offerors do not have FPRAs or rates available from DCAA/DCMA then Offerors shall show how indirect rates were computed and applied, including cost breakdowns, trends and budgetary data. Offerors shall identify the Government contracts contributing to the pools and expiration dates for those contracts. An example of the required information is included as a Tab in Attachment 3, Sample Indirect Rates Supporting Documentation, in Section J. This information will be used to establish source and reasonableness of price.

(e) FCCM: Offerors shall submit form CASB-CMF if proposing Facility Capital Cost of Money (FCCOM) and show the calculation of the proposed amount. Additional narrative may be submitted as a separate document, if necessary, to describe derivation of labor rates, use of uncompensated overtime pools to which indirect rates are applied, etc.

(f) ODCs: NOT APPLICABLE

(g) Escalation: Identify proposed escalation in the Option Periods and how escalation is calculated. Offerors proposing no escalation for either exempt or non-exempt labor categories for the Option Periods shall provide their rationale with the cost proposal.

(h) Subcontracted Costs: Each subcontractor estimate shall be addressed separately, and detailed cost information shall be provided in the same format as required for the prime contractor. Prime Offerors must include a brief narrative in their Cost Narrative stating the contract type for each subcontractor. The detailed information of subcontractors may be submitted separately to the Government if the subcontractor does not wish to provide this data to be provided to the prime Offeror. Subcontractors must submit their information directly to the Government via email. For cost/price summary data provided separately, Subcontractors shall place the appropriate restrictive legend on their data and identify the Company name, address, point of contact and solicitation number.

Note: Subcontractors are required to provide contact information for their cognizant DCAA Branch Office with the name and telephone number of a DCAA Point of Contact who is familiar with their Company. Failure to provide the required subcontracting Data/Cost may render the Prime’s offer ineligible for award..

SECTION M - EVALUATION FACTORS FOR AWARD

The following have been modified:

EVALUATION FACTORS FOR AWARD

SECTION M – Evaluation Factors for Award

EVALUATION FACTORS FOR AWARD

The Government intends to award Cost-Plus Fixed-Fee (CPFF) Indefinite Delivery-Indefinite Quantity (IDIQ) Multiple Award Contracts (MACs), with competition among the awardees for individual task orders with one base year and four option years for a total of five (5) years to provide production support services to NNSY. The offeror’s proposal shall be in the form prescribed by, and shall contain a response to, each of the areas identified in Section L solicitation provision entitled “Submission of Proposals.”

Award will be made to the responsible Offeror(s) whose proposal represents the best value after evaluation in accordance with the factors in the solicitation.

All Non Cost evaluation factors, when combined, are significantly more important than Total Evaluated Cost (TEC)/Price.

The Government intends to award contracts based upon initial proposals. The Offeror’s initial proposal should contain the Offeror’s best terms from a cost/price and technical standpoint. However, the Government may contact any or all or a limited number of awardees with questions concerning their responses as permitted under FAR Part 15.

Options, to include FAR clause 52.217-8, Option to Extend Services, will be evaluated pursuant to solicitation provision FAR 52.217-5, Evaluation of Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced.

Evaluation of options shall not obligate the Government to exercise the option(s).

The Government reserves the right to award contracts to other than the lowest priced offeror(s).

*NOTE: Awards will only be made to an Offeror that has no Organizational Conflict of Interest (OCI) as defined in FAR 9.5 or that the Government determines has provided a satisfactory mitigation plan. Offerors are advised that technical proposals may be evaluated without consideration of any proposed subcontractor which is deemed to have an OCI and for which an unsatisfactory mitigation plan has been proposed.

Application of Factors and Subfactors

(a) General: Proposals shall be evaluated in accordance with the factors described below. The evaluation factors represent key areas of importance to be considered in the source selection decision. The factors and associated elements have been chosen to support meaningful discrimination between and among competing proposals. As demonstrated in their proposals, prospective Offerors shall be evaluated in terms of their ability to meet or exceed the program’s requirements stated in the PWS.

(b) Relative Importance. The following indicates the factors that will be considered in awarding the contract. The relative importance of the evaluation factors reflects the overall requirements of this acquisition as outlined in the PWS.

(c) The following factors shall be evaluated in descending order of importance:

Factor I: Technical Approach

Factor II: Management Approach

Factor III: Past Performance

Factor IV: Small Business Participation Plan and Small Business Subcontracting Plan

Factor V: Total Evaluated Cost (TEC)/Price

The evaluation factors are divided into two (2) categories, non-cost: “Technical Approach/Management Approach/Past Performance and cost: “Total Evaluated Cost (TEC)/Price” and “Small Business Participation Plan”.

Volume I-Non-Price Factors

Factor I-Technical Approach

The Government will evaluate each offeror’s technical approach to perform the Government’s requirements under this solicitation. The evaluation will be based on the Offeror’s demonstrated technical understanding of the requirements and on the breadth, depth and relevance of information provided by the Offeror in response to the requirements set forth in Section C 9.2-Labor Categories within the PWS of this solicitation.

**NOTE: All offerors must propose at minimum the requirements for four (4) trade skills, referenced in Section C 9.2-Labor Categories within the Performance Work Statement, in order to be considered responsive.

For each trade skill the Offeror’s technical approach will be evaluated based on the degree to which it clearly demonstrates knowledge and ability to perform the typical tasks and related competencies, as listed in Section C 9.2-Labor Categories within the PWS. The Government will evaluate the degree to which the Offeror’s technical approach identifies the methodology and analytical techniques proposed to fulfill the technical requirements, provides an overview of the methodology guiding the performance of the technical requirements identified in the PWS, a general description of how that technical approach will be applied to accomplishing the requirements and offers a logical sequence of tasks that will be performed to accomplish the requirements.

The manner in which the Offeror addresses each typical task, as listed in Section C 9.2-Labor Catergories within the PWS, will be evaluated based on the Offeror’s technical understanding of the requirements and on the breadth, depth and relevance of information provided by the Offeror based on the task statements. Major factors considered for evaluation in this category are the degree to which the information in the proposal can be expected to yield acceptable technical performance and quality of the product, including thoroughness, accuracy, complements of planning, analysis and technical support efforts necessary to achieve technical performance objectives.

Factor II – Management Approach

The Offeror’s management approach will be evaluated for level of detail with emphasis on quality with regard to the Offeror’s approach in overall project management, project execution methodology, schedule, communication and subcontracting plans. The proposal will also be evaluated on the extent to which the proposal describes how the Offeror intends to manage and coordinate the task efforts of this contract, including planning, assigning responsibility, controlling personnel, minimizing employee turnover, controlling utilization of resources, tracking deliveries, and periodically monitoring performance and obtaining feedback.

The evaluation will consider the degree to which the proposal comprehensively addresses communication and integrating internal processes and tools in order to effectively manage cost, technical performance, risk and schedule. Proposed internal processes and tools will be evaluated for feasibility and potential for technical or schedule benefits to the Government.

Additionally, evaluation will consider the extent to which the proposed organizational structure and office systems ensure effectiveness and efficiency in:

· Interfacing with NNSY personnel;

· NAVSEA and other contractor and Government agencies and Navy field activities

· Performance and coordination of work.

The offeror’s approach for subcontract management will be evaluated for level of detail with emphasis on quality, on-time, contractual arrangements, qualification requirements, selection process(es), contingency plans, subcontractor quality management plan and management interactions, including performance feedback.

Offeror's proposals shall clearly demonstrate their plan to manage the overall labor force as well as how they will specifically manage the individual labor trades.

**NOTE: All offerors must propose at minimum the requirements for four (4) trade skills, referenced in Section C 9.2-Labor Categories within the Performance Work Statement, in order to be considered responsive.

Factor III – Past Performance

The Government will evaluate Offeror’s past performance over the past five years for relevance, which is considered to be whether the experience cited is similar to the size, scope and technical complexity of this effort. Examples of relevant efforts include production support in military shipbuilding industry. It is the responsibility of the Offeror to relate past performance to the requirements of this solicitation. The Government will consider the relevance of past performance information obtained in relation to the scope of this procurement. Past performance, either positive or negative, which is considered by the Government to be more closely related to the scope of this effort, will be given additional weight in the evaluation process.

Past Performance Relevancy Ratings – Regarding relevancy, each past performance reference under each offeror’s Past Performance submission will be evaluated to determine its scope and magnitude relative to the…
