14.2 The Contractor is responsible to insure that only qualified personnel are used to accomplish maintenance and repair requirements.
15.0 LABOR RATES AND HOURS
15.1 The Contractor’s proposed FBLRs will be used as a ceiling for negotiating DOs, growth work, and new work to be performed under this contract. FBLRs are fixed hourly rates that includes all wages, overhead, general and administrative expenses, and profit. FBLRs represent the respective ceilings for the blended labor rates of the offeror, including labor transferred between divisions, subsidiaries, or affiliates of the offeror under a common control. Pricing of the DO will be based on the applicable FBLRs agreed to in this contract under Attachment J-2, Contractor Price Breakdown. Increases or decreases in the required hours to complete the ordered work shall not be a basis for a price adjustment. The three types of FBLRs – straight time, overtime, and premium time – are defined in paragraph 7.6 above.
15.2 The number of labor hours included in the Contractor’s price proposal for each DO shall only include direct production labor hours. For these purposes, direct production labor hours are for skilled labor at the journeyman level expended in direct production as exemplified by the following functions:
| Abrasive cleaning/blasting | Fire Watch | |||
| Welding | Machinists (inside and outside services) | |||
| Burning | Brazing | |||
| Carpentry | Electrical Work | |||
| Lagging | Ship-Fitting | |||
| Boiler-making | Painting | |||
| Sheet-metal Work | Pipefitting | |||
| Rigging | General Labor | |||
| Staging/Scaffolding | Diesel Mechanics | |||
| Cleaning related to COVID-19 Mitigation | Tank Cleaning |
15.3 Direct production labor hours will incorporate those functions (whether charged directly or indirectly by the Contractor’s accounting system) which are herein defined as support for direct production functions. These support functions are, therefore, considered to be included in the Contractor’s FBLRs for direct production labor hours. Examples of support functions include, but are not limited to:
| Testing | Quality Assurance | |||
| Planning and Scoping | Cleaning (except tank cleaning and COVID-19 | |||
| Material handling & Warehousing | mitigation efforts) | |||
| Security | Surveying | |||
| Administration | Transportation | |||
| Purchasing Staff | Lofting | |||
| Management and Supervision | Other Indirect Support |
15.4 Production function support shall include accounting for the cost of temporary restroom facilities for contractor personnel (prime and subcontractor) at each contract performance site. Unless otherwise advised in DO RFPs, contractor personnel shall not use the restroom facilities aboard MSC vessels.
15.5 Material and Other Direct Costs (ODC) shall not be included in the FBLR.
16.0 MATERIALS
16.1 Contractor Furnished Material costs for items required under the DO shall be listed separately in the Contractor’s proposal, and the Contractor shall include supporting documents, such as vendor quotes and catalog cut-sheets, to substantiate that cost.
16.2 DOs that include Long Lead Time Material (LLTM) may be issued for the sole purpose of having the Contractor procure, receive and store anticipated LLTM in advance of a planned ship repair.
16.3 Consumable materials are goods used in the ordinary course of work performance that are consumed/used in the process of repair and do not become an integral part of the repaired vessel. Consumable materials include, but are not limited to:
| Office supplies | Acetylene |
| Paper | Disc, Cutting |
| Rags | Disc, grinding |
| Vehicle or equipment fuel | Disc, Flap |
| Cleaning chemicals | Cup brass |
| Disposable tools | Plastic cover |
| Welding rods | Tape, caution yellow |

| Welding electrode | Stretch film/plastic |
| Oxygen | Tape, duct, gray |
| Tape, masking | Tape, vinyl electrical |
| Tape, Teflon | Fire/Welding blankets |
Costs for consumable material shall be included in the Contractor’s FBLRs and shall not be separately priced.
16.4 Material Mark-Up Rate: The Contractor’s proposed material mark-up rate will be used as a ceiling for negotiating DOs, growth work, and new work to be performed under this contract. Material mark-up rates shall only apply to materials to be provided as part of the repair and be only applied to the actual cost of the material. Actual cost does not include shipping and handling charges, general and administrative cost, overhead, profit, or any other indirect cost. This mark-up rate may also be utilized for ODCs not elsewhere provided, such as subcontracting. Pricing of the DO will be based on the applicable material mark-up rate agreed to in this contract under Attachment J-2, Contractor Price Breakdown. These mark-up rates shall be incorporated into each DO.
17.0 SUBCONTRACTING SUPPORT
17.1 None of the work required by this contract shall be subcontracted to or performed by persons other than the Contractor without the prior written consent of the Contracting Officer.
17.2 The Government may require the use of specific technical representatives or specialized subcontractors. The actual cost of these subcontractors may be marked-up in accordance with paragraph 16.4 above. Actual cost does not include handling charges, general and administrative cost, overhead, profit or any other indirect cost. Mark-up for all other subcontracting costs is subject to negotiation.
17.3 The Contractor shall explicitly state the intent to use a subcontractor in their proposals for DOs, including a description of which parts of the DO the subcontractor will be used for, and shall only do so as approved by the Contracting Officer.
18.0 CONTRACTOR IDENTIFICATION
18.1 Contractor employees must be clearly identifiable while on Government property by wearing appropriate badges.
18.2 Contractor personnel and their subcontractors must identify themselves as contractors during meetings, telephone conversations, in electronic messages, or correspondence related to this contract.

19.0 CONTRACTOR PERFORMANCE APPRAISAL REPORTING SYSTEM (CPARS)
19.1 Past performance information will be collected and maintained under this contract using CPARS. CPARS is a web-enabled application that collects and manages the Contractor’s performance information on a given contract during a specific period of time. Additional information is available at http://www.cpars.gov/.
19.2 The Contractor will receive notification via email when a CPARS report has been completed and is available for review and comment before the rating(s) become final. Within 30 days after contract award, the Contractor shall provide the name, title, email address and telephone number of the individual or individuals who will have the responsibility of reviewing and approving any CPARS report developed under the contract to the Contracting Officer. If during the life of this contract, these individual(s) are replaced, the substituted individual’s information will be provided to the Contracting Officer within 30 days of the replacement.
19.3 Performance will be evaluated in CPARS on an annual basis. This annual evaluation will take into account performance of all DOs awarded during the evaluation period. The Government may also complete a CPARS report for individual DOs, such as those that exceed the reporting threshold in DoD Class Deviation 2013-O0018, Past Performance Evaluation Thresholds and Reporting Requirements.

In compliance with Executive Order Number 11752 (38 F.R. 34793), the policy of the Department of the Navy is to confirm to the provisions of the Federal Water Pollution Control Act, as amended (Title 33 U.S.C. 1251 et seq), and the Oil Pollution Act of 1990, as amended (Title 33 U.S.C. 2701 et seq), insofar as these Acts prohibited the discharge of oil, oily mixtures, and hazardous substances, and regardless of whether or not these acts pertain specifically to the Naval vessel and shore activities. The Contractor shall implement that policy with respect to the ship(s) undergoing repair and overhaul under this contract.
20.2 Definitions. For the purpose of this Section, the terms “oil,” “oily mixtures,” “hazardous substance,” and “discharge” shall have the meanings as defined in the Acts referred to in paragraph 20.1 above and other environmental statutes.
20.3 Trials. Within 24-hours thereafter, the Contractor shall file with the Contracting Officer the Oil Discharge Report in accordance with Exhibit A005 CDRL 005.
20.5 Liability. The Contractor shall not be liable for the costs incurred by the Government for the removal of such oil, oily mixture, or hazardous substances, except that the Contractor shall be liable to the Government for all such costs of removal where such discharge was the result of willful negligence or willful misconduct within the control and knowledge of the Contractor.
21.0 PAPERLESS CONTRACT ADMINISTRATION
Within 30 days following award of this contract, the Contractor shall coordinate with the Contracting Officer an electronic mail procedure for transmission of all contractual documents and correspondence. Unless otherwise stated elsewhere on this contract or an individual DO, the Contractor shall receive all contractual documents and correspondence via this method, and shall submit all correspondence and proposal information in the same manner. Scanners may be used for documents requiring signatures. MSC utilizes the Microsoft Office suite of applications (i.e. Word, Excel) and Adobe Acrobat to conduct its contracting administration. The Contractor shall utilize the same or similar program that work with Microsoft Office suite.
22.0 ASBESTOS AND LEAD PAINT REMOVAL REQUIREMENTS
22.1 During the performance of this contract, the Contractor and subcontractors may be required to perform work which involves the removal or disturbance of asbestos or asbestos-containing products, or lead-containing paint. This Section applies to each instance of asbestos or lead paint removal or disturbance.
22.2 The Contractor shall comply with the precautions required in 29 CFR 1910.1001, 29 CFR 1926.58, 29 CFR 1926.62, 40 CFR Part 61, and all other applicable Federal and Local restrictions. The Contractor shall forward a copy of all required notices, licenses, and permits to the Contracting Officer immediately upon issuance or receipt.
22.3 The latest change to the Federal and Local Regulations in effect at the time of issuance of the contract shall govern. Compliance with these regulations is mandatory and is necessary to protect the employees of the Contractor and Naval personnel from exposure to asbestos fibers in excess of the OSHA Asbestos Action level airborne concentration (currently 0.1 fibers per cubic centimeter (f/cc) of air), or Lead Action level airborne concentration (currently 30 micrograms per cubic meter (30 ug/m3) of air).
22.4 During removal or disturbance, the Contractor shall control airborne asbestos concentrations outside the removal boundary to less than 0.1 f/cc at all times, and lead concentration levels outside of the removal boundary to 30 ug/m3 at all times.
22.5 After asbestos removal or disturbance is complete, the areas within the removal boundary shall not be released for occupancy until clearance air sampling demonstrates these spaces have concentrations of asbestos less than 0.1 f/cc.
22.6 In all respects, the performance of air sampling and analysis shall be performed in accordance with the OSHA Reference Method (Appendix A of 29 CFR 1910.1001), with the following additional specifications:
| 22.6.1 | Aggressive clearance sampling shall be performed on 25 mm cassettes at 2.0 liters per minute for a minimum of four hours. |
| 22.6.2 | In performing the clearance sampling, the pump shall be placed within the compartment where the removal or disturbance occurred. When this operation is conducted in a multilevel space, at least one pump shall be placed on each level. |
| 22.6.3 | Air sampling shall be performed by a person competent in sampling procedures and overseen by an industrial hygienist certified for comprehensive practice (CIH) by the American Board of Industrial Hygiene. |
| 22.6.4 | Laboratory analysis of samples shall be performed by a participant in the American Industrial Hygiene Association (AIHA) Proficiency in Analytical Testing (PAT) Program rated proficient for asbestos and air. |
22.7 Personal sampling shall be conducted using breathing zone air samples, which are representative of the 8-hour Time-Weighted Average (TWA) exposure of each individual. Samples shall be collected and analyzed using the OSHA Reference Method contained in either 29 CFR 1910.1001 (as amended) or 29 CFR 1926.58 (as amended).
22.8 The Contractor agrees to indemnify MSC for any fines assessed by Federal or Local Agencies, for the Contractor’s failure to properly follow applicable regulations.
22.9 The Contractor shall insert this entire Section in all subcontracts entered into under this contract.
23.0 CONTRACTOR PERFORMANCE DEFICIENCY REPORTS
The Contracting Officer and the MSCREP or TPOC uses two artifacts to document contractor performance-related deficiencies. The Production Schedule Delinquent Progress Notice (PSDPN) is issued when the Government believes that physical progress has significantly lagged behind the Contractor’s production schedule and is designed to generate discussion on how the Contractor intends to adjust production to regain performance to the schedule. The Quality Deficiency Report (QDR) is issued to document significant flaws in the Contractor’s quality of workmanship and/or to document physical damage to a feature or component of the vessel that requires correction by the Contractor. The Contractor shall respond to these reports in writing within 48 hours, unless another timeframe is identified by the Contracting Officer. The Government will comment on the Contractor's response to the report and provide a copy of that response to the Contractor.
24.0 ADDITIONAL GOVERNMENT REQUIREMENTS (AGR)
The Government anticipates that any subsequent work identified with the original requirements of a DO will be performed by the Contractor in accordance with the applicable Changes clause. All growth work will be related to an existing WI in the DO, or in some cases, new WIs within the scope of the DO, and incorporated as a Contract Change Order (CCO). This process is outlined in Section H-2.
Proposed AGR labor and mark-up rates shall prevail even when the contract is extended/modified. Any additional AGR labor hours or Other Direcr Costs (ODC) required beyond the estimated amount on the delivery order shall be added through delivery order modification using the same rates agreed upon at delivery order award.

MSC SPECIFIC WIDE AREA WORKFLOW (WAWF) INSTRUCTIONS (AUG 2012)
The information contained in this instruction is supplemental to DFARS 252.232-7006.
The information contained in the table in DFARS 252.232-7006 is for WAWF purposes only. Information included in DFARS 252.232-7006 and this WAWF instruction apply only to WAWF Invoicing and WAWF Receiving Reports. Contradictory information elsewhere in this contract, e.g. Ship to DoDAAC, shall be followed per the terms and conditions of the contract.
When entering the invoice into WAWF, the Contractor shall fill in the DoDAAC fields or DoDAAC extensions exactly as shown in the table in DFARS 252.232-7006. Fields that should not be filled in when entering the invoice into WAWF will be indicated with the direction, “Leave Blank.”
In some situations the WAWF system will pre-populate the “Pay DoDAAC,” “Admin By DoDAAC” and “Issue By DoDAAC.” The Contractor shall verify that those DoDAACs automatically entered by the WAWF system match the information in the table in DFARS 252.232-7006. If these DoDAACs do not match, then the Contractor shall correct the field(s).
If Receiving Reports are required, ensure that the “Inspection” and “Acceptance” defaults of “destination” for both fields are not changed in the WAWF online interface.
The CLINs on the WAWF invoice shall be entered exactly as set forth in the contract document including CLIN number (e.g. 0001), Quantity (may be adjusted for actual quantity or dollar value delivered and invoiced), and Unit Price (e.g. $1.00). The dollar amounts on each CLIN or SubCLIN on the WAWF invoice shall reflect final performance values, but in no instance can the dollar amount for each CLIN or SubCLIN exceed what is specified in the contract document. The Contractor shall bill to the lowest level, e.g., the SubCLIN level. The Quantity and Unit of Measure fields must be filled out exactly as indicated in the CLINs and SubCLINs to reduce the possibility of the invoice being delayed or rejected during processing.
Before closing out of an invoice session in WAWF, but after submitting the document or documents, the Contractor will be given the option to send additional email notifications by clicking on the “Send More Email Notifications” link that appears on the page. The Contractor shall click on this link and add the Technical Point of Contact’s (TPOC) or Contracting Officer’s Representative’s (COR) email address in the first email address block and add any other additional email addresses desired in the following blocks. This additional notification to the Government is important to ensure the acceptor/receiver is aware that the invoice documents have been submitted into the WAWF system.
