SUMMARY OF CHANGES
SECTION A - SOLICITATION/CONTRACT FORM
The required response date/time has changed from 31-Oct-2022 02:00 PM to 02-Dec-2022 02:00 PM.
SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS
The following have been modified:
SECTION L
L – [1] CONTENT OF PROPOSALS (SERVICES) (July 2022)
PART A GENERAL INSTRUCTIONS
1.0 GENERAL
The Offeror must respond to all requirements of the solicitation and not alter or rearrange the solicitation. The
Offeror is advised that the Government may incorporate any portions of the Offeror’s proposal into the resulting contract.
In presenting material in the proposal, the Offeror is advised that quality of information is more important than quantity. Clarity, brevity, and logical organization shall be emphasized during proposal preparation. Statements that the prospective Offeror understands, can comply with, or will comply with, the specifications, and paraphrasing the requirements or parts thereof without supporting information are considered inadequate by the Government, and may result in assessing weaknesses and/or deficiencies.
The Offeror must include any data that illustrates the adequacy of the various assumptions, approaches, and solutions to problems. Failure to address a specific factor or subfactor clearly may be considered a deficiency.
Unnecessarily elaborate brochures or other presentation materials beyond that sufficient to present a complete and effective proposal is neither necessary nor desired.
The Government advises the Offeror that taking exception to or deviating from any term or condition of the
RFP may result in the assessment of a deficiency to the proposal.
Throughout these instructions, a “principal subcontractor” is defined as a subcontractor who provides at least
20% of the proposed total Cost/Price (excluding the Offeror’s profit/fee) for the contract or provides one or more
Key Personnel. “JV Team member” is defined as one of the entities that make up a joint venture (JV) formed for the purpose of responding to this solicitation.
2.0 ELECTRONIC PROPOSAL FORMAT
This section is intended to provide information to the Offerors on the electronic format and application software to be used for submitting proposals. Use of the software and procedures described in this section will reduce the amount of time and effort needed to receive and upload proposals and will ensure the proposals received are suitable for reading electronically during evaluation.
Proposals must be formatted using a Times New Roman 12 pt Normal font (no reduction permitted), single-spaced with 1-inch margins all around, and formatted for standard 8.5 x 11 inch paper. All pages should be numbered with section and page numbers. Graphs and tables shall be presented in no smaller than a 10 pt font and should contain a grid, which allows values to be read directly from the graph. Graphs and Tables that fit on an 8.5”
X 14” printed page will be counted as one page. Drawing may be of any size and will count as one page. Graphic resolution, including such data as tables or charts, should be consistent with the purpose of the data presented.
When using Government supplied templates (e.g. Attachment P1, Attachment P2, Attachment P3, Attachment P4), no modifications to font or scaling required. All proposal documents must be compatible with Microsoft Office 2016 and/or the latest Adobe Acrobat Reader Portable Document Format (PDF), where applicable.
The Offeror is responsible for ensuring electronic proposals are virus free and shall run an anti-virus scan before submission. Offerors may use hyperlinks within and among proposal volumes that do not include price information.
However, there shall be no links from any other volume into the Price Volume or into any other portion of the proposal that contains price information. In order to reduce file sizes, the Offeror shall not embed sound or video
(e.g., MPEG) files within the proposal submission. The Offeror is encouraged to simplify the color palette used in creating figures; and minimize size of graphics files; and avoid scanned images.
3.0 PROPOSAL CONTENT AND VOLUMES
The Offeror must present proposal information in a manner that facilitates a one-to-one comparison between the information presented and this Proposal Instruction. Proposal information must be structured such that its
Volume/paragraph number matches the Proposal Instructions Volume/paragraph number provided in section “Part B
Specific Instructions” to which it is responding, although the Offeror may add lower tier subparagraphs. The
Offeror must provide reasons it will not provide information for a particular paragraph. The proposal information instructions are structured by paragraph numbers where first, second, third, and fourth parts correspond to the volume, section, and element, etc., in the Offeror’s proposal.
Each volume of the proposal shall be submitted as specified in the table below. The table below supersedes the copies requested in Block 9 of the Standard Form (SF) 33. Page limitations for each volume, if any, are also specified in the table below; title and table of contents pages do not count towards the page limit.
Information submitted as an Annex to the proposal includes manuals, specifications, plans, procedures, and policies that exist as an official document of the company or facility, as well as other information requested in Part B
Specific Instructions. Page limitations for Annexes, if any, are specified below. The authorized Annexes are summarized in the table below.

1.3 Workforce
1.3.1 Key Personnel Resumes
For all proposed Key personnel, provide a resume of the work assignments, training, etc., that demonstrates the experience and specialized qualifications of each key person proposed. Proposed Key personnel must either be a current employee or a contingent hire. A “contingent hire” is an individual who has committed, under a signed letter of intent, inclusive of salary information, to being employed by the Offeror if the Offeror is awarded the contract.
Resumes shall contain, at a minimum, the following information:
a. Employee name
b. Number of Years / number of months of employment experience in chronological order including narrative description of duties and responsibilities.
c. Current position, title and employer
d. Educational, training, and certification history
e. Institution name, degree or certification earned, and year for all degrees or certifications earned
f. Current level of security clearance and status (final, interim, or pending). It should be noted that a resume indicating a pending security clearance or no security clearance could result in a weakness due to the risk associated with not having a final or interim security clearance by the required time of 45 days after contract award.
The Government may check educational background to verify degrees or certifications received.
If the qualification (i.e. education, experience) does not readily or easily compare to the minimum qualification stated in the SOW/PWS, the offeror shall provide an explanation as to the equality of the proposed qualification to meet the minimum qualification.
It should be noted that this requirement falls under the Service Contract Act. Some of the labor categories that are designated as “key” are SCA labor categories. As a result, a resume must be submitted for these “key” SCA positions to ensure a viable applicant is available to fill the position should an incumbent SCA individual reject the offer to fill the position under the follow on contract.
Offerors are obligated to advise the Government of changes in proposed key personnel staffing, even after submissions of proposals. Offerors shall provide this information through email to contract specialist, Shannon
Summers at Shannon.b.summers.civ@us.navy.mil promptly upon discovery of change.
1.3.2 Facility Clearance
The Contractor shall provide evidence (e.g. written certification) of a Secret Facility Clearance.
2.0 VOLUME 2: PAST PERFORMANCE
2.1 General
Sources of past performance evaluation information include information provided by the Offeror in response to the solicitation, information obtained from questionnaires, and any other sources available to the Government, to include, but not limited to, the Past Performance Information Retrieval System (PPIRS), Federal Awardee
Performance and Integrity Information Systems, Electronic Subcontract Reporting System, or other databases; the
Defense Contract Management Agency; and interviews with Program Managers, Contracting Officers, and Fee
Determining Officials.
The Offeror shall complete the Past Performance Information Form, Attachment P1, for each past performance reference (contract or delivery/task order) performed within five years of the solicitation release date. All past performance references must have at least one year of performance within the five year recency period. The Offeror shall submit no more than five Past Performance Information Forms as the Prime Contractor, no more than two forms for each principal subcontractor, and/or no more than two forms for each JV team member. For contract references that contain delivery/task orders, additionally provide the work description(s) for each specific delivery/task order deemed relevant by the Offeror to this solicitation’s requirements. For contract references where the Offeror performed as a subcontractor, the Offeror shall clearly identify the applicable portion of the contract requirements that they performed. The Offeror shall submit written consent from its principal subcontractor(s) and
JV team member(s) that will allow the Government to coordinate any past performance issues directly with the
Offeror. If the Offeror does not submit the written consent, the Government will address any past performance issues directly with the principal subcontractor or JV Team member and the Offeror will forfeit the opportunity to participate in any related discussions. Consequently, for any principal subcontractor and JV team member that does not provide the written consent, the Offeror shall provide the name, address, phone number, and email address with whom the Government may address any past performance issues.
The Offeror shall provide a narrative on each Past Performance Information form in the “Contract Effort
Description” area that clearly describes how each contract reference has relevant work effort that matches the relevancy definitions specified in Section M of the solicitation. Additionally, the Offeror shall provide one electronic copy of the Statement of Work/Performance Work Statement for each contract reference as Annex 1 to this Past
Performance Volume.
The primary source of past performance information will be PPIRS. If a Contractor Performance Assessment
Report (CPAR) exists for multiple years for the same contract/order, all periods of performance within the recency mailto:Shannon period specified above, for that contract/order, will be used for evaluation. In the event a CPAR does not exist for a past performance reference, the Offeror shall submit a Contractor Performance Assessment Questionnaire (CPAQ), Attachment P2, to the Government Program Manager who is the Assessing Official. In addition, if an Offeror (or proposed principal subcontractor) performed as a subcontractor under a referenced contract, a CPAQ shall be provided to the Government Program Manager, specifically for the portion of the effort the Offeror (or principal subcontractor) performed with the ratings associated with that performance. If the Offeror submits a contract reference that was completed more than three (3) years ago and meets the government’s recency definition, Offerors shall provide a CPAQ for evaluation. The Offeror shall include instructions for the Program Manager to send completed questionnaires within two weeks of its receipt via e-mail to Shannon Summers Contract Specialist, at
Email shannon.b.summers.civ@us.navy.mil thereby allowing the customer approximately two weeks to complete their response. All CPAQs should be received by the Government concurrently with the Offeror’s proposal submission.

Current Cost or Pricing Data prior to award, pursuant to FAR 15.406-2.
(b) The Offeror shall provide sufficient information to support its Cost/Price as well as an explanation of all ground rules and assumptions that affect the Cost/Price estimates.
(c) If subcontractors are proposed, they shall provide the same information required for the prime contractor, unless otherwise noted in the Cost/Price Information section below
3.3 Cost/Price Information:
3.3.1 Offerors shall submit their fully completed cost/price proposal utilizing the Cost Breakout Spreadsheet
(Attachment P3). The excel spreadsheet shall be unprotected and unlocked, with formulae intact to show mathematical operations. The Offeror’s total proposed cost will be determined by the rates/costs inserted in
Attachment P3 (Cost Breakout Spreadsheet). Offerors shall not complete Section B of the solicitation as allocation of proposed costs (and fee if applicable) across specific Program and appropriation-based CLINs will be determined at contract award by the Government. The Government will populate Section B of the awarded contract based on the proposed costs in Attachment P3 and the projected Government funding profile at that time. The accumulated totals in Section B for all Labor and ODC CLINs will be consistent with the overall proposed amounts in the Offeror’s
Attachment P3. Should Offerors submit cost information in their Volume 3 Cost Proposal resulting in a discrepancy with Attachment P3 the Attachment P3 will prevail. Furthermore, such discrepancies may impact the realism and reasonableness assessment of the Offeror or its eligibility for award.
3.3.2 Any proposed subcontractor must complete and submit Attachment P4 (Subcontractor Cost Breakout
Spreadsheet) and provide substantiation to support all proposed rates as described in this Cost section. The Prime
Offeror must provide justification of the reasonableness of each subcontractor's proposed fully burdened labor rates.
A discussion for the basis of this determination is required. The proposed fully burdened rates of the Prime Offeror and all subcontractors will be subject to the NAVAIR tripwires described in Section M of the solicitation.
3.3.2.1 The total cost within the P4 Attachment for each subcontractor must match the fully burdened cost for the subcontractor within the prime Offeror’s P3 Attachment (prior to prime Offeror burden or fee being applied). The proposed categories and hours for each Offeror in the required spreadsheet will be compared to the Government provided labor categories and associated labor hours/days within P3 to ensure that all categories and hours/days are included in the Offeror’s proposal.
3.3.2.2 Due to the proprietary nature of company rates, rate information may be presented separately for each
Offeror and JV Team Member/subcontractor, provided that the Offeror identifies the data and contractor in its proposal. Each JV Team Member/subcontractor shall submit their cost breakdown data on Attachment P4
(Subcontractor Cost Breakout Spreadsheet). The proposed subcontractor costs in the P4 Attachment must be consistent with the proposed cost for that subcontractor/JV Team Member in the Prime Offeror’s P3 Attachment, prior to the Prime Offeror’s application of burdens or pass through on the subcontractor/JV Team Member labor.
3.3.2.3 Complete Attachment P3, (Fully Burdened Labor Rates Tab), detailing the fully burdened labor rates for all prime contractors and their subcontractor personnel. Fully burdened labor rates are defined as direct labor rates plus all applicable burdens, to include indirect rates, fee, and subcontractor pass-through costs where applicable. For subcontractor labor, the fully burdened labor rates shall be inclusive of any pass-through charges (e.g., subcontractor handling, fixed fee on subcontractor labor, etc.) applied by the prime contractor. Proposed fully burdened labor costs may be subject to the NAVAIR labor tripwire identified in Section M. Offerors that propose a fully burdened per employee labor cost exceeding the labor tripwire shall provide rationale in their cost proposal narrative section that justifies the reasonableness of the tripwire cost for the applicable employees.
3.3.3 (a) The Government is not soliciting any investments. However, in order for the Government to properly assess a proposed Cost/Price that appears low due to a corporate decision to absorb costs, e.g., lower than usual burdens or rates, the Offeror shall fully identify and explain any such investments. Additionally, the Offeror shall propose an H-clause that clearly identifies what is being provided, the associated data and data rights that are conveyed to the Government (if applicable), and also specifically states the fiscal adjustment(s) and identifies the
Offeror’s liability. At the discretion of the PCO, this may be a contractually binding clause.
(b) Direct Rates: The Offeror shall propose direct rates in compliance with the instructions below. The Offeror shall provide Defense Contract Audit Agency (DCAA) Information/Payroll Verification information as follows: A
DCAA point of contact, with a current e-mail address, must be provided for the prime and each subcontractor. Any proposed consultants shall have a consultant agreement substantiating the rates proposed. If the Offeror requires the use of consultants in performance of the effort, the consultant cost shall be captured under the appropriate labor
CLIN not the ODCs CLIN. If a composite rate or other pricing methodology (e.g. cost estimating relationships) is utilized, the Offeror shall demonstrate how those rates were developed to include a detailed cost breakdown.
Subcontractors and team members shall provide this information either separately or included in the Offeror’s submission of this document. All DCAA attachments addressed within this paragraph shall be submitted in Annex II
(DCAA/DCMA Reports, Audits, and Determinations).
Provide a narrative that addresses any assumptions made during the preparation of the Cost/Price proposal and discuss the basis for the cost elements listed below:
Direct labor rates by category. The Offeror is required to submit labor rates for all proposed current, contingent, and prospective hire individuals. The following definitions for each of those categories are shown below with required rationale and substantiation:
i. A “current employee” is an individual currently employed by the offeror. For proposed current employees, the Offeror and proposed subcontractors shall provide the most current payroll verification for currently employed proposed personnel, and any other information necessary to substantiate the direct labor rates proposed. Payroll verification shall consist of a form containing the title, direct labor rate, and a signed certification by an authorized representative of the company that the information contained in the form is correct.
ii. A “contingent hire” is an individual who has committed, under a signed letter of intent, inclusive of salary information, to being employed by the Offeror if the Offeror is awarded the contract. All proposed contingent hires shall have a letter of intent submitted under the Cost Volume outlining salary information (specified as an agreed to direct hourly rate) for the contingent hire employee. The letter of intent is a separate written agreement signed by the potential employee(s) to work for the
Offeror effective at contract award.
iii. To assist in the preparation of the cost proposal, the following direct labor rate information is provided for prospective hires as direct labor rates for the Key West, FL area that the Government deems realistic to attract and retain a workforce in that geographic area. This information is provided to all offerors to ensure the realism of direct labor rates within the cost proposal. For any proposed prospective hires, Offerors shall utilize the table below. A “prospective hire” is an individual that the offeror has committed to hiring if the offeror is awarded the contract whose identity may not be known until after award. The only acceptable substantiation for proposing less than the Government provided labor rate range for each category is payroll verification for current employees or Letters of Intent for
Contingent Hires. If proposed rates for prospective hires are less than the direct labor rates shown below the Government will adjust the proposed direct rates to the applicable rate as shown in the table.
iv. For proposed Key personnel, the proposed direct labor rate should be based on either certified payroll data if currently employed by the Offeror or based on the salary information (specified as an agreed to direct hourly rate) in the submitted Letter of Intent if the proposed individual is categorized as a contingent hire.
v. SCA labor categories – Any labor category falling under the Service Contract Act, regardless of current employee or contingent hire status, is subject to the attached Wage Determinations and shall be in compliance with those attachments.
The tables below provide direct labor rates for all of the labor categories identified under this solicitation. The
Government considers these rates realistic as they are based off of historical rate information for the place of performance in Key West, FL. This information is provided to all Offerors to ensure the realism of direct labor rates.
For prospective hires, the Government will not accept any other compensation data sources as substantiation for a lower direct rate. If proposed rates for prospective hires are less than the direct labor rates shown below, the
Government will adjust the proposed direct rates to the rate identified in the table.

Any proposed rate that is not fully supported or justified is subject to adjustment in accordance with Section M of the solicitation.
v. Offerors are advised that proposed direct labor rates will be monitored during contract execution per
Attachment 5 & 6, Wage Determinations.
vi. When the Offeror elects to claim Cost of Money (COM) as an allowable cost, the Offeror must submit a
COM form and show the calculations of the proposed amount. If a composite rate or other pricing methodology (e.g. cost estimating relationships) is utilized, the Offeror shall demonstrate how those rates were developed.
vii. Escalation on direct labor. In an effort to ensure realism of costs during contract execution, Offerors, including subcontractors, shall propose escalation at a rate of 3.0% or higher for each Option Year on all labor categories. Offerors, including subcontractors, that propose less than 3.0% escalation will be considered unrealistically low and will have their proposals adjusted by the Government to include escalation of 3.0% in the option periods. Offerors shall not utilize an attrition factor, or any other factor or calculation, in an effort to reduce the impact of the mandated 3.0% escalation rate for the Option periods.
(c) Indirect Rates: The Offeror shall submit Forward Pricing Rate Agreements (FPRAs) and Forward
Pricing Rate Recommendations (FPRRs) as applicable for all proposed personnel. The Offeror shall identify whether the indirect rates proposed are FPRAs, ACO/DCAA recommended rates (FPRRs), or Offeror proposed rates (FPRPs). The Offeror and proposed subcontractors shall provide the most current DCAA Provisional
Billing Rate Approval Letter, DCAA Final Billing Rate Approval Letter, and/or DCAA Forward Pricing Rate
Agreement recommendation. If any of the rates utilized by the Offeror or any subcontractors differ from the
DCAA information and/or payroll verification, a justification shall be provided for the difference. If DCAA has not reviewed the rate information for an Offeror or one of its subcontractors, the Offeror must submit a detailed justification of the proposed direct and indirect rates. The Offeror shall also provide documentation verifying that it has a DCMA adequate Accounting System in accordance with DFARS clause 252.242-7006, or state that it’s Accounting System has not been approved by DCMA. All DCAA attachments addressed within this paragraph shall be submitted in Annex II (DCAA/DCMA Reports, Audits, and Determinations).
Offerors shall provide the last three (3) years of actual indirect information. Subcontractors and team members shall provide this information either separately or included in the Offeror’s submission of this document.
Indirect costs (e.g., Overhead, Fringe Benefits, General & Administrative (G&A), etc.) Provide a narrative to explain pools to which indirect rates are applied. If proposed indirect rates are not in line with historical trends, Offerors shall provide a detailed explanation with supportable rationale for why the proposed rates are not consistent with historical trends.
i. The Offeror shall provide all documents addressed within Paragraph 3.3.3(c) to support the proposed indirect rates.
ii. If fringe benefit costs are included in the overhead rate, state what percentage of the overhead rate covers fringe benefits. If more than one labor overhead rate is proposed, or if the Offeror has other indirect labor rate(s) (i.e., separate fringe benefit rates), so indicate. For example, if an Offeror has three labor overhead rates – on-site, off-site, and professional, and a separate fringe benefit rate for each of the three labor overhead rates, the Offeror is to indicate which labor category(ies) are considered on-site, off-site, and professional and the base amounts associated with those category(ies), plus the base amount(s) for the application of the separate fringe benefit rate(s). The Offeror shall indicate how it computed and applied the indirect rates, including cost breakdown.
iii. In addition, Offerors shall provide summary-level definitions for each major indirect rate account, explaining what costs are included in each…
