RFP Questions and Answers
1. Page 1. Block 1, Is this a rated contract under DPAS, and if so, what is the priority rating?
A. No, the contract is Unrated. The solicitation has been updated herein.
2. Page 7 and Attachment P6. Attachment P6 has CLIN 0007 noted in cell K421 however on Page 7 of solicitation N00421-18-R-0015, ODC CLIN is 0011 (there is no CLIN 0007-0010). What is the correct
CLIN number/structure?
A. Attachment P6 has been updated to reflect the correct CLIN number/structure.
3. Page 14. 3.1.4.1.4 Overtime – states that Overtime cannot be charged directly to the contract unless first approved in writing by the Chief of the Contracting. However, clause 52.222-2 Payment for Overtime
Premiums found on page 61 authorizes the use of overtime if the overtime premium cost does not exceed
$0.00. Please clarify if overtime is authorized.
A. At this time, no overtime is authorized. If overtime is determined necessary during performance, prior to execution and expenditure, approval will be required along with a modification to the basic contract and incorporation of the clause into the applicable Task Order.
4. Page 41. NAVAIR Clause 5252.216-9506 MINIMUM AND MAXIMUM QUANTITIES
(NAVAIR)(MAR 1999) states that the “Indefinite Quantity" of this contract, has a minimum quantity of
$10,000.00; the maximum quantity is the total contract value (ceiling of the contract), but on page 60, under FAR 52.216-19 ORDER LIMITATIONS (OCT 1995), it shows the Minimum order being
$5,000.00. Can you confirm what the minimum quantity is under this contract?
A. The minimum quantity of the contract is $10,000, while the minimum price for each individual order is $5,000.
5. Page 54. NAVAIR Clause 5252.228-9501 LIABILITY INSURANCE (MAR 1999) lists the types of insurance required In Accordance With (IAW) FAR 52.228-7, in particular (d) requires Aircraft public and passenger liability: $200,000 per person and _$500,000_ per occurrence for bodily injury, other than passenger liability; $200,000 per occurrence for property damage. Passenger bodily injury liability limits of
_$200,000 per passenger, multiplied by the number of seats or number of passengers, whichever is greater.
This could pose a burdensome expense for a small business; would the government consider removing (d) as part of the Insurance requirement?
A. No, the Government will not remove (d) as part of the requirement.
6. Page 68. Section K, If the information in Federal Awardee Performance and Integrity Information System
(FAPIIS) is accurate and up to date as required through an active registration in the System for Award
Management (SAM) database, is it still necessary to check the box on page 68, of the clause FAR 52.209-7
INFORMATION REGARDING RESPONSIBILITY MATTERS (JUL 2013)?
A. Yes, it is still necessary to check the box in FAR 52.209-7 paragraph (b).
7. Page 71. NAVAIR Clause 5252.209-9511 ORGANIZATIONAL CONFLICTS OF INTEREST
REPRESENTATION (SERVICES) (NAVAIR)(APR 1989) mandates that the Offeror must check one of the appropriate boxes, and submit along with the proposal; what area/section should this be included? Or should it be included as an Attachment and mentioned in the Cover letter, because it is not the same as
Attachment 2 – Organizational Conflict of Interest (OCI) List?
A. Information concerning conflicts of interest should be included as an Attachment to the proposal and included in the Proposal Cover Letter.
8. Page 77, 1.2.1 SOW Approach – is the Offeror to demonstrate their understanding of the work as it pertains to just those SOW paragraphs outlined in the table? Or all SOW paragraphs in 3.3? Please clarify.
A. The Offeror is to demonstrate their understanding of the work as it pertains to the SOW paragraphs outlined in the table in Section L, Part B, paragraph 1.2.1.
9. Page 78. 2.1 Past Performance/General: Please clarify that past performance is not required from proposed subcontractors that do not meet the proposal definition of principal subcontractor.
A. The Past Performance Information Form is only required from principal subcontractors.
10. Page 78. 2.1 Past Performance/General: 2nd sentence of 3rd paragraph states “Due to the printing limitations associated with the Past Performance Information Form (Attachment P3), the Offerors may utilize the Past Performance Annex to include an exact copy of the full text from the “Contract Effort
Description” block or other blocks as appropriate for reviewing the data.” Is the Past Performance Annex a self-created document?
A. Yes, the Past Performance Annex is a self-created document to be attached to the Past
Performance Information Form.
11. Page 79. 3.1 Volume Content (b) “This volume shall contain a copy of Section B with the Contract Line
Item (CLIN) and Sub-CLIN Unit Prices...” Are there Sub-CLINs? Section B (pages 3-9) indicates Ceiling
Costs to be placed on CLIN 0001 and CLIN 0011. CLINS 0002-0006 and CLINS 0012-0016 are Not
Separately Priced (NSP). Please provide clarification regarding level CLIN/Sub-CLIN level for Cost
Volume.
A. The solicitation is herein revised to remove the following from Section L, Part B, paragraph 3.1(b)
“and Sub CLIN”. The Ceiling Costs will be placed on CLIN 0001 and CLIN 0011. No costs shall be proposed for the other CLINs at the basic contract level.
12. Page 80. 3.3 Price/Cost Information: Paragraph 1, states that the Offeror shall use the CLIN Summary tab in Attachment P6 to breakout cost by CLIN; however, there is no CLIN Summary tab. Please clarify or provide referenced CLIN Summary tab.
A. In accordance with the instructions for Attachments P6 and P7, the Offeror and subcontractors shall create a tab for each contract year and a “Summary” tab outlining the cumulative breakout for all contract years. The solicitation is herein revised to change language in Section L, Part B, paragraph 3.3 from: “The Offeror shall use the CLIN
Summary tab to…” change to: “The Offeror shall create a Summary tab to…”
13. Page 80. 3.3 Price/Cost Information: Paragraph (a) states, “Show traceability with the CLINs, SubCLINs, PWS, proposed effort, proposed manning levels, and prices/costs. Refer to specific sections in the
Technical Volume as needed to illustrate the consistency between the Price/Cost Volume and the Technical
Volume.” Given that the cost proposal in Attachment P6 and Section B have all labor costs under CLIN
0001, it is not clear how this can be done. Can more clarification be provided on what the government wishes to see to fulfill this requirement?
A. The solicitation is herein revised to remove the requirement from Section L, Part B, paragraph 3.3(a) and mark the paragraph as “Reserved”.
14. Page 83. 3.4 Total Professional Compensation Plan: “The Offeror shall provide a Total Compensation
Plan in accordance with FAR 52.222-46 for each proposed professional employee.” According to the
FAR clause (found on pages 85-86) professional employees are defined in 29 CFR 541. Therefore, are we responsible to provide total compensation plan only for Professional Employees as defined in 29 CFR 541
(i.e. Professional Employees such as Engineers and NOT Executive Employees, Administrative
Employees, and Computer Employees)?
A. In accordance with Section L, Part B, paragraph 3.4, the Offeror shall provide a Total
Professional Compensation Plan for each proposed professional employee as defined in
29 CFR 541.
15. Page 83. 3.4 Total Professional Compensation Plan: The level of detail required by this paragraph is unclear. Could the govt provide a sample spreadsheet or template outlining the information required.
Regarding subparagraph (2), can you please clarify if this can be provided on a company-wide basis or is it required to be broken out by each individual professional employee?
A. The Total Professional Compensation Plan is a company generated document. The Government will not provide a template. The plan should be provided based on the offeror’s internal policies and procedures and shall include, but not be limited to the information required in Section L, Part
B, paragraph 3.4 (1), (2), and (3).
16. Page 77, 1.3.2 Transition Plan – is this section required for the incumbent? Please clarify.
A. Yes, the Transition Plan is still required for all offerors.
17. On Attachment 1, Contract Surveillance Plan (CSP), CDRL A002 is not included in the CDRL Data
Quality Standards Chart or the Quarterly Evaluation by Contract Data Requirements Lists Chart. Was this
CDRL purposely not included? In addition, the CDRL numbering in the SOW does not match that in the
CSP. Please clarify.
A. Yes, CDRL A002 will not be reviewed as part of the Contractor Performance Assessment Report
System (CPARS). The CSP has been updated herein and a revised version is provided.
18. Will the Government consider extending the proposal due date.
A. No, the Government will not extend the due date for proposals.

PART A GENERAL INSTRUCTIONS
1.0 GENERAL
The Offeror must respond to all requirements of the solicitation and not alter or rearrange the solicitation. The
Offeror is advised that the Government may incorporate any portions of the Offeror’s proposal into the resulting contract.
In presenting material in the proposal, the Offeror is advised that quality of information is more important than quantity. Clarity, brevity, and logical organization shall be emphasized during proposal preparation. Statements that the prospective Offeror understands, can comply with, or will comply with, the specifications, and paraphrasing the requirements or parts thereof without supporting information are considered inadequate by the Government, and may result in assessing weaknesses and/or deficiencies.
The Offeror must include any data that illustrates the adequacy of the various assumptions, approaches, and solutions to problems. Failure to address a specific factor or subfactor clearly may be considered a deficiency.
Unnecessarily elaborate brochures or other presentation materials beyond that sufficient to present a complete and effective proposal is neither necessary nor desired.
The Government advises the Offeror that taking exception or deviating from any term or condition of the
Request for Proposal (RFP) may result in the assessment of a deficiency to the proposal.
Throughout these instructions, a “principal subcontractor” is defined as a subcontractor who provides at least
20% of the proposed total price/cost (excluding the Offeror’s profit/fee), for the contract or provides one or more
Key Personnel. “JV Team member” is defined as one of the entities that make up a joint venture (JV) formed for the purpose of responding to this solicitation.

The Offeror shall propose personnel that meet all labor category requirements as specified in the Statement of Work.
The following definitions apply: A “contingent hire” is an individual who has committed, under a signed letter of intent, to being employed by the Offeror with a stated salary, if the Offeror is awarded the contract.
http://www.fbo.gov/

1.1.2 Staffing Plan
The Offeror shall describe in sufficient detail the following:
A staffing plan that addresses the roles and responsibilities of personnel proposed for this effort, including any proposed subcontractor, consultant or teaming arrangements. 1.3 Management Approach (Subfactor)
1.3.1 Overall Management Approach: The Offeror shall address in sufficient detail the following:
1.3.1.1 Adequacy of corporate management and resources to support the technical requirements of the solicitation.
1.3.1.2 Proposed management roles of the Offeror’s proposed workforce and lines of responsibility, authority, and communication through which the tasks will be managed for this requirement.
1.3.1.3 Procedures to be taken to ensure quality and cost control.

1.3.1.6 The Prime Contractor shall detail how each subcontractor will be managed to ensure cohesive integration into the overall management approach. How and why selected subcontractor(s) were chosen, which knowledge and skills the offeror will be acquiring through each subcontract.
1.3.2 Transition Plan:
The services under this solicitation are vital to the Government and must be continued without interruption. The
Government anticipates a sixty (60) day transition period. The Offeror is required to submit a written narrative delineating a transition plan that ensures a smooth workplace changeover from an incumbent with a reasonable transfer of service and minimal loss of corporate knowledge. The plan should take into consideration the following elements as well as any additional elements deemed necessary by the Offeror:
Work Turnover
Quality Assurance
Training
Risk Mitigation Strategies
Data Transfer
Please note that there is no CLIN associated with the transition period, as the Government will not be reimbursing the contractor for costs associated with transition efforts. Transition costs are overhead costs that are not charged to the government. During the transition period, the incumbent contractor is still performing the tasking under the previous contract. The awardee will not begin tasking on the date of award. The transition period is the period between the award date and the date performance (tasking) begins. The transition period provides the awardee time to start preparing for performance, such as hiring, training, getting badges, getting work turned over from the incumbent, etc.
2.0 VOLUME 2: PAST PERFORMANCE
2.1 General
Sources of past performance evaluation information include information provided by the Offeror in response to the solicitation, information obtained from questionnaires, and any other sources available to the Government, to include, but not limited to, the Past Performance Information Retrieval System (PPIRS), Federal Awardee
Performance and Integrity Information Systems, Electronic Subcontract Reporting System, or other databases; the
Defense Contract Management Agency; and interviews with Program Managers, and Contracting Officers.
The Offeror shall complete the Past Performance Information Form, Attachment P3, for each past performance reference performed within five (5) years of the solicitation release date. The Offeror shall submit no more than five
(5) Past Performance Information Forms as the Prime Contractor, no more than two (2) forms for each principal subcontractor, and/or no more than two (2) forms for each JV team member. The Offeror shall submit written consent from its principal subcontractor(s) and JV team member(s) that will allow the Government to coordinate any past performance issues directly with the Offeror. If the Offeror does not submit the written consent, the
Government will address any past performance issues directly with the principal subcontractor or JV Team member and the Offeror will forfeit the opportunity to participate in any related discussions. Consequently, for any principal subcontractor and JV team member that does not provide the written consent, the Offeror shall provide the name, address, phone number, and email address with whom the Government may address any past performance issues.
The Offeror shall provide a narrative on each Past Performance Information form in the “Contract Effort
Description” area that clearly describes how each contract reference has relevant work effort that matches the relevancy definitions specified in Section M of the solicitation. Due to the printing limitations associated with the
Past Performance Information Form (Attachment P3), the Offerors may utilize the Past Performance Annex to include an exact copy of the full text from the “Contract Effort Description” block or other blocks as appropriate for reviewing the data.
Additionally, the Offeror shall state whether the work under the Past Performance was provided as a Prime, Subcontractor, or Team Member.
Offerors are reminded that the Government reserves the right to use information to evaluate past performance obtained from sources other than those identified by the Offeror. The Government may send additional questionnaires and/or obtain information from sources identified by the Government evaluation team.
The primary source of past performance information will be PPIRS. If a Contractor Performance Assessment
Report (CPAR) exists for multiple years for the same contract/order, all periods of performance within the recency period specified above, for that contract/order, will be used for evaluation. In the event a CPAR does not exist for a past performance reference, the Offeror shall submit a Contractor Performance Assessment Questionnaire (CPAQ), Attachment P5, to the Program Manager who is the Assessing Official. The Offeror shall include instructions for the Program Manager to send completed questionnaires within two weeks of its receipt via e-mail to Lacee
McKinney, Contract Specialist, at Lacee.Mckinney@navy.mil and Melinda Stann, PCO at
Melinda.Stann@navy.mil; thereby allowing the customer approximately two weeks to complete their response. All
CPAQs should be received by the Government concurrently with the Offeror’s proposal submission.

Entity Administrator for the entity associated with the Data Universal Numbering System (DUNS) number. Federal
Assistance entities must mail the original, signed copy of the notarized letter to the Federal Service Desk. Failure to do so within 30 days of activation may result in the SAM registration no longer being active. More information is available at www.gsa.gov/samupdate and www.sam.gov.
(iv) Guarantee the length of proposal validity (for at least 240 days after proposal submission).
(b) This volume shall contain a copy of Section B with the Contract Line Item (CLIN) Unit Prices and for evaluation purposes, the Total Prices filled in (Supplies and/or Services and Prices and/or Costs) using the estimated quantities value in the solicitation and the instructions below. Section B pricing shall be provided separately in one digital data copy in MS Office 2010 Excel format on CD-ROM media. Within all Excel spreadsheets, the Offeror shall use formulas and functions to the maximum extent possible and avoid using output type “value only” cells. If mailto:Lacee.Mckinney@navy.mil mailto:Melinda.Stann@navy.mil links are utilized, supply those referenced files. The proposal shall be unprotected and unlocked, with formulae intact to show mathematical operations. (Section B Only required from the Prime Offeror.)
(c) All price/cost and price/cost supporting information shall be contained in Section B and the price/cost proposal. No price or pricing information shall be included in any other technical volume including cover letters.
Offerors are responsible for submitting sufficient information to enable the Government to fully evaluate their price/cost proposal.
3.2 Ground Rules and Assumptions:
(a) As this is a competitive acquisition with adequate price competition anticipated, certified cost or pricing data in accordance with FAR 15.403-1 is not required. However, in the event that adequate price competition does not exist after receipt of proposals, the Government reserves the right to request additional cost or pricing data as necessary from both the Offeror and subcontractors. Further, the Offeror may be required to provide a
Certificate of Current Cost or Pricing Data prior to award, pursuant to FAR 15.406-2.
(b) The Offeror shall provide sufficient information to support its price/cost as well as an explanation of all ground rules and assumptions that affect the price/cost estimates.
(c) If subcontractors/consultants are proposed, they shall provide the same information required for the prime contractor, unless otherwise noted below.
3.3 Price/Cost Information:
Offerors shall submit their fully completed cost/price proposal utilizing the Cost Summary Format (Attachments P6
(Prime Cost Summary Sheet) & P7 (Subcontractor Cost Summary Sheet)). The spreadsheet shall be formatted on letter size (8.5 X 11) or legal size (8.5 X 14) paper and shall be unprotected and unlocked, with formulae intact to show mathematical operations. The Offeror shall create a Summary tab to breakout total proposed costs by CLIN.
Complete Attachment P8 (Fully Burdened Labor Rates), detailing the fully burdened labor rates for all prime contractors, JV team members, and their subcontractor/consultant personnel. Fully burdened labor rates are defined as direct labor rates plus all applicable burdens, to include indirect rates, fee, and subcontractor pass-through costs where applicable. For subcontractor labor, the fully burdened labor rates shall be inclusive of any pass-through charges (e.g., subcontractor handling, fixed fee on subcontractor labor, etc.) applied by the prime contractor.
Proposed fully burdened labor costs may be subject to the NAVAIR labor tripwire identified in Section M. Offerors that propose a fully burdened per employee labor cost exceeding the labor tripwire shall provide rationale in their cost proposal narrative section that justifies the reasonableness of the tripwire cost for the applicable employees.
(Attachment P8 required only from Prime Offeror.)
Complete Attachment P4, (Composite Labor Rate and Fee Worksheets), detailing the average fully (composite) burdened labor rates for all prime contractors and their subcontractor/consultant personnel per labor category, as well as the hourly fixed fee rate for the contract (Reference Section B, B-1 and B-2). The Composite Labor Rates are defined as the total labor costs (the sum of both prime and all subcontractor costs) for the labor category divided by the total number of labor hours for that category. The fixed fee rate per hour shall be calculated as the total fee divided by the total number of hours for the ordering period. (Attachment P4 required only from the Prime
Offeror.)
(a) Reserved.
(b) The Government is not soliciting any investments. However, in order for the Government to properly assess a proposed price/cost that appears low due to a corporate decision to absorb costs, e.g., lower than usual burdens or rates, the Offeror shall fully identify and explain any such investments.
(c) Direct/Indirect Rates:
The Offeror shall submit Forward Pricing Rate Agreements (FPRAs), Collective Bargaining Agreements
(CBAs), and Area Wage Determinations (AWDs) as applicable for all proposed personnel. The Offeror shall identify whether the labor rates proposed are FPRAs, CBAs, AWDs, ACO/DCAA recommended rates (FPRRs), or Offeror proposed rates (FPRPs).
The Offeror shall propose in compliance with the current hourly rate set forth in the Department of Labor
Wage Determination as applicable.
The Offeror shall provide Defense Contract Audit Agency (DCAA) Information/Payroll Verification information as follows:
o A DCAA point of contact, with a current e-mail address, must be provided for the prime and each subcontractor.
o The Offeror and proposed subcontractors shall provide the most current DCAA Provisional
Billing Rate Approval Letter, DCAA Final Billing Rate Approval Letter, and/or DCAA Forward
Pricing Rate Agreement recommendation, payroll verification for currently employed proposed personnel, and any other information necessary to substantiate the rates proposed.
o Payroll verification shall consist of a form containing the title, direct labor rate, and a signed certification by an authorized representative of the company that the information contained in the form is correct.
o For key personnel contingent hires, the Offeror shall provide contingent offer letters outlining salary information for contingent hire employees. All contingent hires shall have a letter of intent submitted under the Cost Volume. The letter of intent is a separate written agreement signed by the potential employee(s) to work for the Offeror effective at contract award.
o For any prospective hires for non-key personnel, provide information to substantiate the rates proposed.
o Any proposed consultants shall have a consultant agreement substantiating the rates proposed.
o If a composite rate or other pricing methodology (e.g. cost estimating relationships) is utilized, the Offeror shall demonstrate how those rates were developed.
o Subcontractors, consultants, and team members shall provide this information either separately or included in the Offeror’s submission of this document.
o The following definition applies: A “Contingent Hire” is an individual who has committed, under a signed letter of intent, to being employed by the Offeror with a stated salary, if the
Offeror is awarded the contract.
If any of the rates utilized by the Offeror or any subcontractors differ from the DCAA information and/or payroll verification, a justification shall be provided for the difference. If DCAA has not reviewed the rate information for an Offeror or one of its subcontractors, the Offeror must submit a detailed justification of the proposed direct and indirect rates.
The Offeror shall also provide documentation verifying that it has a DCMA approved Accounting System in accordance with DFARS clause 252.242-7006, or state that its Accounting System has not been approved by DCMA.
Offerors shall provide the last three (3) years of actual indirect information.
The Government may compare a prospective Offeror’s labor category rate to the average labor rate from industry.
(d) Accounting System. As this requirement contains cost type CLINs, the Offeror shall also provide documentation verifying that it has a DCAA approved Cost Accounting System or state that its Cost Accounting
System has not been approved by DCAA, pursuant to the requirement at FAR 16.301-3(a)(3). It is the prime
Contractor’s responsibility to ensure that each subcontractor with a proposed cost-reimbursement subcontract type has an adequate accounting system. If a subcontractor does not have an adequate accounting system, they should be priced on a Firm-Fixed-Price (FFP) or Time-and-Materials (T&M) basis. The prime Contractor shall provide a list of all subcontractors/consultants by name and shall specify the type of subcontract (i.e., CPFF, FFP, T&M, etc.).
For those subcontractors who will be priced on a cost-type basis, documentation verifying possession of a DCAA approved Cost Accounting System shall be provided.
In addition, the Prime Offeror shall provide the following:
Contractor’s Estimating System: Date determined acceptable by ACO (DFARS 215.407-5;
Contractor’s Accounting System: Date determined adequate by CAO/DCAA (FAR 16.301-3);

Contractor Purchasing System: Date determined to be approved by the ACO (FAR 42.302(50), FAR 44.304;
Property System: Date reviewed for acceptability by ACO (FAR 45.105).
(e) For all Cost Type CLINS (e.g., CPFF, Cost-no fee) under the solicitation, the Offeror shall fully disclose the buildup of price/cost of each CLIN.
(f) When completing the Cost Summary Spreadsheet (Attachments P6, Prime Cost Summary Sheet and P7, Subcontractor Cost Summary Sheet), the Offeror shall not utilize any fully burdened hourly rates when pricing the labor of its employees.
(g) This requirement is being set-aside for the Small Business. Provide a breakout to demonstrate how the prime contractor will perform at least 50% of the cost of the contract incurred for personnel with its own employees for each period of performance in accordance with FAR clause 52.219-14.
(h) Provide a narrative that addresses any assumptions made during the preparation of the price/cost proposal and discuss the basis for the cost elements listed below:
Direct labor rates by category. The Offeror is required to submit labor rates for all proposed current, contingent, and prospective hire individuals. If composite or category averages are proposed, provide a breakdown of how rates are developed. If necessary provide a narrative to describe derivation of labor rates, use of uncompensated overtime, pools to which indirect rates are applied, historical
/provisional billing rates for indirect rates for the last 3 years and description, and amount of proposed other direct costs. If the Offeror requires the use of consultants in performance of the effort, the consultant cost shall be captured under the appropriate labor CLIN not the ODCs CLIN.
Escalation on labor. Offerors, including subcontractors, shall address escalation for all Non-SCA labor categories, and shall provide rationale for…
