1 L-7

RFP; L-7; Volume IV - Cost Proposal; (1) Volume Organization; Material

CLINS; 0002, 1002, 2002,

3002 and 4002: Material CLINs will be cost-reimbursable (including appropriate indirect cost categories) and do not include fee.

Contract Projects are Complex and Inherently Contain Risk:

With respect to the RFP term excluding application of fee to the cost of materials (including the indirect costs), what is the rationale for this new contract condition given the complexity of the materials related activities and resultant risk to the Contractor associated with successful and timely execution of contract requirements?

Background: On the current and predecessor contracts the government has allowed the contractor to earn fee on materials. This significant change in direction indicates the government believes there is a changed in the nature of the SESPD II contract. Is this the governments perspective? If so, will the government explain their position? Our position is that profit earned should be based upon the risk and complexity of the materials and systems. Many of the materials procurements and non-labor subcontracts required on this contract are not commercial off the shelf (COTS) items that are easily delivered.

The materials and non-labor subcontracts required for this contract are complex and unique, and carry risk to successful execution to the packaging and manufacturing aspects of the SESPD II program. The fee on the material helps to justify the amount of cash the company needs to invest in order to maintain the engineering and manufacturing facilities to maintain the technical capably to work with the complex material required by NRL and the SESPD II Statement of Work.

For these reasons, would the Government consider allowing fee on materials?

The Government has reviewed the submitted rationale for the potential for fixed fee on material, as well as the current contracts negotiated fixed fee.

Regardless of the prior negotiated/awarded fixed fee for predecessor efforts, the Government has taken an independent review of any potential risks and management requirements involved with subcontractor material procurements under this exact future contract through the lens of a cost type contract type.

Under this contract type, due to the fact that all costs are paid by the Government in relation to contractors procurement of Material, the risk on behalf of the contractor is extremely low. Therefore, in accordance with FAR 15.404-4, the Government has updated the RFP to allow Offerors to propose fixed fee on material, within a range designated by the Government.

2 A3 Past Performance Questionnaire

The Past Performance Questionnaire is inserted in the Word file as an image. Will the Government provide an editable Past Performance Questionnaire form? The Past Performance Questionnaire has been updated via Amendment 0001.

3 L-2 94 RFP; L-2; Subfactor 3:

Management Capability; #9;

a; Page 94 of 119

The Subfactor 3, #9a, states the Staffing Plan for personnel should be within the Transition Plan. Will the government please confirm where the Staffing Plan should be located into the proposal?

The Government has updated Section L language to provide a clearer direction for the submission of these documents and added language regarding the Governments Staffing Plan requirements. The Staffing Plan and Transition Plan are separate documents to be submitted under Volume I - Technical Proposal. The Staffing plan is to be a separate document from the Transition Plan. Please see the table on page 88 for how these plans should be broken out under Volume I.

4 L-2 88 RFP; L-2; Proposal Content;

Will the government please extend the page limitation for the Volume I Technical Proposal from 30 pages to 50 pages in order to properly address all requirements within the SOW?

The Government has increased the page limit for the technical proposal only, from 30 pages to 50 pages. Section L has been updated accordingly.
