CLAUSES INCORPORATED BY FULL TEXT

HQ B-2-0004 EXPEDITING CONTRACT CLOSEOUT (NAVSEA) (DEC 1995)

(a) As part of the negotiated fixed price or total estimated amount of this contact, both the Government and the Contractor have agreed to waive any entitlement that otherwise might accrue to either party in any residual dollar amount of $500 or less at the time of final contract closeout. The term “residual dollar amount” shall include all money that would otherwise be owed to either party at the end of the contract, except that, amounts connected in any way with taxation, allegations of fraud and/or antitrust violations shall be excluded. For purposes of determining residual dollar amounts, offsets of money owed by one party against money that would otherwise be paid by that party may be considered to the extent permitted by law.

(b) This agreement to waive entitlement to residual dollar amounts has been considered by both parties. It is agreed that the administrative costs for either party associated with collecting such small dollar amounts could exceed the amount to be recovered.

HQ B-2-0007 LIMITATION OF COST/LIMITATION OF FUNDS (NAVSEA) (SEP 1990)

The clause entitled "LIMITATION OF COST" (FAR 52.232-20) or "LIMITATION OF FUNDS" (FAR 52.232-22), as appropriate, shall apply separately and independently to each separately identified estimated cost.

Applicable CLINs 0010 through 0059; CLINs 1000, 1001, 1002, 1003, 1004, 1010, 1020, 1030, 1040, 1050, 1060, 1070, 1080 and 1090

NOTE A - Offeror shall complete the "Price Group" and "Estimated Total Price" blocks of each data item on the Contract Data Requirements List(s), attached hereto. For instructions on pricing, see DFARS 215.470.

NOTE B - Option item to which the option clause in SECTION I-2 applies and which is to be supplied only if and to the extent said option is exercised.

NOTE C – Offeror shall ensure total ODC and Travel proposed are inclusive of any application of proposed indirect rates. Total cost including application of any indirect rates shall not exceed the cost specified in Section B.

NOTE D - The offeror is advised of the Governments intent to identify other future capability development efforts to negotiate post-award as completion efforts utilizing the process as defined in Section E, “H-30: Government Intent to Convert LOE.” The contract CLINs 1010 through 1090 are currently identified as LOE Placeholder CLINs that establish the rates for future capability improvements. The rates sheets are provided in Section J, Attachment

05. Rates provided in Section J, Attachments 05 are established by competitive pricing from the Contractor.

NOTE E – See SECTION B clause "PAYMENTS OF FEE(S) (LEVEL OF EFFORT-ALTERNATE I) (NAVSEA)" and SECTION H Clause “5252.216-9122 LEVEL OF EFFORT.”

NOTE F - Cost only line item to which fee shall not apply. The Contractor may invoice for allowable costs up to the Not-To-Exceed amount for each CLIN, subject to the Limitation of Costs/Limitation of Funds clauses.

HQ B-2-0014 PAYMENTS OF FEE (S) (COMPLETION) (NAVSEA) (MAY 1993)

(a) For purposes of this contract, "fee" means "target fee" in cost-plus-incentive-fee type contracts, "base fee" in cost-plus-award-fee type contracts, "fixed fee" in cost-plus-fixed-fee type contracts for completion and phase type contracts.

(b) The Government shall make payments to the Contractor, subject to and in accordance with the clause in this contract entitled "FIXED FEE" (FAR 52.216-8) or "INCENTIVE FEE", (FAR 52.216-10), as applicable. Such payments shall be equal to (To be completed at time of award by the Government) percent (To be completed at time of award by the Government %) of the allowable cost of each invoice submitted by and payable to the Contractor pursuant to the clause of this contract entitled "ALLOWABLE COST AND PAYMENT" (FAR 52.216- 7), subject to the withholding terms and conditions of the "FIXED FEE" or "INCENTIVE FEE" clause, as applicable (percentage of fee is based on fee dollars divided by estimated cost dollars, including facilities capital cost of money). Total fee(s) paid to the Contractor shall not exceed the fee amount(s) set forth in this contract.

(c) In the event of discontinuance of the work under this contract, or any specified phase of the contract, in accordance with the clause of this contract entitled "LIMITATION OF FUNDS" (FAR 52.232-22) or

"LIMITATION OF COST" (FAR 52.232-20), as applicable, the fee shall be equitably adjusted by mutual agreement to reflect the diminution of work. If the adjusted fee is less than the sum of all fee payments made to the Contractor under this contract, the Contractor shall repay the excess amount to the Government. If the adjusted fee exceeds all payments made to the Contractor under this contract, the Contractor shall be paid the additional amount, subject to the availability of funds. In no event shall the Government be required to pay the Contractor any amount in excess of the funds obligated under this contract at the time of the discontinuance of work.

(d) Fee(s) withheld pursuant to the terms and conditions of this contract shall not be paid until the contract has been modified to reduce the fee(s) in accordance with paragraph (c) above, or until the Procuring Contracting Officer has advised the paying office in writing that no fee adjustment is required.

Applicable CLINs 1000, 1001, 1002, 1003, and 1004

HQ B-2-0015 PAYMENT OF FEES(S) (LEVEL OF EFFORT – ALTERNATE I) (NAVSEA) (MAY 2010)

1.0 INTRODUCTION

The objective of this Statement of Work (SOW) is to evolve and maintain the Ship Self Defense System (SSDS) at the ship level for the Carriers (CVN class ships) and Large Deck Amphibious Ships (LHA, LPD, LHD, and LSD class ships), and future surface combatant ship classes, where the SSDS Combat System Engineering Agent (CSEA), here forth referred to as “the Contractor,” shall develop, integrate and maintain combat management system capabilities for all baselines applicable to those ship classes. The Contractor shall deliver the source code, objects, scripts, and executables required to build, install, load, operate, maintain and update the application, as well as provide integrated logistics support source material and applicable documentation for the capability.

The Contractor shall develop, integrate and test future Advanced Capability Builds (ACB) and Hardware Technology Insertions (HTIs), develop engineering products to support ship integration, support Developmental Test/Operational Test (DT/OT), develop training and logistics products, and provide field technical support for designated combat systems baselines. The systems engineering, development, and integration work under this contract shall begin with ACB 20 and HTI-16, and continue with future ACBs and HTIs through the period of performance of this contract. The Contractor shall be responsible for in-service software maintenance of the Builds 6, 9, 10 and 11 as directed via Task Instructions under CLINS 0010-0059.

An ACB defines the capabilities added to the Software resource library such that the Build(s) associated with the ACB are deliverable to all classes of ships in an integrated combat system package that satisfies its operational requirements in an effective, safe, and reliable manner. The delivered Builds (as part of the Software resource library) include software for ship-specific elements and other software and systems integral to the overall functions of SSDS.

An HTI is a replacement and/or upgrade of combat system computing hardware and associated middleware and firmware to take advantage of technology advances in hardware capability. The Surface Navy's future combat system acquisition strategy relies on a model that separates computing infrastructure from software application development. For the purposes of configuration information, an HTI is referenced to a specific model year (e.g., HTI-12 or HTI-16). The HTI process is used to modernize the computing infrastructure on surface combatants on a periodic basis. The Contractor’s role with respect to HTIs is to provide SSDS analysis support by providing hardware systems change recommendations to the Government.

The SSDS program uses terms with the following general definitions, such as: a) Build - Computer software program (e.g., application program, operating environment, source code) and all associated deliverables (e.g., site data, adaptation data interface message definitions, software version descriptions) to represent a complete functional SSDS software deliverable; and b) Release - The process of delivering either a full or incremental software build.

The release will contain the functionality to support planned use of the build.
