The following have been added by full text:
252.227-7015 TECHNICAL DATA--COMMERCIAL ITEMS. (JUN 2013)
(a) Definitions. As used in this clause--
(1) Commercial item does not include commercial computer software.
(2) Covered Government support contractor means a contractor under a contract, the primary purpose of which is to furnish independent and impartial advice or technical assistance directly to the Government in support of the
Government's management and oversight of a program or effort (rather than to directly furnish an end item or service to accomplish a program or effort), provided that the contractor--
(i) Is not affiliated with the prime contractor or a first-tier subcontractor on the program or effort, or with any direct competitor of such prime contractor or any such first-tier subcontractor in furnishing end items or services of the type developed or produced on the program or effort; and
(ii) Receives access to technical data or computer software for performance of a Government contract that contains the clause at 252.227-7025, Limitations on the Use or Disclosure of Government-Furnished Information Marked with Restrictive Legends.
(3) Form, fit, and function data means technical data that describes the required overall physical, functional, and performance characteristics (along with the qualification requirements, if applicable) of an item, component, or process to the extent necessary to permit identification of physically and functionally interchangeable items.
(4) The term item includes components or processes.
(5) Technical data means recorded information, regardless of the form or method of recording, of a scientific or technical nature (including computer software documentation). The term does not include computer software or data incidental to contract administration, such as financial and/or management information.
(b) License. (1) The Government shall have the unrestricted right to use, modify, reproduce, release, perform, display, or disclose technical data, and to permit others to do so, that--
(i) Have been provided to the Government or others without restrictions on use, modification, reproduction, release, or further disclosure other than a release or disclosure resulting from the sale, transfer, or other assignment of interest in the technical data to another party or the sale or transfer of some or all of a business entity or its assets to another party;
(ii) Are form, fit, and function data;
(iii) Are a correction or change to technical data furnished to the Contractor by the Government;
(iv) Are necessary for operation, maintenance, installation, or training (other than detailed manufacturing or process data); or
(v) Have been provided to the Government under a prior contract or licensing agreement through which the
Government has acquired the rights to use, modify, reproduce, release, perform, display, or disclose the data without restrictions.
(2) Except as provided in paragraph (b)(1) of this clause, the Government may use, modify, reproduce, release, perform, display, or disclose technical data within the Government only. The Government shall not--
(i) Use the technical data to manufacture additional quantities of the commercial items; or
(ii) Release, perform, display, disclose, or authorize use of the technical data outside the Government without the
Contractor's written permission unless a release, disclosure, or permitted use is necessary for emergency repair or overhaul of the commercial items furnished under this contract, or for performance of work by covered Government support contractors.
(3) The Contractor acknowledges that--
(i) Technical data covered by paragraph (b)(2) of this clause are authorized to be released or disclosed to covered
Government support contractors;
(ii) The Contractor will be notified of such release or disclosure;
(iii) The Contractor (or the party asserting restrictions as identified in a restrictive legend) may require each such covered Government support contractor to enter into a non-disclosure agreement directly with the Contractor (or the party asserting restrictions) regarding the covered Government support contractor's use of such data, or alternatively, that the Contractor (or party asserting restrictions) may waive in writing the requirement for an non-disclosure agreement; and
(iv) Any such non-disclosure agreement shall address the restrictions on the covered Government support contractor's use of the data as set forth in the clause at 252.227-7025, Limitations on the Use or Disclosure of Government-Furnished Information Marked with Restrictive Legends. The non-disclosure agreement shall not include any additional terms and conditions unless mutually agreed to by the parties to the non-disclosure agreement.
(c) Additional license rights. The Contractor, its subcontractors, and suppliers are not required to provide the Government additional rights to use, modify, reproduce, release, perform, display, or disclose technical data. However, if the
Government desires to obtain additional rights in technical data, the Contractor agrees to promptly enter into negotiations with the Contracting Officer to determine whether there are acceptable terms for transferring such rights. All technical data in which the Contractor has granted the Government additional rights shall be listed or described in a special license agreement made part of this contract. The license shall enumerate the additional rights granted the Government in such data.
(d) Release from liability. The Contractor agrees that the Government, and other persons to whom the Government may have released or disclosed technical data delivered or otherwise furnished under this contract, shall have no liability for any release or disclosure of technical data that are not marked to indicate that such data are licensed data subject to use, modification, reproduction, release, performance, display, or disclosure restrictions.
(e) Applicability to subcontractors or suppliers.
(1) The Contractor shall recognize and protect the rights afforded its subcontractors and suppliers under 10 U.S.C.
2320 and 10 U.S.C. 2321.
(2) Whenever any technical data related to commercial items developed in any part at private expense will be obtained from a subcontractor or supplier for delivery to the Government under this contract, the Contractor shall use this same clause in the subcontract or other contractual instrument, including subcontracts and other contractual instruments for commercial items, and require its subcontractorsor suppliers to do so, without alteration, except to identify the parties. This clause will govern the technical data pertaining to any portion of a commercial item that was developed exclusively at private expense, and the clause at 252.227-7013 will govern the technical data pertaining to any portion of a commercial item that was developed in any part at Government expense.
(End of clause)
Questions and Answers for Modular Stock dated 25 July 2013:
1. PD 3.1.8.4: What size ring was used to measure the centerline?
Answer:
The M40 Series Sniper Rifle currently uses 1” scope rings. The Modular Stock shall be able to integrate with either 1” OR 1.5” rings (but not both). Using either set of rings, the Modular Stock should possess a cheek piece that allows for adjustment between 2.5” below and 1” below optical centerline.
2. 252.246-7005, 252.256-7006 (pg. 80-81): To which items does this warranty apply?
The warranty shall apply to the Modular Stock and all auxiliary items on contract (e.g.
magazines, magazine pouches)
3. SOW 3.4.3.: Please confirm that the Technical Data Package is optional and not required?
The full Technical Data Package option has been deleted. SOW paragraphs 3.4.1, 4.5, and 4.6 require the delivery of technical data in accordance with DFARS 227.7102-1 in order to catalog and sustain the Modular Stock. The full Technical Data Package option has also been deleted from section L-3.0 and it’s corresponding evaluation under section M.4.1.
4. PD 3.1.2.3: A barreled action to us means a standalone “barrel fixed to a permanent action” as is the practice of the current M40, NOT a master receiver concept like the PSR where the barrel and bolt face are interchangeable. Is this a correct statement?
Yes. The barreled action for the M40 will be a barrel fixed to a permanent action. This is not a master receiver concept where the barrel and bolt face are interchangeable.
5. If the above statement is correct, would our offer be an acceptable offering for the solicitation?
Offerors should use their best judgment in selecting the configuration to offer in accordance with the Purchase Description.
6. Past Performance: Would performance assessments from other primes be acceptable or how can we document past performance?
Prime vendors can provide feedback on your performance for evaluation.
7. The referenced RFP is a solicitation for a commercial item. This commercial item RFP is evidenced by (a) SF1449 cover sheet (“Solicitation for Commercial Items”), (b) FAR Part 12 clauses 52.212-3, 52.212-4, and 52.212-5 included at pages 35-63, and (c) DFARS 252.212-
7000, 252.212-7001, and 252.227-7015 included at pages 71-77. However, the SOW reads as a
SOW for a non-commercial item. For example, the SOW includes mandatory military specifications (Section 2.1) and non-commercial configuration management requirements
(Section 3.4). Will the Government amend the RFP SOW to remove non-commercial requirements (because the solicited item is a commercial item?
Section 2.1 has been amended to specify that the listed standards are guidance and not mandatory.
8. The intent of section 3.4 is to control the configuration of items sold to the Marine Corps under contract M67854-13-R-1024.
There is no intent to control the configuration of similar items sold to other Government agencies or commercial entities. The contractor may assign a Marine Corps-unique part number to its submitted Modular Stock, so that configuration management of the Marine Corps stock does not impede the contractor’s ability to make changes to other stock variants that it sells to the commercial marketplace.
These requirements are intended to ensure that the stocks purchased by the Government for
Marine Corps use will have a consistent form, fit, and function across systems, and that Marine units will be able to order the correct parts throughout the system’s life cycle. The associated configuration management data is required for the Government to update Technical Manuals, assign National Stock Numbers to component parts, and thus be able to order these parts for maintenance and repair in the future. Paragraph 3.4 has been amended to clarify certain terms and expectations for the data. An example of the extent of data/drawings needed is provided as
Attachment (10).
Also, see answer 3 above.
9. We are unclear about the Government’s requirement for Government Purpose Rights (SOW
Section 3.4.3). This term stems from DFARS 252.227-7013, which covers non-commercial items. However, this RFP does not include DFARS 252.227-7013; it includes DFARS 252.227-
7015 (the commercial item data rights clause, which does not even contain the term
“Government Purpose Rights”). Will the Government amend the RFP to identify technical data rights sought by the Government in accordance with the applicable RFP clause DFARS 252.227-
7015?
The term Government Purpose Rights has been deleted from SOW Section 3.4.3.
10. The RFP does not include a requirement for a proposed license for technical data. It has been our experience that in an RFP in which the Government has sought technical data rights in items developed exclusively at private expense, the Government has (a) included a Contract Line Item for such rights, (b) requested a proposal of a Specially Negotiated Rights License from offerors, and (c) requested and evaluated the proposed license in accordance with Section L and Section
M of the RFP. Will the Government amend the RFP to negotiate desired technical data rights, as required by the DFARS and US Code?
See answer 3 above.
11. Will the Government amend the RFP to identify its expectations for technical data rights with respect to non-offeror (i.e. vendor and supplier) parts and components?
12. What is the Government’s position with respect to a TDP warranty, if any?
13. Is there a minimum order quantity and a maximum order quantity for the five (5) years of the contract?
Yes. Please see FAR Clause 52.216-19 Order Limitations
14. Is there a minimum order quantity and a maximum order quantity for each year of the five
(5) year contract?
No. Please see FAR Clause 52.216-19 Order Limitations. Also, once the minimum order is place, the Government estimates ordering around quantity 504 Modular Stocks the first year and
224 Modular Stocks per year thereafter but this depends on funding limitations.
If an offeror proposes on CLINs 0004/0005 and the Government decides to purchase CLINs
0004/0005, the maximum quantity for each CLIN will be 4,416.
15. On USMC drawing number 99004A1122 (page 1), is there a slot type aperture on the left side near the rear of the bolt action receiver? Can the government identify this bolt action receiver feature, its function, any associated parts, and provide a left side view drawing?
The current system does not utilize a slot type aperture on the receiver, so there are no associated parts.
16. Will the M40 Sniper Rifle (with suppressor) be capable of shooting five 10-round shot groups with an average mean radius no greater than 1.8” at 300 meters prior to being installed in the candidate M40 Modular Stock?
Yes. All actions with suppressors will be qualified and verified to ensure that they meet this precision requirement prior to assembly with candidate Modular Stocks.
17. Due to the volatility of the raw materials market, and its effect on effect on costs, does the government plan to award a contract for this solicitation in 15 months?
The government intends to award a contract for this effort no later than 15 months after the closing date of the solicitation.
18. How does the contractor represent optional modular stock accessories to the government?
Other than the magazines and magazine pouches specified in the solicitation, the contractor may offer additional, optional modular stock accessories at no additional cost to the Government.
Optional modular stock accessories may be listed and described in the offerors’ paper proposals
Spare Parts List Attachment (6).
19. Upon review of the attachments, we noticed that there is not an “Attachment 3”. However the
“Safety Assessment Report Modular Stock”, is identified as “Attachment 6”, will the attachment number be corrected?
Safety Assessment Report Modular Stock is Attachment 3 to the solicitation. The Attachment 6 header is carried forward from previous acquisition documentation. Please disregard header. It will be corrected at contract award.
20. Would the government please provide clarification of the actual delivery quantities / schedules and duration for the information listed in 4.1 and M.4.1. paragraph 2?
To clarify the table, a quantity of 50 modular stocks in the first 90 days with 50 per month thereafter is the minimum acceptable schedule. The government would prefer to receive 100 in the first 90 days and at least 50 per month thereafter. Early delivery will be accepted. The chart shall be interpreted in the same manner for each component listed.
21. Can the government define the quantity of M40 Modular Stocks will be purchased in the period of 2 years, in order for the contractor to provide the appropriate quantities?
For CLIN 0001 see answer 13. Also, budget limitations may require that we adjust these amounts.
For CLIN 0002, the quantity of parts to be purchased for this requirement will be for the Initial
Issue Provisioning package and is planned to be purchased on the same order as the associated
Modular Stocks. The exact quantity will be known once the Government determines usage rates for the various components and receives the funding limitations for this program. As an example, the Government may purchase parts in an amount between 10-15% of the current inventory of M40 Sniper Rifles, which is approximately 1,100 systems. Based on this formula, when purchasing cheek pieces as a component part, the Government may purchase between 110 and 165 cheek pieces for the initial parts block. Quantities will also be affected by vendor recommendations in their proposal.
22. Can the government please confirm that “the parts block shall serve as the minimum order quantity for CLIN 0003” is calling out the correct CLIN?
The correct reference is CLIN 0002.
23. Can the government please confirm that “magazines and pouches (CLINs0005/0006)” are the correct CLINs?
The correct references are CLINs 0004 and 0005.
24. Upon review of the CDRLs A0004, A0005, A0006, and A0007 we noticed that in section
“A. Contract Line Item No.” they are blank. Will the government identify the CLINs that these
CDRLs should reference as was done with A0001-A0003?
The corrected CDRLs are provided.
25. Solicitation pg. 35 (52.212-3) and page 38 (52.122-2, para (1) and (2)): Has the government updated this FAR provision to reflect that all records from ORCA are now located in the System for Award Management (SAM)?
Until the FAR is updated, we must utilize the existing clauses. Please substitute SAM for references to the CCR and ORCA whenever they appear in the solicitation.
26. Solicitation pg. 49 (52.212-4) and pg. 53 (52.212-4): This FAR provision starts on both pg.
49 and pg. 53 and appears to be exactly the same. Is the second one that starts on pg. 53 a duplicate? Is this the most recent version of this clause?
Duplicate clause on pg. 53 shall be deleted from the solicitation.
27. Solicitation pg. 71 (252.212-7000): Upon review of this provision at the source, the information shown is different. Is the information for provision 252.212-7000 correct?
Provision 252.212-7000 is hereby deleted as obsolete.
28. Solicitation pg. 72 (252.212-7001): Upon review of this provision at the source, the information shown is different. Is the information for provision 252.212-7001 correct?
Provision 252.212-7001 is hereby deleted as obsolete.
29. Solicitation pg. 75 (252.227-7015): Is this the most recent version of this clause?
DFARS 252.227-7015 is updated to the JUN 2013 version.
30. Solicitation pg. 79 (252.227-7026): Is this the most recent version of this clause?
Yes.
The following have been modified:
L-1.0 Instructions, Conditions, and Notices
L-1.1 Introduction
a. The award will be made to the Offeror whose proposal represents the best value to the
Government, with appropriate consideration given to each of the three evaluation factors:
technical capability, past performance, and price. In making its determination, the Government will consider technical capability significantly more important than price. Past performance is more important than price but less important than technical capability. The importance of price as a factor in the final determination will increase with the degree of equality in the overall technical merit of the proposals.
b. A concise and comprehensive proposal is required. Organization, clarity, accuracy of information, relevance, and completeness are of prime importance. The proposal shall be complete and clear in all respects without the need for additional explanation or information.
The proposal shall be in sufficient detail and scope to permit the Government to evaluate it with respect to the evaluation factors specified in Section M of the solicitation.
c. Unnecessarily elaborate proposals beyond that sufficient to present a complete and effective proposal are not desired. Offerors shall confine their submission to essential matters, sufficient to define their offer, and provide an adequate basis for evaluation. Likewise, Offerors are cautioned against general, vague, or unsubstantiated statements, which prevent or render difficult the Government’s evaluation of the proposal. Statements such as "will comply," or "noted and understood" without supporting narrative to define compliance are not acceptable. Moreover, the Government will not assume that an Offeror possesses any capability, understanding, and/or commitment that is not specifically delineated and supported in its respective proposal.
d. The Offeror shall not include classified material in any proposal section.
e. All cost/price information shall be in U.S. dollars.
Period for Acceptance of Offers. The offeror agrees to hold the prices in its offer firm for 15 months from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation. Proposals submitted for consideration for award must address the full scope of the solicitation. Proposals which address only part of the solicitation or are not accompanied by four (4) bid samples will be considered unacceptable.
A ceiling on the number of pages in the proposal has been imposed, as indicated in the sections below. In the event that the offeror exceeds the maximum page limitations provided below, the
Government shall only evaluate the pages that comply with maximum number prescribed (starting with page one and continuing until the maximum number is reached) for the respective volume.
All pages, or any other material, in excess of the maximum number of pages stated shall not be evaluated.
As prescribed by FAR 52.215-1, the Government may award on the basis of initial offers received without discussion. Therefore, each initial offer shall contain the Offeror’s best terms from a business and technical standpoint.
Offeror’s are to provide four (4) Modular Stock bid samples for verification testing. All four bid samples shall be of the same configuration. The Offeror’s Modular Stock bid samples shall not require the use of bedding compound to install the M40 barreled action. Offerors’ bid samples that fail to meet this threshold requirement will not be assembled and, therefore, will not undergo
Government verification testing.
Offerors that intend to submit a 10-round magazine for consideration shall also provide five (5)
10-round magazines and five (5) magazine pouches with each of their bid samples.
Offerors shall not submit more than one (1) offer in response to this solicitation. The Government will test and evaluate only one (1) configuration of a Modular Stock per Offeror for the purpose of this effort. If an Offeror submits more than one (1) offer or more than one (1) configuration, the Government will randomly select one of the configurations for evaluation.
Offerors shall provide detailed assembly and repair instructions with the bid samples. The instructions shall include any critical metrics (e.g. torque values) and procedures related to the disassembly/assembly and maintenance of the Modular Stock. Instructions shall be printed in the
Offeror’s format and shall be included in either PDF or Microsoft Word format in the Offeror’s paper submission.
In addition, offerors are to provide sufficient spare/repair parts and any tools not in the Small
Arms Tool Kit required to maintain the Modular Stock during verification testing. All these items must be received no later than the date/time specified on page 1 (block 8) of the solicitation (NOTE: Quantico, VA will be on Eastern Standard Time during the closing date of this RFP). For planning purposes, offerors should provide enough spare/repair parts and special tools to support verification testing. If, during testing, the Government finds that the parts provided are insufficient to complete testing, the Government may contact the Offeror to request additional components. If notified of a part(s) insufficiency, the Offeror will provide the required part(s) within 1 business day. If the Offeror does not provide the required part, the bid sample will not undergo further testing, and will therefore be excluded from a potential award.
The Government reserves the right to award the contract(s) without holding discussions. If discussions are deemed necessary, the Government will evaluate proposals and make award after conducting discussions with offerors whose proposals have been determined to be within the competitive range. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals (FAR 52.215-1).
With regards to this particular solicitation, due to pre-award testing budget constraints, the
Government shall accept no more than three (3) offerors into the competitive range. Therefore, an offeror's initial proposal should contain the offeror's best terms from a price and technical standpoint. An offeror’s proposal is presumed to represent his best efforts to respond to the solicitation. The Government reserves the right to reject any and all proposals, and to award to other than the lowest priced offerors. The Government also reserves the right to change any of the terms and conditions of this solicitation by amendment at any time prior to contract award and to allow offerors to revise their offers accordingly, as authorized by FAR 15.206.
Proposals and bid samples, spare parts, and tools shall be shipped using best commercial practices to facilitate immediate use/testing by the Government. Mailed bid sample packages shall be clearly marked with Offeror name, Offeror CAGE and DUNS, and Solicitation Number.
Bid samples, spare parts, and tools shall be delivered to the following location:

SECTION M.1.0 - SECTION M EVALUATION FACTORS AND PROPOSAL
RATINGS
SECTION M - EVALUATION FACTORS FOR AWARD
Evaluation Criteria
The award will be made to the Offeror whose proposal presents the best value to the
Government, with appropriate consideration given to each of the three evaluation factors:
technical capability, past performance, and price. In making its determination, the Government will consider technical capability significantly more important than past performance and price factors. Past performance is considered more important than price. The importance of price as a factor in the final determination will increase with the degree of equality in the overall technical merit of the proposals. Sub-factors are listed in order of descending importance. The evaluation factors and sub-factors that apply to the Modular Stock source selection are listed below:
Factor 1 – Technical Capability
a. Technical Performance/ Proposed and Verified Technical
Performance of Bid Samples
b. Delivery Schedule
c. Sustainability
Factor 2 – Past Performance
Factor 3 – Price
M-1.2 The Government will evaluate each offeror’s proposal received before the date/time specified on page 1 (block 8) of the solicitation. The source selection process will determine the overall merits of each proposal in terms of its potential to best satisfy the needs of the Government.
If applicable, a competitive range determination will be made after the Phase I Test Report and initial evaluation of all proposals. FAR Part 15.306(c)(2), provides a determination of competition efficiency, to wit: “After evaluating all proposals in accordance with 15.305(a), the
SSA may determine that the number of most highly rated proposals that might otherwise be included in the competitive range exceeds the number at which an efficient competition can be conducted, provided the solicitation notifies Offerors that the competitive range can be limited for purposes of efficiency (see 52.215-1(f)(4)), the contracting officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals (10 U.S.C 2305(b)(4) and 41 U.S.C.
253b(d).”
In the case of the M40 Modular Stock, due to funding contrains, the competitive range shall be limited to no more than three offerors for purposes of efficiency as cited in the aforementioned
FAR regulation.
Upon establishing a competitive range, the Government will notify all Offerors excluded from the competitive range, and discussions will be held with those Offerors in the competitive range, if necessary. Offerors eliminated from the competitive range will be promptly notified in writing in accordance with FAR Part 15.503. Debriefings for offerors eliminated from the competitive range will be conducted in accordance with the provisions of FAR Part 15.505, Pre-award Debriefing of Offerors.
For the Offeror’s in the competitive range, the Government will proceed with Phase II and Phase III testing of their bid samples, which includes Limited User Evaluation (LUE), reliability testing, and environmental testing. The evaluation of this data, as well as responses to discussions and additional evaluations on delivery schedule, sustainability, past performance, and price, if necessary, will determine the best value for award.
