This is a combined synopsis/solicitation for commercial services prepared in accordance with the format in FAR Subpart 12.6, as supplemented with additional information included in this notice. This is a Request for Quote (RFQ) for Marine Corps University. The Contract includes FAR clause 52.217-7 Option for Increased Quantity-Separately Priced Line Item.
The Government intends to award a single contract as a result of this solicitation. This acquisition will be conducted in accordance with the format set forth under Federal Acquisition Regulation (FAR) part 12 and Part 13.5, as supplemented with additional information included in this notice. This acquisition is 100% women owned small business set-aside under NAICS code 611430 Professional and Management Development Training with a size standard of $15.0 million. This solicitation is issued under Request for Quote number M00264-25-Q-0073. PERFORMANCE WORK STATEMENT (PWS)
360-DEGREE LEADERSHIP REVIEWS
1. General. This is a non-personal services contract to provide 360-degree leadership reviews for the USMC. The Government shall not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the Contractor who, in turn is responsible to the Government.
1.1. Introduction. The contractor shall provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and non-personal services necessary to perform 360-degree leadership reviews as defined in this Performance Work Statement. The contractor shall perform to the standards in this contract.
1.2. Background. 360-degree feedback, also known as multi-rater feedback, multi-source feedback, 360-degree review, or multi-source assessments, is a process through which feedback from an individual’s subordinates, colleagues, and supervisors, as well as a self-evaluation by the individual themselves is gathered. Such reviews can also include, when relevant, feedback from external sources who interact with the individual, such as customers and suppliers or other interested stakeholders. 360-degree feedback is so named because it solicits feedback regarding an individual’s behavior from a variety of points of view (subordinate, lateral, and supervisory). These points of views are collectively categorized as raters, feedback providers, or reviewers. 360-degree feedback may be contrasted with “downward feedback” (traditional feedback on work behavior and performance delivered to an individual by their supervisor, or “upward feedback” delivered to a supervisor by subordinates only.
The Marine Corps doctrine currently emphasizes self-awareness and understanding of an individual leader’s strengths and weakness. Marines receive training on professionalism, morality and ethics, self-awareness and unconscious bias. However, these do not provide Marines feedback from subordinates, peers and superiors on how their leadership is perceived. A 360-degree leadership review is recognized as effective method at developing better leaders.
The Marine Corps will implement 360-degree leadership reviews via a trusted third-party who will coordinate review execution and data analysis. Data will reside with the third-party and access to the data will remain available to the Government.
1.3. Objectives. The purpose of implementing a 360-degree leadership review program is to provide personnel with empirical feedback to improve leadership effectiveness while informing the institution on trends in leadership qualities and traits.
The objectives are as follows:
• Provide a research-based forum to individuals and their feedback providers that focuses on both industry and Marine Corps leadership qualities and traits.
• Produce individual output from the research-based forum that identifies the individual’s leadership strengths and weaknesses. The output must also be able to identify an individual’s hidden strengths and weaknesses.
• Provide Marine Cops personnel access to training to assist the Marines in understanding the output, identifying available resources for improvement, and developing an action plan that capsulizes on the individual’s strengths and improves the individual’s weaknesses.
2. Scope
2.1. The scope of this requirement is to tailor and deliver a 360-leadership review to Marine Corps specific leadership qualities and traits to assess the targeted audience, assess results, provide results of evaluation and deliver training to improve leadership traits based on review outcomes.
3. Tasks and Deliverables:
3.1 Task 1- Review Scope Planning Services
The contractor shall:
3.1.1. Coordinate with the Marine Corps to tailor a Marine Corps specific 360-degree leadership review scope. The review scope shall be research-based analysis to Marine Corps specific leadership qualities and traits.
3.1.2. The contractor shall possess a software capability tool to collect data and produce the required reports intended in this requirement. The tool shall be suitable to deploy the 360-degree leadership review and must:
• Be suitable for questionnaire criteria adjustments per 360-degree leadership review scope
• Be web based
• Be accessible on government-owned networks, private networks, and mobile devices
• Include a user interface that is intuitive, easy to navigate, and professional
• Be a “one-stop” site/portal for all individuals involved either as an administrator or individuals completing the reviews
• No Personnel Identifiable Information shall be included in the tool
• Be easily accessible by individuals, feedback providers, and administrators
3.1.3 Provide a “dry run” of the online review tool to the Government for final approval.
3.1.4. Obtain Government concurrence for online tool.
3.1.6 Develop and deliver a review execution schedule based on the targeted audience identified by the Command. Review execution schedule shall be delivered 15 calendar days upon concurrency of online tool.
3.1.7 Develop and deliver a quality control program within 30-days after the contract award.
3.2 Task 2- Review Data Collection, Analysis, Reporting, and Leadership Training
The Contractor shall:
3.2.1. Deploy the 360-degree leadership review to the targeted audience. Provide a notification methodology/mechanism that efficiently and effectively informs individuals that they were identified to participate in a 360-leadership review either as the individual being reviewed or as a feedback provider.
3.2.2. Tool for creating deliverable: Contractor will initiate contact with the individuals and provide online data entry for all participants in the 360-degree leadership review process. The contractor shall consolidate data and provide electronic copies to participants in the 360-degree leadership review process, consolidate collected data and provide deliver electronic copies of the consolidated data to the Contracting Officer Representative (COR).
3.2.3. Conduct data collection of review results
3.2.4. Analyze collected data based on:
• The individual’s self-review of their leadership qualities and traits.
• The feedback providers’ (subordinates, peers, and seniors) review of the individual’s leadership qualities and traits. The government is expecting to adhere to industry standards – between 5-10 respondents. 1-2 seniors, 2-3 peers, 3-5 subordinates.
• Assess results and provide recommendation to the participant that assists them in understanding the reports, identifying available resources for improvement, and develop an action plan that capitalizes the individual’s strengths and improves their weaknesses.
3.2.5. Deliver a review assessment report and provide a briefing to the Government. The assessment review report shall include the following criteria:
• The aggregation and analysis of the information shall be incorporated into a printable report using Microsoft applications or PDF.
• Deliver a copy of the individual reports to the COR.
• Data: Delivered in electronic format that can be formatted for hard copy printing.
• End/result/deliverable: Individual 360-degree leadership review reports delivered electronic copies to the Marine.
• Acceptance criteria: Receipt of reports and line item reporting depicting what has been issued against the contract and what is available to the Technical Point of Contact in the following format:
o Number of the 360-degree leadership reviews administered.
3.2.6. The report and briefing shall be provided to the Government within 30 days from review completion
3.2.7 Leadership Training and Feedback
The Contractor shall:
• Design a training package to enable the Marine Corps to organically coach individuals in how to interpret and utilize their 360-degree leadership reviews. This is a train the trainer model. Draft training package shall be delivered to the Government within 30 days from review assessment report completion.
• Complete all deliverables within 30 days from Government concurrency of training package.
• Deliver training per session for Government personnel.
• The contractor shall coordinate with the Government for scheduling of the training sessions.
4. General Information.
4.1. Hours of Operation. The contractor is responsible for conducting business, between the hours of 0730 and 1730, Monday through Friday except Federal holidays or when the Government facility is closed due to local or national emergencies, administrative closings, or similar Government directed facility closings. The Contractor must at all times maintain an adequate workforce for the uninterrupted performance of all tasks defined within this PWS when the Government facility is not closed for the above reasons. When hiring personnel, the Contractor shall keep in mind that the stability and continuity of the workforce are essential.
4.2. Place of Performance. The work to be performed under this contract will be performed virtually from the location(s) of the contracted company.
4.3. Security Requirements. Contractor personnel performing work under this contract are not required to have a security clearance.
4.3.1. Physical Security. The contractor shall be responsible for safeguarding all government equipment, information and property provided for contractor use.
5. Personnel.
5.1. Individuals that are designated to conduct the training must be certified in the company’s assessment criteria and methodology. Certification must be provided to the government for review and concurrence.
Any proof of advanced mastery of the subject matter surrounding human behavior, counseling, and/or psychology broadly would be acceptable. This proof can be certifications from accredited learning institutions, board certifications, or collegiate degrees.
5.2. Contract Manager and Alternate Contract Manager. The contractor shall provide a contract manager who shall be responsible for the performance of the work. The name of this person and an alternate who shall act for the contractor when the manager is absent shall be designated in writing to the contracting officer. The contract manager or alternate shall have full authority to act for the contractor on all contract matters relating to daily operation of this contract. The contract manager or alternate shall be available between 8:00 a.m. to 4:30 p.m., Monday thru Friday except Federal holidays. The contract manager and alternate contract manager must have a high degree of expertise with the company’s 360-degree leadership review system(s).
5.3. Identification of Contractor Employees. All contract personnel attending meetings, answering Government telephones, and working in other situations where their contractor status is not obvious to third parties are required to identify themselves as such to avoid creating an impression in the minds of members of the public that they are Government officials.
6. Quality.
6.1. Quality Control. The contractor shall develop and maintain an effective quality control program to ensure services are performed in accordance with this PWS. The contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. The contractor’s quality control program is the means by which they assure themselves that their work complies with the requirement of the contract. A quality control program must be delivered within 30-days after the contract award. After acceptance of the quality control plan the contractor shall receive the contracting officer’s acceptance in writing of any proposed change to his quality control system.
6.2. Quality Assurance. The government shall evaluate the contractor’s performance under this contract in accordance with the Quality Assurance Surveillance Plan. This plan is primarily focused on what the Government must do to ensure that the contractor has performed in accordance with the performance standards. It defines how the performance standards will be applied, the frequency of surveillance, and the minimum acceptable defect rate(s).
7. Post Award Conference/Periodic Progress Meetings. The Contractor agrees to attend any post award conference convened by the contracting activity or contract administration office in accordance with Federal Acquisition Regulation Subpart 42.5. The contracting officer, COR, and other Government personnel, as appropriate, may meet periodically with the contractor to review the contractor's performance. At these meetings the contracting officer will apprise the contractor of how the government views the contractor's performance and the contractor will apprise the Government of problems, if any, being experienced. Contractor shall take appropriate action to resolve outstanding issues that are presented at the progress meetings prior to the next training session being conducted These meetings shall be at no additional cost to the government.
8. Data Rights. The Government has unlimited rights to all documents/materials produced under this contract. All reports, information, briefing material, training materials, training documentation, and lessons plans produced under this contract shall be Government owned and are the property of the Government with all rights and privileges of ownership/ and copyright belonging exclusively to the Government. These documents and materials may not be used or sold by the contractor without written permission from the Contracting Officer. All materials supplied reports, information, briefing material, training materials, training documentation, and lessons plans delivered to the Government shall be the sole property of the Government and may not be used by the Contractor for any other purpose. This right does not abrogate any other Government rights.
This project and all materials provided to the Contractor by the Government and results, conclusions and recommendations obtained thereof should be considered confidential in nature and treated with the same level of care that the Contractor treats its own confidential business information. The information shall not be disclosed, copied, modified, used (except in the completion of this project) or otherwise disseminated to any other person entity at any time to include, but not limited to inclusion in any database external to the Government without the express consent of the Contracting Officer.
The Marine Corps shall have and retain ownership of all reports, materials, and information prepared by Contractor for the Marine Corps. Such reports, materials, and information originate from and through the application by Contractor of those proprietary, copyright, and trade secret materials owned by Contractor and/or licensors, hereby designated as “original works,” to information and data provided by the Marine Corps. Such “original works” are and will at times remain the property of the Contractor and/or licensors.
In the event Contractor shall, from time to time, modify or expand such “original works” to apply to the information and data provided it by the Marine Corps, such modification and/or expansion shall constitute as an enhancement or derivative of such “original works” and shall at all times hereunder remain the intellectual property of Contractor. To the extent any “original works” have been modified for the Marine Corps, Contractor shall hold in confidence all such derivative works and will not disclose them to any third party.
All material and information supplied by the Marine Corps to Contractor, and/or generated by the Contractor, in regard to performance of this contract shall remain solely the Marine Corps’ property, and Contractor shall have no rights to such material or information whatsoever. The Marine Corps acknowledges that the raw data, test results, and materials that may be gathered by contractor through an assessment or Multi-Rater Feedback process, and upon which Contractor’s reports are based, may be restricted to Contractor under agreement between Contractor and individual participants/respondents, or under state psychology laws and per the American Psychological Association Guidelines and shall not be disclosed to the Marine Corps. Contractor agrees to hold in confidence any data, test results and information so gathered.
9. Organizational Conflict of Interest. Contractor and subcontractor personnel performing work under this contract may receive, have access to or participate in the development of proprietary or source selection information (e.g., cost or pricing information, budget information or analyses, specifications or work statements, etc.) or perform evaluation services which may create a current or subsequent Organizational Conflict of Interests (OCI) as defined in FAR Subpart 9.5. The Contractor shall notify the Contracting Officer immediately whenever it becomes aware that such access or participation may result in any actual or potential OCI and shall promptly submit a plan to the Contracting Officer to avoid or mitigate any such OCI. The Contractor’s mitigation plan will be determined to be acceptable solely at the discretion of the Contracting Officer and in the event the Contracting Officer unilaterally determines that any such OCI cannot be satisfactorily avoided or mitigated, the Contracting Officer may affect other remedies as he or she deems necessary, including prohibiting the Contractor from participation in subsequent contracted requirements which may be affected by the OCI.
10. Performance Requirements Summary (PRS). Surveillance of Contractor performance is the method used by the Government to determine whether the Contractor is effectively and efficiently complying with all terms and conditions of the contract. The functional expertise of the Contracting Officer’s Representative (COR) plays a critical role in adequately evaluating contractor performance. The below listed methods of surveillance shall be used in the administration of the Quality Assurance Surveillance Plan (QASP) and the standards are delineated by the PWS in the PRS set forth below:

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.
(a) Definitions. As used in this provision --
"Covered telecommunications equipment or services" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
"Economically disadvantaged women-owned small business (EDWOSB) concern" means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
"Forced or indentured child labor" means all work or service-
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
"Highest-level owner" means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
"Immediate owner" means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
"Inverted domestic corporation" means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
"Manufactured end product" means any end product in product and service codes (PSCs) 1000-9999, except--
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;

"Place of manufacture" means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
"Predecessor" means an entity that is replaced by a successor and includes any predecessors of the predecessor.
"Reasonable inquiry" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
"Restricted business operations" means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.
"Sensitive technology"--
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
"Service-disabled veteran-owned small business (SDVOSB) concern" means a small business concern—
(1)(i) Not less than 51 percent of which is owned and controlled by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran; or
(2) A small business concern eligible under the SDVOSB Program in accordance with 13 CFR part 128 (see subpart 19.14).
(3) Service-disabled veteran, as used in this definition, means a veteran as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16), and who is registered in the Beneficiary Identification and Records Locator Subsystem, or successor system that is maintained by the Department of Veterans Affairs' Veterans Benefits Administration, as a service-disabled veteran.
"Service-disabled veteran-owned small business (SDVOSB) concern eligible under the SDVOSB Program" means an SDVOSB concern that--
(1) Effective January 1, 2024, is designated in the System for Award Management (SAM) as certified by the Small Business Administration (SBA) in accordance with 13 CFR 128.300; or
(2) Has represented that it is an SDVOSB concern in SAM and submitted a complete application for certification to SBA on or before December 31, 2023.
"Service-disabled veteran-owned small business (SDVOSB) Program" means a program that authorizes contracting officers to limit competition, including award on a sole-source basis, to SDVOSB concerns eligible under the SDVOSB Program.
"Small business concern"--
(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and size standards in this solicitation.
(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.
"Small disadvantaged business concern, consistent with 13 CFR 124.1001", means a small business concern under the size standard applicable to the acquisition, that--
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--
(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and
(ii) Each individual claiming economic disadvantage has a net worth not exceeding the threshold at 13 CFR 124.104(c)(2) after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and
(2) The management and daily business operations of which are controlled (as defined at 13 CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.
"Subsidiary" means an entity in which more than 50 percent of the entity is owned--
(1) Directly by a parent corporation; or
(2) Through another subsidiary of a parent corporation.
"Successor" means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term "successor" does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.
"Veteran-owned small business concern" means a small business concern--
(1) Not less than 51 percent of which is owned and controlled by one or more veterans (as defined at 38 U.S.C.
101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and
(2) The management and daily business operations of which are controlled by one or more veterans.
"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.
"Women-owned small business concern" means a small business concern--
(1) That is at least 51 percent owned by one or more women; or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and
(2) Whose management and daily business operations are controlled by one or more women.
"Women-owned small business (WOSB) concern eligible under the WOSB Program" (in accordance with 13 CFR part 127), means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300.
