About this file
This is a template for a Letter of Commitment for Key Subcontractors to be submitted to the Department of Veterans Affairs, NCO 23 Contracting Office in St. Paul, Minnesota. The letter documents a prime contractor's commitment to employ a named subcontractor to perform specified services under a federal solicitation. The prime contractor retains the right to be credited with the subcontractor's experience, expertise, and past performance as relevant to the stated work scope. The template allows the prime contractor to describe the specific services the subcontractor will perform, such as electrical, mechanical, or civil work.
The letter establishes that subcontractor substitution is prohibited without prior written approval from the contracting officer, whose decision rests entirely within their sole discretion based on factors including whether the proposed substitute is equally qualified and whether the substitution serves the best interests of project execution. The contracting officer may impose conditions on any approved substitution. The commitment becomes null and void if the prime contractor is not awarded the contract. Both the prime contractor and subcontractor must sign the letter, along with their respective titles, prior to submission.
