About this file

This is an Indemnification Agreement document for a consultant providing services to the City of Lakeland and the State of Florida Department of Transportation (FDOT). The agreement establishes the consultant's obligation to indemnify and hold harmless the City of Lakeland and the State of Florida, including their respective officers, agents, and employees, from all liabilities, damages, losses, and costs arising from the consultant's negligent or wrongful acts in connection with contracted services. The indemnification obligation applies to the consultant and all persons employed or utilized by the consultant in performance of the contract and survives termination of the agreement. The document includes provisions for applicability to either all contracts and purchase orders within a specified five-year period or to a specific purchase order or contract, and requires consultants and subcontractors to obtain insurance carrier waivers of subrogation rights against the City, except for professional liability claims involving gross negligence by the City. Acceptance of final payment by the consultant constitutes a full release of the City and its officers and agents from all claims and liability related to the work performed.

The indemnification agreement includes a savings clause providing that if any written terms conflict with Florida Statutes, particularly Sections 725.06 and 725.08, the terms shall be modified to comply with applicable state law to the maximum extent permitted. The document requires notarization and signature by a representative of the consultant organization, with specific acknowledgment requirements before a notary public. This indemnification framework applies to the City of Lakeland's Annual Fireworks Display Services contract, which has a total budget of $24,000 for two events: a three-minute Christmas Parade fireworks display on December 4, 2025, and a fifteen-minute Red, White & Kaboom display on July 3, 2026, with potential renewal for three consecutive years. The consultant is responsible for comprehensive event execution, safety compliance, and maintaining appropriate insurance coverage as specified in the Request for Proposal #2025-RFP-077.
