Paragraph (b)(13) is added to read as follows:
Submission Requirements, Organizational Conflict of Interest (OCI): The Contractor's attention is directed to FAR, Subpart 9.5, "Organizational and Consultant Conflicts of Interest." The Offeror shall represent within the proposal that, to the best of the Offeror's knowledge, there are no relevant facts or circumstances concerning any past, present, or potential contracts or financial interest relating to the work to be performed, which could give rise to an organizational conflict of interest, as described in FAR, Subpart 9.5. In the event an actual or potential organizational conflict of interest exists, the Offeror shall instead, (1) identify the relevant facts or circumstances concerning any past, present, or potential contracts or financial interest relating to the work to be performed, and (2) submit a mitigation plan to the Contracting Officer with the proposal, that effectively demonstrates how the Offeror will mitigate any actual or potential organizational conflict of interest while supporting this contract and any other USTRANSCOM contract. As a part of the proposal, the Offeror shall provide the Contracting Officer with information of previous or ongoing work that is in any way associated with this solicitation. The Contracting Officer will review mitigation plans to determine whether award to the Offeror is consistent with FAR, Subpart 9.5.
If the Contracting Officer determines that no conflict would arise or that the mitigation plan adequately protects the interest of the Government, the Offeror will be eligible for award. If the Contracting Officer determines that the mitigation plan is inadequate, remedial actions will be considered, including elimination from the solicitation process, termination of related contract efforts already awarded, or negotiation of the mitigation plan. The above restrictions shall be included in all subcontracts, teaming arrangements, and other agreements calling for performance of work which is subject to the organizational conflict of interest restrictions identified in these provisions. The Government reserves the right, in case of a breach, misrepresentation or nondisclosure, to terminate the resultant contract, disqualify the Offeror from subsequent related contractual efforts, or pursue any remedy permitted by law, regulation or the terms and conditions of this solicitation.
Paragraph (b)(14) Protest Instructions is added to read as follows:
a. Protests, as defined in Section 33.101 of the Federal Acquisition Regulation, that are filed directly with an agency, and copies of any protests that are filed with the Government Accountability Office (GAO), shall be served on the Contracting Officer (addressed as follows) by obtaining written and dated acknowledgment of receipt from:

52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)
(a) The Government intends to award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. This is a competitive best value source selection. The following factors shall be used to evaluate offers:
(1) TECHNICAL
Subfactor 1: Technical Approach for ID/IQ Subfactor 2: Technical Approach for Task Order 0001
(2) STAFFING
Subfactor 1: Staffing Approach for ID/IQ Subfactor 2: Staffing Approach for Task Order 1
(3) PAST PERFORMANCE
(4) PRICE
Technical is the most important factor (technical subfactors are of equal importance); staffing is the second most important factor (staffing subfactors are of equal importance); and past performance is the least important of the non-price factors. When combined, all non-price factors are considered approximately equal to price.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
(End of provision)
ADDENDUM TO 52.212-2
Addendum to FAR 52.212-2 – EVALUATION--COMMERCIAL ITEMS
Paragraph (d) is added to read as follows:
BASIS FOR CONTRACT AWARD
(d) The Government intends to award one Indefinite Delivery/Indefinite Quantity (ID/IQ) contract as well as Task Order 0001 with a POP start date of 17 March 2014. Award will be made to the offeror who is deemed responsible in accordance with the Federal Acquisition Regulation, as supplemented, whose proposal conforms to the solicitation requirements (to include all terms, conditions, representations, certifications, and all other information required by the solicitation), and is determined, based on the evaluation factors and subfactors, to represent the best value to the Government. This may result in an award to a higher rated, higher priced offeror, where the decision is consistent with the evaluation factors and subfactors. However, the Government will not pay a price premium that it considers to be disproportionate to the benefits associated with the proposed margin of service superiority.
Therefore, the Government intends to award an ID/IQ contract and Task Order 0001 to the offeror considered to be the best value, all factors and subfactors considered, given their relative order of importance.
(1) This is a competitive best value source selection in which technical is the most important factor; staffing is the second most important factor; and past performance is the least important of the non-price factors. When combined, all non-price factors are considered approximately equal to price. By submission of its offeror, the offeror accedes to all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors. The Government reserves the right to award no contract at all depending on the quality of the proposals submitted and availability of funds.
(2) The evaluation process will proceed as follows: First, the Government evaluation team will assess offeror’s technical proposal and assign a color and risk rating to each subfactor. Next, the evaluation team will assess offeror’s staffing approach and assign a color and risk rating. Next, the evaluation team will assess offeror’s past performance and assign an overall past performance confidence assessment rating. Finally, the evaluation team will assess offeror’s prices. At this point, the Source Selection Authority may make an integrated best value decision and award without discussions or may, if in the Government’s best interest, establish a competitive range and enter into discussions. After conclusion of discussions and submissions of final proposal revisions, the Source Selection Authority will then make an integrated best value assessment and award decision and award a contract and task order 0001 to the offeror that represents the best value to the Government. Note: The Contracting Officer may limit the competitive range for purposes of efficiency.
(3) The evaluation approach for each factor follows:
a. Technical Approach. The Government will assess the offeror’s proposed technical approach, as detailed in its proposal, to satisfy the Government’s requirement. The Government may assign strengths, weaknesses, significant weaknesses, and deficiencies to the offerors’ technical proposal. Offerors will be given color ratings for each of the subfactors as documented in the table below:
Table 1 – Technical & Staffing Color Ratings
COLOR RATING DESCRIPTION
Blue Outstanding Proposal meets requirements and indicates an exceptional approach and understanding of the requirements. The proposal contains multiple strengths and no deficiencies.
Purple Good Proposal meets requirements and indicates a thorough approach and understanding of the requirements. Proposal contains at least one strength and no deficiencies.
Green Acceptable Proposal meets requirements and indicates an adequate approach and understanding of the requirements. Proposal has no strengths or deficiencies.
Yellow Marginal Proposal does not clearly meet requirements and has not demonstrated an adequate approach and understanding of the requirements.
Red Unacceptable Proposal does not meet requirements and contains one or more deficiencies and is unawardable.
1. Sub-Factor 1 – Technical Approach for ID/IQ: The offeror shall submit a sound plan for accomplishing the requirements of the ID/IQ Performance Work Statement (PWS). The plan shall provide a logical approach that ensures timely support for all tasks as described in the PWS.
2. Sub-Factor 2 – Technical Approach for Task Order 0001: The offeror shall submit a sound plan for accomplishing the requirements of the PWS for Task Order 0001. The plan shall provide a logical approach that ensures timely support for all tasks as described in the PWS.
Technical Risk: The Government will assess the degree to which the offeror’s proposed technical approach for the requirements of the solicitation may cause disruption of schedule, increased costs, degradation of performance, the need for increased Government oversight, or the likelihood of unsuccessful contract performance. Technical risk is manifested by the identification of weakness(es) or deficiency(ies). Offerors will be given a risk rating as documented in the table below:
Table 2 – Risk Ratings
RATING DESCRIPTION
Low Has little potential to cause disruption of schedule, increased cost or degradation of performance. Normal contractor effort and normal Government monitoring will likely be able to overcome any difficulties.
Moderate Can potentially cause disruption of schedule, increased cost or degradation of performance. Special contractor emphasis and close Government monitoring will likely be able to overcome difficulties.
High Is likely to cause significant disruption of schedule, increased cost or degradation of performance. Is unlikely to overcome any difficulties, even with special contractor emphasis and close Government monitoring.
Strength, weakness, significant weakness, and deficiency are defined as follows: “Strength” is an aspect of an offeror’s proposal that has merit or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract performance. “Weakness” means a flaw in the proposal that increases the risk of unsuccessful contract performance. A “significant weakness” in the proposal is a flaw that appreciably increases the risk of unsuccessful contract performance. A “deficiency” is a material failure of a proposal to meet a Government requirement or a combination of significant weaknesses in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level.
b. Staffing Approach. The Government will assess the offeror’s proposed staffing approach for meeting the Government’s requirement. The Government may assign strengths, weaknesses, significant weaknesses, and deficiencies to the offerors’ staffing proposal. Offerors will be given a color rating as documented in Table 1 above.
1. Subfactor 1 – Staffing Approach for ID/IQ: Offerors shall submit a personnel matrix which identifies all labor categories and level of experience to be used in performing the contract. Offerors shall correlate positions by labor category to the task areas within the PWS. Offeror’s staffing approach shall address personnel knowledge and experience in the following areas:
a. Specific knowledge of DoD AIT/ITV and identification policies/issues.
b. Experience with national, international and DoD AIT/ITV standards.
c. Experience with AIT/ITV implementation/integration, interfaces with system architecture and data analysis.
d. Experience and knowledge of various AIT/ITV technologies and devices.
2. Subfactor 2 – Staffing Approach for Task Order 1: Offerors’ shall submit a personnel matrix which identifies all labor categories and level of experience to be used in performing the contract. Offerors shall correlate positions by labor category to the subtask areas within the PWS.
Staffing Risk: The Government will assess the degree to which the offeror’s proposed staffing approach for the requirements of the solicitation may cause disruption of schedule, increased costs, degradation of performance, the need for increased Government oversight, or the likelihood of unsuccessful contract performance. Staffing risk is manifested by the identification of weakness(es) or deficiency(ies). Offerors will be given a risk rating as documented in Table 2 above.
c. Past Performance. The Government will first determine if the effort is considered recent, which means the effort was performed within the last three years (of the proposal due date). Then, by using past performance questionnaires submitted by the offerors’ Point of Contacts (POCs) and other information independently obtained from Government or commercial sources, the Government will determine the relevancy of each effort submitted.
The following ratings will be used in evaluating the relevancy of the offerors’ past performance:
Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.
Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.
Somewhat Relevant Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.
Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.
Past Performance will be evaluated as a measure of the Government’s confidence in the offeror’s and principal subcontractor’s ability to successfully perform based on previous and current contracts. The relevancy of each reference will be considered in the overall confidence assessment rating for the offeror. One of the following confidence assessment ratings will be assigned to each offeror:
Substantial Confidence
Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.
Satisfactory Confidence
Government has a reasonable expectation that the offeror will successfully perform the required effort.
Limited Confidence
Government has a low expectation that the offeror will successfully perform the required effort.
No Confidence
Government has no expectation that the offeror will be able to successfully perform the required effort.
Unknown Confidence (Neutral) No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.
Offerors with no recent relevant past or present performance history will receive an Unknown Confidence meaning the rating is treated neither favorably nor unfavorably. In evaluating past performance, the Government reserves the right to give greater consideration to information on those contracts deemed most relevant to the effort described in this RFP.
Past performance regarding predecessor companies or principal subcontractors that will perform major or critical aspects of this requirement will be weighted the same (equally as important) as the past performance information for the offeror.
In addition to past performance information submitted by the offeror, past performance information may be obtained through the (1) Past Performance Information Retrieval System (PPIRS), (2) Questionnaires tailored to the circumstances for this acquisition, and (3) other sources known to the Government.
d. Price
1. The Government will conduct a price analysis to determine whether the proposed prices for the IDIQ labor rates and for Task Order 0001 are fair and reasonable using one or more techniques set forth in FAR 15.404- 1(b)(2). The Government will also conduct a price realism analysis on Task Order 0001 to determine whether the level of effort and the mix of labor proposed to perform the services being ordered reflect a clear understanding of the requirements and are consistent with the unique methods of performance described in the offeror’s technical proposal.
2. For award purposes, the Government will evaluate the offeror’s total price to arrive at a total evaluated price (TEP) for Task Order 0001. The TEP consists of the prices for all periods of performance, all Government provided prices, plus an additional six-month period in accordance with FAR Clause 52.217-8, Option to Extend Services, which is included in this RFP. Pricing for the six-month Extension of Services period will be based on half of the hours quoted for each labor category in the last option period and the quoted labor rates in effect on the last day of the final option period. Any discounts quoted will also be included. However, the Extension of Services period will not be identified in the resulting contract as an option. Evaluation of options will not obligate the Government to exercise the option(s).
52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (AUG 2013)
