52.229-11 Tax on Certain Foreign Procurements-Notice and Representation. (Jun 2020)

TAX ON CERTAIN FOREIGN PROCUREMENTS-NOTICE AND REPRESENTATION (JUN 2020)

(a) Definitions. As used in this provision- Foreign person means any person other than a United States person.

Specified Federal procurement payment means any payment made pursuant to a contract with a foreign contracting party that is for goods, manufactured or produced, or services provided in a foreign country that is not a party to an international procurement agreement with the United States. For purposes of the prior sentence, a foreign country does not include an outlying area of the United States.

United States person as defined in 26 U.S.C. 7701(a)(30) means

(1) A citizen or resident of the United States;

(2) A domestic partnership;

(3) A domestic corporation;

(4) Any estate (other than a foreign estate, within the meaning of 26 U.S.C. 701(a)(31)); and

(5) Any trust if-

(i) A court within the United States is able to exercise primary supervision over the administration of the trust; and

(ii) One or more United States persons have the authority to control all substantial decisions of the trust.

(b) Unless exempted, there is a 2 percent tax of the amount of a specified Federal procurement payment on any foreign person receiving such payment. See 26 U.S.C. 5000C and its implementing regulations at 26 CFR 1.5000C-1 through 1.5000C-7.

(c) Exemptions from withholding under this provision are described at 26 CFR 1.5000C-1(d)(5) through (7). The Offeror may claim an exemption from the withholding by using the Department of the Treasury Internal Revenue Service (IRS) Form W-14, Certificate of Foreign Contracting Party Receiving Federal Procurement Payments, available at www.irs.gov/w14. Any exemption claimed and self-certified on the IRS Form W-14 is subject to audit by the IRS. Any disputes regarding the imposition and collection of the 26 U.S.C. 5000C tax are adjudicated by the IRS as the 26 U.S.C. 5000C tax is a tax matter, not a contract issue. The IRS Form W-14 is provided to the acquiring agency rather than to the IRS.

(d) For purposes of withholding under 26 U.S.C. 5000C, the Offeror represents that

(1) It is is not a foreign person; and

(2) If the Offeror indicates "is" in paragraph (d)(1) of this provision, then the Offeror represents that-I am claiming on the IRS Form W-14 a full exemption, or partial or no exemption [Offeror must select one] from the excise tax.

(e) If the Offeror represents it is a foreign person in paragraph (d)(1) of this provision, then-

(1) The clause at FAR 52.229-12, Tax on Certain Foreign Procurements, will be included in any resulting contract; and

(2) The Offeror shall submit with its offer the IRS Form W-14. If the IRS Form W-14 is not submitted with the offer, exemptions will not be applied to any resulting contract and the Government will withhold a full 2 percent of each payment.

Evaluation Factors for Award The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.

1. Basis for Award

1.1 The Government will award a contract resulting from this solicitation to the responsible offeror whose quote conforming to the solicitation will be most advantageous to the Government, price and other factors considered.

The evaluation shall be an assessment of the quote and the offeror's ability to perform the perspective contract successfully. In this assessment, the offeror shall be evaluated solely on the factors specified in this solicitation.

The Government will conduct a subjective tradeoff process in order to determine which Offeror represents the best value to the Government. The tradeoff process will take into account Evaluation Factor 1, Evaluation Factor 2, Evaluation Factor 3, and Evaluation Factor 4. Award will be made to the Offeror that is determined to provide the best value to the Government considering price and non-price factors. "Best value" means the expected outcome of an acquisition that, in the Government's estimation, provides the greatest overall benefit in response to the requirement. Evaluations shall be an assessment of the quote and the Offeror's ability to perform the perspective contract successfully. In this assessment, all Offerors will be evaluated solely on the factors specified in the Solicitation. The Government may decide to award to an Offeror who did not quote the lowest price. The Contracting Officer has broad discretion in determining which Offeror should receive the award.

To receive consideration for award, Offerors must achieve a minimum rating for non-price Evaluation Factors (1 - 3). Offerors must achieve a minimum rating of "Acceptable" for Evaluation Factor 1 (Technical Approach/Risk),a minimum rating of "Satisfactory Confidence" or "Unknown Confidence (Neutral)" for Evaluation Factor 2 (Past Performance), and a minimum rating of "Acceptable" for Evaluation Factor 3 (Small Business Subcontracting Plan).

After each of the non-price factors below are rated individually, an overall rating will be assigned collectively to these factors. If any of the non-price evaluation factors receives an individual rating of "Unacceptable" or "No Confidence", the collective overall rating will also be "Unacceptable". Only quotes receiving an overall rating of "Acceptable" will be considered for award.

1.2. The resulting purchase order shall contain Firm-Fixed Price (FFP) Contract Line-Item Numbers (CLINs) for Trace Metals Sample Analysis.

The evaluation factors are listed below:

Evaluation Factor 1 - Technical Approach/Risk Evaluation Factor 2 - Past Performance Evaluation Factor 3 - Small Business Subcontracting Plan Evaluation Factor 4 - Price

The Government will evaluate the factors independently of each other and each factor listed above is in descending order of importance. Non-price factors, when combined, are significantly more important than price. As the range of technical merit narrows, price becomes a more important factor.

1.3. All Offerors' initial quote should contain the Offeror's best terms from a technical and price standpoint. The Government will not assume that the Offeror possesses any capability or knowledge unless it is specified in the quote.

1.4. The Government intends to evaluate quotations and award a contract without exchanges with Offerors. The Government reserves the right to conduct exchanges if the Contracting Officer later determines them to be necessary.

2. EVALUATION CRITERIA

2.1. Evaluation Factor 1 - Technical Approach/Risk: The Offeror's quote will be evaluated to the degree which the Offeror has effectively demonstrated:

· Proof of an accreditation by the Department of Defense (DoD)Environmental Laboratory Accreditation Program (DoD ELAP).

· An understanding of all of the tasks required to be performed;

· The methodology and flexibility used in performing the requirement;

· How the approach is likely to yield the required results within the required timeframe;

· How the contractor will meet and comply with the requirements established in the PWS;

· Management structure with regard to roles and responsibilities, lines of authority, span of control, flow of information, and communication strategies amongst the contractor team, any subcontractors, requiring activities, and external organizations; and

· Approach to monitoring contract activities to include schedule and performance.

The Government will evaluate risk as it relates to the Offeror's technical approach. Risk assesses the degree to which the Offeror's approach may cause disruption of schedule, degradation of performance, the need for increased Government oversight, or the likelihood of unsuccessful contract performance.

Definitions for Evaluation Factor Standards

Term

Definition

Weakness

A flaw in the quote that increases the risk of unsuccessful contract performance.

Deficiency

A material failure of a quote to meet a Government requirement or a combination of significant weaknesses in a quote that increases the risk of unsuccessful contract performance to an unacceptable level.

Ratings for Evaluation Factor 1 - Technical Approach/Risk

The government will conduct a Past Performance evaluation of the Offerors Past Performance as well as that of its subcontractors. Past Performance evaluation will consist of two aspects for evaluation, past performance relevancy and performance confidence; thus, the Offeror will be assigned two ratings for past performance.

First, the Government will evaluate the Offeror's past performance narratives to determine how relevant and recent efforts accomplished by the Offeror are to the solicitation. The Offeror's relevancy will be evaluated to the degree to which the Offeror's past performance narrative, and other past performance information used by the Government, effectively demonstrates: the Offeror's relevant experience (for this purpose, experience refers to what an Offeror has done, not how well it was accomplished) identical to, similar to or related to performing services contained within the PWS. Common aspects of relevance include, but are not inclusive of, similarity of service/support, complexity, magnitude of effort, dollar value, and contract type. Second, the Government will evaluate the Offeror's past performance references in other sources (CPARS, FAPIIS, other contracting agencies) to determine the quality of work performed and assess the level of expectation that the Offeror can successfully perform the required effort.

In the case of an offeror without a record or no relevant past performance exists within the offeror's organization or for whom information on past performance is not available, the Offeror may not be evaluated favorably or unfavorably on past performance. The Offeror's lack of past performance will be evaluated as an unknown/ neutral having no favorable or unfavorable impact on the evaluation.
