The Freedom of Information Act (FOIA) and its amendments have resulted in an increasing number of requests from outside the Government for copies of contract qualifications and proposals submitted to federal agencies. If an
Offeror’s submissions contain information that he/she believes should be withheld from such requestors under FOIA on the grounds that they contain “trade secrets and commercial or financial information” [5 USC§552(b)(4)], the

C. PASS/FAIL Criteria (VOLUME II & III)
The Government is requesting the following information for the following elements, which will be evaluated on a pass/fail basis. If your proposal receives a fail for any of the below criteria, it will not be evaluated any further and will be determined to be unawardable.
1. The offeror shall submit a copy of their DMP System Certification that demonstrates the Offeror holds an active certification as the prime.
2. The Offeror shall submit Letters of Commitment for all proposed Key Personnel
3. The Offeror shall submit a Small Business Commitment Participation Document (Attachment 23)
4. The Offeror shall submit a Small Business Subcontracting Plan (Attachment 22)
Evidence of a DMP System Certification: The Offeror shall submit their DMP System Certification that demonstrates the Offeror is DMP Certified at the time of Proposal submission.
Commitment Letters for Key Personnel Instructions: The Offeror shall submit Letters of Commitment for all proposed Key Personnel, with the Proposal submission by the Proposal due date established in the latest version of the solicitation. The date of signature on the commitment letters shall be within 10 calendar days of the Proposal due date. If revised proposals are requested or required, the letters of commitment shall be updated and signed within 10 calendar days of the revised proposal due date. Each commitment letter shall affirmatively state: (1) that the key personnel granted permission to the prime contractor to use his/her resume, and (2) is willing to work for the proposing Offeror on the instant solicitation.
Small Business Commitment Participating Document (SBPDC) (All Offerors other than small businesses):
All Offerors that are not small businesses shall provide the following SBPCD requirements and substantiating documentation to demonstrate how you will meet these requirements. This required information will be used to evaluate the extent of your proposed participation/commitment to use U.S. small businesses in the performance of this acquisition (as small business prime offerors or small business subcontractors). Small business concerns that qualify in more than one socioeconomic category may be counted in each category for which they qualify. The below SBPCD requirements will be incorporated into the resulting contract:
1. Small Business Participants: Small business concerns (SBC) as defined in FAR Part 19 are to be used in your proposed approach to satisfying the requirements of this solicitation for the entire performance period, including company name, business category, description of products or services and NAICS code to be provided by each SBC and the nature of the commitment with the SBC (i.e., letter of commitment, joint ventures, mentor protégé agreements, others). Binding commitments shall become enforceable, contractual requirements. Use the table/format under item #3 of the SBPCD, Attachment 23, when proposing the required information.
Offerors should define which functional areas, by PWS requirement, subcontractors are proposed to support.
*Changes to the subcontracting plan in a resultant contract must be pre-approved by Contracting Officer to ensure any changes meet subcontracting business terms under the contract
2. Minimum Quantitative Requirement (MQR) – Participation of Small Businesses: Offerors must meet the minimum small business participation requirement of 20% of the total contract dollars. Offerors shall provide detailed explanations/documentation to support quantitative small business participation in terms of the proposed quantity of subcontract performance as it relates to the value of the total acquisition (total contract value). Binding commitments shall become enforceable, contractual requirements. Use the table/format under item#2 of the SBPCD, Attachment 23, when proposing the required information.
Offerors proposing alternate MQRs in excess of 20% may receive a higher rating if warranted in accordance with this solicitation. Offerors proposing alternate MQRs not meeting 20% may receive a lower rating if warranted in accordance with this solicitation. MQRs will be incorporated into any resultant contract and is applicable to the five-year ordering period.
If the proposed level of small business participation is $0/0% for any category, Offerors shall provide rationale as to why there are no subcontracting opportunities in that category for this acquisition.
All supporting documentation is excluded from the page count. Supporting documents will not be incorporated into any resulting contract.
3. The work to be performed directly by a small business prime offeror shall be evaluated as Small
Business Participation. Small business prime offerors shall include their information in the above requested subparagraphs G, subparagraphs 1-2, as required.
4. The Government requires periodic progress reporting to facilitate government monitoring of small business programs in accordance with the Small Business Act. The successful contractor will be required to submit semi-annual progress reports (concurrently with subcontracting reporting periods) on their small business utilization (contractor format acceptable). The reports shall cover:
a. Quantitative achievements
b. Small business subcontracts awarded during the reporting period
i. Contractor name and socioeconomic category
ii. Dollar value of subcontract
iii. Type of product or service provided by subcontractor
iv. Order number
c. Contract specific initiatives to enhance small business utilization or capabilities
d. Specific initiatives and tools employed under the contract to enhance small business utilization and capabilities for the OSD Physical & Residential Security small business industrial base.
*This reporting requirement shall be incorporated into the contract with the Contracting Officer’s ability to require corrective action plans from the successful offeror in the event of unsatisfactory progress during a semi-annual reporting period for the MQR and any other small business participation requirements.
5. Prime Contractor Size: Identify the applicable size and applicable socioeconomic categories for the
PRIME Offeror in your proposed SBPCD. Include this information within the initial section of the proposed SBPCD Attachment 23, and check all applicable boxes.
Small Business Subcontracting Plan (Other than Small Businesses Only):
All other-than-small business Offerors shall submit a Small Business Subcontracting Plan in accordance with FAR
Subpart 52.219-9 and compliant with DFARS 219.7 and 252.219.7. The Small Business Subcontracting Plan shall be submitted with the Offeror’s proposal submission. The apparently successful Offeror’s Small Business
Subcontracting Plan shall be assessed in accordance with FAR 52.219-9 requirements and must be determined
‘acceptable’ by the Contracting Officer in the event of an award. The Small Business Subcontracting Plan is a material requirement of the solicitation and any resultant contract. A subcontracting plan deemed ‘unacceptable’ will preclude an offeror from being eligible for contract award. See FAR 19.702(a)(1) Statutory
Requirements, regarding failure of the apparent successful Offeror to negotiate and submit a Small
Business Subcontracting Plan acceptable to the Contracting Officer. To the extent there is any overlapping content between an Offeror’s proposed Subcontracting Plan and its proposed Small Business Participation Commitment
Document, the overlapping content must be consistent for a Subcontracting Plan to be deemed as ‘acceptable.’
The Offeror is required to use the Small Business Subcontracting format provided at Attachment 22 and must address all fifteen elements. The Offeror shall provide a Small Business Subcontracting Plan to include the following information:
a. Offerors shall identify all proposed subcontractors individually by name with addresses, business type
(Other Than Small Business, Small Business, Small Disadvantaged Business, Women-Owned Small
Business, Veteran-Owned Small Business, Service-Disabled Veteran-Owned Small Business, HUBZone
Small Business, and Historically Black Colleges and Universities and Minority Institutions) as determined by the Small Business Administration size standard for the specific work being subcontracted; the principal services being provided by the subcontractor; NAICS Code; and the complexity of the services provided.
*The small businesses identified in the SBPCD shall be listed in the Small Business Subcontracting Plan submitted pursuant to FAR 52.219-9 to facilitate compliance with DFARS 252-219-7003(e).
b. The Offeror’s proposed goals shall be based on the total planned subcontracting dollars. The goals shall be specific to this contract and shall be “stretch” goals that are equal to or greater than the proposed level of small business participation proposed in the Small Business Participation
Commitment Document. The goals shall be realistic and challenging reflecting the Offeror’s best efforts for each small business socioeconomic category. The goals must not be inflated in order to create a favorable, but false impression. The goals must not be understated in order to easily accomplish goal achievement without providing maximum practicable opportunities. The Offeror’s proposed small business subcontracting goals will be incorporated as an attachment in the resultant contract.
c. Offeror’s shall include a detailed approach to achieving and maintaining the small business goals throughout the life of the IDIQ contract as established by the Offeror with its proposal in Attachment
23, Small Business Participation Commitment Document.
d. If an Offeror has not been subject to the requirements of FAR Part 19, including never holding a contract incorporating FAR 52.219-8 or FAR 52.219-9; or has never been previously required to implement a Small Business Subcontracting Plan under a Federal Government contract; or the Offeror has historically not met small business goals; the proposal shall include a statement to the effect and a rationale as to why. In addition, an explanation shall be provided on what actions will be taken to meet the small business goals of this IDIQ contract.
e. Offerors shall include evidence, such as binding letters of commitment subject only to contract award, or the Offeror’s ability to meet the subcontracting goals.
f. It is the Government’s expectation that the proposed goals will be sought with good faith effort.
Failure to meet or exceed proposed goals without sufficient justification in terms of the good faith efforts applied may result in the Offeror paying liquidated damages to the Government IAW FAR
52.219‐16 “Liquidated Damages – Subcontracting Plan.” Offerors should thereby note that this is distinctly different than the expectations relative to the small business participation requirements in this solicitation.
D. FACTOR 1 - TECHNICAL APPROACH & CAPABILITY (VOLUME IV) (12 page limit)
D.1 TECHNICAL APPROACH (5 page limit)
For Task Order one (1), the Offeror shall submit sufficient information for the Government to make a comprehensive evaluation of its Technical Approach & Capability in meeting the requirements listed in PWS for the corresponding Task Orders. The proposal shall describe the methods and techniques used in its technical approach to complete PWS Part 5 tasks 5.2, 5.3, 5.5, 5.6, 5.7, and 5.9 for Task Order 1. The Offeror is not required to address each subtask specifically (ex. 5.1.1.1), but must address the overall tasks (ex 5.2) with enough details to demonstrate the ability to successfully perform the requirements. Proposals that omit or merely reiterate identified tasks under each Task Order PWS may be rejected. The Offeror shall also provide the following in its technical approach:
Management Approach (3 page limit): For Task Order 1, the proposal shall describe their proposed management approach through Program Management Controls, submission of a Staffing Plan, and Key Personnel. This volume must not contain any reference to cost; however, resource information such as data concerning labor categories, subcontracts, etc. must be provided to demonstrate the Offeror's understanding of the requirement.
Staffing Plan (3 page limit): For Task Order 1, the Proposal shall provide a staffing approach to meet the
Government’s requirements and how the Offeror plans to manage unexpected turnover due to promotions, employees leaving the company, extended illnesses, military duty, etc., and how that plan minimizes the impact on contract performance. The staffing section shall demonstrate how the Offeror will ensure personnel coverage during absences (sick and personal leave of employees).
The Staffing Plan shall also describe the Offeror’s plan to effectively and efficiently meet the Government’s requirements with the proposed staff over the life cycle of the contract. The Offeror shall also provide a rationale that describes the basis for their proposed level-of-effort and labor mix.
The Staffing Plan shall indicate the proposed resource allocation for all PWS critical tasks, to include a PWS critical task breakout of all proposed labor categories and hours over a five (5) year ordering period.
Phase-in Plan (1 page limit): For Task Order 1, the proposal shall describe the Offeror’s phase-in approach by submitting a phase-in plan that demonstrates the Offeror’s approach for providing the necessary resources to ensure and maintain service quality levels and staffing levels for the thirty (30) calendar day phase-in period.
Personnel Matrix (Attachment 4): For Task Order 1, the Offeror shall complete the attached Personnel Matrix
(Attachment 3) by filling out all the required elements listed in the matrix for Volume IV – Technical Approach and Capability. The Personnel Matrix shall be submitted in Volume IV as a separate excel spreadsheet and not a
.pdf nor embedded in the Technical Approach and Capability. Inconsistencies between the staffing matrices may result in the Offeror’s proposal being ineligible for award.
