SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS
The following have been modified:
INSTRUCTIONS TO OFFERORS
L-1 GENERAL
Washington Headquarters Services/Acquisition Directorate (WHS/AD) intends to make multiple Indefinite- Delivery/Indefinite-Quantity (IDIQ) contract awards under a single full & open competition solicitation under NAICS Code 541990 with set-aside reserved for small businesses under NAICS Code 541611. Small businesses are encouraged to propose on the entire full & open competition requirements for both NAICS codes, but also have the option to submit proposals for solely the portion reserved for small business. If a small business chooses to propose on both, only one proposal package must be submitted with a marking on the cover page stating the desire to be included in both the small business reserve and the unrestricted competition. If a small business is selected for both a small business reserve award and an award under the unrestricted competition, only one contract covering both pools will be awarded. The contractor will be eligible for both the small business reserve task order competitions and the task order competitions under the unrestricted pool. Teaming Arrangements are allowable per Section H-3.0;
however, each team must specify a prime contractor.
Multiple offers will not be accepted. It is not acceptable for contractors to submit multiple offers with the same Contractor Team (even with different Prime Contractors) under the Small Business Reserve Pool or the Unrestricted Pool. It is however acceptable for the same Contractor Team to submit separate proposals under the Small Business Reserve Pool, and propose the same Contractor Team, with a different Prime Contractor, in the Unrestricted Pool.
For example, it is NOT acceptable to have Company A as the Prime Contractor and submit a response for the Small Business Reserve Pool with Company B as its Subcontractor, and to have Company B as the Prime Contractor and submit a response for the Small Business Reserve Pool with Company A as its Subcontractor.
It is acceptable to have Company A as the Prime Contractor and submit a response for the Small Business Reserve Pool with Company B as a subcontractor, and have Company B submit for the Unrestricted Pool as the Prime with Company A as a subcontractor.
The IDIQ will contain the option to issue Task Orders on a Fixed Price or Cost-Reimbursement, Labor Hour or Time & Materials (or combination thereof) basis. The small business set-aside IDIQ awards will only include Fixed Price Task Orders.
WHS/AD will evaluate proposals and make awards in accordance with the evaluation criteria set forth in Section M.
The Government reserves the right to award without discussions. The Offeror must unconditionally accept the terms and conditions of the RFP. Offerors cannot redline or condition proposals.
WHS/AD shall not be obligated to pay any cost incurred by the offeror in the preparation and submission of a proposal in response to the solicitation. The offeror is advised that the Contracting Officer is the only person who can legally obligate WHS/AD for the expenditure of public funds in connection with this procurement.
L-2 QUESTIONS
Offerors are requested to email questions to the Contracting Specialist and cc the Contracting Officer:

EVALUATED FURTHER.
1. Section K - Representations, Certifications, and other Statements of Offerors:
ALL PROPOSALS: Offerors will complete representations, certifications, acknowledgments and statements via System for Award Management (SAM). Any additional Section K information shall also be included in this section.
FAR provisions 52.204-24 and 52.204-26 must be included in full text and marked to show the offeror will not provide covered telecommunications equipment or services to the Government in the performance of any contract, subcontract or other contractual instrument resulting from this solicitation and that the Offeror represents that it does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument.
2. Accounting System:
REQUIRED FOR UNRESTRICTED POOL PROPOSALS ONLY: If proposing on the full unrestricted solicitation (not the set-aside portion only), the offeror must state whether or not they have a DCAA-approved accounting system. If the prime offeror does not currently have a DCAA-approved accounting system, they must fill out the Accounting System Checklist (Attachment #5) and include it in this section. Offerors should note that if they are awarded an IDIQ contract without already having a DCAA-approved accounting system, they will not be eligible to submit proposals for task order requirements with Cost-Reimbursement CLINs until a DCAA Cost Accounting System Audit is performed and approved after IDIQ award.
3. Security Clearance:
ALL PROPOSALS: To be eligible for contract award, all offerors (prime only) must provide on the date of quotation submission, evidence of their current/active DoD Facility Security Clearance at the TOP SECRET level or above.
The offeror must have the ability to provide and maintain contractor personnel up to and including a Top Secret / Sensitive Compartmented Information (SCI) minimum with Special Program Access eligibility. There will be no exceptions or extensions to this requirement. This security clearance is a PASS/FAIL requirement to be verified by the Government. Washington Headquarters Services/Acquisition Directorate will NOT sponsor potential proposers for the facility clearance requirement.
4. Organizational Conflict of Interest (OCI) Mitigation Plan:
ALL PROPOSALS: The offeror shall identify, if necessary, any current OCI, that will occur as a result of this IDIQ award, within USD(A&S) and WHS and include a specific mitigation plan. Offerors must complete the OCI Analysis and Disclosure Form (Attachment #7). It is the offeror’s responsibility to identify potential conflicts of interest. Conflicts must be described in adequate detail for the Contracting Officer to determine if an actual conflict exists and if it has been adequately mitigated (e.g., provide contract numbers of contracts that will continue to be supported, contracts that will be terminated, or contracts that will be lapsed to terminate any conflicts). See FAR 9.504(e). Notices to offerors of OCIs and their responses thereto are not negotiations or discussion as those terms are used in FAR 15.306(d). If an offeror determines that an actual or potential OCI does not currently exist they shall include a statement to that effect as part of the OCI analysis and disclosure form and are not required to submit a specific mitigation plan. When the offeror determines an actual or potential OCI exists, the offeror shall provide an IDIQ OCI mitigation plan which addresses how actual or potential OCI will be handled and mitigated on future task order awards. Failure to provide adequate information on an offeror’s avoidance or mitigation will result in the proposal being rejected and relieves the Government of any further responsibility to resolve OCI issues. Blocks 14- 16 will be filled-out by the IDIQ contracting officer for awarded IDIQ contracts.

All offerors shall submit a completed Pricing Worksheet according to the instructions below:
ATTACHMENT #3 PRICING WORKSHEET:
The offeror shall fill in the Fixed-Price and Time &Materials (T&M)/Labor Hour Category Pricing Worksheet (Attachment #3) with the proposed hourly labor rates for each labor category listed in the pricing template. The rates shall be applicable to both NAICS Codes, and all rates are required to be proposed. The offeror shall provide a loaded hourly rate for the National Capital Region for each labor category for both on-site (on Government site) and off-site (not on Government site) CONUS work for both Fixed Price and T&M/Labor Hour Contract Types. This will result in four (4) sets of rates. Proposed loaded hourly labor rates will be the maximum allowable rates used throughout the life of this contract and will cover all labor category levels (i.e. basic, intermediate, and advanced).
(Each proposed labor rate shall be effective for the duration of the IDIQ contract; there will not be a different labor rate for each contract period.) However, rates may be discounted by the Contractor per individual task order. Hourly rates will be negotiated at the task order level, with CONUS hourly labor rates serving as the basis for negotiations.
Rates will be valid for the entire period of performance of the contract.
L-12 VOLUME VI: SMALL BUSINESS SUBCONTRACTING PLAN
**REQUIRED FOR UNRESTRICTED POOL PROPOSALS ONLY. SMALL BUSINESS OFFERORS (SUBMITTING
FOR EITHER THE SMALL BUSINESS RESERVE OR THE UNRESTRICTED POOL OR BOTH) ARE NOT
REQUIRED TO SUBMIT IN THEIR PROPOSAL A SMALL BUSINESS SUBCONTRACTING PLAN. VOLUME VI:
SMALL BUSINESS SUBCONTRACTING PLAN IS NOT AN EVALUATION FACTOR AND WILL BE REVIEWED
AND APPROVED BY THE CONTRACTING OFFICER**
In accordance with FAR Subpart 19.7, DFARS 219.7 and FAR 52.219-9, a Small Business Subcontracting Plan is required of all Offerors, unless the prime contractor is a small business. The Small Business Subcontracting Plan shall be submitted with the Offeror’s proposal submission. The Small Business Subcontracting Plan of the successful Offeror(s) will be reviewed and approved by the Contracting Officer prior to contract award. See FAR 19.702(a)(1) Statutory Requirements, regarding failure of the apparent successful Offeror to negotiate and submit a Small Business Subcontracting Plan acceptable to the Contracting Officer. The successful Offeror’s approved Subcontracting Plan will be incorporated into the resultant contract.
The assessment of the subcontracting plan in accordance with (IAW) FAR 19.7 is different from the evaluation of small business participation. The Offeror shall complete and submit the Subcontracting Plan template, including all 15 elements, located at Attachment #4.
Small businesses are not required to submit subcontracting plans, but they will be required to address the extent of small business performance (participation on the SBPCD) in their proposals because the solicitation requires evaluation of small business participation.
