SUMMARY OF CHANGES
SECTION SF 1449 - CONTINUATION SHEET
The following have been modified:
52.212-1 ADDENDUM – INSTRUCTIONS TO OFFERORS - - COMMERCIAL ITEMS (NOV 2021).
Addendum to Paragraph (b). Paragraph (b) is changed to read as follows:
(b) Communication.
The Contracting Officer and Contract Specialist are the sole points of contact for this acquisition.
Communications with other officials may compromise the integrity of this acquisition and result in cancellation of the requirement.
Intent to Submit Offer.
The Offeror must send a letter of Intent to Submit Offer and the completed Attachment X7 “Non-Disclosure Agreement” via e-mail to Ms. Sidnie Miranda at Sidnie.Miranda@dodea.edu and Ms. Marcia Lee at Marcia.Lee@dodea.edu to give notification of your company’s intent to submit a proposal in response to this solicitation. The subject of the e-mail shall be “Intent to Submit a Proposal for HE1254-23-R-2001.” Please provide the company’s name and point of contact to include name, title, address, e-mail, phone number, company’s Unique Entity Identifier/ID, and NATO Cage Code. Failure to submit a notice of intent, NO LATER THAN 12:00 p.m. (1200 hours) Eastern Standard Time (EST), 23 February 2023 will result in an Offeror not being eligible for award.
After receipt of an Offerors Intent to Submit a Proposal email, the Government will provide Attachment X1(a) “Route List_Single Bell” and X1(b) “Route List_Multi-Bell” via email.
Submission of Questions.
Offerors shall submit questions concerning this solicitation, electronically, NO LATER THAN 12:00 p.m. (1200 hours) Eastern Standard Time (EST), 24 Februrary 2023. Questions submitted after this date may not be considered for a response.
Phase I Draft Submission of Offers.
This evaluation phase of the RFP is designed to assist all Offerors in providing a complete proposal. The purpose of this two-phase approach is to motivate Offerors to provide innovative methods in implementing the terms and conditions of the PWS, without concern of being disqualified for providing an incomplete proposal. The Offeror’s innovative approach to this requirement should result in a cost-efficient strategy and result in a win-win situation for both the Offeror and the Government.
The Offeror must send an e-mail to Ms. Sidnie Miranda at Sidnie.Miranda@dodea.edu and Ms. Marcia Lee at Marcia.Lee@dodea.edu with an attached draft proposal, NO LATER THAN 12:00 p.m. (1200 hours) Eastern Standard Time (EST), 3 March 2023 in response to this solicitation. The subject of the e-mail shall be “Draft Proposal for HE1254-23-R-2001.” Please provide the draft proposal in accordance with the Phase II Submission of Offerors paragraph below, except for Volume III, which is explained in the next paragraph. All draft proposal and submission information will be protected and maintained only by the Government Procurement Team.
Failure to submit a Phase I Draft Submission will prohibit an Offeror from advancing to Phase II.
The Administrative Cover Letter, SF1449, any applicable SF30 and Volumes I, II, and IV shall be submitted in accordance with “Phase II Submission of Offers.” Volume III “Price” shall be completed to demonstrate the Offeror’s understanding of the submission process. Instead of providing final proposed pricing, the Offeror shall provide a Rough Order of Magnitude (ROM) estimate using Attachment X5“Price”. The ROM is not the final pricing; it is a rough estimate of probable pricing based on the Phase I draft proposal. The ROM will not be used to evaluate the Offeror in any way. Instead, the purpose of Phase I draft proposal is to identify if there are any formula errors or missing content. The pricing evaluation will occur in “Phase II Submission of Offerors.”
After receipt of an Offerors Draft Proposal, the Government will notify the Offeror whether the draft proposal is complete or not complete, no later than 18:00 p.m. (1800 hours) Eastern Standard Time (EST), 7 March 2023.
Offerors will also be notified of any missing parts of their proposal.
NOTE: A technical evaluation will not be completed at this time. This is only to complete an inventory of your proposal.
Phase II Submission of Offers.
The offeror must send an e-mail to Ms. Sidnie Miranda at Sidnie.Miranda@dodea.edu and Ms. Marcia Lee at Marcia.Lee@dodea.edu with their attached proposal, NO LATER THAN 12:00 p.m. (1200 hours) Eastern Standard Time (EST), 13 March 2023 in response to this solicitation. The subject of the e-mail shall be “Proposal for HE1254-23-R-2001.”
Offerors must ensure that the signed and dated attached proposal and all attachments are virus free, legible, and are received by Ms. Miranda’s and Ms. Lee’s e-mail addresses no later than the solicitation closing date and time. E-mails over 10 MB will be rejected by DoDEA’s network. If the electronic copy cannot be opened, the Contract Specialist or Contracting Officer will notify the Offeror and a replacement electronic copy shall be provided by the Offeror within one (1) working day after notification.

5. Volume II – Factor 2: Past Performance.
The past performance evaluation is a comparative assessment of the Offeror’s ability to successfully perform the contract based on the Offeror’s demonstrated recent and relevant record of how well the Offeror performed on previous contracts. The Government will review the information collected to include, but not limited to, the Past Performance Questionnaires (Attachment 2) to determine the Offeror’s overall record of recency, relevancy, and quality of the Offeror’s past performance.
Offeror shall submit past performance information on at least one (1) recent contract(s) for the prime and one (1) for the subcontractors/teaming contractor (performing as the Prime on that effort) to determine the recency, relevancy, and quality of the Offeror’s performance. To be recent, the effort must be on-going or must have been completed within the last three (3) years by the closing date/time of this solicitation. To be relevant, the Offeror must demonstrate that performance involved similar scope and magnitude of effort and complexities this solicitation requires. The relevancy analysis will focus on if the Offeror has provided bus transportation services similar in scope, magnitude of effort, and complexities. To review quality, the Offeror’s Past Performance information collected will be reviewed to determine the quality of the Offeror’s performance, general trends, and usefulness of the information and incorporate them into the performance confidence assessment.
Past Performance information submitted that is not recent (more than 3 years) and/or not relevant will not be evaluated.
Subcontractor/Teaming Information. If an Offeror proposes a teaming arrangement for services, the Offeror (proposed prime Offeror) shall provide past performance information on any subcontractor or teaming arrangement offered.
o At a minimum, when a prime Offeror teams with a subcontractor, past performance information relevant to that subcontractor shall be provided on at least one (1) effort. Offerors shall include in their proposal the written consent of their proposed subcontractor(s) to allow the Government to discuss the subcontractor’s past performance assessment with the Offeror.
Questionnaires. Offerors must send Past Performance Questionnaires (PPQ), Attachment 3, to their customers’ points of contact (POCs) and instruct the POCs to complete the questionnaire in English.
Offerors shall make their best effort to send out enough past performance questionnaires to reasonably expect submission to the contracting officer at least one questionnaire on each cited contract/work effort.
The customer POC that received the questionnaire shall e-mail the completed questionnaires directly to the contract specialist listed on the questionnaire. Past Performance Questionnaires are requested to be received by the issuing office no later than the closing date/time of the solicitation. Ensure that the customer POC annotates the total contract value performed up to the date the POC received the questionnaire, and that the POC provides sufficient details to allow the Government to determine the relevancy and the quality of performance of the past contract.
The Government reserves the right to obtain information relative to present and past performance on its own, in addition to information provided by the Offeror and from contract and subcontract POCs. If you are aware that one or more of your contracts in the Contractor Performance Assessment Reporting System (CPARS) specifically relates to the requirements in this acquisition, please provide this contract/work effort as one of the past performance submissions with your proposal.
6. Volume III – Factor 3: Price.
The Offeror shall ensure that in Attachment X5 each Sub-contract Line Item (SLIN) listed under each Contract Line Item (CLIN) the Offeror proposes is completed. Offerors should only fill-in (complete) the yellow shaded cells of the Pricing Sheet(s). Be sure to complete all shaded cells for each SLIN under the CLIN(s).
In column G under tab “Daily Commute” the Offeror shall fill in a price per a day based on the Ridership Population for each year of the contract.
The Daily Commute SLINS associated with the Ridership Population will automatically generate on the spreadsheet based on the above established information the Offeror fills in. Each time the Ridership Population moves into a SLIN that ends in AA, the price will decrease by the price per one (1.5) routes. Each time the Ridership Population moves into a SLIN that ends in AC and AD, the price will increase by the price per (1) route.
An Offeror shall not update any of the cells that are not in yellow or orange.
To account for the option period(s) possible under FAR 52.217-8 (maximum six months) Option to Extend Services, the Government has provided a table within Attachment 2, of Attachment X5, labeled “FAR 52.217-8 Option to Extend Services.” The Offeror shall provide a Unit Price for each CLIN Description. If the Government decides to exercise the option under FAR 52.217-8 in an option period other than the last option year, then the rate proposed for the last year performance was completed will be used.
The base year of this contract will be awarded using the single bell schedule; however, the Offeror shall price both Single-Bell and Multi-Bell CLINs for the base year.
7. Volume IV: Representations and Certifications
The Offeror shall complete Attachment X6 “Reps & Certs” (to include the Offeror’s completed Enclosures 1 through 6 and the Offeror Responsibility Determination) to address Factor IV: Representations and Certifications.
NOTE: An Offeror’s SAM record must be accurate and active by the proposal due date and time to be eligible for any contract award.
Addendum to Paragraph (c). Paragraph (c) is changed to read as follows:
(c) Period for acceptance of offers. The Offeror agrees to hold the prices in its offer firm for 120 calendar days from the date specified for receipt of offers unless another time period is specified in an addendum to the solicitation.

Addendum to Paragraph (i). Paragraph (i) is deleted in its entirety.
(End of Addendum to FAR 52.212-1)
52.212-2 ADDENDUM – EVALUATION – COMMERCIAL ITEMS (NOV 2021)
Addendum to Paragraph (a). Paragraph (a) is changed to read as follows:
Phase I Draft Submission of Offers.
The Government will use Attachment X8 “Proposal Checklist” to evaluate the completeness of the Offeror’s proposal.
The Administrative Cover Letter, SF1449, any applicable SF30, and Volume IV will be reviewed for completeness;
and Volumes I, II, and III will be evaluated in accordance with “Phase II Submission of Offers” stated below.
However, Volume III “Price” will be reviewed in “Phase I Draft Submission of Offers” to assess the Offeror’s understanding of the submission process. Instead of providing final proposed pricing, the Offeror shall provide a Rough Order of Magnitude (ROM) estimate using Attachment X5 “Price”.
NOTE: A technical evaluation will not be completed at this time. This is only to complete an inventory of your proposal.
There will be no elimination of Offerors in Phase I. All Offerors will receive a copy of Attachment X9 “Proposal Checklist” for their own evaluated Phase I Draft Submission in order to address any deficiencies identified prior to moving to Phase II.
Phase II Submission of Offers.
The Government will evaluate complete proposals and award a single or multiple Firm-Fixed Price (FFP), Indefinite Delivery/Indefinite Quantity (IDIQ) contracts to the Offeror proposing the best value offer to the Government.
This acquisition will be conducted in accordance with FAR Parts 12 and 15. The Government anticipates awarding a single or multiple Firm-Fixed Price (FFP), Indefinite Delivery/Indefinite Quantity (IDIQ) contracts to the Offeror whose proposal, conforming to all the requirements of the solicitation, represents the best value to the Government in accordance with the Tradeoff process outlined in FAR Subpart 15.101-1 and the three (3) Factors for award listed in this addendum. In addition, any potential awardee will need to be deemed responsible in accordance with requirements of FAR Part 9.
Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale for the Government’s consideration. If no exceptions are submitted, then by submission of its proposal, the Offeror agrees to all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to meet a requirement may result in a proposal being determined unacceptable for award. Any exceptions proposed and accepted by the Government will be incorporated in the terms and conditions of the awarded contract.
To make the best value award decision, the Government will evaluate the following three (3) Factors and associated Subfactors for each proposal using the Tradeoff process defined in FAR 15.101-1;
1. Factor 1-Technical Capability Subfactor 1 – Student Transportation Services (STS)
Subfactor 1a. Personnel
Subfactor 1b. Vehicles
Subfactor 2 – Risk Assessment
2. Factor 2-Past Performance
3. Factor 3-Price
The relative importance of the evaluation factors is as follows: Technical Capability (Factor 1) is of equal importance as Past Performance (Factor 2). Technical Capability (Factor 1) and Past Performance (Factor 2), when combined, are more important than Price (Factor 3). All Technical Capability (Factor 1) Subfactors are of equal importance. The complete evaluation criteria are outlined below:
Evaluation Factors:
Factor 1: Technical Capability
The Government will evaluate Technical Capability (Factor 1) using the Technical Capability Subfactors which are all equal importance.
The Technical Proposal shall provide sufficient information for the Government to assess the Offeror’s capability to successfully perform the requirement in accordance with the performance objectives, tasks, and standards as expressed in the PWS.
The Government will evaluate the following Subfactors as follows:
Subfactor 1 – Student Transportation Services (STS)
Subfactor 1a. Personnel
The Government will evaluate the Offeror’s completed Attachments X2(a) “Personnel_Single Bell” and X2(b) “Personnel_Multi-Bell” to ensure it will meet or exceed the requirements specified in the PWS (Attachment 1).
To receive an acceptable rating, the Offeror’s proposal shall meet the following criteria:

Note: An Offeror will not be given a deficiency if the Offeror does not have employees assigned to all the required labor categories on the “Personnel List” Tab at the time of proposal.
For any future employees not identified above, propose an Action Plan for Prime and each
Subcontractor under the tab, “Personnel Action Plan” in Attachments X2(a) “Personnel_Single Bell” and X2(b) “Personnel_Multi-Bell.” The Action Plan shall fully address any potential issues with obtaining these positions
The “Personnel Action Plan” shall address how the Offeror will:

The Technical Capability Factor and all Subfactors will be rated in accordance with the following Adjective Rating Method:
Combined Technical/Risk Rating Method Adjectival Rating Description
Outstanding
Proposal demonstrates an exceptional approach and understanding of the requirements and contains multiple strengths and/or at least one significant strength, and risk of unsuccessful performance is low
Good
Proposal indicates a thorough approach and understanding of the requirements and contains at least one strength or significant strength, and risk of unsuccessful performance is low to moderate.
Acceptable
Proposal meets requirements and indicates an adequate approach and understanding of the requirements, and risk of unsuccessful performance is no worse than moderate.
Marginal
Proposal has not demonstrated an adequate approach and understanding of the requirements, and/or risk of unsuccessful performance is high.
Unacceptable
Proposal does not meet requirements of the solicitation and, thus, contains one or more deficiencies and is unawardable, and/or risk of performance is unacceptably high.
A rating of “Unacceptable” or “Marginal” for any Subfactor will result in the proposal being deemed Technically Unacceptable and not eligible for contract award.
Factor 2: Past Performance. In assessing the Offeror’s probability of meeting the solicitation requirements, the Offeror’s evaluation and Overall Rating of Recency, Relevancy and Quality of the Offeror’s Past Performance will be based on the following ratings methods: Recency Assessment. An assessment of the past performance information will be made to determine if it is recent according to the following:
Past Performance Recency Ratings
Adjectival Rating Description
Recent The effort must be ongoing or must have been completed within the last three (3) years by the closing date and time of this solicitation.
Not Recent The effort has been completed for more than three (3) years by the closing date and time of this solicitation.
Relevancy Assessment. The Government will determine how relevant the effort accomplished by the Offeror is to the effort to be acquired through the solicitation. The Government is not bound by the Offeror’s assessment of relevancy. To be relevant, the Offeror must demonstrate that their performance involved similar scope, magnitude of effort, and complexities this solicitation requires.
Relevancy will be rated in accordance with the following Rating method:
Past Performance Relevancy
Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.
Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.
Somewhat Relevant Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.
Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.
Quality Assessment. The Government will review all past performance information collected and determine the quality of the offeror’s performance, general trends, and usefulness of the information and incorporate these into the performance confidence assessment.
Past Performance Overall Rating. The past performance evaluation is a comparative assessment of the Offeror’s ability to successfully perform the contract. A separate quality assessment rating is not required. Rather, the Government will review the information collected, to include, but not limited to the Past Performance Questionnaire, Attachment 2, to determine the quality of the Offeror’s overall record of recent, relevant, and quality past performance. Past Performance Confidence assessment will be based on the following Rating method:
Past Performance Confidence Assessment
Substantial Confidence Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.
Satisfactory Confidence Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.
Neutral Confidence No recent/relevant performance record is available, or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned. The offeror may not be evaluated favorably or unfavorably on the factor of past performance.
Limited Confidence Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.
No Confidence Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.
In addition to past performance information submitted by the Offeror and Questionnaires completed for the Offeror, past performance information may be obtained from the Contractor Reporting Assessment Reporting System (CPARS), SAM.gov, Electronic Subcontract Reporting System (eSRS), or other databases; the Defense Contract Management Agency; and interviews with Program Managers, Contracting Officers, or other sources known to the Government.
In evaluating past performance, the Government reserves the right to give greater consideration to information on those individual contracts deemed most relevant to the effort described in this RFP. The Government also reserves the right to give greater consideration to an individual Offeror’s past performance information rather than the combined past performance information of an Offeror and its associates using teaming arrangements.
Offerors without a record of relevant past performance or for whom information on past performance is not available or is so sparse that a past performance rating cannot be reasonably assigned will not be evaluated favorably or unfavorably on past performance and as a result, will receive a “Neutral” rating for the Past Performance factor.
However, the Government reserves the right to determine that a “Substantial Confidence” or “Satisfactory Confidence” past performance rating is worth more than a “Neutral Confidence” past performance rating in a best value tradeoff.
If the Government chooses to conduct negotiations, Offerors will be provided an opportunity to address any adverse past performance information not previously addressed. Adverse past performance is defined as past performance information which supports a less than satisfactory rating on any evaluation aspect or any unfavorable comments received from sources without a formal rating system.
The Government may reject a proposal if it is found that the Offeror deleted, misrepresented, or withheld any information that might have a negative impact on its past performance record.
Factor 3: Price. This factor will not be assigned a rating. However, the Offeror’s proposal, using Attachment X5, will be evaluated to determine if it is fair and reasonable in accordance with the techniques and procedures stated in FAR Subpart15.404-1.
In addition, the Government reserves the right to conduct a Price Realism analysis to determine whether a low-price was offered due to a lack of technical understanding, or to assess the inherent risk of the Offeror’s low-priced proposal. If the Price Realism analysis reveals that the low-priced offer was caused by a lack of technical understanding or the inherent risk of the low-priced offer is deemed too great, a proposal can be rejected.
(b) Addendum to Paragraph (b). Paragraph (b) is changed to read as follows
Evaluation of Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the base period. The Offeror shall submit pricing for the base period and all option periods. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
To account for the option period(s) possible under FAR 52.217-8 (maximum six months) Option to Extend Services, the Government has provided a table within Attachment X5, labeled “FAR 52.217-8 Option to Extend Services.”
The Offeror shall provide a Unit Price for each CLIN Description.
