(a) Definitions. As used in this clause--

Covered application means the social networking service TikTok or any successor application or service developed or provided by ByteDance Limited or an entity owned by ByteDance Limited.

Information technology, as defined in 40 U.S.C. 11101(6)--

(1) Means any equipment or interconnected system or subsystem of equipment, used in the automatic acquisition, storage, analysis, evaluation, manipulation, management, movement, control, display, switching, interchange, transmission, or reception of data or information by the executive agency, if the equipment is used by the executive agency directly or is used by a contractor under a contract with the executive agency that requires the use-

(i) Of that equipment; or

(ii) Of that equipment to a significant extent in the performance of a service or the furnishing of a product;

(2) Includes computers, ancillary equipment (including imaging peripherals, input, output, and storage devices necessary for security and surveillance), peripheral equipment designed to be controlled by the central processing unit of a computer, software, firmware and similar procedures, services (including support services), and related resources; but

(3) Does not include any equipment acquired by a Federal contractor incidental to a Federal contract.

(b) Prohibition. Section 102 of Division R of the Consolidated Appropriations Act, 2023 (Pub. L. 117-328), the No TikTok on Government Devices Act, and its implementing guidance under Office of Management and Budget (OMB) Memorandum M-23-13, dated February 27, 2023, "No TikTok on Government Devices" Implementation Guidance, collectively prohibit the presence or use of a covered application on executive agency information technology, including certain equipment used by Federal contractors. The Contractor is prohibited from having or using a covered application on any information technology owned or managed by the Government, or on any information technology used or provided by the Contractor under this contract, including equipment provided by the Contractor's employees; however, this prohibition does not apply if the Contracting Officer provides written notification to the Contractor that an exception has been granted in accordance with OMB Memorandum M-23-13.

(c) Subcontracts. The Contractor shall insert the substance of this clause, including this paragraph (c), in all subcontracts, including subcontracts for the acquisition of commercial products or commercial services.

(End of clause)

52.212-1 ADDENDUM – INSTRUCTIONS TO OFFERORS - - COMMERCIAL ITEMS (DEC 2006)

FAR 52.212-1 is supplemented as follows:

A. Proposal Preparation Instructions Provided to Offerors

1. General Instructions

a. Addendum to Paragraph (c) Period of Acceptance of Offers: Paragraph (c) is changed to read as follows:

The offeror agrees to hold the prices in its offer firm for 120 calendar days from the proposal due date, unless another time period is specified in an amendment to the solicitation.

b. Addendum to Paragraph (g) Contract Award. Paragraph (g) is changed to read as follows: The Government intends to award without discussions. Therefore, the offeror’s initial proposal should contain the offeror’s best approach/terms for all the evaluation factors (technical, past performance, and price). However, despite this intent, the Government reserves the right to conduct discussions if the Source Selection Authority (SSA) determines they are necessary. If the SSA determines that discussions are necessary, a competitive range shall be established. In the event issues pertaining to this award cannot be resolved to the SSA’s satisfaction, the Government reserves the right to withdraw and cancel the solicitation. In such event, offerors will be notified in writing.

c. Addendum to Paragraph (h) Multiple Awards. Paragraph (h) is changed to read as follows: DoDEA intends to award a single contract as a result of this solicitation. Multiple awards shall not be made as a result of this solicitation.

d. Addendum to Paragraph (l) Debriefing. Paragraph (l) is changed to read as follows: The Offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussions. The Contracting Officer (KO) shall notify unsuccessful Offerors of the source selection discussion in accordance with FAR 15.503. Upon such notification, unsuccessful Offerors may request and receive a debriefing.

Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable. Unsuccessful Offerors are only entitled to one debriefing. This includes offerors who submit multiple proposals. However, if discussions are required, the KO will notify Offerors of any decision to exclude them from the competitive range; whereupon they may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing in accordance with FAR 15.506.

e. Addendum to Paragraph (b) Submission of Offers: In addition to those requirements as stated in paragraph (b), the following are added and shall apply to the submission requirements in response to this solicitation:

2. Offeror Structure, Content and Additional Instructions:

a. General Guidance

This is a competitive small business set-aside, Federal Acquisition Regulation (FAR) Part 15, best value, tradeoff, source selection solicitation in support of the Department of Defense Education Activity (DODEA). From the source selection, the Government intends to make award in accordance with FAR 52.215-1(f)(4). Each competing prime contractor, hereinafter referred to as the “offeror,” shall submit a proposal that includes the required information in the following paragraphs to demonstrate its capabilities to perform the work described in the Request for Proposal (RFP). By submission of a proposal, the offeror accedes to all the terms of the RFP. The following instructions are for the preparation and submission of proposals.

The purpose of this section is to establish requirements for the format and content of proposals, so that proposals contain all essential information and can be evaluated equitably. Offerors are instructed to read the entire solicitation, including all attachments, prior to submitting questions and preparing your offer. Omission of any information to the proposal submission requirement may result in rejection of the offer. All information within the page limitations of the proposal is subject to evaluation. The offer shall be compliant with the requirements as stated in the Performance Work Statement (PWS). Non-conformance with the instructions provided in this section may result in removal of the proposal from further evaluation.

The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government’s requirements but shall provide convincing rationale to address how the Offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their capabilities and experience and will base its evaluation on the information presented in the Offeror’s proposal.

The Government will evaluate proposals in accordance with the evaluation criteria set forth in FAR 52.212-2, Addendum of this solicitation. Offerors are prohibited from modifying, in any way, shape, or form, any documents, printed or electronic, associated with this solicitation and any amendment(s) thereto. The electronic solicitation documents submitted via email to the Contract Specialist as listed in the solicitation shall be the “official” documents for this solicitation.

The Government will not reimburse offerors for any cost incurred for the preparation and submission of a proposal in response to this solicitation. All proposal information is subject to verification by the Government. Falsification of any proposal submission, documents, or statements may subject the offeror to civil or criminal prosecution under Section 1001 of Title 18 of the United States Code.

Offerors must be registered in the System for Award Management (SAM) at the time of proposal submittal with their Universal Entity Identify (UEI) number under the appropriate North American Industry Classification System (NAICS) code for this acquisition. Page limitations shall not be circumvented by including inserted text boxes/pop-ups or internet links to additional information; such inclusions are not acceptable and will not be considered part of the proposal. The Government reserves the right not to consider for award any proposal that does not adhere to the administrative requirements of this solicitation. Cover pages, tables of contents, and glossaries shall not be counted as part of a proposal’s page count. COVER LETTER

The Cover Letter shall include:

Complete Business Mailing Address Tax Identification Number (TIN) Unique Entity Identifier (UEI) Number Cage Code/NAICS Code Contact Name, Phone, Fax, and email address Clear statement that the proposal is valid for a minimum of 120 days from the closing of the RFP

Volume I – Technical Proposal (Factor I). The Offeror’s technical proposal volume shall be clear, concise and include sufficient detail for effective evaluation and for substantiating the validity of stated claims in the offeror’s proposal. The Offeror’s responses will be evaluated against the Factors in FAR Clause 52.212-2 Addendum. Offeror’s are cautioned that “parroting” of the technical requirements of the PWS with a statement of intent to perform does not reflect an understanding of the requirements or the capability to perform. Statements that the offeror understands, can, or will comply with the PWS and phrases such as, “standard procedures will be employed” or “well known techniques will be used” etc., will be considered unacceptable. Offerors are responsible for including sufficient details to permit a complete and accurate evaluation of each proposal. Offerors shall assume that the Government has no prior knowledge of their technical capabilities and past experience and will base its evaluation on the information presented in the Offeror’s proposal. Offerors are advised not to individually address each PWS paragraph in their technical capability.

The Offeror’s Technical Proposal shall address the following Factor: Technical Capability

Technical Capability: The Offeror shall submit a proposal that clearly demonstrates the Offeror’s understanding of all PWS objectives and evidence that their proposal meets or exceeds objective requirements.

Volume II – Past Performance Proposal (Factor II)

The past performance evaluation is a comparative assessment of the Offeror’s ability to successfully perform the contract based on the Offeror’s demonstrated recent and relevant record of how well the Offeror performed on previous contracts. The Government will review the information collected, to include, but not limited to the Past Performance Questionnaire (Attachment 7) to determine the quality of the Offeror’s overall record of recent and relevant past performance.

The Offeror shall submit past performance information on at least two (2), but not more than five (5), recent contracts for the prime and subcontractors (performing as the Prime on that effort) to determine the recency and relevancy of the Offeror’s performance. To be recent, the offeror’s contracts listed in the past performance information must be on-going or must have completed within the last three (3) years by the closing date/time of this solicitation. To be relevant, the Offeror must demonstrate that performance involved similar scope and magnitude of effort and complexities this solicitation requires. The relevancy analysis will focus on if the Offeror has provided custodial services similar in scope, magnitude of effort, and complexities.

Past Performance information submitted that is not recent (more than 3 years) and/or not relevant will not be evaluated.

i. Subcontractor/Teaming Information. If an Offeror proposes a teaming arrangement for services, the Offeror (proposed prime Offeror) shall provide past performance information on any subcontractor or teaming arrangement offered. At a minimum, when a prime Offeror teams with a subcontractor, past performance information relevant to that subcontractor shall be provided on at least one (1) effort. The information required shall be the same as above.

Offerors shall include in their proposal the written consent of their proposed subcontractor(s) to allow the Government to discuss the subcontractor’s past performance assessment with the Offeror.

ii. Questionnaires. Offerors must send Past Performance Questionnaires (PPQ), (Attachment 7), to their Customer’s points of contact (POCs) and instruct the POCs to complete the questionnaire in English. Offerors shall make their best effort to send out a sufficient number of past performance questionnaires to reasonably expect submission to the contracting officer at least one questionnaire on each cited contract/work effort. The questionnaire recipient should e-mail completed questionnaires directly to the contract specialist listed on the questionnaire. Past Performance Questionnaires are requested to be received in the issuing office by the closing date/time of the solicitation.

iii. The Government reserves the right to obtain information relative to present and past performance on its own, in addition to information provided by the Offeror and from contract and subcontract POCs. If you are aware that one or more of your contracts in the Contractor Performance Assessment Reporting System (CPARS) specifically relates to the requirements in this acquisition, please provide this contract/work effort as one of the past performance submissions with your proposal.

Volume III – Price Proposal (Factor III)

The Offeror’s prices shall be complete with an accurate reflection of all aspects of the requirement. Offerors shall submit pricing for the estimated quantities identified in each Contract Line Item Number (CLIN) within the RFP.

Volume IV – Representation and Certifications

Offeror’s must provide all applicable business representations and certifications required by the solicitation. Please review all clauses and provisions requiring information from Offerors.

Volume V – Contract Documentation

The Offeror’s proposal shall include a signed copy of the solicitation and any amendments issued.

(End of 52.212-1 Addendum)

52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)

(a) See addendum 52.212.2.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(End of provision)

52.212-2 ADDENDUM – EVALUATION – COMMERCIAL ITEMS (DEC 2006)

Addendum to Paragraph (a). Paragraph (a) is changed to read as follows:

The Government shall award a single Firm-Fixed-Price (FFP) contract from this solicitation based on the best overall proposal that is determined to represent the best value to the Government. The following three evaluation factors shall be used in the evaluation and may be traded off in the Government’s determination of best value: Factor I - Technical Capability, Factor II - Past Performance and Factor III - Price. As noted in the Addendum to FAR 52.212-1, non-conformance with the instructions to offerors, and any administrative requirements provided in the Addendum to FAR 52.212-1 proposal preparation and submission instructions may result in removal of the proposal from further evaluation.

The relative importance of the evaluation factors is as follows: Factor I: Technical Capability is more important than Factor II: Past Performance. Factor I: Technical Capability and Factor II: Past Performance, when combined, are significantly more important than Factor III: Price (FAR 15.101-1). A contract will not be awarded to an offeror with any significant weaknesses and deficiencies as defined in FAR 15.001.

To be eligible for award, an offeror must obtain a rating no lower than “Acceptable” for Factor I, Technical Capability, as well, a rating no lower than Satisfactory Confidence/Neutral Confidence for Factor II, Past Performance. In addition, your prices must be determined fair and reasonable by the contracting officer. Factors I, II, and III may be traded off to determine the best value. Therefore, the lowest price offered will not necessarily represent the best value to the Government. The Government will conduct a best value trade-off in accordance with Federal Acquisition Regulation (FAR) 15.101-1.

Offerors with little or no relevant past performance history will not be evaluated favorably or unfavorably for past performance. However, the proposal of an offeror with little or no relevant past performance history, while rated unknown confidence or neutral in past performance, may not represent the most advantageous proposal to the Government.

The following factors shall be used in the evaluation and may be traded off in the Government’s determination of best value and are listed in descending order of importance:

Factor I: Technical Capability Factor II: Past Performance Factor III: Price

Evaluation Factors:

Factor I: Technical Capability: The Offeror shall submit a proposal that clearly demonstrates the Offeror’s understanding of all PWS objectives and evidence that their proposal meets or exceeds objective requirements.

The Government will utilize the combined technical/risk rating system for the evaluation of all proposals against Factor I, Technical Capability of the source selection criteria. Table 1 below outlines the ratings and their descriptions:

Table 1. Combined Technical/Risk Method

Adjectival Rating Description

Outstanding Proposal demonstrates an exceptional approach and understanding of the requirements, contains multiple strengths and/or at least one significant strength.

Good Proposal demonstrates a thorough approach and understanding of the requirements and contains at least one strength or significant strength.

Acceptable Proposal demonstrates an adequate approach and understanding of the requirements.

Marginal Proposal has not demonstrated an adequate approach and understanding of the requirements.

Unacceptable Proposal does not meet requirements of the solicitation and, thus, contains one or more deficiencies and is un-awardable.

A rating of “Unacceptable” or “Marginal” for Factor I, Technical Capability will result in the proposal being deemed Technically Unacceptable and not eligible for contract award.

Factor II: Past Performance. In assessing the Offeror’s probability of meeting the solicitation requirements, the Offeror’s evaluation and Overall Rating of Recency, Relevancy and Quality of the Offeror’s Past Performance will be based on the following rating methods below.

Recency Assessment. An assessment of a past performance effort will be made to determine if it is recent. Recent is defined as a performance that is no older than three years from the date the solicitation is issued. Past performance information from an offeror or its subcontractors for which the offeror or its subcontractors where not listed as a prime will not be considered relevant.

In conducting a performance recency assessment, each offeror shall be assigned one of the ratings in Table 2.

Relevancy Assessment. The Government will determine how relevant the effort accomplished by the Offeror is to the effort to be acquired through the solicitation. The Government is not bound by the Offeror’s assessment of relevancy. To be relevant, the Offeror must demonstrate that performance involved similar scope, magnitude of effort, and complexities this solicitation requires.

Relevancy will be rated in accordance with the assigned ratings…
