COMBINED SYNOPSIS/SOLICITATION

This is a COMBINED SYNOPSIS/SOLICITATION for commercial items prepared in accordance with the information in FAR Subpart 12.6, using Simplified Acquisition Procedures found at FAR Part 13, and as supplemented with additional information included in this notice. This announcement constitutes the only solicitation on FedBizOpps; quotes are being requested and a written solicitation will not be issued.

Solicitation H92240-19-Q-1012 is issued as a request for quotation (RFQ).

Naval Special Warfare Command (NSWC) intends to award a firm-fixed-price Indefinite Delivery Indefinite Quantity contract for contractor support in the area of career transition for senior military service members transitioning from a military career to a civilian career. This solicitation is 100% Service-Disabled Veteran-Owned Small Businesses (SDVOSB) set-aside. The associated North American Industrial Classification System (NAICS) code for this procurement is:

The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2005-101 effective 26 October 2018 and DFARS Change Notice 20190215 effective 15 February 2019. The Statement of Objectives (Attachment 1) will be distributed upon request to vendors registered at www.sam.gov, under the NAICS code listed above. See FAR 52.212-1 Addendum below.

Quotes are due no later than 8 April 2019 at 0900 am Pacific Standard Time.

Quotes must be valid for 60 days. Email is the only acceptable method of submission. All quotes must be emailed with the RFQ Number in the subject line. Contractors are responsible for verifying receipt of their proposals to this office before quote due date and time. Submissions shall be directed to the Contracting Office by email, citing at a minimum “H92240-19-Q-1012” in the subject line at the following addresses: NSWK1@socom.mil and taylor.laman@socom.mil

52.212-1 ADDENDUM

ADDENDUM TO 52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (APR 2014)

(m) Quote Preparation and Submission Instructions.

(1) The Quoter may submit written questions during the quote preparation period. All questions must be received no later than 0900 Pacific Standard Time on 21 March 2019 to allow adequate time to prepare and issue responses prior to the date and time set for receipt of quotes. Only written questions will receive a response. It is required that each question should include the document name, document date, specific page, paragraph, clause or other definitive citation requiring clarification. All questions and quotes shall be directed to the Contracting Office by email, citing at a minimum “H92240-19-Q-1012” in the subject line at the following addresses: NSWK1@socom.mil and taylor.laman@socom.mil

(2) Comprehensive responses to the requirements of this Request for Quote (RFQ) are required to enable the Government to evaluate the Quoter’s capability and understanding to accomplish the stated requirements.

NAICS code 611430 Small business size standard $11M http://www.sam.gov/

Quotes shall be submitted in accordance with the instructions herein. The quote shall be valid for no less than 60 days from the date of RFQ closing, a statement affirming this fact shall be included in the Introduction. The quote shall provide comprehensive responses to the areas provided for in this section.

The quote shall be a complete response to the requirements of this RFQ, inclusive of any applicable attachments, taking into consideration required quantities and delivery schedules specified in this solicitation.

(n) Quote Format and Content

Electronic quotes shall contain separate files for each volume. Individual emails shall not exceed 10MB.

VOLUME I – Introduction

The quoter shall provide the following information:

1. Contractor Name, Commercial and Government Entity (CAGE) Code, Dun and Bradstreet (DUNs) Number, and Tax Identification Number (TIN).

2. Name, telephone numbers, and email address of person(s) to be contacted for clarification or questions pertaining to the quote.

3. FILL IN CLAUSES: Quoters must be registered in the System for Award Management (SAM) to be eligible for award; Quotes received without the completed copy of the provision at FAR 52.212-3 ALT I or completed SAM representation may be considered non-compliant. Quotes determined non-compliant may not be evaluated for award. Quoters must also provide all fill-ins for:

- 52.212-3 ALT I paragraph (b)

- 5652.204-9004 Foreign Persons (2006)

4. Terms and Conditions: The Quoter must include a statement that it either (a) agrees to the terms and conditions of this solicitation (which consists of the entire RFQ, including all documents, exhibits, and other attachments that are incorporated therein by reference and made a part thereof) and any solicitation amendments; or (b) takes exceptions to any terms or conditions of the solicitation, and clearly identifies those exceptions. Exceptions to any of the terms and conditions of this RFQ may be considered by the Government to be unacceptable.

5. Specify quote validity period.

VOLUME II – Factor 1 - TECHNICAL – Submission Requirements:

(a) Quoter shall submit its proposed approach to address the Government’s Statement of Objectives (SOO). This document shall be limited to five pages and shall be incorporated into any resulting contract as the Contractor Statement of Work (CSOW).

VOLUME III – Factor 2 – PAST PERFORMANCE – Submission Requirements:

(a) Quoter shall submit a minimum of one and maximum of three past performance questionnaires for performance under recent contracts or task orders. Recent is defined as within 3 years from date of solicitation issuance. Questionnaires should be sent to your reference point of contact (POC), then your POC shall send the filled out questionnaire directly to the designated

Government email box no later than close of solicitation to receive consideration. It is the Quoter’s responsibility to ensure the reference POC submits a timely questionnaire.

VOLUME IV - Factor 3 – PRICE – Submission Requirements:

Quoter shall provide firm-fixed prices within Attachment 2, Exhibit Line Item Number (ELIN) spreadsheet. The Government may require additional “other than cost and pricing data” prior to award.

(o) Restriction on disclosure and use of data. Quoters that include in their quotes data that they do not want disclosed to the public for any purpose, or used by the Government except for evaluation purposes, shall –

(1) Mark the title page with the following legend:

This quote includes data that shall not be disclosed outside the Government and shall not be duplicated, used, or disclosed -- in whole or in part -- for any purpose other than to evaluate this quote. If, however, a contract is awarded to this offeror as a result of -- or in connection with -- the submission of this data, the Government shall have the right to duplicate, use, or disclose the data to the extent provided in the resulting contract. This restriction does not limit the Government’s right to use information contained in this data if it is obtained from another source without restriction. The data subject to this restriction are contained in sheets [insert numbers or other identification of sheets]; and

(2) Mark each sheet of data it wishes to restrict with the following legend:

Use or disclosure of data contained on this sheet is subject to the restriction on the title page of this quote.

(p) To be considered timely. E-mail quote must be received in its entirety in the designated E-mail inbox by the due date and time for final quote submission. An E-mail quote that resides on a Government server, but has not appeared in the designated E-mail inbox by the due date and time for quote submission will be considered late. Therefore, it is incumbent upon the Quoter to ensure that its entire quote is received by the Agency by the designated due date.

MINIMUM GUARANTEE

This requirement is to establish a Five Year Indefinite Delivery Indefinite Quantity type contract issuing Firm Fixed Priced Task Order. The minimum guarantee under this contract is the first issued order. The minimum guarantee under this contract will be satisfied by Task Order 0001 to be issued concurrent with the award of this contract. There is no minimum guarantee for subsequent ordering periods. The maximum value of this contract is not to exceed $250,000.00 over the five year life of the contract.

52.212-2 EVALUATION -- COMMERCIAL ITEMS (JAN 1999)

The following factors shall be used to evaluate quotes:

Factor 1 – TECHNICAL. The Government will evaluate how well the Quoter’s proposed approach is anticipated to meet the Government’s SOO.

Factor 2 – PAST PERFORMANCE. The Government will evaluate how well the Quoter has provided career transition seminars in the past, using the past performance questionnaires and any other information available to the contracting officer utilizing the techniques under 13.106-

2(b). The Government will only evaluate performance under recent contracts or task orders.

Recent is defined as within 3 years from date of solicitation issuance.

Factor 3 – PRICE. All prices, the option at FAR 52.217-8, will be evaluated for reasonableness in accordance with FAR 13.106-3(a).

Basis for Award: The Government will award to the Quoter who represents the Best Value to the Government utilizing the techniques under 13.106-2(b). Non-price factors are of approximately equal importance, and when combined, are significantly more important than price.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS- COMMERCIAL ITEMS

ALTERNATE I (OCT 2014)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u)) of this provision.

(a) Definitions. As used in this provision--

“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Forced or indentured child labor” means all work or service—

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or https://www.sam.gov/

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

“Sensitive technology”—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”—

(1) Means a small business concern—

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Small disadvantaged business concern, consistent with 13 CFR 124.1002,” means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

“Subsidiary” means an entity in which more than 50 percent of the entity is owned—

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

“Veteran-owned small business concern” means a small business concern—

(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

“Women-owned small business concern” means a small business concern --

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.

“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127),” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.

(b)

(1) Annual Representations and Certifications. Any changes provided by the Offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications in SAM.

(2) The offeror has completed the annual representations and certifications electronically in SAM accessed through http://www.sam.gov. After reviewing SAM information, the Offeror verifies by submission of this offer that the representations and certifications currently posted electronically at FAR 52.212-3, Offeror Representations and Certifications--Commercial Items, have been entered or updated in the last 12 months, are current, accurate, complete, and applicable to this solicitation (including the business size standard applicable to the NAICS code referenced for this solicitation), at the time this offer is submitted and are incorporated in this offer by reference (see FAR 4.1201), except for paragraphs __.

(1) The offeror certifies that each end product, except those listed in paragraph (f)(2) of this provision, is a domestic end product and that for other than COTS items, the offeror has considered components of unknown origin to have been mined, produced, or manufactured outside the United States. (B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals Contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
